根據(jù)中華人民共和國協(xié)議法，經(jīng)甲乙雙方友好協(xié)商，就甲方購買乙方激光打標機一事達成如下協(xié)議條款：

According to the Contract Law of P.R.C, both parties agree as following about the purchase of laser marker from party B through friendly negotiation.

 

一、甲方所訂購機器型號及價格：

機  型: 激光打標機     The machine model  laser marker JT-YAG-50A               

 

本協(xié)議總金額合計人民幣大寫                                          

The amount of agreement: (RMB) Capital   

 

二、乙方提供給甲方的設備配件：（詳見清單）

The equipment accessory provided to party A from party B. (Detail see list)

 

三、激光打標機是光機電一體化產(chǎn)品，有特定的工作環(huán)境要求。甲方在購買設備時必須提供如下條件：

The laser marker is the Integrated product with optical-mechanical-electrical design, has the special requirement to working environment.

1．工作環(huán)境要求： 1）無塵無煙、無振動、無油污        2）清潔、干燥　　

The requirement for environment: 1) without smoke,  libration and oil dirt. 2) Clean and dry

 

3）恒溫（最好在空調(diào)室內(nèi)） 

 Constant temperature (The air-condition room will be best)

 

2．電源要求 ：220VAC±10%　穩(wěn)壓電源，帶保護地線裝置。 

Requirement for electric power: 220VAC±10% Voltage Stabilized power, equipped with protected ground wire    

 

在滿足以上條件以后，乙方對設備承諾保修。

Party B should guarantee to keep it in good repair after satisfied with the upper requirement.

 

四、付款方式： payment

1、甲方自協(xié)議簽定之日起將設備款的人民幣__________匯至乙方帳戶，乙方確認款到后三天內(nèi)發(fā)貨，并派工程師到甲方安裝調(diào)試

Party A remit the amount of equipment (RMB) to the account of party B upon the signature of the agreement, party B should deliver the equipment within three days upon confirmed the payment, and dispatch engineer to help party A to debug and install.

 

2、乙方將機器安裝調(diào)試完畢，經(jīng)甲方驗收合格后付人民幣____________，

Party A will pay the balance of the payment to party B after check and accept the equipment.

 

五、運輸方式及費用：由乙方負責送貨上門，費用由乙方承擔。

Transportation and charge

Party B should deliver the equipment to the site of party A, and also responsible for the fee.

 

六、安裝、調(diào)試及培訓事項  Installment, debugging and training

安裝：The location of installment:

1、乙方派專人負責機器的安裝與調(diào)試。

Party B should dispatch the professional person to responsible for the installment and debugging.

 

2、甲方在接到乙方調(diào)試完成通知兩日之內(nèi)組織驗收。無正當理由不組織驗收即視為驗收通過。

Party A should organize check and accept within two days after receipt of the notice from party B. No any fairly reason will be considered as eligibility.

 

4、培訓：乙方免費負責甲方一名操作及技術人員的技術培訓，但甲方操作人員應有一定的電腦操作經(jīng)驗。培訓目標以甲方技術人員能獨立使用和維修機器為準，培訓地點為乙方所在地。

Training: Party B should provide training for one of party A’s skilled worker for free, but the operator of party B should have certain experience in computer. The skilled worker of party A can operate and maintenance the machine by himself will be considered the target of training, the location of training is the locus of Party B.

 

七、售后服務 After-sale service

1、乙方對所售產(chǎn)品，一年內(nèi)免費維修及更換零件（自安裝調(diào)試完畢，正式投入使用之日算起）。

Party B should maintain and replace the component for free within one year. (The date counted from installment finished.)

 

2、本設備保修期為一年，終身維修。

The guarantee period of the equipment will be one year, and maintenance for whole life.

 

3、氪燈因自然損耗而更換的費用由甲方負責。

Party A will responsible for the charge of changing krypton light for the cause of natural waste.

 

4、因甲方工作環(huán)境惡劣、電力供應異常、未按操作規(guī)程操作而引起的機器或配件損壞的不在保修范圍內(nèi)。

The damage of machine or parts caused by bad working environment, abnormal electric supplying, or un-normative operating will not in the range of guarantee.

 

5、乙方保證在接到甲方維修通知后，盡快排除故障，以保證甲方工作順利

進行。

Party B should guarantee to eliminate the failure as soon as possible after receipt of the maintenance notice from party A, so as to make sure party A’s work carrying out successfully.

 

八、本協(xié)議協(xié)定之價格及付款方式為雙方的商業(yè)機密，甲方應為乙方保密，不得向第三者泄露。

The price and payment of this agreement belong to commercial secret, party A should keep the secret and can’t leak to the third party.

 

九、解決協(xié)議爭議處理方式：由乙方所在地法院裁決。

The dispose mode to solve the agreement dispute: judged by local court

 

十、本協(xié)議一式兩份，甲乙雙方各執(zhí)壹份。

This agreement has two pieces, both parties hold one.

 

十一、以上如有未盡事宜，經(jīng)雙方協(xié)商可另行補充修訂作為協(xié)議的附件，與本同具有同等法律效力。

If there is any thing need complementarity, it can make up as the accessories of the agreement under both parties’ negotiation, and has the same law effectiveness with this agreement.
