乙方：香港××有限公司

Party B: ××Co., Ltd. Hong Kong

 

雙方在遵守中華人民共和國政策、法律和特區(qū)有關(guān)規(guī)定的前提下，本著平等互利的原則，就來料加工各款塑膠五金玩具業(yè)務(wù)進(jìn)行了充分協(xié)商，一致達(dá)成了如下合同條款：

Party A and Party B, according to the laws and policies of the People's Republic of China and the relevant regulations of the Special Economic Zones and the principles of equality and mutual benefit, have held discussions relation to the processing and as sembling of plastic toy products and have reached agreement on the following contractual clauses:

 

一、雙方責(zé)任 Responsibilities

 

1．甲方責(zé)任： Responsibilities of Party A

（1）提供有上蓋之廠房1棟2層850平方米，無上蓋場地500平方米，工廠管理人員1名，生產(chǎn)工人首期80名、開業(yè)后十二個(gè)月增至200名，（禁止雇用不滿十六周歲的童工），如當(dāng)?shù)貏诹θ狈�，可到外地雇請，但須�?jīng)深圳市有關(guān)部門批準(zhǔn)，在合同期內(nèi)代乙方加工生產(chǎn)上述產(chǎn)品，加工成品后交回乙方復(fù)出香港。

1) Party A shall provide factory space consisting of two floors with a total space of 850 square metres, field of 500 square metres without covering, one factory management person and eighty workers for the first phase. The number of workers shall be increased to 200 twelve months after operation. (Employment of teenagers under 16 is prohibited). If the local labour is not sufficient, Party A can employ workers from other places with the approval of the relevant departments of Shenzhen Municipality. Within the contract term, Party A shall process the above products for Party B which shall be re-exported to Hong Kong.

 

（2）提供現(xiàn)有水、電設(shè)備供加工生產(chǎn)之用，如需新安裝水、電設(shè)施，其費(fèi)用由乙方支付。

2)The water supply and utility equipment required for processing shall be provided by Party A. If additional installations of water and electric facilities are required, the expenses thereof shall be

borne by Party B.

 

（3）辦理來料加工、裝配有關(guān)業(yè)務(wù)的進(jìn)出口手續(xù)及對工廠實(shí)行行政、財(cái)務(wù)和管理，不得把工廠以任何形式承包給任何單位和個(gè)人經(jīng)營。

3) Party A shall arrange all the necessary import and export approvals required for processing and assembly and provide administration and accounting management for the processing plant. Party A cannot contract Party A's responsibilities to any other Party or individual in any way.

 

2．乙方責(zé)任： Responsibilities of Party B

（1）不作價(jià)提供加工上述產(chǎn)品及裝修廠房和建造 平方米簡易廠房所需的設(shè)備材料（詳見清單），分多批運(yùn)抵甲方工廠，設(shè)備總值約415萬港元。

1 ) To provide the equipment with the total value of 4. 15 million Hong Kong Dollars.

 

（2）不作價(jià)提供加工上述產(chǎn)品所需的原料、輔料和包裝物料，具體數(shù)量、規(guī)格在合同中訂明。

2 ) To provide the raw materials, indirect materials and packaging materials for processing the products. Quantities and specifications are to be specified in separate contracts.

 

（3）工人如因工作不力（含工廠管理人員），經(jīng)教育無效者，乙方有權(quán)向甲方提出調(diào)換，但禁止非法搜查甲方工廠工人的身體。

3) In the event any personnel, including management shows substandard performance and makes no improvement after retraining, Party B shall have the right to request Party A to replace such persons. However, any physical search of the workers shall be regarded as illegal and prohibited.

 

二、加工數(shù)量 Quantity of Products

第一年加工上述產(chǎn)品，加工費(fèi)約43．2萬港元，從第二年開始的產(chǎn)量，應(yīng)在前一年的基礎(chǔ)上有所增加，具體數(shù)量應(yīng)在生產(chǎn)合同中訂明。

During the first year, the total processing fee shall amount to HK $ 432, 000. 00. From the second year, the quantity shall be increased. Details shall be specified in separate contracts.

 

三、作價(jià)原則和工繳費(fèi) Pricing &- Salary

1．試產(chǎn)（培訓(xùn)）期為二個(gè)月，在試產(chǎn)期內(nèi)，工人每人每月工繳費(fèi)暫定為450港元，（每月工作二十五天半，每天八小時(shí)）。

(1) The trial production (including training) period shall be two months. During such period, the workers shall be paid HK $ 450. 00 per month on the basis of 25.5 working days per month and 8 working hours per day.

 

2．試產(chǎn)期滿后，采取按件計(jì)算方式，在堅(jiān)持互利原則的基礎(chǔ)上、雙方應(yīng)根據(jù)加工的品種、規(guī)格、款式和工藝繁簡不同進(jìn)行定價(jià)，并在生產(chǎn)加工合同中訂明（為確保工人的合理收入，工繳費(fèi)平均每人每月不低于550港元）。需要加班時(shí)，加班費(fèi)另計(jì)，但每個(gè)工人每天加班時(shí)間最長不得超過三個(gè)小時(shí)。

(2) After the trial production period, the workers' payment shall be calculated according to actual production specification, style and craftwork . On the basis of mutual benefit, both parties shall consider the processing fee, which shall be specification in separate contracts, according to different kinds of products, specifications, styles and engineering procedures. In order to ensure the reasonable income of the workers, the worker's monthly salary shall be maintained no lower than HK $ 550. 00. If overtime work is required, payment shall be calculated separately. However, overtime shall not exceed

three hours a day.

 

3．甲方工人生產(chǎn)消耗的水、電費(fèi)由乙方負(fù)責(zé)。

(3) Expenses for water and electricity in Party A's plant shall be borne by Party B.

 

4．每月由乙方支付9，400港元給甲方，作為工廠管理費(fèi)。

(4) Every month Party B shall pay HK , 400. 00 to Party A for management expenses.

 

四、損耗率 Proportion o Products Damaged

1．試產(chǎn)期內(nèi)的消耗率，實(shí)報(bào)實(shí)銷。

(1) During the trial production period, Party B shall absorb the cost of products damaged.

 

2．試產(chǎn)期后的損耗率，由雙方商定，并在生產(chǎn)合同中訂明。

(2) After the trial production period, the proportion of damaged products shall be mutually considered and decided by both parties and specified in separate contracts.

 

五、來料和交貨期 Shipment of Raw Materials &- Finished Products

1．乙方按生產(chǎn)合同規(guī)定的加工量，按月提供足夠數(shù)量的原輔材料和包裝物料。為使甲方工廠能正常生產(chǎn)，乙方必須在每批產(chǎn)品開始加工前七天，將所需的原材料和包裝物料運(yùn)抵甲方工廠。除因人力不可抗拒之原因外，乙方來料不足，造成甲方工廠每月生產(chǎn)不足二十一天半，停工天數(shù)累計(jì)不得超過四天，否則，乙方應(yīng)按在廠工人以停工天數(shù)計(jì)，每人每天補(bǔ)助生活費(fèi)十五元港元，支付給甲方工廠。

(1) Every month, Party B shall provide sufficient raw materials and packaging materials according to the contracted processing volume. To ensure the normal production of Party A's plant ,Party B shall ship such materials to the plant seven days before the production of each lot of products. Except for reason of force majeure, the plant shall operate for more than 21. 5 days. In case production is held up for more than four days due to insufficient supply of raw materials, Party B shall calculate the actual days when production is shut down and pay to Party A the workers' living expenses at the rate of HK $ 15. 00 per person per day.

 

2．為使乙方能開展正常的業(yè)務(wù)活動，甲方工人應(yīng)按雙方協(xié)定的交貨期，按時(shí)、按質(zhì)、按量交貨給乙方。如非人力不可抗拒原因，甲方不按時(shí)、按質(zhì)、按量交貨，造成乙方的經(jīng)濟(jì)損失，甲方應(yīng)負(fù)賠償之責(zé)任，賠償數(shù)額可在具體合同中訂明。

(2) To ensure the normal operation of Party B's business activities, Party A shall deliver the finished products to Party B in accordance with the time of delivery, quality and quantity. Except

for reason of force majeure, in case losses to Party B are caused due to Party A's failure to make delivery as mentioned above, Party A shall be responsible for the compensation. Details of such compensation shall be mutually agreed upon in separate contracts.

 

3．由乙方提供的機(jī)械、通風(fēng)、照明等設(shè)備及原輔材料、包裝物料，在甲方工廠由雙方進(jìn)行交收登記，建立帳冊。甲方工廠加工后的成品，在甲方工廠經(jīng)乙方驗(yàn)收起運(yùn)后，甲方不負(fù)產(chǎn)品規(guī)格、質(zhì)量、短缺等任何責(zé)任。

(3) Both parties shall mutually inspect and document the equipment and materials provided by Party B, such as machinery, ventilation and lighting equipment and raw materials. After the finished products are inspected and shipped from the plant by Party B, Party A shall be free of any responsibility in regard to specifications, quality and quantity, etc.

 

六、結(jié)匯形式 Method of Payment

工繳費(fèi)及工人管理費(fèi)每月結(jié)算一次，以D／P即期結(jié)匯或支票方式結(jié)匯，由甲方工廠會同深圳市上步區(qū)對外經(jīng)濟(jì)貿(mào)易公司開具發(fā)票后，通過中國銀行深圳分行向乙方在香港開戶的銀行（____銀行、帳號____）辦理。乙方超過五天仍未付款給甲方，則按逾期天數(shù)，以當(dāng)時(shí)香港銀行利息一并付給甲方。乙方連續(xù)兩個(gè)月不結(jié)匯，甲方有權(quán)采取停止出貨或其它措施。

Payment of workers' salary and management fee shall be settled once a month by D/P, which shall be conducted through Bank of China Shenzhen Branch by Party B's bank in Hong Kong (______

Bank, Account NO. ___) in accordance with the invoices issued by Party A and the Shangbu District Foreign Economic &. Trade Company. In case Party B's payment is delayed for more than

five days, Party B shall be responsible for the interest according to the bank's interest rate ; in case payment is not settled for two consecutive months, Party A shall have the right to suspend delivery of the finished products or take other measures.

 

七、勞動保護(hù)及運(yùn)輸與保險(xiǎn). Labour Protection &. Insurance

1．工廠應(yīng)做好勞動保護(hù)及安全工作，完善防塵、防煙、防毒設(shè)施，廠房保持通風(fēng)光亮，內(nèi)外環(huán)境衛(wèi)生整潔，對有污染性項(xiàng)目，須經(jīng)市環(huán)保部門批準(zhǔn)，方能立項(xiàng)經(jīng)營。

(1) The plant shall take safety measures and protect the workers from dirt, smoke and poisonous materials. The factory shall be maintained ventilated and bright, and the surroundings clean and tidy.

 

2．乙方提供的機(jī)械、通風(fēng)、照明設(shè)備、原輔材料、包裝物件及甲方工廠加工后的成品運(yùn)輸費(fèi)用，均由乙方負(fù)責(zé)。

(2) The transportation expenses for the machinery, ventilation and lighting equipment, raw materials, indirect materials, packaging materials and the finished products shall be paid for by Party B.

 

3．原輔材料、包裝物料的運(yùn)進(jìn)，成品運(yùn)出及加工期間存放的機(jī)械設(shè)備、原料和包裝物料及操作機(jī)械的工人，均由乙方向中國人民保險(xiǎn)公司深圳分公司投保。

(3) All insurance for the transportation and storage of the above materials, machinery and equipment and coverage of the workers operating the machinery shall be arranged through the People's Insurance Company of China, Shenzhen Branch.

 

八、技術(shù)協(xié)作 Technical assistance

技術(shù)交流在設(shè)備運(yùn)抵甲方工廠后，乙方應(yīng)盡快派出人員進(jìn)行安裝，甲方派出人員進(jìn)行協(xié)助。從試產(chǎn)期開始，乙方應(yīng)派出技術(shù)人員對甲方工廠進(jìn)行技術(shù)培訓(xùn)，直到工人能基本掌握生產(chǎn)技術(shù)，進(jìn)行正常生產(chǎn)時(shí)為止。乙方技術(shù)人員的工資及一切費(fèi)用由乙方負(fù)責(zé)，甲方提供生活上的方便。

8. After the arrival of the equipment in the plant, Party B shall dispatch personnel to install such equipment, while Party A shall arrange personnel to assist the installation. When the trial production begins, Party B shall provide technical personnel to carry out the training until the workers have mastered the technology and the production operates normally. Party B shall be responsible for the technical personnel's salary and all related expenses, and Party A shall provide daily necessities.

 

九、合同期限 Contract Term

本合同經(jīng)批準(zhǔn)雙方簽字后，乙方須出示商業(yè)登記及銀行資信證明書交由甲方辦理營業(yè)執(zhí)照經(jīng)海關(guān)備案生效。有效期為三年，即從一九八八年二月二十一日至一九九一年二月二十一日。如要提前終止或延長本合同，需在三個(gè)月前通知對方，并經(jīng)雙方協(xié)商處理終止或延長合同事宜。某方單獨(dú)提前終止合同，要負(fù)責(zé)補(bǔ)償對方的經(jīng)濟(jì)損失。補(bǔ)償?shù)霓k法，應(yīng)根據(jù)終止合同前半年內(nèi)的每月平均工繳費(fèi)為準(zhǔn)，補(bǔ)償兩個(gè)月的工繳費(fèi)總額給對方。合同期滿后，不動資產(chǎn)（如廠房、宿舍）歸甲方所有，由乙方不作價(jià)提供的可動產(chǎn)（如機(jī)械、車輛、通風(fēng)設(shè)備）歸乙方所有，并按海關(guān)和有關(guān)規(guī)定及時(shí)進(jìn)行辦理核銷手續(xù)。雙方同意，在本合同經(jīng)批準(zhǔn)雙方簽約十天內(nèi)，由乙方預(yù)付4000港元給甲方，作為履約保證金，從甲方收到履約金之日起兩個(gè)月內(nèi)，乙方仍不投產(chǎn)開業(yè)，履約保證金即無條件歸甲方所有，同時(shí)，甲方有權(quán)廢約。如乙方能按時(shí)投產(chǎn)開業(yè)，該履約保證金可作工繳費(fèi)抵付給甲方。本合同正本一式五份，甲、乙雙方、海關(guān)、車管所、業(yè)務(wù)單位各一份，副本若干份，均具有同等效力。本合同有如未盡事宜，雙方可隨時(shí)協(xié)商補(bǔ)充或修改，并報(bào)上級批準(zhǔn)實(shí)施。

After this contract is signed and approved, Party B shall present to Party A its Commercial Registration and Bank Credit Certification for Party A to arrange business licence and Customs Registration. The term of this contract shall be three years, e. g. from Feb. 21, 1988 to Feb. 21 , 1991. If either party wishes to terminate in advance or extend the contract, the responsible party shall inform the other party three months in advance so that both parties can discuss and settle such a termination or extension. If either party terminates the contract before the term expires,the responsible party shall compensate the other party for the losses. Ins such case, the responsible party shall pay the other party as compensation the amount of two times the monthly processing fee. The fee will be based on the average monthly fee of the previous half year. After the contract term expires, the real estate such as the factory building and dormitory building shall return to Party A and the machinery and equipment delivered by Party B shall be returned to Party B. Customs clearance procedures shall be arranged according to relevant regulations. Both parties agree that, within ten days after the contract is signed and approved, Party B shall pay Party A the amount of HK $ 4, 000. 00 as its guarantee to carry out the contract. If, within two months after Party A's receipt of such amount, Party B still cannot arrange to start production, the amount shall be forfeited to Party A unconditionally and Party A shall have the right to cancel the contract. If Party B can start production on time, the amount will be deducted from the processing fee. This contract is made out in five copies for both parties, the Customs, Vehicle Authority and the business department. They shall have the same force. If there are other issues not covered in the contract, both parties can discuss to supplement or amend the contract and submit the results to relevant departments for approval.
