“承運(yùn)人”(CARRIER)是指“中遠(yuǎn)集運(yùn)”,即中遠(yuǎn)集裝箱運(yùn)輸有限公司。

"Carrier" means COSCO container lines company limited.

 

“貨方”(MERCHANT)包括發(fā)貨人、托運(yùn)人、收貨人、受貨人、貨主、本提單的合法持有人或被背書人,或與貨物或本提單具有現(xiàn)時(shí)或未來利益關(guān)系的任何人,或被授權(quán)代表前述任何一方行事的任何人。

"Merchant" includes the consignor, the shipper, the receiver, the consignee, the owner of the Goods, the lawful holder or endorsee of this Bill of Lading, or any other person having any present or future interest in the Goods or this Bill of Lading, or anyone authorized to act on behalf of any of the foregoing.

 

“船舶”按有關(guān)上下文情況,包括本提單第6欄所列船舶或其替代船舶,以及承運(yùn)人或代表承運(yùn)人于全部運(yùn)程中的海運(yùn)階段所使用的任何支線船或駁船。

"Vessel", where the context so admits, includes the Vessel named in Box 6 of this Bill of Lading or any substitute therefor, and any feeder vessel, lighter or barge used by or on behalf of the Carrier in connection with any seaborne leg of the carriage.

 

“分立契約人”(SUB-CONTRACTOR)包括(除承運(yùn)人以外的)船舶所有人及經(jīng)營人,裝卸工人,碼頭、倉庫、集裝箱儲運(yùn)站經(jīng)營人及拼箱經(jīng)營人,公路及鐵路運(yùn)輸經(jīng)營人,及承運(yùn)人雇傭的用以進(jìn)行運(yùn)輸?shù)娜魏为?dú)立訂約人,以及其小分立契約人(SUB-SUB-CONTRACTOR)。分立契約人一詞應(yīng)包括直接及間接分立契約人及其各自的受雇人、代理人或分立契約人。

"Sub-contractor" includes owners and operators of vessels (other than the Carrier), stevedores, terminal, warehouse, depot and groupage operators, road and rail transport operators and any independent contractor employed by the Carrier in the performance of the carriage and any sub-sub-contractor thereof. The expression Sub-contractor shall include direct and indirect Sub-contractors and their respective servants, agents or Sub-contractors.

 

“貨物”(GOODS)是指自貨方收到的全部貨物或其任何部分,并包括非由承運(yùn)人或其代表提供的任何集裝箱。

"Goods" means the whole or any part of the cargo received from the Merchant and includes any Container not supplied by or on behalf of the Carrier.

 

“件”是指由貨方或其代表裝載并鉛封的每一集裝箱,而不是在集裝箱中所裝的貨物件數(shù),如果此項(xiàng)件數(shù)未在本提單正面列明,或者是用“據(jù)稱內(nèi)裝”或類似詞句列明。

"Package" means each Container which is stuffed and sealed by or on behalf of the Merchant, and not the items packed in such Container if the number of such items is not indicated on the front of this Bill of Lading or is indicated by the terms such as "Said to Contain" or similar expressions.

 

“裝運(yùn)單位”(SHIPPING UNIT)是指未以包件運(yùn)輸?shù)娜魏我粋(gè)具體單位的貨物,包括機(jī)械、車輛及船只,但散裝貨物除外。

"Shipping Unit" means any physical unit of cargo not shipped in a package, including machinery, vehicles and boats, except goods shipped in bulk.

 

“集裝箱”(CONTAINER)包括任何集裝箱,如開頂集裝箱、拖車、可運(yùn)油罐、框架箱、平板箱、貨盤,以及為運(yùn)輸貨物而使用的任何其他設(shè)備或設(shè)施。

"Container" includes any Container, open top, trailer, transportable tank, flat rack, platform, pallet, and any other equipment or device used for or in connection with the transportation of the Goods.

 

 

 

2.承運(yùn)人的運(yùn)價(jià)本  CARRIER\'S TARIFF

 

承運(yùn)人所使用的運(yùn)價(jià)本中的條款以及有關(guān)費(fèi)收的其他要求等項(xiàng),已被載入本提單。請?zhí)貏e注意運(yùn)價(jià)本中所載各項(xiàng)條款,包括但不限于免費(fèi)堆存期、集裝箱及車輛滯留期等。使用的運(yùn)價(jià)本的有關(guān)條款,可向承運(yùn)人或其代理人索取。如本提單與所用運(yùn)價(jià)本之間有不一致之處,應(yīng)以本提單為準(zhǔn)。

The terms of the Carrier\'s applicable Tariff and other requirements regarding charges are incorporated into this Bill of Lading. Particular attention is drawn to the terms contained therein, including, but not limited to, free storage time, Container and vehicle demurrage,etc. Copies of the relevant provisions of the applicable Tariff are obtainable from the Carrier or his agents upon request. In case of any inconsistency between this Bill of Lading and the applicable Tariff, this Bill of Lading shall prevail.

 

本條是用以說明承運(yùn)人運(yùn)價(jià)本的作用。提單正面、背面條款內(nèi)容雖然十分豐富,但畢竟是固定的格式,不可能經(jīng)常更改;而且運(yùn)輸合同項(xiàng)下各項(xiàng)費(fèi)用的收取,結(jié)算的依據(jù)往往要與具體港口的特殊要求相對應(yīng),或者隨著市場的變化而變化,所以承運(yùn)人用運(yùn)價(jià)本的形式對此作出規(guī)定。根據(jù)本條款將運(yùn)價(jià)本中的條款并入提單并約束運(yùn)輸合同的各方。

 

3.  SUB-CONTRACTING, INDEMNITY AND CERTAIN DEFENSES, EXEMPTIONS AND LIMITATIONS分立契約、賠償以及抗辯、免除事項(xiàng)及責(zé)任限制

 (1)承運(yùn)人有權(quán)在任何時(shí)間以任何條件將運(yùn)輸?shù)娜炕蚱淙魏尾糠滞魏畏至⑵跫s人訂立分立契約,并(或)以任何其他船舶或運(yùn)輸工具代替本船。

(1)  The Carrier shall have the right at any time and on any terms whatsoever to sub-contract the whole or any part of the carriage with any Sub-contractor and/or to substitute any other vessel or means of transport for the Vessel.

 

(2)貨方保證,不向承運(yùn)人以外的由其履行或承辦運(yùn)輸?shù)娜魏稳耍òǖ幌抻诔羞\(yùn)人的受雇人、代理人或分立契約人)就貨物或貨物運(yùn)輸一事而提起向其或其所擁有或經(jīng)營的任何船舶加諸或意欲加諸任何責(zé)任的索賠或任何法律訴訟,不論此項(xiàng)責(zé)任是否由于此種人的疏忽而引起。如果,即使如此,此項(xiàng)索賠或法律訴訟仍被提起,則貨方保證就由此引起的后果包括法律費(fèi)用,全部賠償承運(yùn)人。在不防礙上述規(guī)定的情況下,上述第(1)款所述每一個(gè)人或船舶,包括但不限于承運(yùn)人的受雇人、代理人或分立契約人,都應(yīng)享有本提單所載適用于承運(yùn)人的在涉及合同或侵權(quán)事件中的每一免除事項(xiàng)、抗辯及責(zé)任限制,猶如此種條款已為其利益而明文規(guī)定,而且在訂立本提單時(shí),就上述免除事項(xiàng)、抗辯及責(zé)任限制而言,承運(yùn)人不僅代表其本身,而且也是作為上述的人或船舶的代理人或受托人.

(2)  The Merchant undertakes that no claim or legal action whatsoever shall be made or brought against any person by whom the carriage is performed or undertaken (including, but not limited to, the Carrier\'s servants, agents or Sub-contractors), other than the Carrier, which imposes or attempts to impose upon any such person, or any vessel owned or operated by such person, any liability whatsoever in connection with the Goods or the carriage thereof whether or not arising out of negligence on the part of such person. Should any such claim or legal action nevertheless be made or brought, the Merchant undertakes to indemnify the Carrier against all consequences thereof including legal expenses on a full indemnity basis. Without prejudice to the foregoing, every such person or vessel, including, but not limited to, the Carrier\'s servants, agents, or Sub-contractors as defined in Clause 1 above, shall have the benefit of every exemption, defense and limitation herein contained applicable to the Carrier, in contract or in tort, as if such provision were expressly contracted for its benefit, and, in entering into this contract, the Carrier, to the extent of such exemptions, defenses and limitations, does so not only on its behalf, but also as an agent and trustee for such person or vessel.

 

 

4.  CARRIER\'S RESPONSIBILITY 承運(yùn)人的責(zé)任

(1)港到港運(yùn)輸  如果填注本提單正面第6、7、8欄,而不填注第4、5、9欄,本提單便是港到港契約。承運(yùn)人應(yīng)自其在裝貨港收到貨物之時(shí)起即作為承運(yùn)人而對貨物負(fù)責(zé),直至在卸貨港將貨物交與貨方或按當(dāng)?shù)胤苫蛞?guī)章要求交與有關(guān)當(dāng)局之時(shí)為止,二者之中以先發(fā)生者為準(zhǔn)。

(1)  Port to Port Shipment If boxes 6, 7 and 8 but not boxes 4,5and 9 are filled in on the front of this Bill of Lading, this Bill of Lading is a Port-to-Port contract. The Carrier shall be responsible for the Goods as Carrier from the time when the Goods are received by the Carrier at the Port of Loading until the time of delivery thereof at the port of discharge to the Merchant or to the Authority as required by local laws or regulations, whichever occurs earlier.

 

(2)聯(lián)合運(yùn)輸  如果填注本提單正面的第4、第5及(或)第9欄,而且該欄中所述地點(diǎn)或港口乃是除第7欄及第8欄所列者以外的地點(diǎn)或港口,并已就聯(lián)合運(yùn)輸支付運(yùn)費(fèi),本提單便是聯(lián)合運(yùn)輸提單。承運(yùn)人負(fù)責(zé)安排或組織落實(shí)聯(lián)合運(yùn)輸中的前一程運(yùn)輸以及(或)續(xù)程運(yùn)輸。所有由于聯(lián)合運(yùn)輸而引起的索賠必須在交付貨物之日或應(yīng)當(dāng)交付貨物之日之后九個(gè)月內(nèi)向承運(yùn)人提出,否則承運(yùn)人便應(yīng)被解除其關(guān)于貨物的任何責(zé)任。如果承運(yùn)人已就因聯(lián)合運(yùn)輸而引起的任何索賠向貨方支付任何款項(xiàng),承運(yùn)人便應(yīng)自然而然地以代位關(guān)系而取得或被賦予貨方針對所有其他人包括前一程承運(yùn)人或續(xù)程承運(yùn)人或分立契約人就此項(xiàng)滅失或損害而享有的權(quán)利。

(2)  Combined Transport If Box 4, Box 5 and/or Box 9 are filled in on the front of this Bill of Lading and the place(s) or port(s) indicated therein is/are place(s) or port(s) other than that indicated in Box 7 and Box 8 and Freight is paid for combined transport, this Bill of Lading is a combined transport contract. The Carrier undertakes to arrange or procure the pre-carriage and/or on-carriage segments of the combined transport. All claims arising from the combined transport carriage must be filed with the Carrier within 9 months after the delivery of the Goods or the date when the Goods should have been delivered, failing which the Carrier shall be discharged from all liabilities whatsoever in respect of the Goods. If any payment is made by the Carrier to the Merchant in respect of any claim arising from the combined transport carriage, the Carrier shall be automatically subrogated to or given all rights of the Merchant against all others including pre-carrier or on-carrier or Sub-contractor on account of such loss or damage. Nothing herein contained shall be deemed a waiver of any rights that the Carrier may have against a pre-carrier or on-carrier or Sub-contractor for indemnity or otherwise.

 

5.  NOTICE OF CLAIM AND TIME BAR  索賠通知及時(shí)效

(1)除非已在卸貨港或交貨地點(diǎn)于交貨之日以前或交貨之日向承運(yùn)人的代理人提出關(guān)于滅失或損害的書面通知,或在滅失或損害不明顯時(shí),在交貨之日以后15個(gè)連續(xù)日之內(nèi)提出上述書面通知,此項(xiàng)交付便應(yīng)是承運(yùn)人及(或)續(xù)程承運(yùn)人按本提單所述狀況及條件交付貨物的初步證據(jù)。

(1)  Unless notice of loss or damage is given in writing to the Carrier\'s agent at the Port of Discharge or Place of Delivery before or on the date of delivery of the Goods, or if loss or damage is not apparent, within 15 consecutive days thereafter, such delivery shall be prima facie evidence of the delivery of the Goods by the Carrier and/or on-carrier in the order and condition described in this Bill of Lading.

 

(2)除在交付貨物或應(yīng)交付貨物之日起一年之內(nèi)提起訴訟,承運(yùn)人、其受雇人、代理人及分立契約人便應(yīng)被解除一切責(zé)任。

(2)  The Carrier, its servants, agents and Sub-contractors shall be discharged from all liabilities whatsoever unless suit is brought within one year after the delivery of the Goods or the date when the Goods should have been delivered.

 

6.  LOSS OR DAMAGE  滅失或損害

(1)本提單的條款應(yīng)在所有時(shí)間都對承運(yùn)人就其因運(yùn)輸貨物而產(chǎn)生的責(zé)任加以管轄,不僅在運(yùn)輸期間,而且在運(yùn)輸之前及運(yùn)輸之后,都是如此。本提單所載或其他關(guān)于免除責(zé)任、抗辯及責(zé)任限制等項(xiàng),都應(yīng)在就滅失、損害或延誤事件而向承運(yùn)人提起的任何訴訟中適用,而且不論該項(xiàng)訴訟是基于合同糾紛或侵權(quán)行為而提起,即使此項(xiàng)滅失、損害或延誤乃是由于不適航、疏忽或根本違約而產(chǎn)生亦然。除本提單中另有規(guī)定外,承運(yùn)人不論在任何情況下亦不論其產(chǎn)生原因?yàn)楹危瑢σ蜓诱`造成的直接、間接或隨之發(fā)生的滅失或損害或利潤損失,概不承擔(dān)責(zé)任。

(1)  The terms of this Bill of Lading shall at all times govern all responsibilities of the Carrier in connection with or arising out of the carriage of the Goods not only during the carriage, but also during the period prior to and/or subsequent to the carriage. The exemptions from liability, defenses and limitation of liability provided for herein or otherwise shall apply in any action against the Carrier for loss or damage or delay, howsoever occurring and whether the action be founded in contract or in tort and even if the loss, damage or delay arose as a result of unseaworthiness, negligence or fundamental breach of contract. Save as is otherwise provided herein, the Carrier shall in no circumstances whatsoever and howsoever arising be liable for direct or indirect or consequential loss or damage or loss of profits.

 

(2)承運(yùn)人不保證,貨物在某一特定日期或時(shí)間,也不保證為滿足某一特定市場,或?yàn)槟骋惶囟ㄓ猛径越迂浕蜓b運(yùn)地點(diǎn)起運(yùn),準(zhǔn)時(shí)運(yùn)抵卸貨地點(diǎn)、目的地或轉(zhuǎn)運(yùn)到某一特定船舶或其他運(yùn)輸工具上。船期表上或廣告上的離港及抵港時(shí)間只是預(yù)計(jì)時(shí)間,如果承運(yùn)人認(rèn)為必要,為慎重或便利起見,可將該時(shí)間提前或拖后。承運(yùn)人在任何情況下,不論是如何發(fā)生,對因延誤造成的直接、間接或隨之發(fā)生的滅失或損害概不負(fù)責(zé)。

(2) The Carrier does not undertake that the Goods will be transported from or loaded at the place of receipt or loading or will arrive at the place of discharge, destination or transshipment aboard any particular vessel or other conveyance at any particular date or time or to meet any particular market or in time for any particular use. Scheduled or advertised departure and arrival times are only expected times and may be advanced or delayed if the Carrier shall find it necessary, prudent or convenient. The Carrier shall in no circumstances whatsoever and howsoever arising be liable for direct, indirect or consequential loss or damage caused by delay.

 

(3)如果能對聯(lián)合運(yùn)輸過程中發(fā)生滅失或損害所屬階段加以判明,承運(yùn)人的責(zé)任便應(yīng)適用該階段的國內(nèi)法或國際公約。如果在聯(lián)合運(yùn)輸過程中發(fā)生滅失或損害的階段無法判明,則貨方與承運(yùn)人商定,應(yīng)將此項(xiàng)滅失或損害視為發(fā)生在承運(yùn)人的船上。無論屬于上述何種情況,均應(yīng)適用第5條(2)款及第7條中的規(guī)定。

(3)  If the stage of the combined transport during which loss or damage occurred can be determined, the liability of the Carrier shall be governed by the national law(s) and/or international convention(s) applicable thereto. If the stage of the combined transport during which loss or damage occurred cannot be determined, the Merchant and the Carrier agree that it shall be deemed that the loss or damage occurred aboard the Carrier\'s Vessel. In either case, clauses 5(2) and 7 shall apply.

 

7.  LIMITATION OF LIABILITY

(1)除第7(2)款另有規(guī)定外,本提單應(yīng)受第26(1)款中所述中華人民共和國海商法管轄。從而,無論是承運(yùn)人、其受雇人、代理人、分立契約人及(或)船舶,在任何情況下對超出該法規(guī)定的每件或每單位賠償限度的任何數(shù)額,概不負(fù)賠償責(zé)任,除非已由貨方將貨物的性質(zhì)及價(jià)值于裝運(yùn)前加以申報(bào),并已載入提單(第10欄),而且貨方已就此項(xiàng)申報(bào)的價(jià)值加付運(yùn)費(fèi)。

(1) Except as provided for in Clause 7(2), this Bill of Lading shall be subject to the provisions of the Maritime Code of the People\'s Republic of China as provided for in Clause 26(1). Neither the Carrier, its servants, agents, Sub-contractors nor the Vessel shall in any event be liable for any loss or damage to the Goods in any amount exceeding the limits per package or unit prescribed by that Code, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.

 

(2)如有關(guān)運(yùn)輸包括駛往、來自或經(jīng)過美利堅(jiān)合眾國某一港口或地點(diǎn)的運(yùn)輸,本提單便應(yīng)受其第26(2)款中所述1936年美國海上貨物運(yùn)輸法(US COGSA)及其修訂條款的約束。無論是承運(yùn)人、其受雇人、代理人、分立契約人及(或)船舶,在任何情況下,對超出美國海上貨物運(yùn)輸法中規(guī)定的每件或每單位賠償限度的任何數(shù)額,都不負(fù)責(zé),除非貨方已在裝運(yùn)前將貨物性質(zhì)及價(jià)值加以申報(bào)并已載入本提單(第10欄),而且貨方已就此項(xiàng)申報(bào)價(jià)值加付運(yùn)費(fèi)。

(2)  Where carriage includes carriage to or from or through a port or place in the United States of America, this Bill of Lading shall be subject to the provisions of the United States Carriage of Goods by Sea Act, 1936 (US COGSA) and any amendments thereto, as provided for in Clause 26(2) hereof. In such event, neither the Carriers nor its servants, agents, Sub-contractors and/or the Vessel shall in any event be liable for any loss of or damage to the Goods in an amount exceeding the limits per package or unit prescribed by US COGSA, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.

 

(3)如已將除中華人民共和國海商法及美國海上貨物運(yùn)輸法以外的法律強(qiáng)制適用于本提單,承運(yùn)人的責(zé)任便不得超出該法規(guī)定的每件或每單位的賠償限額,除非該貨物的性質(zhì)及價(jià)值已由貨方加以申報(bào)并已載入提單(第10欄),而且貨方已就此項(xiàng)申報(bào)價(jià)值加付運(yùn)費(fèi)。

(3)  If a legal regime other than the Maritime Code of the People\'s Republic of China or US COGSA is compulsorily applied to this Bill of Lading, the liability of the Carrier, if any, shall not exceed the limits per Package or Shipping Unit prescribed therein, unless the nature and value of the Goods have been declared by the Merchant and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.

 

(4)就本條款而言,申報(bào)價(jià)值應(yīng)為計(jì)算承運(yùn)人責(zé)任的基礎(chǔ),但此項(xiàng)申報(bào)價(jià)值就承運(yùn)人而言并非終結(jié)性的,而且此項(xiàng)申報(bào)價(jià)值不得超過該貨在目的地的實(shí)際價(jià)值。所有部分滅失或損害均應(yīng)以此項(xiàng)申報(bào)價(jià)值為基礎(chǔ)按比例進(jìn)行調(diào)整。

(4) For the purpose of this Clause 7, the declared value shall be the basis for calculating the Carrier\'s liability, if any, provided that such declared value shall not be conclusive on the Carrier, and further provided that such declared value does not exceed the true value of the Goods at destination. Any partial loss or damage shall be adjusted pro-rata on the basis of such declared value.

 

8. FIRE 火災(zāi)

承運(yùn)人對在任何時(shí)間,不論是在貨物裝船前或是卸船后由于火災(zāi)而使貨物遭受的滅失或損害,除系承運(yùn)人的實(shí)際過失所造成者外,概不負(fù)責(zé)。

The Carrier shall not be liable for any loss of or damage to the Goods occurring at any time, including that before loading or after discharge by reason of any fire whatsoever, unless such fire is caused by the actual fault of the Carrier.

 

 

9.  CARRIER\'S CONTAINERS 承運(yùn)人集裝箱

(1)以件貨形式所收到的貨物應(yīng)由承運(yùn)人裝入集裝箱;承運(yùn)人有權(quán)將不論是否為承運(yùn)人裝箱的任何集裝箱裝于艙面或艙內(nèi)。所有這些貨物均應(yīng)分?jǐn)偣餐p。本提單中的條款包括第26款所述中華人民共和國海商法及美國海上貨物運(yùn)輸法,均應(yīng)適用于艙面所裝集裝箱。

(1)  Goods received in break bulk will be stuffed by the Carrier in Containers and the Carrier shall have the right to carry any Containers, whether or not stuffed by the Carrier, on deck or below deck. All such Goods shall participate in General Average.

 

(2)如果承運(yùn)人的集裝箱及設(shè)備被貨方用于前程運(yùn)輸或續(xù)程運(yùn)輸,或在貨方營業(yè)處所開箱,則貨方應(yīng)在運(yùn)價(jià)本規(guī)定的時(shí)間內(nèi)并/或按承運(yùn)人要求,將空箱歸還至承運(yùn)人、其受雇人或代理人指定的地點(diǎn),并應(yīng)將空箱內(nèi)部洗刷清潔、不留異味。如有集裝箱未在上述時(shí)間內(nèi)歸還,貨方應(yīng)就未還空箱而引起的延誤、滯期、損失或費(fèi)用承擔(dān)責(zé)任。

(2)  If Carrier\'s Containers and equipment are used by the Merchant for pre-carriage or on-carriage or unpacked at the Merchant\'s premises, the Merchant is responsible for returning the empty Containers, with interiors brushed, clean and free of smell to the point or place designated by the Carrier, its servants or agents, within the time prescribed in the Tariff and/or required by the Carrier. Should a Container not be returned within the aforesaid time, the Merchant shall be liable for any detention, demurrage, loss or expenses which may arise from such non-return.

 

(3)貨方應(yīng)就承運(yùn)人的集裝箱或其他設(shè)備在貨方或代表貨方的任何人看管期間所發(fā)生的一切滅失或損害負(fù)責(zé)。貨方還應(yīng)就在此期間發(fā)生的對他人的財(cái)物發(fā)生的滅失或損害或傷亡事故負(fù)責(zé),而且貨方應(yīng)就上述期間因任何或所有索賠案件而引起的一切費(fèi)用包括法律費(fèi)用賠付承運(yùn)人,并使承運(yùn)人免于負(fù)責(zé)。

(3)  The Merchant shall be liable for any loss of or damage to Carrier\'s Containers and other equipment while in the custody of the Merchant or anyone acting on the Merchant\'s behalf. The Merchant shall also be liable during such period for any loss of or damage to the property of others or for any injuries or death and the Merchant shall indemnify and hold the Carrier harmless against all damages, including legal expenses, incurred from any and all such claims arising during such periods.

 

 

10.  MERCHANT-STUFFED CONTAINER 貨方裝箱的集裝箱

(1)如集裝箱不是由承運(yùn)人或承運(yùn)人的代表所裝,承運(yùn)人便不對貨物的滅失或損害負(fù)責(zé),而且貨方應(yīng)就承運(yùn)人所發(fā)生的任何滅失、損害、責(zé)任或費(fèi)用負(fù)責(zé),如果此項(xiàng)滅失、損害、責(zé)任或費(fèi)用系由以下原因造成:

(1)  If a Container has not been stuffed by or on behalf of the Carrier, the Carrier shall not be liable for loss of or damage to the Goods and the Merchant shall indemnify the Carrier against any loss, damage, liability or expense incurred by the Carrier if such loss, damage, liability or expense has been caused by:

 

(a)集裝箱的裝載或填裝的方式,或者

(a)  the manner in which the Container has been filled, packed, loaded or stuffed, or

 

(b)貨物不適于以集裝箱運(yùn)輸,或者

(b)  the unsuitability of the Goods for carriage in the Container, or

 

(c)集裝箱的不適當(dāng)性或條件欠佳,而如集裝箱系由承運(yùn)人或承運(yùn)人的代表提供,則此項(xiàng)不適當(dāng)性及欠佳條件在裝箱之時(shí)或之前經(jīng)貨方檢驗(yàn)便應(yīng)明顯易見。

(c)  the unsuitability or defective condition of the Container, provided that, if the Container had been supplied by or on behalf of the Carrier, this unsuitability or defective condition could have been apparent upon inspection by the Merchant at or prior to the time when the Container was filled, packed, loaded or stuffed.

 

(2)如果由貨方提供的集裝箱在承運(yùn)人交付時(shí)鉛封完好,此項(xiàng)交付便應(yīng)構(gòu)成承運(yùn)人在本提單項(xiàng)下的責(zé)任已完全并充分履行,因而承運(yùn)人對交付貨物時(shí)查出的任何滅失或短少概不負(fù)責(zé)。

(2)  If a Merchant-stuffed Container is delivered by the Carrier with its seal intact, such delivery shall constitute full and complete performance of the Carrier\'s obligations hereunder and the Carrier shall not be liable for any loss or shortage of the Goods ascertained at delivery.

 

(3)貨方應(yīng)在裝箱之前對集裝箱進(jìn)行檢驗(yàn),而對集裝箱的使用乃是對其適用性及無有瑕疵的初步證據(jù)。

(3)  he Merchant shall inspect Containers before stuffing them and the use of a Container shall be prima facie evidence of its being suitable and without defect.

 

 

11.  MERCHANT\'S DESCRIPTION 貨方的描述

(1)貨方對其所裝或貨方代表所裝的已鉛封集裝箱中的貨物的描述,對承運(yùn)人不具有約束力,而且貨方在本提單正面所申報(bào)的情況,是由貨方全然為其本身包括但不限于其貨運(yùn)代理使用的目的而提供的資料。貨方認(rèn)識到,承運(yùn)人未對鉛封集裝箱的內(nèi)裝貨物、重量或尺碼進(jìn)行核對,因而承運(yùn)人不提供關(guān)于已鉛封集裝箱、貨車、條板箱或貨箱的情況,亦不提供其重量或尺碼,且不提供其內(nèi)裝貨物的價(jià)值、數(shù)量、品質(zhì)、貨名、條件、嘜頭或號碼。承運(yùn)人關(guān)于上述描述或具體資料概不承擔(dān)任何責(zé)任。

(1)  The Merchant\'s description of the Goods stuffed in a sealed Container by the Merchant, or on his behalf, shall not be binding on the Carrier, and the description declared by the Merchant on the front of this Bill of Lading is information provided by the Merchant solely for its own use including but not limited to the use of its freight forwarder. It is understood by the Merchant that the Carrier has not verified the contents, weight or measurement of a sealed container, and the Carrier makes no representation as to the contents of a sealed Container, van, crate or box hereunder, nor its weight or measurement, nor the value, quantity, quality, description, condition, marks or number of the contents thereof. The Carrier shall be under no responsibility whatsoever in respect of such description or particulars.

 

(2)如有信用證及(或)進(jìn)口許可證及(或)銷售合同、發(fā)票及(或)訂單號碼以及承運(yùn)人不是其當(dāng)事一方的任何合同的詳細(xì)資料在提單正面載明,這種資料的出現(xiàn)乃是全然應(yīng)貨方要求為貨方的方便而列出。貨方同意,上述資料不得視為對價(jià)值的申報(bào),因而對承運(yùn)人在本提單項(xiàng)下的責(zé)任絕不發(fā)生影響。貨方承認(rèn),除根據(jù)本提單第7款外,貨物的價(jià)值不為承運(yùn)人所知。

(2) If any particulars of any letter of credit and/or import license and/or sales contract and/or invoice or order number and/or details of any contract to which the Carrier is not a party are shown on the front of this Bill of Lading, such particulars are included solely at the request of the Merchant for its convenience. The Merchant agrees that the inclusion of such particulars shall not be regarded as a declaration of value and shall in no way affect the Carrier\'s liability under this Bill of Lading. The Merchant acknowledges that, except as provided for in Clause 7 hereof, the value of the Goods is unknown to the Carrier.

 

 

12.  MERCHANT\'S RESPONSIBILITY 貨方責(zé)任

(1)本提單第1款定義中作為貨方列舉的各方,應(yīng)就其根據(jù)本提單所應(yīng)承擔(dān)的全部責(zé)任之認(rèn)真履行而對承運(yùn)人負(fù)連帶責(zé)任。

(1)  The parties defined as "Merchant" in clause 1 hereof shall, where applicable, be jointly and severally liable to the Carrier for the due fulfillment of all obligations undertaken by any of them under this Bill of Lading.

 

(2)貨方向承運(yùn)人保證,在本提單正面填列的關(guān)于貨物的資料,在收到本提單時(shí)已經(jīng)核對,而且此項(xiàng)資料以及由貨方或貨方代表提供的任何資料均屬恰當(dāng)并正確。貨方還保證,貨物乃是合法貨物而非禁運(yùn)品。

(2)  The Merchant warrants to the Carrier that the particulars relating to the Goods as set forth on the front of this Bill of Lading have been checked by the Merchant on receipt of this Bill of Lading and that such particulars, and any particulars furnished by or on behalf of the Merchant, are adequate and correct. The Merchant also warrants that the Goods are lawful Goods and are not contraband.

 

(3)貨方應(yīng)就因違反本提單第12(2)款或承運(yùn)人對之不負(fù)責(zé)任的與貨物有關(guān)的任何原因而引起或造成的一切責(zé)任、費(fèi)用、滅失、損害、罰款、處罰、開支或其他屬于錢財(cái)性質(zhì)的制裁,給予承運(yùn)人以賠償。

(3)  The Merchant shall indemnify the Carrier against all liabilities, costs, losses, damages, fines, penalties, expenses or other sanctions of a monetary nature arising or resulting from any breach of the warranties in Clause 12(2) hereof or from any other cause in connection with the Goods for which the Carrier is not responsible.

 

(4)貨方應(yīng)遵守所有海關(guān)、港口及其他當(dāng)局的規(guī)章或要求,并應(yīng)承擔(dān)并支付由于未能遵守此項(xiàng)規(guī)定或要求或由于不合法、不正確或不適當(dāng)?shù)呢浳飮O頭、編號或地址而發(fā)生或遭受的所有捐、稅、罰款、輸入稅、費(fèi)用或損失(包括退運(yùn)貨物的全部退運(yùn)運(yùn)費(fèi),或續(xù)運(yùn)貨物之自提單所載卸貨港或交貨地點(diǎn)運(yùn)往改正后的卸港或改正后的交貨地點(diǎn)的全額運(yùn)費(fèi)),并應(yīng)就此而給予承運(yùn)人賠償。

(4)  The Merchant shall comply with all regulations or requirements of customs, port and other Authorities, and shall bear and pay all duties, taxes, fines, imposts, expenses or losses (including the full return Freight for the Goods if returned, or if on-carried, the full Freight from the Port of Discharge or the Place of Delivery nominated herein to the amended Port of Discharge or the amended Place of Delivery) incurred and/or sustained by reason of any failure to so comply, or by reason of any illegal, incorrect or insufficient marking, numbering, or addressing of the Goods, and shall indemnify the Carrier in respect thereof.

 

 

13.  FREIGHT AND CHARGES  運(yùn)費(fèi)及費(fèi)用

(1)所有運(yùn)費(fèi)都應(yīng)在承運(yùn)人收到貨物時(shí)即視為已經(jīng)全額、最終并已無條件地賺得,并應(yīng)在任何情況下均須支付,且不予退還。

(1)  All Freight shall be deemed fully, finally and unconditionally earned on receipt of the Goods by the Carrier and shall be paid and non-returnable in any event whatsoever.

 

(2)所有運(yùn)費(fèi)及費(fèi)用均應(yīng)在交付貨物前支付,而不得作任何沖抵、反索賠、扣減或延緩執(zhí)行。

(2)  All Freight and charges shall be paid without any set-off, counter-claim, deduction, or stay of execution before delivery of the Goods.

 

(3)貨方須注意所用運(yùn)價(jià)本中或另行議定的關(guān)于用以支付運(yùn)費(fèi)的貨幣、兌換率、貶值率以及關(guān)于運(yùn)費(fèi)的其他臨時(shí)性的規(guī)定。

(3)  The Merchant\'s attention is drawn to the stipulations concerning currency in which the Freight is to be paid, rate of exchange, devaluation and other contingencies concerning the Freight in the applicable Tariff or as agreed otherwise.

 

(4)如果由貨方或貨方代表向承運(yùn)人提供的貨方在提單或任何文件或證件中對貨物的描述被證明在任何方面不準(zhǔn)確、不正確或引起誤解,貨方應(yīng)就承運(yùn)人因此而遭受的實(shí)際損失予以賠償。

(4)  If the Merchant\'s description of the Goods in this Bill of Lading or in any document or certificate furnished to the Carrier by or on behalf of the Merchant shall prove to have been inaccurate, incorrect or misleading in any respect, the Merchant shall pay for the actual damage suffered by the Carrier.

 

(5)向貨運(yùn)代理人或經(jīng)紀(jì)人或任何除了承運(yùn)人或其授權(quán)代理人以外的人支付的運(yùn)費(fèi)及費(fèi)用,不得被認(rèn)為系向承運(yùn)人支付,而應(yīng)是在貨方獨(dú)自承擔(dān)風(fēng)險(xiǎn)之下支付。

(5)  Payment of Freight and charges to any freight forwarder or broker, or anyone other than the Carrier or its authorized agent, shall not be considered payment to the Carrier and shall be made at the Merchant\'s sole risk.

 

 (6)本提單第1條定義中作為貨方列舉的各方,應(yīng)就向承運(yùn)人支付全部運(yùn)費(fèi)、滯期費(fèi)、共同海損攤款及費(fèi)用、訴訟費(fèi)包括但不限于在催收積欠承運(yùn)人的費(fèi)用中發(fā)生的合理的律師費(fèi),而連帶負(fù)責(zé),否則應(yīng)被視為貨方在支付運(yùn)費(fèi)及費(fèi)用中違約。

(6)  The parties defined as Merchants in clause 1 hereof shall, where applicable, be jointly and severally liable to the Carrier for payment of all Freight, demurrage, General Average and charges, including, but not limited to, court costs, expenses and reasonable attorney\'s fees incurred in collecting sums due the Carrier, failing which shall be considered a default by the Merchant in the payment of Freight and charges.

 

 

14.  INSPECTION OF THE GOODS 檢驗(yàn)貨物

承運(yùn)人及(或)承運(yùn)人已就運(yùn)輸一事與其訂立分立契約的人或由承運(yùn)人授權(quán)的人,有權(quán)但無義務(wù)在任何時(shí)間開啟任何集裝箱并檢驗(yàn)貨物。如果根據(jù)任一地點(diǎn)的當(dāng)局命令,須對某一集裝箱或包裝進(jìn)行開啟,加以檢驗(yàn),承運(yùn)人對因如此開箱、開包、檢驗(yàn)及重新打包而引起的滅失或損害概不負(fù)責(zé)。承運(yùn)人有權(quán)自貨主處收回此項(xiàng)開箱、開包、檢驗(yàn)及重新打包費(fèi)用。

The Carrier and/or any person to whom the Carrier has sub-contracted the carriage or any person authorized by the Carrier shall be entitled, but under no obligation, to open any Container or Package at any time and to inspect the Goods. If by order of the Authorities at any place, a container must be opened for inspection, the Carrier shall not be liable for any loss or damage incurred as a result of any opening, unpacking, inspection or repacking. The Carrier shall be entitled to recover the cost of such opening, unpacking, inspection, and repacking from the Merchant.

 

 

15. CARRIAGE AFFECTED BY CONDITION OF THE GOODS 運(yùn)輸因貨物條件受到影響

如果不論何時(shí)發(fā)現(xiàn),貨物不能被安全而妥善地進(jìn)行運(yùn)輸或繼續(xù)運(yùn)輸,或承運(yùn)人若不就貨物或集裝箱支付額外費(fèi)用或采取措施,便無法將貨物安全而妥善地進(jìn)行運(yùn)輸或繼續(xù)運(yùn)輸,則承運(yùn)人可在其完全自行決定而認(rèn)為最為妥善的條件之下,不對貨方進(jìn)行通知(但僅系作為其代理人除外)而采取任何措施并(或)支付額外費(fèi)用,將貨物進(jìn)行運(yùn)輸或繼續(xù)其運(yùn)輸,并(或)將貨物加以處置,以及(或)放棄該項(xiàng)運(yùn)輸并(或)將貨物在任何地點(diǎn)存放岸上或船上,加以遮蔽或置于露天之下。此項(xiàng)放棄、存放或放置貨物應(yīng)視為根據(jù)本提單所進(jìn)行的交付貨物。貨方應(yīng)賠償承運(yùn)人就此發(fā)生的任何額外費(fèi)用。

If it appears at anytime that the Goods cannot safely or properly be carried or carried further, either at all or without incurring any additional expense or taking any measure(s) in relation to the Goods or the Container, the Carrier may without notice to the Merchant (but as its agent only) take any measure(s) and/or incur any additional expense to carry or to continue the carriage thereof, and/or dispose of the Goods, and/or abandon the carriage and/or store them ashore or afloat, under cover or in the open, at any place, whichever the Carrier in his absolute discretion considers most appropriate, which abandonment, storage or disposal thereof shall be deemed to constitute due delivery under this Bill of Lading. The Merchant shall indemnify the Carrier against any additional expense so incurred.

 

 

16. LIENS  留置權(quán)

承運(yùn)人可因運(yùn)費(fèi)、虧艙費(fèi)、滯期費(fèi)、滯留以及承運(yùn)人對有缺陷貨物重新綁扎、重新包裝、重加嘜頭、熏蒸或進(jìn)行所需的處置而產(chǎn)生的任何費(fèi)用,為不論何人應(yīng)付的共同海損攤款,承運(yùn)人為貨物所支付或預(yù)付的罰款、捐稅、通行費(fèi)、陸上運(yùn)費(fèi)或傭金,為根據(jù)本提單而應(yīng)付與承運(yùn)人的任何款項(xiàng),包括救助費(fèi)用,以及由于政府當(dāng)局或聲稱對貨物具有利益關(guān)系的人因扣留貨物或針對貨物提起其他法律訴訟而發(fā)生的法律費(fèi)用,而對貨物或與貨物有關(guān)的任何文件擁有留置權(quán)。承運(yùn)人的留置權(quán)應(yīng)存在至卸貨或交貨之時(shí),而且承運(yùn)人有權(quán)自行決定通過公開拍賣或私人出售而行使此項(xiàng)留置權(quán)。如果出售價(jià)款不敷抵付所欠數(shù)額,包括已發(fā)生的費(fèi)用,承運(yùn)人有權(quán)自貨方收回差額。如此項(xiàng)價(jià)款多于欠款數(shù)額,則應(yīng)將余額退還貨方。

The Carrier shall have a lien on the Goods and any documents relating thereto for Freight, dead Freight, demurrage, detention, and for any expenses incurred by the Carrier for recoopering, repacking, remarking, fumigation or required disposal of faulty Goods, for General Average contributions to whomsoever due, for fines, dues, tolls, land Freight, or commissions paid or advanced by the Carrier on behalf of the Goods, for any sums including salvage payable to the Carrier under this Bill of Lading and for legal expenses incurred because of any attachment or other legal proceedings brought against the Goods by governmental Authorities or any person claiming an interest in the Goods. The Carrier\'s lien shall survive discharge or delivery of the Goods and the Carrier shall have the right to enforce such lien by public auction or private sale in its discretion. Shoud the proceeds of sale fail to cover the amount due, including expenses incurred, the Carrier shall be entitled to recover the balance from the Merchant. Should such proceeds exceed the amount due, the balance shall be returned to the Merchant.

 

 

17. DECK CARGO, ANIMALS AND PLANTS 艙面貨、牲畜及植物

在本提單正面注明為約定裝于艙面上且已照裝的貨物(裝入集裝箱的貨物除外),以及所有活牲畜包括魚及鳥類或植物,應(yīng)一概由貨方承擔(dān)風(fēng)險(xiǎn)而進(jìn)行運(yùn)輸,而承運(yùn)人對在海上運(yùn)輸中發(fā)生的不論是否由于承運(yùn)人的疏忽而引起的無論任何性質(zhì)的滅失或損害概不負(fù)責(zé)。承運(yùn)人應(yīng)負(fù)責(zé)證明,他已履行貨方關(guān)于運(yùn)輸活牲畜的特殊要求,而且在海上運(yùn)輸?shù)沫h(huán)境下,

所發(fā)生的滅失或損害乃是由于海上運(yùn)輸所固有的風(fēng)險(xiǎn)所致。貨方應(yīng)就承運(yùn)人因涉及運(yùn)輸此項(xiàng)活牲畜或植物而不論由于任何原因所發(fā)生的全部或任何額外費(fèi)用,給予承運(yùn)人以賠償。

Goods (other than Goods stuffed in Containers) that are stated on the front of this Bill of Lading as contracted to be stowed "on deck" and are so carried, and all live animals, including fish and birds, or plants shipped hereunder, shall be carried solely at the risk of the Merchant, and the Carrier shall not be liable for any loss or damage of whatsoever nature arising during carriage by sea whether or not arising out of negligence on the part of the Carrier. The Carrier shall be bound to prove that he has fulfilled the special requirements of the Merchant with regard to the carriage of the live animals and that under the circumstances of the sea carriage, the loss or damage has occurred due to the special risks inherent therein. The Merchant shall indemnify the Carrier against all or any extra costs incurred for any reason whatsoever in connection with the carriage of such live animals or plants.

 

 

18.  METHODS AND ROUTES OF CARRIAGE  運(yùn)輸方式及路線

承運(yùn)人可在運(yùn)輸中的任何時(shí)間:The Carrier may at any time during the carriage:

(1) 使用任何運(yùn)輸方式或儲存方式;use any means of transport or storage whatsoever;

 

(2)將貨物自一種運(yùn)輸工具轉(zhuǎn)至另一種運(yùn)輸工具,包括轉(zhuǎn)船或以不同于提單正面所載船名的另一艘船舶或以任何其他運(yùn)輸方式運(yùn)輸。

凡根據(jù)本條款而作出的不論何事或產(chǎn)生的任何延誤,都應(yīng)視為在該項(xiàng)運(yùn)輸之內(nèi),而非繞航。

(2) transfer the Goods from one conveyance to another including transshipment or carrying the same on another Vessel other than the Vessel named on the front of this Bill of Lading or by any other means of transport whatsoever.

Anything done in accordance with this Clause or any delay arising therefrom shall be deemed to be within the scope of the carriage and shall not be a deviation.

 

19.  MATTERS AFFECTING PERFORMANCE  影響履約的事項(xiàng)

如在任何時(shí)間,運(yùn)輸一事受到或按船長判斷容易受到除了屬于貨物的不能被安全地或妥當(dāng)?shù)剡\(yùn)輸或繼續(xù)運(yùn)輸?shù)那闆r外的任何障礙、風(fēng)險(xiǎn)、延誤、困難或不利條件的影響,而且不論系如何產(chǎn)生(即使引起上述各項(xiàng)的客觀環(huán)境在本契約訂立時(shí)或貨物被接受以備裝運(yùn)時(shí)已經(jīng)存在),承運(yùn)人(無論運(yùn)輸是否已開始)均可不經(jīng)事先通知貨方而完全自行決定:

If at any time the carriage is or is likely in the judgment of the Master to be affected by any hindrance, risk, delay, difficulty or disadvantage of any kind, other than the inability of the Goods to be safely or properly carried or carried further, and howsoever arising (even though the circumstances giving rise to such matters as stated above existed at the time this contract was entered into or the Goods were received for shipment), the Carrier (whether or not the carriage is commenced) may, at his sole discretion and without prior notice to the Merchant:

 

(1)將貨物經(jīng)本提單所列以外的或?yàn)閷⒇浳锿羞\(yùn)至卸貨港或交貨地的通常運(yùn)輸路線以外的航線運(yùn)往約訂的卸貨港或交貨地,二者之中以能適用者為準(zhǔn)。如果承運(yùn)人選定采用本項(xiàng)規(guī)定,則雖有本提單第18款所載條文,承運(yùn)人仍有權(quán)收取其所決定的額外運(yùn)費(fèi),或者

(1) carry the Goods to the contracted Port of Discharge or Place of Delivery, whichever is applicable, by an alternative route from that indicated in this Bill of Lading or from that which is customary for Goods consigned to that Port of Discharge or Place of Delivery. If the Carrier elects to invoke the terms of this sub-Clause, then, notwithstanding the provisions of Clause 18 hereof, the Carrier shall be entitled to charge such additional Freight as the Carrier may determine, or

 

(2)中斷貨物運(yùn)輸并將其按本提單條款存于岸上或船上,并設(shè)法將其盡快發(fā)送,但承運(yùn)人對最大的中斷時(shí)間的問題不作交代。如果承運(yùn)人選定采用本項(xiàng)規(guī)定,則承運(yùn)人有權(quán)收取其所決定的額外費(fèi)用,或者

(2) suspend the carriage of the Goods and store them ashore or afloat upon the terms of this Bill of Lading and endeavor to forward them as soon as possible, but the Carrier makes no representation as to the maximum period of suspension. If the Carrier elects to invoke the terms of this sub-Clause, then the Carrier shall be entitled to the payment of such additional Freight as the Carrier may determine, or

 

(3)放棄貨物的運(yùn)輸并將貨物置于承運(yùn)人視為安全而方便的任何港口或地點(diǎn)由貨方處置。至此,承運(yùn)人關(guān)于此項(xiàng)貨物的責(zé)任即告全部終止。雖然如此,承運(yùn)人仍然有權(quán)收取其所收到的用以運(yùn)輸?shù)呢浳锏娜~運(yùn)費(fèi),而貨方則應(yīng)支付將貨物運(yùn)至上述港口或地點(diǎn)以及在該處交付及存儲的額外費(fèi)用。

(3) abandon the carriage of the Goods and place the Goods at the Merchant\'s disposal at any port or place where the Carrier may deem safe and convenient, whereupon the responsibility of the Carrier in respect of such Goods shall entirely cease. The Carrier shall nevertheless be entitled to full Freight on the Goods received for shipment, and the Merchant shall pay any additional costs of the carriage to, and delivery and storage at such port or place.

 

如果承運(yùn)人決定采用第19(1)款所述替代航線,或按第19(2)款所述中斷航行,此事并不影響其在以后放棄航次之權(quán)利。

Where the Carrier elects to use an alternative route under Clause 19(1) or to suspend the carriage under Clause 19(2), same shall not prejudice its right subsequently to abandon the carriage.

 

 

20.  DANGEROUS GOODS 危險(xiǎn)貨物

運(yùn)輸危險(xiǎn)貨物時(shí),貨方應(yīng)按運(yùn)輸此種貨物所應(yīng)遵守的規(guī)定,將其妥為包裝,清晰標(biāo)注,加附貨簽,并將其正確品名、性質(zhì)以及所應(yīng)采取的預(yù)防措施以書面通知承運(yùn)人。如貨方未能通知或通知有誤,則承運(yùn)人可在客觀環(huán)境有此需要時(shí)將該項(xiàng)貨物卸下、銷毀或使之不能為害,而不予賠償。貨方應(yīng)就裝運(yùn)此項(xiàng)貨物所造成的任何滅失、損害或費(fèi)用對承運(yùn)人承擔(dān)責(zé)任。

At the time of shipment of Dangerous Goods, the Merchant shall, in compliance with the regulations governing the carriage of such Goods, have the same properly packed, distinctly marked and labeled and notify the Carrier in writing of their proper description, nature and the precautions to be taken. In case the Merchant fails to or inaccurately notifies the Carrier, the Carrier may have such Goods landed, destroyed or rendered innocuous when and where circumstances so require, without compensation. The Merchant shall be liable to the Carrier for any loss, damage or expense resulting from such shipment.

 

盡管承運(yùn)人知曉危險(xiǎn)貨物的性質(zhì)并已同意裝運(yùn),承運(yùn)人仍可在該危險(xiǎn)貨物對船舶、船員及船上其他人員或其他貨物構(gòu)成實(shí)際危險(xiǎn)時(shí),將其卸下、銷毀或使之無害而不予賠償。但本款所述不得影響對共同海損的分?jǐn)偂?/p>

Notwithstanding the Carrier\'s knowledge of the nature of the Dangerous Goods and its consent to carry, the Carrier may still have such Goods landed, destroyed or rendered innocuous, without compensation, when they become an actual danger to the Vessel, the crew and other persons on board or to other goods. However, what mentioned in this Clause shall not prejudice the contribution in General Average, if any.

 

 

21.  SPECIAL, REFRIGERATED OR HEATED CONTAINERS  特殊、冷藏或加熱集裝箱

(1)除非貨方同承運(yùn)人在貨物裝運(yùn)之前達(dá)成書面協(xié)議,需要特殊通風(fēng)冷藏或加熱集裝箱運(yùn)輸貨物,而且此項(xiàng)特殊協(xié)議已在提單正面注明,并且貨方已事先正確地向承運(yùn)人提出關(guān)于貨物性質(zhì)以及所需保持的特定溫度及(或)所需盡到的特殊注意的妥善書面通知,而且貨方已按承運(yùn)人運(yùn)價(jià)本規(guī)定或按商定辦法支付額外運(yùn)費(fèi),此項(xiàng)貨物便應(yīng)以普通的不通風(fēng)集裝箱裝運(yùn)。

(1) Unless the Merchant and the Carrier agree in writing before shipment that specially ventilated, refrigerated or heated Containers will be used to ship the Goods and such agreement is noted on the front of this Bill of Lading, and the Merchant gives proper written notice to the Carrier of the nature of the Goods and of the particular temperature range to be maintained and/or special attention required and the Merchant pays the extra Freight charged under the Carrier\'s Tariff or as agreed, the Goods shall be carried in ordinary unventilated Containers.

 

(2)如系由貨方或貨方代表裝箱的冷藏集裝箱,則貨方保證已由其將恒溫、通風(fēng)或其他控制裝置正確設(shè)定,而且在裝箱前已將貨物的溫度以及集裝箱的溫度調(diào)至所需程度,并且在承運(yùn)人接受貨物之前已將貨物在集裝箱內(nèi)積載妥善。如果這些要求未能完全做到,承運(yùn)人對無論如何發(fā)生的貨物的任何滅失或損害便不負(fù)責(zé)。

(2) In case of a refrigerated Container stuffed by or on behalf of the Merchant, the Merchant undertakes that its thermostatic, ventilating or any other controls have been correctly set by the Merchant and that the temperature of the Goods and the refrigerated Container has been brought to the required temperature level before stuffing and that the Goods have been properly stowed in the Container before the receipt thereof by the Carrier. If these requirements are not fully met, the Carrier shall not be liable for any loss of or damage to the Goods howsoever arising.

 

(3)貨方在承運(yùn)人的集裝箱在貨方或代表貨方行事之任何人看管之時(shí),應(yīng)對集裝箱的操作及維護(hù)一事負(fù)責(zé)。

(3)  The Merchant shall be responsible for the operation and maintenance of the Carrier\'s Container while it is in the Merchant\'s custody or the custody of anyone acting on the Merchant\'s behalf.

 

(4)如已將建議的溫度在提單正面注明,貨方便應(yīng)按此項(xiàng)注明的溫度增加或減少2攝氏度的標(biāo)準(zhǔn),向承運(yùn)人交貨,承運(yùn)人則應(yīng)克盡職責(zé),在貨物在其實(shí)際看管之時(shí)保持該項(xiàng)溫度,并可增減2攝氏度。

(4) If a suggested temperature is noted on the front of this Bill of Lading, the Merchant shall deliver the Goods to the Carrier at the noted temperature plus or minus 2℃ permitted, and the Carrier shall exercise due diligence to maintain such temperature, plus or minus 2℃ while the Goods are in its actual possession.

 

(5)承運(yùn)人并不保證在運(yùn)輸全程集裝箱已妥為通風(fēng)、制冷或加熱。承運(yùn)人對因集裝箱、船舶、運(yùn)輸工具及任何其他設(shè)備的制冷裝置、機(jī)器、絕緣及(或)任何或其他設(shè)備的潛在缺陷、全部或部分失靈或發(fā)生故障或停止運(yùn)轉(zhuǎn)而造成貨物的任何滅失或損害,亦不負(fù)責(zé)。但承運(yùn)人應(yīng)在進(jìn)行運(yùn)輸之前或運(yùn)輸開始當(dāng)時(shí)克盡職責(zé),將冷藏集裝箱保持在有效狀態(tài)。

(5) The Carrier does not warrant that the Container be properly ventilated, refrigerated or heated throughout the carriage, nor shall the Carrier be liable for any loss of or damage to the Goods arising from any latent defects, any total or partial failure or breakdown, or stoppage of the refrigerating machinery, plant, insulation and/or any apparatus of the Container, Vessel, conveyance and any other facilities, provided that the Carrier shall before or at the beginning of the carriage exercise due diligence to maintain the refrigerated Container in an efficient state.

 

(6)如屬貨方自己的集裝箱,則應(yīng)由貨方提供緊急用具箱及操作手冊。

(6) In case of the Merchant\'s own Container, a set of emergency kit and an operation manual shall be supplied by the Merchant.

 

 

22.  NOTIFICATION AND DELIVERY 通知及交付

(1)本提單所載關(guān)于應(yīng)將貨物到達(dá)一事通知有關(guān)方的敘述,完全是為使承運(yùn)人了解情況,若未能發(fā)出此項(xiàng)通知時(shí),并不得引起承運(yùn)人承擔(dān)任何責(zé)任或解除貨方根據(jù)本提單所應(yīng)承擔(dān)的任何義務(wù)。

(1) Any mention herein of parties to be notified of the arrival of the Goods is solely for information of the Carrier, and failure to give such notification shall not give rise to any liability on the part of the Carrier or relieve the Merchant of any obligation hereunder.

 

(2)貨方應(yīng)在承運(yùn)人所用運(yùn)價(jià)本中規(guī)定的時(shí)間之內(nèi)或按承運(yùn)人要求提貨。

(2) The Merchant shall take delivery of the Goods within the time provided for in the Carrier\'s applicable Tariff or as required by the Carrier.

 

(3)如果貨方未在合理的時(shí)間內(nèi)提取貨物,或者只要承運(yùn)人認(rèn)為該貨可能腐壞、變質(zhì)、無價(jià)值可言,或在將其存儲或做其他處置時(shí)其所需費(fèi)用將超出該貨價(jià)值,承運(yùn)人便可自行決定,在不影響承運(yùn)人對貨方的權(quán)利,不予通知而且在不對承運(yùn)人加諸任何責(zé)任的情況下,將箱中貨物取出、出售、銷毀或加以處置,而由貨方承擔(dān)全部風(fēng)險(xiǎn)及費(fèi)用,并將貨物價(jià)款用于扣減貨方結(jié)欠承運(yùn)人的款項(xiàng)。上述開箱出貨應(yīng)當(dāng)構(gòu)成根據(jù)本提單所進(jìn)行的正式交貨,至此,承運(yùn)人就貨物而言的一切責(zé)任均告終止。

(3) If the Merchant fails to take delivery of the Goods during a reasonable time or whenever in the opinion of the Carrier the Goods are likely to deteriorate, decay, become worthless or incur charges whether for storage or otherwise in excess of their value, the Carrier may, at its discretion, without prejudice to any rights which he may have against the Merchant, without notice and without any responsibility whatsoever attaching to him, unstuff, sell, destroy or dispose of the Goods at the sole risk and expense of the Merchant, and apply any proceeds of sale in reduction of the sums due to the Carrier from the Merchant. The aforesaid unstuffing shall constitute due delivery hereunder and thereupon all liability whatsoever of the Carrier in respect of the Goods thereof shall cease.

 

(4)承運(yùn)人被責(zé)成將其所運(yùn)貨物交由卸貨港或交貨地的港口、海關(guān)或其他當(dāng)局看管,該貨即由其交與貨主,而無需按當(dāng)?shù)胤、?guī)章及(或)慣例要求由貨主出示本提單,這種移交貨便應(yīng)構(gòu)成根據(jù)本提單向貨方正式交貨。至此,承運(yùn)人對貨物的責(zé)任即完全終止。

(4) Where the Carrier is obliged to hand over the Goods so carried into the custody of the port, customs or any other Authorities at the Port of Discharge or Place of Delivery and the Goods are delivered by the same to the Merchant without necessity of production of this Bill of Lading by the Merchant as required by the local law, regulation and/or practice, such hand-over shall constitute due delivery to the Merchant under this Bill of Lading and there-upon the liability of the Carrier in respect of the Goods shall entirely cease.

 

(5)盡管已將貨物即可提取一事通知貨方,但貨方卻拒不按本款要求提貨時(shí),這便構(gòu)成貨方就承運(yùn)人而言關(guān)于貨物或運(yùn)輸一事的一切權(quán)利要求事項(xiàng)的無可改變的放棄。貨方應(yīng)就承運(yùn)人因此項(xiàng)拒絕而遭受的任何滅失、損害、費(fèi)用及責(zé)任承擔(dān)責(zé)任,包括但不限于將貨物運(yùn)回原起運(yùn)地。

(5) Refusal by the Merchant to take delivery of the Goods in accordance with the terms of this Clause, notwithstanding its having been notified of the availability of the Goods for delivery, shall constitute an irrevocable waiver by the Merchant to the Carrier of all and any claims whatsoever relating to the Goods or the Carriage. The Merchant shall be liable for any losses, damages, expenses and liabilities incurred and sustained by the Carrier arising from such refusal, including but not limited to, the return of the Goods to their place of origin.

 

 

23.  GENERAL AVERAGE AND SALVAGE  共同海損及救助

(1)共同海損應(yīng)在承運(yùn)人選定的港口或地點(diǎn)按1990年及其他修正案修訂的1974年約克•安特衛(wèi)普規(guī)則理算。貨方應(yīng)在提貨前繳付承運(yùn)人認(rèn)為足以支付預(yù)計(jì)貨方應(yīng)交共同海損攤款數(shù)額的備用金或其他擔(dān)保。

(1) General Average shall be adjusted at any port or place at the Carrier\'s option according to the York-Antwerp Rules 1974, as amended in 1990, and any other amendments thereto. The Merchant shall give such cash deposit or other security as the Carrier may deem sufficient to cover the estimated General Average contribution of the Goods before delivery.

 

(2)如果船長認(rèn)為需要救助服務(wù),貨方同意船長代表貨方取得對貨物的此項(xiàng)服務(wù),承運(yùn)人則可以其本人身份結(jié)算救助報(bào)酬。貨方應(yīng)向救助方及時(shí)并充足提供備用金或其他擔(dān)保而不得使船期在救助后受到影響,否則,貨方應(yīng)對由此產(chǎn)生的由承運(yùn)人遭受的一切損失承擔(dān)責(zé)任。

本條規(guī)定了在發(fā)生共同海損的情況下如何進(jìn)行共同海損的理算以及貨方提貨時(shí)向承運(yùn)人提供擔(dān)保的義務(wù)。本提單規(guī)定共同海損的理算使用1990年及其他修正案修訂的1974年約克•安特衛(wèi)普規(guī)則,約克•安特衛(wèi)普規(guī)則是國際上通行的共同海損理算依據(jù)的慣例,得到了貨方、船方、保險(xiǎn)人等各方面的認(rèn)可。

(2) In the event of the Master considering that salvage services are needed, the Merchant agrees that the Master shall act on its behalf to procure such services to Goods and that the Carrier may act on its behalf to settle salvage remuneration. The Merchant shall timely and fully provide cash deposit or other security to the salvor without affecting the schedule of the Vessel after the salvage, failing which the Merchant shall be liable for any losses arising therefrom and sustained by the Carrier.

 

第二款明確了船長有代表貨方?jīng)Q定是否安排救助及選擇救助方的權(quán)利,在遭遇到海上風(fēng)險(xiǎn)時(shí),船長最清楚當(dāng)時(shí)的情況以及應(yīng)采取的合理避險(xiǎn)措施,為了船貨的共同安全,這種規(guī)定是十分必要的。在安排救助后,貨方應(yīng)就自己的份額向救助方提供擔(dān);騻溆媒鹨殉蔀閲H通行的作法。

 

24.  BOTH-TO-BLAME COLLISION  雙方有責(zé)碰撞條款

由波羅的海國際航運(yùn)公會(huì)現(xiàn)時(shí)公布的雙方有責(zé)碰撞條款應(yīng)視為已被載入本提單。

The Both-to-blame Collision Clause currently published by the Baltic and International Maritime Conference is deemed to be incorporated into this Bill of Lading.

 

 

25.  NON-VESSEL-OPERATING COMMON CARRIERS 

如果本提單被以無船承運(yùn)人身份行事的貨方所接受,而該人又轉(zhuǎn)而與第三方訂立其他運(yùn)輸契約,則該無船承運(yùn)人保證,由他簽訂的受本提單制約的關(guān)于貨物的契約中應(yīng)載有本提單的條款及條件。無船承運(yùn)人進(jìn)一步保證,就其未能如此載入本提單而引起的一切后果給予承運(yùn)人、其受雇人、代理人及分立契約人以賠償。

If this Bill of Lading is accepted by a Merchant acting as a non-vessel-operating common carrier (NVOCC), who has in turn concluded other contracts of carriage with third parties, the NVOCC hereby warrants that the contracts concluded by him in respect of the Goods subject to this Bill of Lading shall incorporate the terms and conditions of this Bill of Lading. The NVOCC further warrants to indemnify the Carrier, its servants, agents and Sub-contractors against all consequences of his failure to do so.

 

26.  LAW AND JURISDICTION  法律及管轄權(quán)

(1)本提單受中華人民共和國法律管轄。本提單項(xiàng)下或與本提單有關(guān)的一切爭議,均應(yīng)根據(jù)中華人民共和國的法律加以裁定;凡是針對承運(yùn)人的任何訴訟,均應(yīng)提交上海海事法院或中華人民共和國其他海事法院。

(1) This Bill of Lading is governed by the laws of the People\'s Republic of China. All disputes arising under or in connection with this Bill of Lading shall be determined by the laws of the People\'s Republic of China and any action against the Carrier shall be brought before the Shanghai Maritime Court or other maritime courts in the People\'s Republic of China, as the case may be.

 

(2)雖有第26(1)條中的規(guī)定,當(dāng)某項(xiàng)運(yùn)輸業(yè)務(wù)包含駛往或來自或經(jīng)由美利堅(jiān)合眾國的某一港口或地點(diǎn)的運(yùn)輸時(shí),本提單便應(yīng)受美國海上貨物運(yùn)輸法的規(guī)定的約束,而該法應(yīng)被視為已載入本提單,而本提單中所載任何內(nèi)容均不得視為承運(yùn)人對其根據(jù)美國海上貨物運(yùn)輸法而享有的任何權(quán)利、豁免、除外或限制的放棄,或其義務(wù)的任何增加。除另有規(guī)定外,以上所提及的美國海上貨物運(yùn)輸法同樣適用于在貨物裝前卸后承運(yùn)人掌管貨物的期間。

(2) Notwithstanding the provision of Clause 26(1), where carriage includes carriage to or from or through a port or place in the United States of America, this Bill of Lading shall be subject to the provisions of the US COGSA, which shall be deemed to have been incorporated herein and nothing herein contained shall be deemed a surrender by the Carrier of any of its rights, immunities, exceptions or limitations or an increase of any of its liabilities under US COGSA. The provision cited in the COGSA(except as may be otherwise specifically provided herein) shall also govern before loading and after discharging as long as the goods remain in the Carrier\'s custody of control.

 

27.  VARIATION OF THE CONTRACT  契約的變更

承運(yùn)人的任何受雇人、代理人或分立契約人一概無權(quán)放棄或變更本提單任何條款,除非該項(xiàng)放棄或變更系采用書面方式并已經(jīng)承運(yùn)人以書面專門授權(quán)或批準(zhǔn)。

No servant, agent or Sub-contractor of the Carrier shall have the power to waive or vary any terms of this Bill of lading unless such waiver or variation is in writing and is specifically authorized or approved in writing by the Carrier.

 

 

28.  NEW JASON CLAUSE 新杰遜條款

如在航次開始之前或之后,由于不論是疏忽與否的任何原因而引起意外、危險(xiǎn)、損害或?yàn)?zāi)難,而根據(jù)法令、契約或其他規(guī)定,承運(yùn)人對此類事件的后果都不負(fù)責(zé),則貨物及貨方應(yīng)連帶在共同海損中與承運(yùn)人一起分擔(dān)可能構(gòu)成或可能發(fā)生的屬于共同海損性質(zhì)的犧牲、損失或費(fèi)用,并應(yīng)支付就貨物而發(fā)生的救助費(fèi)用及特殊費(fèi)用。如果救助船舶為承運(yùn)人所有或由其經(jīng)營,則救助費(fèi)用應(yīng)當(dāng)猶如該船屬于無關(guān)之人一樣,全額支付。

In the event of accident, danger, damage or disaster before or after the commencement of the voyage resulting from any cause whatsoever, whether due to negligence or not, for which, or for the consequences of which, the Carrier is not responsible by statute, contract or otherwise, the Goods and the Merchant jointly and severally shall contribute with the Carrier in General Average to the payment of any sacrifices, losses or expenses of a General Average nature that may be made or incurred and shall pay salvage and special charges incurred in respect of the Goods. If a salving ship is owned or operated by the Carrier, salvage shall be paid for as fully as if the salving ship belonged to strangers.

The following clauses are applicable only when document used as a Sea Waybill

 

 

29.收貨人或其授權(quán)的人可憑交貨憑證或其它身份證明提取貨物,而無須向承運(yùn)人提交海運(yùn)單,承運(yùn)人有絕對的自主權(quán)決定是否將貨物交付給收貨人授權(quán)的人。

29.  Delivery will be made to the consignee or his authorized representative upon presentation of a delivery receipt or other evidence of identity and authorization satisfactory to the Carrier in his sole and absolute discretion without the need of producing or surrendering a copy of his Sea Waybill.

 

 

30.除本海運(yùn)單另有規(guī)定外,承運(yùn)人現(xiàn)行的聯(lián)運(yùn)提單的條款和條件適用于本海運(yùn)單所證明的運(yùn)輸合同,貨方可向承運(yùn)人或其代理索取該提單。發(fā)貨人保證其有權(quán)代表收貨人及貨物所有人接受所有上述條款和條件,包括但不限于聯(lián)運(yùn)提單 中載明的關(guān)于每件的責(zé)任限制和其它責(zé)任限制的規(guī)定。

30.  Except as provided in this Sea Waybill, the contract of carriage evidenced by this Sea Waybill is subject to the terms and conditions of the Carrier\'s current Combined Transport Bill of Lading, a copy of which may be obtained from the Carrier and its agent. The Shipper accepts all said terms and conditions, including but not limited to the per package and other limitations of liability contained therein, on behalf of the Consignee and the Owner of the Goods and warrants that he has authority to do so.

 

 

31.當(dāng)收貨人或其他要求提取貨物的人提交本海運(yùn)單或以其他方式要求提取貨物時(shí),收貨人或其他要求提貨的應(yīng)當(dāng)承擔(dān)發(fā)貨人按照本海運(yùn)單和承運(yùn)人現(xiàn)行的聯(lián)運(yùn)提單中需承擔(dān)的所有責(zé)任。收貨人或其他要求提取貨物依本條所承擔(dān)的是附加責(zé)任,不影響發(fā)貨人本人所應(yīng)承擔(dān)的責(zé)任。

31.  The consignee or other receiver of the Goods, by presenting this Sea Waybill and/or requesting delivery of the Goods, undertakes all liabilities of the Shipper under this Sea Waybill and the Carrier\'s current Combined Transport Bill of Lading, such undertaking being additional and without prejudice to the Shipper\'s own liability.

 

本條款對海運(yùn)單作為運(yùn)輸合同的涉他性進(jìn)行了說明。運(yùn)輸合同的訂立是承運(yùn)人和托運(yùn)人之間,但作為涉他合同,運(yùn)輸合同中許多關(guān)于權(quán)利和義務(wù)的規(guī)定是同樣約束承運(yùn)人和收貨人的例如合同中有關(guān)收貨人及時(shí)提取貨物的規(guī)定、有關(guān)貨物單件責(zé)任限制的規(guī)定等等都是約束收貨人的。

 

32.發(fā)貨人同意并遵守《海事委員會(huì)海運(yùn)單統(tǒng)一規(guī)則》,以便在貨物運(yùn)輸中使用海運(yùn)單。

32.  The shipper agrees and observes the CMI Uniform Rules for Sea Waybill for the purpose of using the Carrier\'s Sea Waybill in cargo transportation.

 

33. 在船舶抵達(dá)卸貨港或交貨地以前,如發(fā)貨人書面要求將海運(yùn)單改為承運(yùn)人提單,在可能的情況下,承運(yùn)人將盡最大努力進(jìn)行更改,但承運(yùn)人在任何情況下均不對未能及時(shí)更改承擔(dān)任何責(zé)任。

33.Upon written request of the Shipper prior to arrival of the carrying vessel at the Port of Discharge or Place of Delivery, whichever applicable, the Carrier will use its best efforts to change the Sea Waybill to the Carrier\'s Bill of Lading, provided that the Carrier shall in no case be liable for failure timely to effect such changes.

 

 

34. 對于特定貨物的放貨,應(yīng)當(dāng)遵循承運(yùn)人的運(yùn)價(jià)本和提單中所規(guī)定的一般擔(dān)保的習(xí)慣作法,這種規(guī)定包括但不限于承運(yùn)人有權(quán)因本海運(yùn)單的任何一方拖欠的費(fèi)用或債務(wù)而留置貨物,不論該費(fèi)用或債務(wù)是否與本海運(yùn)單項(xiàng)下的貨物有關(guān)。

34.  The goods are subject to the Carrier\'s normal credit practices with respect to release of particular Goods, as specified in the Carrier\'s Tariff and Bill of Lading, including but not limited to, the Carrier\'s right to a lien against any shipment as security for any unpaid charges due and owing to the carrier by any party to this Sea Waybill, whether related to the Goods described in this sea Waybill or not.

 

 

35. 除非發(fā)貨人在運(yùn)輸前有相反的指示并在海運(yùn)單的正面注明,承運(yùn)人將根據(jù)上述條款和條件與收貨人處理有關(guān)貨物的索賠。任何索賠的解決應(yīng)作為承運(yùn)人對發(fā)貨人責(zé)任的徹底解除。

35.  Unless instructed to the contrary by the shipper prior to the commencement of carriage and noted accordingly on the face hereof, the Carrier will, subject to the aforesaid terms and conditions, process cargo claims with the Consignee. Claims settlement, if any, shall be a complete discharge of Carrier\'s liabilities to the Shipper.
