第一章 總 則 Chapter 1 General Provisions

第二章 合作各方 Chapter 2 Parties of the Cooperative Venture

第三章 成立合作經(jīng)營公司 Chapter 3 Establishment of the Cooperative Venture Company 

 

第二條 甲、乙方根據(jù)中華人民共和國有關(guān)法律、法規(guī)的有關(guān)規(guī)定，同意在 ＿＿＿＿＿＿＿＿�。撸撸撸撸撸撸撸呤薪�立合作經(jīng)營的＿＿＿＿＿＿＿＿有限公司（以下簡稱合作公司）。  外文名稱為＿＿＿＿＿＿＿＿。

第四條 合作公司的一切活動必須遵守中華人民共和國有關(guān)法律、法令和條例。

Article 4 All activities of the Cooperative venture company shall be governed by the laws, decrees and pertinent rules and regulations of the People's Republic of China.

 

第五條 合作公司是由甲方提供土地使用權(quán)、資源開發(fā)權(quán)、建筑物等合作條件；乙方提供資金、設(shè)備、技術(shù)等合作條件。各方不折算投資比例，按各自向公司提供的合作條件，確定利潤分享辦法，并各自承擔(dān)風(fēng)險。合作公司實行統(tǒng)一管理，獨立經(jīng)營，統(tǒng)一核算。合作期限屆滿，公司的財產(chǎn)不作價歸甲方所有。 

Article 5 The organization form of the Cooperative venture company is a limited liability company. The profits, risks and losses of the Cooperative venture company shall be shared by the parties according to the relevant provisions thereafter.

第四章 生產(chǎn)經(jīng)營目的、范圍和規(guī)模

Chapter 4 The Purpose, Scope and Scale of Production and Business 

 

第六條 甲、乙方合作經(jīng)營的目的是：本著加強經(jīng)濟合作和技術(shù)交流的愿望，采用先進而適用的技術(shù)和科學(xué)的經(jīng)營管理方法，提高產(chǎn)品質(zhì)量，發(fā)展新產(chǎn)品，并在質(zhì)量、價格等方面具有國際市場的競爭能力，提高經(jīng)濟效益，使合作各方獲得滿意的經(jīng)濟利益。（注：在具體合同中要根據(jù)具體情況寫） 

Article 6 The goals of the parties to the Cooperative venture are to enhance economic cooperation and technical exchanges, to improve the product quality,develop new products, and gain a competitive position in the world market in quality and price by adopting advanced and appropriate technology and scientific management methods, so as to raise economic results and ensure satisfactory economic benefits for each Cooperator.

第七條 合作公司生產(chǎn)經(jīng)營范圍是：生產(chǎn)和銷售＿＿＿＿＿＿＿產(chǎn)品；對銷售后的產(chǎn)品進行維修服務(wù)；研究和發(fā)展新產(chǎn)品。（注：要根據(jù)具體情況寫）

第五章 投資總額和注冊資本 Chapter 5 Total Amount of Investment and the Registered Capital

第十二條 甲方提供的土地使用權(quán)，應(yīng)在合同批準之日起＿＿＿＿＿＿＿＿ 天內(nèi)辦完征撥手續(xù)，交付合作公司使用。

乙方提供的現(xiàn)金投資匯入合作公司在銀行開立的帳戶內(nèi)。

Article 12 The right to the use of site contributed by Party A shall be for the use of the cooperative venture company within _______________days after the approval of the contract.

Article 13 The machines and equipment contributed by Party B as investment shall meet the needs of the cooperative venture company, and shall be carried to the Chinese port_________ days before the completion of the premises construction. 

 

第六章 合作各方應(yīng)負責(zé)完成的事項 Chapter 6 Responsibilities of Each Party to the Joint Venture 

甲方責(zé)任 Responsibilities of Party A: 

 

第十四條 甲方應(yīng)負責(zé)完成的事項： 

Article 14 Party A and Party B shall be respectively responsible for the following matters:

 

（一）辦理為設(shè)立合作公司向中國有關(guān)主管部門申請批準、登記注冊、領(lǐng)取營業(yè)執(zhí)照等事宜； 

Handling of applications for approval, registration, business license and other matters concerning the establishment of the cooperative venture company from relevant departments in charge in China;

 

（二）依照本合同第十一條第一款規(guī)定，向土地主管部門辦理合作公司取得土地使用權(quán)的手續(xù)； 

Processing the application for the right to the use of a site to the authority in charge of the land; 

 

三）協(xié)助辦理乙方作為出資而提供的機械設(shè)備、物資的進口報關(guān)手續(xù)和在中國境內(nèi)的運輸； 

Assisting Party B to process import customs declaration for the machinery and equipment contributed by Party B as investment and arranging the transportation within the Chinese territory; 

 

（四）協(xié)助合作公司在中國境內(nèi)購置或租賃設(shè)備、材料、原料、辦公用品、交通工具、通訊設(shè)備等； 

Assisting the cooperative venture company in purchasing or leasing equipment, materials, raw materials, articles for office use, means of transportation and communication facilities etc.; 

 

（五）協(xié)助合作公司落實水、電、交通等基礎(chǔ)設(shè)施； 

Assisting the cooperative venture company in contacting and settling the fundamental facilities such as water, electricity, transportation etc.;

（六）協(xié)助合作公司對廠房和其他工程設(shè)施的設(shè)計和施工； 

Organizing the design and construction of the premises and other engineering facilities of the cooperative venture company;

 

（七）協(xié)助合作公司在當(dāng)?shù)卣衅钢袊�的�?jīng)營管理人員、技術(shù)人員、工人和其他人員； 

Assisting the cooperative venture in recruiting Chinese management personnel, technical personnel, workers and other personnel needed; 

 

（八）協(xié)助合作公司為外籍工作人員辦理所需的入境簽證手續(xù)等； 

Assisting foreign workers and staff in applying for entry visas, work licenses and handling their travel procedures; 

 

（九）辦理合作公司委托的其他事宜。 

Responsible for handling other matters entrusted by the cooperative venture company. 

 

第十五條 乙方應(yīng)負責(zé)完成的事項：

Responsibilities of Party B:

 

（一）依照本合同第十一條第二款、第十三條的規(guī)定，提供現(xiàn)金、機器設(shè)備、工業(yè)產(chǎn)權(quán)......并負責(zé)將其作為出資的機械設(shè)備等運至中國港口； 

Providing cash, machinery and equipment, industrial property... in accordance with the provisions of Article 11 and Article 12, 13, and responsible for shipping capital goods such as machinery and equipment etc. contributed as investment to a Chinese port; 

 

（二）辦理合作公司委托在中國境外選購的機器設(shè)備、材料等有關(guān)事宜；

Handling the matters entrusted by the cooperative venture company, such as selecting and purchasing machinery and equipment outside China,etc.; 

 

（三）提供需要的設(shè)備安裝、調(diào)試以及試產(chǎn)的技術(shù)人員、生產(chǎn)和檢驗技術(shù)人員； 

Providing necessary technical personnel for installing, testing and trial production of the equipment as well as the technical personnel for production and inspecting; 

 

（四）培訓(xùn)公司的技術(shù)人員和工人；

Training the technical personnel and workers of the cooperative venture company;

 

（五）如乙方同時是技術(shù)轉(zhuǎn)讓方，則應(yīng)負責(zé)合作公司在規(guī)定的期限內(nèi)按設(shè)計能力穩(wěn)定地生產(chǎn)合格產(chǎn)品； 

In case Party B is the licensor, it shall be responsible for the stable production of qualified products of the cooperative venture company in light of design capacity within the specified period; 

 

（六）負責(zé)辦理合作公司委托的其他事宜。  （注：要根據(jù)具體情況寫） 

Responsible for other matters entrusted by the joint venture company.(note: It shall be written according to the specific situation). 

 

第七章 合作經(jīng)營期限 Chapter 7 Distribution of Profits and Repayment for Party B's Investment 

 

 第十六條 合作公司的經(jīng)營期限為＿＿＿＿＿＿＿＿年，公司營業(yè)執(zhí)照簽發(fā)之日，為合作公司的成立日期。 

 

第八章 利潤分配和償還乙方投資

The cooperative venture company shall distribute its profits in accordance with the following procedure after paying the income tax:

 

第十七條 合作公司繳納所得稅后的利潤，按下列順序使用和分配：

 

（一）提�。撸撸撸撸撸撸プ鳛楹献鞴�司的儲備基金、職工獎勵及福利基金、發(fā)展基金； 

____________% as allocations for reserve funds, expansion funds, welfare funds and bonuses for staff and workers of the cooperative venture company;

 

（二）以＿＿＿＿＿＿％償還乙方的投資，預(yù)計＿＿＿＿＿＿年還清乙方的全部投資；（注：根據(jù)雙方的約定具體寫）

（三）其余部分按甲方＿＿＿＿＿＿％，乙方＿＿＿＿＿＿＿％分配。

第九章 產(chǎn)品的銷售 Selling of Products 

 

第十八條 合作公司產(chǎn)品的銷售：

（一）向境外銷售＿＿＿＿＿＿＿＿％；  （二）內(nèi)銷＿＿＿＿＿＿＿＿％。 

The products of cooperative venture company will be sold both on the Chinese and the overseas market, the export portion accounts for____________%, ____________% for the domestic market. 

 

（注：銷售辦法可靈活多樣，可由公司或乙方負責(zé)向境外銷售，也可由公司與外貿(mào)公司訂立銷售合同，委托代銷；對內(nèi)銷部分也可由公司或甲方經(jīng)銷。） 

(Note: An annual percentage and amount for outside and domestic selling will be written out according to practical operations, in normal conditions, the amount for export shall at least meet the needs of foreign exchange expenses of the joint venture company).

 

第十章 董事會 The Board of Directors 

 

第十九條 合作公司設(shè)董事會。公司注冊登記之日，為董事會正式成立之日。 

The date of registration of the cooperative venture company shall be the date of the establishment of the board of directors of the cooperative venture company. 

 

第二十條 董事會是合作公司的最高權(quán)力機構(gòu)，決定合作公司章程的制訂和修改；決定公司轉(zhuǎn)讓、合并、停業(yè)和解散；決定公司經(jīng)營決策、財務(wù)預(yù)算和決算；決定公司利潤分配和虧損彌補辦法；聘請總經(jīng)理、副總經(jīng)理和高級管理人員；決定公司職工工資和制定職工獎懲辦法等一切重大事宜。 

 

第二十一條 董事會由董事＿＿＿＿＿名組成，其中甲方委派＿＿＿＿＿名，乙方委派＿＿＿＿＿名。董事長由＿＿＿＿＿方委派，副董事長＿＿＿＿＿名，由 ＿＿＿＿＿方委派。  董事長、副董事長和董事任期四年，經(jīng)各方繼續(xù)委派可以連任。 

Article 21 The board of directors is composed of________directors, of which_______shall be appointed by Party A, ________ by Party B. The chairman of the board shall be appointed by Party A, and its vice-chairman by Party B. The term of office for the directors, chairman and vice-chairmans four years, their term of office may be renewed if continuously appointed by the relevant party. 

 

第二十二條 董事會會議每年至少召開一次，由董事長召集并主持。董事長因故不能召集董事會議時，可委托副董事長或其他董事召集并主持。經(jīng)三分之一以上的董事提議，董事長可召開董事會臨時會議。會議記錄應(yīng)歸檔保存。 

The board of directors shall convene at least one meeting every year. The meeting shall be called and presided over by the chairman of the board. The chairman may convene an interim meeting based on a proposal made by more than one third of the total number of directors. Minutes of the meetings shall be placed on file.

 

第二十三條 召開董事會須有三分之二以上的董事出席方有效。董事不能出席時，可以出具委托書委托他人代為出席和舉行表決。 

The meeting shall be valid only when more than two thirds of the total number of directors attend. In case of absence, the director shall entrust another person to attend and vote for him with a trust deed. 

 

第二十四條 董事長是合作公司的法定代表。董事長因故不能履行其職責(zé)時，可臨時授權(quán)副董事長或其他董事代理。 

The chairman of the board is the legal representative of the cooperative venture company. Should the chairman be unable to exercise his responsibilities for any reason, he shall authorize the vice-chairman or any other directors to represent the joint venture company temporarily. 

 

第十一章 經(jīng)營管理機構(gòu)Business Management Office 

 

第二十五條 合作公司設(shè)總經(jīng)理一人，副總經(jīng)理＿＿人，負責(zé)公司的日常經(jīng)營管理�？偨�(jīng)理由＿＿方推薦；副總經(jīng)理由＿＿方推薦＿＿人，另一方推薦＿＿ 人，均由董事會聘請，任期＿＿年。 

The cooperative venture company shall establish a management office which shall be responsible for its daily management. The management office shall have a general manager, appointed by Party _____, ______deputy general managers, _____by Party _____; _____by Party ______. The general manager and deputy general managers whose terms of office is _____years shall be appointed by the board of directors. 

 

第二十六條 總經(jīng)理的職責(zé)是執(zhí)行董事會會議的決議，組織領(lǐng)導(dǎo)合作公司的日常經(jīng)營管理工作。副總經(jīng)理協(xié)助總經(jīng)理工作。 

The responsibility of the general manager is to carry out the decisions of the board and organize and conduct the daily management of the cooperative venture company. The deputy general managers shall assist the general manager in his work. 

 

第二十七條 總經(jīng)理必須每季度向董事會報告公司的經(jīng)營情況，半年向董事會作一次財務(wù)結(jié)算報告。 

The general manager shall report to the board of directors the operation conditions of the cooperative company every three months, and make a financial report every six months. 

 

第二十八條 總經(jīng)理、副總經(jīng)理及其他管理人員有營私舞弊或嚴重失職行為時，經(jīng)董事會會議作出決議，給予應(yīng)得的處分直至解聘，對公司造成的經(jīng)濟損失，應(yīng)負賠償責(zé)任。 

In case of graft or serious dereliction of duty on the part of the general manager and deputy generalrs, the board of directors shall have the power to dismiss them at any time. 

 

第十二章 勞動管理 Labour Management 

 

第二十九條 合作公司員工的招聘、解雇或辭職一律實行合同制。員工的聘請由公司做出計劃，報當(dāng)?shù)貏趧硬块T核準后，由公司自行招聘，經(jīng)考核擇優(yōu)錄用。 

Labor contract covering the recruitment, employment, dismissal and resignation, wages, labor insurance, welfare, rewards, penalties and other matters concerning the staff and workers of the cooperative venture company shall be drawn up between the cooperative venture company and the trade union of the cooperative venture company as a whole, or the individual employees in the cooperative venture company as a whole or individual employees in accordance with the law of the People's Republic of China on Chinese-Foreign Cooperative Joint Ventures. 

 

第十四章 納稅與保險 

 

第三十四條 合作公司應(yīng)按中華人民共和國有關(guān)稅法繳納各種稅款。 

The cooperative venture company shall pay taxes in accordance with the provisions of Chinese laws and other relative regulations. 

 

第十六章 違約責(zé)任 Liability for Breach of Contract

 

第三十八條 由于一方不履行合同、章程規(guī)定的義務(wù)，或嚴重違反合同、章程規(guī)定，造成合作公司無法經(jīng)營或無法達到合同規(guī)定的經(jīng)營目的，視作違約方片面終止合同，對方除有權(quán)向違約的一方索賠外，并有權(quán)按合同規(guī)定報原審批機關(guān)批準終止合同。如甲、乙方同意繼續(xù)經(jīng)營，違約方仍應(yīng)賠償履約一方的經(jīng)濟損失。 

Should the cooperative venture company be unable to continue its operation or achieve its business purpose due to the fact that one of the contracting parties fails to fulfil the obligations prescribed by the contract and articles of association, or seriously violates the provisions of the contract and articles of association, that party shall be deemed to have unilaterally terminated the contract. The other party shall have the right to terminate the contract in accordance with the provisions of the contract after approval by the original examination and approval authority, and to claim damages. In case Party A and Party B of the cooperative venture company agree to continue the operation, the party who fails to fulfil its obligations shall be liable for the economic losses caused thereby to the joint venture company. 

 

第三十九條 甲、乙任何一方如未按本合同第十一條、第十二條以及第十三條的規(guī)定提供合作條件時，以逾期的第一個月算起，每逾期一個月，違約方應(yīng)繳 付＿＿＿＿元違約金給守約的一方。（注：或按出資額的百分比計算）如逾期＿＿ 個月仍未提供，除累計繳付違約金外，守約一方有權(quán)按照本合同第三十八條規(guī)定終止合同，并要求違約方賠償損失。 

Should either Party A or Party B fail to provide on schedule the contributions in accordance with the provisions defined in Chapter 5 of this contract, the party in breach shall pay to the other party________Yuan, or __________% of the contribution starting from the first month after exceeding the time limit. Should the party in breach fail to provide after ______months, _________Yuan, or _________% of the contribution shall be paid to the other party, who shall have the right to terminate the contract and to claim damages from the party in breach in accordance with the provisions of Article 42 of the contract. 

 

第四十條 由于一方的過失，造成本合同及其附件不能履行或不能完全履行時，由過失的一方承擔(dān)違約責(zé)任；如屬雙方的過失，根據(jù)實際情況，由雙方分別承擔(dān)各自應(yīng)負的違約責(zé)任。 

Should all or part of the contract and its appendices be unable to be fulfilled owing to the fault of one party, the party in breach shall bear the liability therefor. Should it be the fault of both parties, they shall bear their respective liabilities according to the actual 

 

第四十一條 為保證本合同及其附件的履行，甲、乙方在合同生效后＿＿天內(nèi)相互提供履約的銀行擔(dān)保書。 

In order to guarantee the performance of the contract and its appendices, both Party A and Party B shall provide each other with bank guarantees for performance of the contract within __________days after the contract comes into force. 

 

第十七章 不可抗力 Force Majeure 

 

第四十二條 在合作期間，由于地震、臺風(fēng)、水災(zāi)、火災(zāi)、戰(zhàn)爭或其他不能預(yù)見并且對其發(fā)生和后果不能防止和避免的不可抗力事故，致使直接影響合同的履行或者不能按約定的條件履行時，遇有上述不可抗力事故的一方，應(yīng)立即將事故情況電報通知對方，并應(yīng)在十五天內(nèi)提供事故的詳細情況及合同不能履行，或者部分不能履行，或者需要延期履行的理由的有效證明文件。此項證明文件應(yīng)由 事故發(fā)生地區(qū)的有權(quán)證明的機構(gòu)出具。按照事故對履行合同影響的程度，由雙方協(xié)商決定是否解除合同，或者部分免除履行合同的責(zé)任，或者延期履行合同。 

Should either of the parties to the contract be prevented from executing the contract by force majeure, such as earthquake, typhoon, flood, fire, war or other unforeseen events, and their occurrence and consequences are unpreventable and unavoidable, the prevented party shall notify the other party by telegram without any delay, and within 15 days thereafter provide detailed information of the events and a valid document for evidence issued by the relevant public notary organization explaining the reason of its inability to execute or delay the execution of all or part of the contract. Both parties shall, through consultations, decide whether to terminate the contract or to exempt part of the obligations for implementation of the contract or whether to delay the execution of the contract according to the effects of the events on the performance of the contract. 

 

第十八章 爭議的解決  Settlement of Disputes

 

第四十三條 凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，雙方應(yīng)首先通過友好協(xié)商解決，如果協(xié)商不能解決，應(yīng)提請中國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會仲裁。仲裁的裁決是終局的，對雙方都有約束力。 

Any disputes arising from the execution of, or in connection with, the contract shall be settled through friendly consultations between both parties. In case no settlement can be reached through consultations, the disputes shall be submitted to the China Internation Economic and Trade Arbitration Commission, Shenzhen Commission for arbitration in accordance with its rules of procedure. The arbitral award is final and binding upon both parties. 

 

第四十四條 本合同的訂立、效力、解釋、履行和爭議的解決均受中華人民共和國法律的保護和管轄。 

The formation, validity, interpretation, execution and settlement of disputes in respect of, this contract shall be governed by the relevant laws of the People's Republic of China. 

 

第十九章 文 字Language 

 

第四十五條 本合同用中文和＿＿文寫成，兩種文字具有同等效力。上述兩種文本如解釋有矛盾，以中文本為準。 

The contract shall be written in Chinese and in ____________. Both language versions are equally authentic. In the event of any discrepancy between the two aforementioned versions, the Chinese version shall prevail. 

 

第二十章 合同生效及其他 Effectiveness of the Contract and Miscellaneous 

 

第四十六條 按照本合同規(guī)定的各項原則所訂立的合作公司章程、工程協(xié)議、技術(shù)轉(zhuǎn)讓協(xié)議、銷售協(xié)議等，均為本合同的附屬文件。 

The appendices drawn up in accordance with the principles of this contract are integral parts of this contract, including: the project agreement, the technology transfer agreement, the sales agreement etc.

 

第四十七條 本合同及其附屬文件，均須中國對外貿(mào)易經(jīng)濟合作部（或其委托的審批機關(guān)）批準，并自批準之日起生效。 

The contract and its appendices shall come into force commencing from the date of approval of the Ministry of Foreign Trade and Economic Cooperation of the People's Republic of China (or its entrusted examination and approval authority). 

 

第四十八條 合作公司對甲、乙雙方或甲、乙雙方互送通知的方法，如果采用電報或電傳時，凡涉及各方權(quán)利、義務(wù)的，應(yīng)隨之發(fā)出書面信件通知。合同中所列的甲、乙雙方的法定地址，即為甲、乙方的收件地址。 

Should notices in connection with any party's rights and obligations be sent by either Party A or Party B by telegram or telex, etc., the Written letter notices shall be also required afterwards. The legal addresses of Party A and Party B listed in this contract shall be the posting addresses. 

 

第四十九條 本合同正本一式＿＿份，甲、乙方各＿＿份，合作公司一份，報中國對外經(jīng)濟貿(mào)易部＿＿份，具有同等效力；影印本＿＿份，分報有關(guān)機關(guān)。
