This MOU is entered by and between: 本備忘錄由以下各方簽署：

 

RECITALS: 序言：

WHEREAS, _____, is interested in projects related to the technologies, products, services and total solutions in all links of the_______ and its relevant fields in the  _____.

WHEREAS, _____  (“company name ”)have expressed their interest in partnering with____ in projects related to the technologies, products, services and total solutions in all links of the power chain and its relevant fields in the scope of cooperation.

公司_____有意與_____在合作范圍內(nèi)的______和相關(guān)領(lǐng)域的技術(shù)，產(chǎn)品，服務(wù)和綜合解決方案等項目進(jìn)行合作。

 

NOW, THEREFORE, the Parties agree to jointly work together in the construction of the technologies, products, services and total solutions in all links of the ____ and other infrastructure development projects in the scope of cooperation (hereinafter referred to as the “Projects”).

現(xiàn)各方同意聯(lián)合致力于合作范圍內(nèi)的所有電力與相關(guān)基礎(chǔ)設(shè)施中技術(shù)、產(chǎn)品、服務(wù)和綜合解決方案的建設(shè)（以下簡稱項目）。

 

1.The purpose of this MOU is to provide a framework of cooperation and facilitate collaboration among the Parties, on a non-exclusive (or exclusive)basis in the Projects.

本備忘錄的目的為各方在此項目上非排他性（或排他性的，兩者選一個）的提供合作框架和促進(jìn)合作。

 

Article II Areas of Cooperation合作領(lǐng)域

2.1 The Parties agree to cooperate in the following areas of activity:

各方同意在以下領(lǐng)域進(jìn)行合作：

 

a.The Parties that will undertake to explore and develop the market and construction of the Projects in the scope of cooperation with terms to be agreed (including but not limited to any forms of procurement contract for equipment, service or turn-key projects).   

雙方將在合作范圍內(nèi)的共同開發(fā)市場和進(jìn)行工程建設(shè)（包括但不限于任何形式的設(shè)備、服務(wù)或總包項目的采購合同）

 

b.Create partnership with state owned and/or private – the scope of cooperation companies in other strategic sector/s with potential for job creation, poverty reduction and other developmental objectives;

與合作范圍內(nèi)的國有或私營企業(yè)在其它戰(zhàn)略領(lǐng)域，如創(chuàng)造就業(yè)，減少貧困，和其他發(fā)展性的目的而合作。

 

c.Establishing business contacts with interested and potential Chinese and other international companies who are committed to contribute to sustainable development in the scope of cooperation.

與有意向的有潛力的在合作范圍內(nèi)的促進(jìn)可持續(xù)發(fā)展的中國和其他國際公司建立商業(yè)聯(lián)系。

 

2.2 The Parties agree that this present cooperation is built on mutual trust among the Parties and that none of the Parties shall do any acts that undermine the interests of the other Party at all times. Honest and frank disclosures of information of the Projects are required throughout the term of cooperation which is formed of and in relation to this MOU among the Parties.

各方同意目前的合作是基于各方之間的相互信任，各方任何時候都不得做出有損其它方利益的行為.各方在本備忘錄相關(guān)的合作過程中都要誠實坦誠交換信息。

 

Article III Consultation and Exchange of Information 咨詢與信息交換

3.1 The Parties shall, on a regular basis, keep each other informed of and consult during the progress and share information of and relating to the Projects truly and accurately.

各方應(yīng)定期就與有關(guān)項目有關(guān)的信息真實且準(zhǔn)確地進(jìn)行通知、商討和信息共享。

 

3.2 Consultation and exchange of information and documents under this Article III shall be without prejudice to arrangements according to which certain information and documents may be required to be maintained confidential and being of restricted character.

本條款下的對信息和文件的商討和交換均不影響任何關(guān)于保密和限制性信息和文件的保密要求。

 

3.3 Each of the Parties shall at any time that deemed appropriate to request and convene meetings for reporting and/or reviewing the progress of activities being carried out under this present MOU and for planning and implementing future activities.

各方應(yīng)在任何被認(rèn)為恰當(dāng)?shù)臅r候，要求召開會議，匯報和/或回顧根據(jù)本備忘錄所開展活動的進(jìn)展，并計劃和實施未來的活動。

 

3.4 The Parties may invite technical teams to attend meetings with the scope of cooperation government officials for negotiations of the Projects and implementation. Invitations shall be made in reasonable time (with one month prior notice) and take into account of the work schedules of the Parties.

各方可以邀請技術(shù)團(tuán)隊參加與合作范圍內(nèi)的政府的會議來商討項目和實施。邀請應(yīng)提前做好（提前一個月）并要考慮工作日程。

 

Article IV Implementation of the MOU 本備忘錄的實施

4.1 In order to implement the specific activities envisioned hereunder, the Parties shall conclude transaction agreements, cost-sharing agreements etc. which shall specify the scope of work and costs or expenses, sales revenue or profit relating to the activity and how they will to be shared and/or borne by the Parties. The cost-sharing agreements shall specify in detail the expenses need to be invested during the whole process of the Projects, including but not limited to the preparation, operation and finalization of the Projects.

為了實施下文約定的具體行動，各方應(yīng)簽訂交易協(xié)議、費(fèi)用共擔(dān)協(xié)議等，明確與上述具體行動有關(guān)的工作范圍、成本、銷售收入或利潤及其如何分配和承擔(dān)。成本共擔(dān)協(xié)議應(yīng)明確項目全程所投入的詳細(xì)成本，包括但不限于準(zhǔn)備、運(yùn)營直至終止。

 

4.2 The costs of public relations activities relating to this MOU, that are not otherwise addressed by a specific cost-sharing agreement concluded hereunder, will be the responsibility of each party independently.

本備忘錄下公共關(guān)系活動的費(fèi)用，如果沒有簽署的協(xié)議規(guī)定明確哪方承擔(dān)，應(yīng)由各方獨(dú)自承擔(dān)。

 

4.3 The Parties have no intention to form any partnership, agency or authorized representative relationship among them and no such relationships are to be formed by virtue of this MOU. None of the Parties shall enter into any contract or commitment on behalf of the other Party(ies) The Parties shall be solely responsible for making all payments to and on behalf of its own account, as provided under this MOU and/or cost-sharing agreements concluded hereunder.

各方之間無意設(shè)立任何合伙、代理或授權(quán)代表關(guān)系，本備忘錄不設(shè)立上述關(guān)系。任何一方均不應(yīng)代表其他方簽署任何合同或作出承諾，只能代表自身支付本備忘錄項下或成本共擔(dān)協(xié)議項下的款項。

 

4.4 Each Party shall be responsible for its own acts and omissions in connection with this MOU and its implementation.

各方應(yīng)對本備忘錄和實施中自己的行為或義務(wù)負(fù)責(zé)。

 

Article V Use of Name and Logo etc. 名字或商標(biāo)等的使用

5.1 None of the Parties shall use the name, logo, trade names or trademarks of the other Parties or its subsidiaries, and/or affiliates, or any abbreviation of the aforesaid, for whatever purposes and in whatever manners, whether or not it is in connection with its business or otherwise, unless express prior written approval of the other Parties are obtained in each case of use with terms to be agreed.

除非按照約定經(jīng)一方事先書面允許，任何一方不得為任何目的、以任何形式使用其它方和/或其子公司、附屬公司的名稱、標(biāo)識、商號或商標(biāo)，不論該使用行為是否與其自身業(yè)務(wù)有關(guān)。

 

5.2 Both parties acknowledge that they are familiar with dynamic political environment in the scope of cooperation and that none of the Parties shall be associated, whether directly or indirectly and in whatever manner, with any political or sectarian causes in the scope of cooperation.  If any Party did have any such association and/or causes in the scope of cooperation, that Party shall inform the other Parties immediately without delay.  The Parties hereby agree that when one Party has any political association and/or causes in the scope of cooperation, this shall be a legitimate reason for early termination, without compensation, by the other Parties of this MOU and of all other transaction agreements, cost-sharing agreements etc.

雙方都熟悉合作范圍內(nèi)的國家的動態(tài)政治環(huán)境，各方都沒有直接或間接或以任何形式，與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)。如果任何一方有關(guān)聯(lián)，該方應(yīng)立即通知其他方。各方同意當(dāng)其中一方與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)，備忘錄的其他方可視為提前終止備忘錄、其他貿(mào)易協(xié)議或成本共擔(dān)協(xié)議等的正當(dāng)理由，并無賠償責(zé)任。

 

Article VI Duration, Termination, Modification 有效期，終止與修改

6.1 The proposed cooperation under this MOU is exclusive and shall have duration of an initial period of one (1) year, commencing _____(dates) unless early termination according to clause 5.2 above or by either Party upon at least two (2) months’ prior notice in writing to the other Parties. The Parties may agree to extend the term of this MOU for a subsequent period(s) up to three (3) years, unless otherwise mutually agreed in writing.

備忘錄項下預(yù)期的合作應(yīng)是排他的，最初期限應(yīng)為1年，自_____起，除非根據(jù)第5.2條提前終止或任何一方提前至少兩個月書面通知終止備忘錄。各方可以同意備忘錄到期后繼續(xù)順延，最多順延3年，除非各方另行書面約定。

 

6.2 In the event of termination of this MOU, the cost-sharing agreements and project documents concluded pursuant to this MOU shall also be terminated in accordance with the termination provision contained in such agreements. In such case, the Parties shall take all necessary steps to ensure that the activities carried out under the MOU, the cost-sharing agreements and project documents will be promptly and orderly terminated.

如果備忘錄終止，根據(jù)備忘錄簽訂的成本共擔(dān)協(xié)議和項目文件應(yīng)同時按照該等協(xié)議和文件約定的條款予以終止。在此情形下，各方應(yīng)采取各種必要措施來確保根據(jù)備忘錄、成本共擔(dān)協(xié)議和項目文件開展的活動迅速且有序地予以終止。

 

6.3 This MOU shall be amended by mutual agreement in writing and duly executed by the Parties.

備忘錄應(yīng)由各方合意以書面形式作出修改并依約履行。

 

Article VII Notices and Addresses 通知與地址

7.1 All notices or other communications required or permitted to be given pursuant to or in reference to this MOU shall be in writing and shall be valid and sufficient if delivered or dispatched by registered mail, courier, personal delivery or fax (email NOT accepted) as the case may be, to the Party at the address set forth below in this MOU or as from time to time updated by each Party. Notice given as herein provided shall be deemed to have been served (i) in the case of personal delivery at the time when the notice is left at the addressee’s address as stated herein below or its last known address; or (ii) in the case of delivery by registered mail or courier on the seventh (7th) day after posting; or (iii) upon confirmation (as generated by the fax machine) of correct transmission to the recipient’s fax machine.

根據(jù)或與備忘錄有關(guān)的所需要或允許作出的所有通知和其他通訊均應(yīng)當(dāng)以書面形式作出，且應(yīng)當(dāng)合法且有效地以掛號信、郵寄、私人遞送或傳真（不接受電子郵件）形式遞送至備忘錄下文約定的各方地址，或者各方不時更新的其他地址。在下列情形下遞送的通知應(yīng)視為已送達(dá)：（1）如果以私人遞送的方式，通知到達(dá)被送達(dá)人的下述地址或其他的最新已知地址；或（2）掛號信或郵件寄出后第7天；或（3）收件人傳真機(jī)發(fā)出發(fā)送成功的確認(rèn)。

 

Article VIII Governing Laws and Jurisdiction and Settlement of Disputes

準(zhǔn)據(jù)法、司法管轄和糾紛解決方式

 

8.1 This MOU is legally binding to the Parties. 備忘錄對各方有法律約束力。

8.2 This MOU shall be governed and construed in accordance to the laws of People’s Republic of China.

備忘錄受中華人民共和國法律管轄。

 

8.3 The Parties shall use their best efforts to enter into friendly negotiation and settlement amicably of any dispute, controversy or claim arising out of this MOU (the “Dispute”) within [ Sixty (60) days ] from the date that one Party sending requests for such a negotiation. If the Parties amicably settled the Dispute by themselves, they shall enter into a settlement agreement in writing and to be duly executed by the Parties. If the Parties genuinely attempted negotiation but failed to reach any settlement terms, either Party may submit the Dispute for arbitration as stated herein below.

各方應(yīng)在一方發(fā)出要求協(xié)商的請求之日起60日內(nèi)，盡各方最大努力進(jìn)行友好協(xié)商和解決因備忘錄引起的任何糾紛、異議或索賠（“爭議”）。如各方自行友善解決爭議，各方應(yīng)簽訂書面的解決協(xié)議并依約履行。如果各方確實已盡力協(xié)商但未達(dá)成任何解決方案，任何一方可以就爭議按照下述方式提起仲裁。

 

8.4 Any dispute, controversy or claim among the Parties arising out of this MOU which is not settled amicably in accordance with the foregoing paragraph shall be referred to arbitration under the UNCITRAL Arbitration Rules then in force.  The arbitral tribunal shall have no authority to award punitive damages. The Parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute.  The Parties further agree the followings:

各方之間未能按照前述方式友好解決的任何糾紛、異議或索賠，應(yīng)當(dāng)根據(jù)彼時有效的聯(lián)合國國際貿(mào)易法委員會仲裁規(guī)則進(jìn)行仲裁。仲裁庭無權(quán)判處懲罰性賠償。各方應(yīng)受經(jīng)上述仲裁所作出的任何仲裁裁決的約束，視其為任何糾紛、異議或索賠的終局裁決。各方進(jìn)一步同意：

 

(a)The place of arbitration shall be at Beijing.  仲裁地在北京。

(b)The language to be used in the arbitral proceedings shall be in English language.

仲裁中使用的語言應(yīng)為英語。

 

8.5 This MOU is prepared in English and Chinese. In case of any discrepancies contained between the English and Chinese versions, the English version shall prevail.

備忘錄應(yīng)為中英文版本。如果中英文版本有差異，以英文版本為準(zhǔn)。

 

Article IX Miscellaneous 其他條款

9.This MOU and any related co-financing agreements (if any) and project documents (if any) comprise the complete understanding of the Parties in respect of the subject matter in this MOU and supersede all prior agreements (whether written or oral) relating to the same subject matter.  Failure by either Party to enforce a provision of this MOU shall not constitute a waiver of that or any other provision of this MOU. The invalidity or unenforceability of any provision of this MOU shall not affect the validity or enforceability of any other provision of the MOU.

備忘錄和任何相關(guān)的聯(lián)合融資協(xié)議（如有）和項目文件（如有）構(gòu)成各方在備忘錄項下之事項的完整約定，并替代與同一事項相關(guān)的所有先前的口頭或書面協(xié)議。任何一方未執(zhí)行備忘錄中的某一規(guī)定并不意味著其對該條款或其他條款的棄權(quán)。備忘錄的某一條款無效和不可執(zhí)行并不影響其它條款的有效性和可執(zhí)行性。

 

Article X Entry into Force 生效

10.This MOU may be signed in counterparts, each of which shall be deemed an original and both of which duly executed shall constitute one entire document, and shall enter into force and effect on the date (“Effective Date”) when it is duly signed by all the Parties.

備忘錄一式兩份，每一份均應(yīng)視為原件，兩份文件經(jīng)雙方正式簽署后構(gòu)成整個文件，自各方正式簽字日起生效。

 

IN WITNESS WHEREOF, the duly authorized representatives of the Parties affix their signature below.
