Party A: Airport Co., Ltd.
乙方：零售有限公司
Party B: Retail Co., Ltd.
本合同于2013年 月 日由下列雙方在機(jī)場(chǎng)簽訂。
The contract was entered by and between the following two parties on at Airport.
出租方（甲方）：機(jī)場(chǎng)股份有限公司Lessor (Party A): Airport Co., Ltd.

承租方（乙方）：零售有限公司Lessee (Party B): Retail Co., Ltd.

甲、乙雙方根據(jù)有關(guān)法律規(guī)定，本著友好合作、協(xié)商一致的原則，為明確雙方權(quán)利義務(wù)，特簽訂本合同，并共同遵守。
Party A and Party B signed and abide by the contract on the basis of friendly cooperation and consensus in accordance with related laws and regulations for the purpose of defining the rights and obligations of each other.
1.一般約定General agreements
1.1 除非文中另有不同要求，文中雙方指甲方和乙方，一方指甲方或乙方中的任何一方。
Unless otherwise specified herein, “both parties” mentioned anywhere herein refer to both Party A and Party B, and “either party”refers to Party A or Party B.
1.2 合同中貨幣均以人民幣“元”為計(jì)算單位（除合同中有特別規(guī)定）。
The currency used herein is RMB in Yuan (unless otherwise expressly stated in the contract).
2.租賃區(qū)域及期限 Leased area and term
2.1 租賃區(qū)域 Leased area
在遵守本合同規(guī)定的前提下，甲方同意出租且乙方同意承租機(jī)場(chǎng)新國(guó)際候機(jī)樓出發(fā)大廳問(wèn)詢處左側(cè)面積為96平方米的商業(yè)區(qū)域，以便乙方能在機(jī)場(chǎng)新國(guó)際候機(jī)樓內(nèi)進(jìn)行特產(chǎn)、食品、工藝品、旅游用品等零售商品的展示及銷售。（具體位置參見(jiàn)附件7。）
Subject to compliance with the contracted provisions, Party A agrees to rent out and Party B agrees to rent in the 96-square-meter commercial area located at the left side of the Information Office of the Departure Hall in the New International Airport Terminal of the Airport so that Party B can display and sell retail goods such as specialties, foodstuffs, craftworks and tourist goods.(Refer to Annex 7 for specific spot)
2.2 租賃期限 Leased term
合同自 年 月 日起至 年 月 日止，有效期為五年，自機(jī)場(chǎng)國(guó)際候機(jī)樓面向社會(huì)正式運(yùn)營(yíng)之日（以甲方書面通知為準(zhǔn)）起計(jì)算。
The contract shall be valid for five years from Day Month Year to Day Month
Year, starting from the official operation date of Airport International Airport Terminal(subject to Party A’s written notice).
3.經(jīng)營(yíng)范圍 Business scope
3.1 乙方在租賃區(qū)域內(nèi)只能提供特產(chǎn)、食品、工藝品、旅游用品等經(jīng)甲方事先書面同意的零售商品的展示及銷售，未經(jīng)甲方事先書面同意，不得提供其他服務(wù)。
Party B shall only display and sell retail goods agreed by Party A in writing in advance in the leased area, such as specialties, foodstuffs, craftworks and tourist goods. Without Party A’s prior written consent, Party B shall not provide other services.
4.場(chǎng)地租金及其他費(fèi)用Venue rent and other costs
4.1租金 Rent
租金＝月度銷售額×提成比例Rent =Monthly sales×Royalty percentage
合同期內(nèi)，提成比例保持20%不變。
Within the contract period, the royalty percentage shall remain 20%.
月度銷售額系乙方在出租單元內(nèi)完成的產(chǎn)品或服務(wù)的全部銷售額，不論是通過(guò)現(xiàn)金還是信用卡交易，或通過(guò)票據(jù)或任何其他方式實(shí)現(xiàn)的扣除各項(xiàng)折扣外的銷售金額。
Monthly sales refers to income received for products or services sold by Party B in the leased area in a month through either cash or credit-card-based transactions, or sales amount achieved in a month through either bills or in any other way from which all discounts are deducted.
4.2 其他費(fèi)用 Other costs
水、電費(fèi)Water and electricity bills
水、電費(fèi)的收取由機(jī)場(chǎng)與乙方另行簽訂協(xié)議征收。如當(dāng)?shù)鼗驒C(jī)場(chǎng)轉(zhuǎn)供的水電氣的價(jià)格發(fā)生調(diào)整，甲方向乙方收取的費(fèi)用也作相應(yīng)調(diào)整。
Water and electricity bills shall be collected according to the agreement otherwise concluded by and between Airport. and Party B. If the prices of water, electricity and gas that are provided either for local public use or specially for the airport change, Party A will adjust water and electricity bills payable by Party B accordingly.
乙方租賃區(qū)域內(nèi)用水、用電設(shè)施由乙方委托有資質(zhì)的單位自行維修，甲方不承擔(dān)任何維修責(zé)任。
Party B shall have its water and electricity-consuming facilities in the leased area repaired by qualified organizations. Party A will not assume any maintenance responsibility.
4.3 其他費(fèi)用 Other costs
按國(guó)家相關(guān)部門相關(guān)政策和規(guī)定由乙方自行繳納的費(fèi)用。
Other costs refer to the costs paid by Party B in accordance with relevant policies and regulations of relevant national sectors.
4.4 租金及費(fèi)用的維持Adjustment of rent and costs
租賃期間，因下列原因而僅造成租賃區(qū)域面積擴(kuò)大或縮小，月租金及費(fèi)用(按本合同所確定的租金和費(fèi)用標(biāo)準(zhǔn))將按實(shí)際情況按照相應(yīng)的比例進(jìn)行調(diào)整：
Monthly rent and costs (based on the standards of rent and costs as defined in the contract) will be adjusted in proportion in light of actual circumstances if the leased area alone is expanded or shrunk due to any of the following reasons during the leased term:
4.5 甲方對(duì)航站樓布局調(diào)整Adjusting the layout of the airport terminal by Party A.
4.6 不可抗力導(dǎo)致調(diào)整Any force majeure event.
4.7 雙方同意的其他情況而導(dǎo)致調(diào)整Other cases agreed by both parties.
4.8 租金及費(fèi)用繳付不受影響Unaffected payment of rent and costs
租金交繳不受合同雙方或與第三方爭(zhēng)議等原因影響，在法院判決或仲裁裁決生效之前，乙方仍須如期全額向甲方交繳租金，否則，視為逾期交繳租金，應(yīng)按6.1.3條款規(guī)定處理。
Rent payment shall not be affected by any reasons such as disputes between both parties or with any third party. Party B shall pay the rent in full to Party A as scheduled before entry into force of any court decision or arbitral award, otherwise, Party B shall be deemed failing to pay rent on time and will be punished as stipulated in Subclause 6.1.3.
5.現(xiàn)金流登記系統(tǒng)Cash flow registration system
5.1 經(jīng)甲方事先書面同意后，乙方須使用現(xiàn)金銷售計(jì)算機(jī)登記系統(tǒng)，以記錄租賃單元銷售產(chǎn)品或提供服務(wù)的各種款項(xiàng)。該系統(tǒng)須能夠打印雙份機(jī)打銷售清單，清單須標(biāo)明租賃單元的每一筆銷售，并將其編碼登記；系統(tǒng)還須分配不可重新設(shè)置的現(xiàn)金登記序列號(hào)及銷售點(diǎn)名稱和識(shí)別代碼。
With prior written consent by Party A, Party B shall register the cash flow relevant to products sold or services furnished in the leased area in a cash sales registration computer system. The system shall be able to print double sales lists in which each transaction occurring in the leased area shall be indicated and numbered; the system shall also be able to allocate cash registration serial numbers, sales outlet names and identification codes that cannot be reset.
5.2甲方有權(quán)在乙方承租區(qū)域內(nèi)安裝監(jiān)控系統(tǒng)，乙方須確保監(jiān)控系統(tǒng)的正常使用，所有交易必須在監(jiān)控范圍之內(nèi)進(jìn)行，甲方有權(quán)隨時(shí)檢查收銀系統(tǒng)、帳簿、貨物標(biāo)識(shí)、記錄等相關(guān)情況。
Party A shall have the right to install a monitoring system in Party B’s leased area. Party B shall ensure the normal service of the monitoring system and that all transactions are done within the monitoring scope. Party A shall have the right to inspect such items as cashier system, account book, cargo marking and logs from time to time.
5.3 乙方應(yīng)在每月第五個(gè)工作日前向甲方提供附件3《月度財(cái)務(wù)報(bào)表》中所列的全部信息。財(cái)務(wù)數(shù)據(jù)必須真實(shí)、完整、沒(méi)有歧義。
Party B shall provide all information listed in Annex 3 Monthly Financial Statements to Party A by the fifth working day of each month. The financial data must be true, complete and unambiguous.
5.4乙方如未按本條的要求使用收銀系統(tǒng)包括且不限于隱瞞交易信息、錄入虛假交易信息等，第一次向甲方支付1萬(wàn)元違約金，第二次向甲方支付5萬(wàn)元違約金，第三次向甲方支付10萬(wàn)元違約金，如乙方未按規(guī)定使用收銀系統(tǒng)交易超過(guò)四次，甲方可立即解除合同。
If Party B fails to use the cashier system as required by this Article, including but not limited to concealing transaction information and entering false transaction information, it shall pay Party A RMB 10,000 as penalty for its first failure, RMB 50,000 for its second failure, and RMB 100,000 for its third failure. If Party B fails more than four times, Party A may immediately dissolve the contract.
5.5若甲方統(tǒng)一安裝商業(yè)收費(fèi)系統(tǒng), 乙方應(yīng)無(wú)條件按照甲方要求使用甲方收銀系統(tǒng)。收銀系統(tǒng)的使用費(fèi)用及其他具體要求將由雙方簽訂補(bǔ)充協(xié)議約定，在任何合理范圍內(nèi)，乙方應(yīng)無(wú)條件接受甲方對(duì)于收銀系統(tǒng)的收費(fèi)標(biāo)準(zhǔn)和管理規(guī)定。
If Party A provides a commercial cashier system, Party B shall unconditionally use the system as per Party A’s requirements. The charge for using the system and other specific requirements shall be agreed by both parties in a supplemental agreement. To any reasonable extent, Party B shall unconditionally accept Party A’s charging standard for using the cashier system and relevant administrative regulations.
6.法律適用和爭(zhēng)議解決Legal Application and Dispute Settlement
6.1 本合同的簽訂、履行、解釋、爭(zhēng)議解決等均適用中華人民共和國(guó)法律。
The laws of the People’s Republic of China shall apply to the signing, execution, interpretation and dispute settlement of this contract.
6.2 甲、乙雙方因本合同而產(chǎn)生的爭(zhēng)議應(yīng)首先通過(guò)協(xié)商解決，不能協(xié)商解決的，任何一方均可提請(qǐng)北京仲裁委員會(huì)按該會(huì)仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均具有約束力（本條關(guān)于仲裁的規(guī)定，不得被解釋為對(duì)甲方按照本合同其他條款而采取相應(yīng)措施的限制）。
The contracting parties should first of all settle any dispute arising from this contract through consultation. If consultation fails, any of the contracting parties can apply to the Beijing Arbitration Committee for arbitration according to its arbitration rules. The arbitration decision is final and legally binding to both parties (this article on arbitration shall not be interpreted as a restriction on the corresponding measures Party A shall take in accordance with other terms of this contract).
7.稅費(fèi) Taxes
本合同在政府有關(guān)房管部門的租賃登記手續(xù)由雙方共同辦理，各自承擔(dān)依法應(yīng)由出租方或承租方承擔(dān)的各項(xiàng)稅費(fèi)。
The lease registration formalities of this contract with the government department in charge of housing administration shall be done together by the contracting parties and all the related taxes and fees shall be borne respectively by them according to law.
8.附件 Annexes
8.1 本合同未盡事宜，甲、乙雙方另訂補(bǔ)充協(xié)議或附件規(guī)定之，補(bǔ)充協(xié)議或附件是本合同不可分割的一部分，與本合同具同等法律效力。
Article 29 The contracting party shall sign a supplementary agreement or annexes to cover the matters that are not covered by this contract. The supplementary agreement or annexes shall constitute an inseparable part of this contract and shall carry the same legal force as long as they are signed by both Party A and Party B.
8.2 除本合同、補(bǔ)充協(xié)議或其附件規(guī)定的內(nèi)容外，其他一切有關(guān)大廈、大廈附屬物及所租房間的陳述，對(duì)甲方均無(wú)約束力。
No other statements concerning the plaza, the plaza’s appendage and the leased room, except this contract, the supplementary agreement or its annexes, shall be legally binding to Party A.
8.3乙方在簽署本合同時(shí)，應(yīng)提供其營(yíng)業(yè)執(zhí)照副本復(fù)印件（出示原件）、法定代表人授權(quán)委托書原件、乙方（或其法定代表人）身份證復(fù)印件（出示原件）；甲方應(yīng)提供所租房間的平面圖復(fù)印件。上述文件作為本合同的附件。
When Party B signs this contract, it should provide the photocopy of the duplicate copy of its business license (with the original copy produced), the original copy of the authorization of the legal representative, and the photocopy of the ID card of Party B or its legal representative (with the original copy produced); Party A should provide the photocopy of the plan of the leased room. All these documents shall become the annexes to this contract.
9.生效日及合同份數(shù)、文本 Effective date，Copies and Versioins
10.1 本合同自甲、乙雙方授權(quán)代表簽字并蓋章，且甲方收到乙方首付款之日起生效。
This contract shall enter into force as from the date when Party A receives Party B’s first payment after it is signed and sealed by the representatives authorized by the contracting parties.
9.2 本合同一式肆份，甲方執(zhí)叁份，乙方執(zhí)壹份，具有同等法律效力。
This contract is made in four copies, with three copies being for Party A and one copy for Party B. All these copies carry the same legal force.
9.3 合同為中英文對(duì)照版本，具有同等法律效力。如有理解不同之處以中文合同為準(zhǔn)。
This contract is made in a bilingual version of Chinese and English, with both languages having the same legal force. In case of any difference the Chinese version shall prevail.

5.5 若甲方統(tǒng)一安裝商業(yè)收費(fèi)系統(tǒng), 乙方應(yīng)無(wú)條件按照甲方要求使用甲方收銀系統(tǒng)。收銀系統(tǒng)的使用費(fèi)用及其他具體要求將由雙方簽訂補(bǔ)充協(xié)議約定，在任何合理范圍內(nèi)，乙方應(yīng)無(wú)條件接受甲方對(duì)于收銀系統(tǒng)的收費(fèi)標(biāo)準(zhǔn)和管理規(guī)定。
If Party A provides a commercial cashier system, Party B shall unconditionally use the system as per Party A’s requirements. The charge for using the system and other specific requirements shall be agreed by both parties in a supplemental agreement. To any reasonable extent, Party B shall unconditionally accept Party A’s charging standard for using the cashier system and relevant administrative regulations.
6.法律適用和爭(zhēng)議解決Legal Application and Dispute Settlement
6.1 本合同的簽訂、履行、解釋、爭(zhēng)議解決等均適用中華人民共和國(guó)法律。
The laws of the People’s Republic of China shall apply to the signing, execution, interpretation and dispute settlement of this contract.
6.2 甲、乙雙方因本合同而產(chǎn)生的爭(zhēng)議應(yīng)首先通過(guò)協(xié)商解決，不能協(xié)商解決的，任何一方均可提請(qǐng)北京仲裁委員會(huì)按該會(huì)仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均具有約束力（本條關(guān)于仲裁的規(guī)定，不得被解釋為對(duì)甲方按照本合同其他條款而采取相應(yīng)措施的限制）。
The contracting parties should first of all settle any dispute arising from this contract through consultation. If consultation fails, any of the contracting parties can apply to the Beijing Arbitration Committee for arbitration according to its arbitration rules. The arbitration decision is final and legally binding to both parties (this article on arbitration shall not be interpreted as a restriction on the corresponding measures Party A shall take in accordance with other terms of this contract).
7.稅費(fèi) Taxes
本合同在政府有關(guān)房管部門的租賃登記手續(xù)由雙方共同辦理，各自承擔(dān)依法應(yīng)由出租方或承租方承擔(dān)的各項(xiàng)稅費(fèi)。
The lease registration formalities of this contract with the government department in charge of housing administration shall be done together by the contracting parties and all the related taxes and fees shall be borne respectively by them according to law.
8.附件 Annexes
8.1 本合同未盡事宜，甲、乙雙方另訂補(bǔ)充協(xié)議或附件規(guī)定之，補(bǔ)充協(xié)議或附件是本合同不可分割的一部分，與本合同具同等法律效力。
Article 29 The contracting party shall sign a supplementary agreement or annexes to cover the matters that are not covered by this contract. The supplementary agreement or annexes shall constitute an inseparable part of this contract and shall carry the same legal force as long as they are signed by both Party A and Party B.
8.2 除本合同、補(bǔ)充協(xié)議或其附件規(guī)定的內(nèi)容外，其他一切有關(guān)大廈、大廈附屬物及所租房間的陳述，對(duì)甲方均無(wú)約束力。
No other statements concerning the plaza, the plaza’s appendage and the leased room, except this contract, the supplementary agreement or its annexes, shall be legally binding to Party A.
8.3乙方在簽署本合同時(shí)，應(yīng)提供其營(yíng)業(yè)執(zhí)照副本復(fù)印件（出示原件）、法定代表人授權(quán)委托書原件、乙方（或其法定代表人）身份證復(fù)印件（出示原件）；甲方應(yīng)提供所租房間的平面圖復(fù)印件。上述文件作為本合同的附件。
When Party B signs this contract, it should provide the photocopy of the duplicate copy of its business license (with the original copy produced), the original copy of the authorization of the legal representative, and the photocopy of the ID card of Party B or its legal representative (with the original copy produced); Party A should provide the photocopy of the plan of the leased room. All these documents shall become the annexes to this contract.
9.生效日及合同份數(shù)、文本 Effective date，Copies and Versioins
10.1 本合同自甲、乙雙方授權(quán)代表簽字并蓋章，且甲方收到乙方首付款之日起生效。
This contract shall enter into force as from the date when Party A receives Party B’s first payment after it is signed and sealed by the representatives authorized by the contracting parties.
9.2 本合同一式肆份，甲方執(zhí)叁份，乙方執(zhí)壹份，具有同等法律效力。
This contract is made in four copies, with three copies being for Party A and one copy for Party B. All these copies carry the same legal force.
9.3 合同為中英文對(duì)照版本，具有同等法律效力。如有理解不同之處以中文合同為準(zhǔn)。
This contract is made in a bilingual version of Chinese and English, with both languages having the same legal force. In case of any difference the Chinese version shall prevail.
