Company Name: Bbier Lighting Co.,ltd Hereinafter referred to as “BBIER”

 BBIER and Dealer are hereinafter referred to as "Parties"

以下比爾照明及分銷商簡稱為“雙方”

 

Preamble序文

Whereas BBIER wishes to implement an effective dealer system world wide by utilizing capacities of various companies and Whereas Distributor agrees to market products of BBIER for

the benefit of both Parties, it is HEREBY in consideration of the mutual covenants and agreements

as hereinafter set forth agreed as follows:

鑒于比爾照明欲借其它公司的能力以實施一個有效的全球分銷系統(tǒng)，而同意基于雙方利益銷售產(chǎn)品，特此簽訂如下協(xié)議：

 

1. Subject of the Agreement 協(xié)議目標

1.1 BBIER hereby grants Distributor right to sell the products and services (hereinafter referred to

as the "BBIER Lighting Product”) in ____.

1.1比爾照明授權(quán)于分銷商在____銷售其產(chǎn)品及提供服務(wù)（以下指“比爾照明產(chǎn)品”）。

(a) BBIER will provide a list of companies it is supplying to and will introduce ___ to all its clients in this region that ____ is the distributor of BBIER in___. Distributor will update BBIER with the progress of communication with those companies in the form of quarterly report of all customers and prospective customer.

比爾照明將把正在合作中的_____客戶清單發(fā)給____, 并把____轉(zhuǎn)介紹給這些客戶,并向這些客戶說明: ____將作為比爾照明在____的分銷商.分銷商將在季度報告中反饋這些客戶的溝通開發(fā)狀況.

 

(b) Dealer shall not sell, distribute or promote the sales of any products competitive with or similar to Bbier products in the above territory.

分銷商不能在上述地區(qū)銷售與比爾產(chǎn)品相競爭或類似的產(chǎn)品.

 

(C) For the clients from ____ who have already imported LED power supply from BBIER, or even already set up their buying office in China or HK, they are free to buy from dealer or directly

from BBIER. BBIER offer more competitive prices to Distributor to protect its reasonable profit.

對于已經(jīng)在比爾購買過產(chǎn)品的 ,或者在香港或中國設(shè)有采購辦事處的____地區(qū)的客戶,他們可自由選擇是從分銷商購買或是直接從比爾照明購買. 比爾照明將為分銷商提供更有比爾照明將為分銷商提供更有競爭力的價格保證其合理的利潤.

 1.2 Dealer shall use its best efforts to promote sales of BBIER Lighting in _____.

 分銷商應(yīng)當(dāng)盡其所能推動比爾照明在____市場之銷售。

 

2. Relationship 雙方關(guān)系

2.1 Dealer shall conduct its business and perform transactions only in its own name and on its own account and at its own risk.

分銷商應(yīng)當(dāng)使用自己公司名、本公司帳號并由自己公司自擔(dān)風(fēng)險經(jīng)營生意及履行合同

 

2.2 Dealer shall not assume any obligations in the name or on the account of BBIER and shall not make any representations or warranties on behalf of BBIER unless expressly so authorized. Distributor shall be considered as an independent contractor.

除非比爾照明明確授權(quán)，分銷商不應(yīng)當(dāng)以比爾照明之名或帳戶作出任何擔(dān)保。分銷商應(yīng)當(dāng)被看成一個獨立的合同人。

 

3. Sales Activities, Sales Targets 銷售活動、銷售目標

3.1 Distributor shall use its best efforts to promote and sell BBIER Lighting and agrees to maintain the organization necessary along with adequate sales and technical support personnel and

to engage in promotion activities in order to provide for aggressive marketing of the BBIER Lighting product.

分銷商應(yīng)當(dāng)盡其所能促進及銷售比爾照明產(chǎn)品，并同意盡量保持充足的銷售及技術(shù)支持人員，進行促銷活動，以便為產(chǎn)品提供積極的營銷。

 

3.2 BBIER shall furnish Distributor free of charge with product lists, other sales literature and with sales aids in appropriate quantities in English, distributor can use BBIER logo on its business card within sales activity. BBIER shall upon request of Dealer and at terms and conditions to be agreed upon on a case by case basis, assist Distributor in specific promotional activities.

比爾照明應(yīng)當(dāng)向分銷商免費提供適當(dāng)數(shù)量的英文產(chǎn)品清單、其它產(chǎn)品印刷品及銷售援助，分銷商可以在名片上印比爾照明的 LOGO，但僅限于從事銷售活動。比爾照明應(yīng)當(dāng)根據(jù)分銷商的要求并在雙方同意的條件下，協(xié)助分銷商進行具體的促銷活動

 

3.3 BBIER shall provide Dealer adequate technical service if and when necessary, subject to mutual prior agreement.

基于雙方協(xié)議，如果可能，比爾照明應(yīng)向分銷商提供足夠的技術(shù)服務(wù)。

 

3.4 BBIER agrees to provide reasonable sales and technical training on the Lighting Product for

Distributor’s personnel.

比爾照明同意向分銷商提供合理的產(chǎn)品銷售及技術(shù)培訓(xùn)。

 

3.5 BBIER will transfer future business leads from these two countries to Dealer(internet inquiries, direct inquiries by e‐mail, at fairs etc). Dealer will provide feedback on all business leads that BBIER will have sent.

比爾照明將向分銷商分享未來的一些貿(mào)易信息(如網(wǎng)絡(luò)詢價,直接郵件詢盤, 展會詢盤),而分銷商將這些信息的跟蹤結(jié)果反饋給比爾照明.

 

3.6 For annual agreement sales targets shall be mutually agreed between Dealer and BBIER. The target in 2016 since both sides reach the agreement should be reach to ____ ; target for 2017 should be____. Dealer shall use its best endeavors to reach these targets.

根據(jù)雙方條款，分銷商應(yīng)盡力達成年度銷售目標。自本合約簽定之日起第一年內(nèi)銷售目標最低為___萬美金，第二年最低為___萬美金。

 

3.7 Both will maintain a list of Design‐Wins; so that no matter purchase order is from ____Company or any Global Distributor or any OEM, BBIER will pay ____% Design‐Win fee as long as the customer purchases this item or during the project life.

雙方將達成“設(shè)計-雙贏”的客戶清單，無論客戶是來自____或是其他國家, 只要客戶繼續(xù)購買或此項目未截止, 比爾照明將一直向分銷商支付____%的所得。

 

4. Inventory產(chǎn)品庫存

4.1 Dealer shall maintain sufficient stock of the Lighing Product as to be able to provide prompt deliveries to its customers and satisfy the market requirements.

分銷商應(yīng)保持足夠的庫存以提供及時交貨給客戶，滿足市場要求。

 

5. Pricing, Terms of Payment, Price Changes 價格，付款條件，價格變動

5.1 Prices for the LED Lighting to be purchased by Dealer shall be as set forth within the valid price list provided by BBIER on periodic basis. Prices shall be “FOB Shenzhen”, and include packaging （Remark Purchase order amount more than 20.000 RMB）.Every time BBIER update its standard price list with Distributor, Distributor shall update prices for direct buyers as well.The price for distributor should be at least 10% lower than the price for direct buyers (from ___ ) of BBIER

分銷商購買的產(chǎn)品價格應(yīng)在比爾提供的有效產(chǎn)品價格單期間內(nèi)，價格為“FOB 深圳”，包括包裝（備注：訂單金額不小于20000 人民幣）。比爾照明向分銷商更新價格時,分銷商應(yīng)向其直接客戶更新價格. 分銷商購買的產(chǎn)品價格應(yīng)比其他___的客戶直接從比爾照明購買的價格至少低10%.

 

5.2 Dealer shall pay 100% in advance before shipment; all payments shall be made in USD, except that it is agreed upon otherwise, to the bank account of BBIER. The future payment terms

shall be discussed between two parties.

本合約簽定之日起，雙方交易應(yīng)當(dāng)發(fā)貨前 100%付款，所有款項以美金支付到比爾照明帳戶,除雙方另有協(xié)定外。未來的支付方式，雙方可協(xié)商。

 

6. Orders, Deliveries, Returns 訂單、交貨、退貨

6.1 BBIER shall use reasonable efforts to adhere to delivery schedules requested by Dealer and shall inform Dealer without delay of unforeseen or unsuspected circumstances preventing such timely delivery. In case BBIER cannot adhere to the agreed delivery date, it shall without delay inform Dealer and Parties shall confirm a reasonable grace period.

應(yīng)要求，比爾照明應(yīng)盡力達成預(yù)訂的交期，因意外或無法預(yù)見的狀況導(dǎo)致交貨延遲需及時通知,一旦比爾照明無法達成雙方約定的交期，應(yīng)當(dāng)立即通知分銷商確定合理的寬限期。

 

6.2 In the event that BBIER determines to discontinue the production of a LED Lighting product,

BBIER shall inform Dealer hereof in writing three months prior to the last possible delivery date due to such discontinuance. Distributor may, in order to cover its remaining demand, place orders until three months after receipt of such discontinuation notice at the latest.

當(dāng)比爾照明停止生產(chǎn)一種產(chǎn)品時，應(yīng)以書面形式在最后的交貨日期前三個月通知，為了滿足剩余訂單的需求，收到停止生產(chǎn)后的三個月內(nèi)下達最新訂單。

 

6.3 All orders placed by Dealer shall be acknowledged by BBIER. Delivery schedules by BBIER shall be confirmed by Dealer.

分銷商下達的所有訂單，應(yīng)與比爾照明確認；比爾照明的所有交貨計劃應(yīng)與分銷商進行確認。

 

7. Title and Risk 權(quán)利與風(fēng)險

7.1 BBIER retains title to the LED Lighting product until it has received from Dealer all payments due for such LED lighting product, provided, such retention of the title to the LED lighting product is solely for the security of the payment from the Dealer and risk of loss of the LED lighting product shall pass to Dealer upon delivery thereof to Dealer.

在收到付款之前，比爾照明擁有對該產(chǎn)品所有權(quán)。保留該產(chǎn)品的所有權(quán)是為付款安全及產(chǎn)品風(fēng)險，只有在交貨之后，產(chǎn)品所有權(quán)才轉(zhuǎn)移至分銷商。

 

8. Use of the Name and Trademark of BBIER比爾照明商標和名稱的使用

8.1 No reference to the trade name and trademark BBIER shall be made on Dealer's stationery, sales promotion, public occasion, internet publicity, media or other written material, without the prior written approval of BBIER. This approval may be revoked by BBIER at any time.

未經(jīng)比爾照明書面同意，不可在其信箋、促銷、公開場合、網(wǎng)絡(luò)宣傳、媒體平面資料及其書面材料上使用比爾照明名稱及商標。

 

8.2 Dealer shall not, during the term of this Agreement or after its expiration or termination, register or apply to register any trademarks or service marks which are identical to or similar with BBIER’s trademarks and/or service marks.

在協(xié)議期間或期滿或協(xié)議終止后，不得注冊或申請與任何比爾照明相同或相似的商標或服務(wù)標記。

 

8.3 Unless otherwise agreed between the parties, upon termination of this Agreement, Dealer shall immediately cease to use in any manner whatsoever the trade name and trademark BBIER as well as any other trade names or trademarks in which BBIER has any rights.

本協(xié)議終止后，應(yīng)立即停止以任何方式使用比爾照明名稱及商標，及比爾照明擁有任何權(quán)利的其它任何產(chǎn)品商標及商標名稱，雙方另有約定除外。

 

9. Advertising 廣告宣傳

9.1 Dealer shall advertise and promote the LED Lighting Product in a manner intended to achieve optimum development of the business and in accordance with BBIER’s advertising directives. Distributor shall agree any major advertising campaign with BBIER.

應(yīng)在一定程度上宣傳及推銷比爾照明產(chǎn)品并與比爾照明廣告方向一致，以達成良好發(fā)展, 分銷商應(yīng)同意比爾照明的任何主要廣告宣傳活動。

 

9.2 Following agreement by the Parties, BBIER shall advise Dealer concerning planning, organizing and implementation of advertising for the LED Ligthing product. In addition, BBIER shall supply Dealer with sufficient advertising material and other documents needed for Dealer's own production of advertising material.

按雙方協(xié)定，關(guān)于產(chǎn)品的計劃、組織、實施及宣傳，比爾照明應(yīng)告知分銷商。比爾照明應(yīng)提供宣傳使用的足夠的廣告材料樣本及其它必需的素材供分銷商做宣傳材料。

 

10. Warranty. 保證

10.1 BBIER warrants that the LED Lighting product materially comply with the specifications provided by BBIER, are of merchantable quality and fit for purpose, and free from defects, provided that BBIER shall not be responsible for defects arising out of parts, software, design, materials or instructions provided by Dealer or its customers.

比爾照明保證產(chǎn)品材料按照比爾照明提供的規(guī)格書生產(chǎn)，并保證品質(zhì)可用于銷售目的，且無缺陷。如因分銷商或其客戶提供的零件、軟件、設(shè)計、材料或指示造成產(chǎn)品缺陷，比爾照明不承擔(dān)責(zé)任。

 

10.2 For indoor (plastic case) and open frame LED Lighting product , the warranty period shall be thirty‐nine months（including 3 months shipping time）starting on the date of delivery to Distributor. For outdoor LED Lighting product (aluminum case), the warranty period shall be sixty months（including 3 months shipping time）starting on the date of delivery to Dealer. Under

special circumstances (such as low cost solution), BBIER shall notice Dealer in advance.

室內(nèi)（塑料膠殼）及裸板電源保修期限為向交貨之日起 39 個月(包括 3 個月運輸期)；室外電源（金屬鋁殼）保修期限為向交貨之日起60 個月(包括 3 個月運輸期)。如遇特殊情況（如低成本方案），比爾照明應(yīng)提前通知。

 

10.3 BBIER shall take relevant responsibilities for the quality issue which caused by BBIER,and

cooperate with Dealer to solve the quality issue and satisfy customers.

因比爾照明造成的品質(zhì)問題，比爾照明應(yīng)承擔(dān)相應(yīng)的責(zé)任并積極配合處理，盡最大努力使客戶滿意。

 

10.4 BBIER shall take relevant responsibilities for the loss of Dealer, arising out of the LED Lighting product purchased from BBIER and the quality or intellectual property right dispute judged by the arbitration institution as appointed in this Agreement.

比爾照明所售產(chǎn)品由本協(xié)議約定的仲裁機構(gòu)判定，應(yīng)歸責(zé)于比爾照明的品質(zhì)責(zé)任或知識產(chǎn)權(quán)爭議，給造成的損失，由比爾照明承擔(dān)相應(yīng)的責(zé)任。

 

(a) The dispute arising out of the LED Lighting product quality or intellectual property right;

產(chǎn)品品質(zhì)問題和知識產(chǎn)權(quán)問題引起的糾紛；

 

(b)It shall be resolved by the arbitration institution appointed in this Agreement with the China International Economic and Trade Arbitration Commission that it is indeed BBIER’s responsibility;

必須由本協(xié)議約定的仲裁機構(gòu)（中國國際經(jīng)濟貿(mào)易仲裁委員會）判定確實屬于比爾照明責(zé)任；

 

(c) BBIER shall bear corresponding responsibility for compensation according to the judgment of this arbitration institution;

根據(jù)該仲裁機構(gòu)的判定承擔(dān)相應(yīng)的賠償責(zé)任；

 

11. Term and Termination 協(xié)議條款及終止

11.1協(xié)議自簽署之日起生效，有效期三年。This Agreement shall become effective on the date of signature and shall be valid for three years. BBIER shall be entitled to terminate this Agreement in advance without being in breach of contract, if the Dealer has not reached ___ in one year after signing this Agreement.

協(xié)議自簽署之日起生效，有效期三年。若在協(xié)議簽署后一年內(nèi)銷售額未達到____，比爾照明可視情況提前終止本協(xié)議，不構(gòu)成違約。

 

11.2 Either Party is entitled to terminate this Agreement by written notice with immediate effect if:

如發(fā)生以下狀況，任何一方有權(quán)以書面通知的形式終止本協(xié)議，并立即生效：

 

(a)The other Party becomes insolvent or otherwise proceeds in bankruptcy; and

另一方破產(chǎn)或正在申請破產(chǎn)；

 

(b)The other Party has materially breached its obligations under this Agreement and fails to cure such breach within thirty (30) days from the receipt of a written notice of the non‐breaching Party.

另一方實質(zhì)上違反本協(xié)議義務(wù)并于收到守約方書面通知 30 日內(nèi)未實行彌補措施。

 

11.3 Dealer shouldn´t become dealer of another company who has same product range as BBIER, to avoid market cnflicts. In case of Distributor doesn´t want to continue the business of LED Lighting, or Dealer has a plan to acquisition of another LED Lighting company, the Dealer should

notice BBIER three months in advance.Otherwise, BBIER shall terminate this Agreement without being in breach of contract, and take charge of all the customers, Distributor should not cooperate

with them within eighteen(18) months.

分銷商不得直接或間接與比爾照明從事相同行業(yè)的任何實體進行任何形式的合作，比爾照明有權(quán)要求停止此種違約行為。如遇特殊情況（如客戶出現(xiàn)合并，且其中一方為LED 照明企業(yè)的），應(yīng)提前告知比爾照明。否則比爾照明有權(quán)與終止合同，不構(gòu)成違約，并且接手所有客戶，在 18 個月內(nèi)不可與這些客戶進行任何形式的合作。

 

11.4 Dealer is in arrears with respect to its payment obligations (e.g. the account is more than 30 days overdue) and fails to make payment within ten (10) days from the receipt of written notice of

BBIER. Distributor must pay extra 0.1% per day of the total amount payment from the deadline.

分銷商拖欠履行付款義務(wù)（例如延期 30 天）或收到比爾照明書面通知后10 日內(nèi)不予付款的，逾期付款的按應(yīng)付款項的日千分之一向比爾照明支付違約金。

 

11.5 In the event either Party issues a termination notice to the other Party, BBIER reserves the right to change the payment terms for all outstanding orders in its own discretion, whether those orders were already accepted by BBIER at the time the termination notice is served or not. BBIER’s right to change the payment terms shall apply irrespective of what the Parties have agreed in clause 6.2 above.

任何一方發(fā)出合作終止通知給另一方，比爾照明保留自行更改未完成訂單付款條件權(quán)利，不管那些訂單是否在發(fā)出合作終止通知時已經(jīng)被比爾照明接受。比爾照明更改付款條件的權(quán)利，不受以上 6.2 條款的影響。

 

11.6 Dealer shall be entitled to sell LED Ligthting product it purchased from BBIER even after the

termination of this Agreement. After contract termination between BBIER and Dealer, BBIER will

pay Dealer amount of commission if BBIER continues to cooperate with clients which Dealer introduced to BBIER, commission rate need to be determined between BBIER and Dealer.

即使本協(xié)議終止，有權(quán)出售自比爾照明采購的產(chǎn)品。在與比爾照明解除合約后，若比爾照明繼續(xù)與介紹的客戶合作，需付一定比例的傭金，具體傭金比例由雙方協(xié)商確定。

 

12. Notices 通知

All notices which any of the Parties is required or desires to serve upon the others pursuant to the terms of this Agreement shall be in writing and shall be delivered to the following addresses:

按照協(xié)議，雙方來往函件應(yīng)當(dāng)以書面形式遞送以下地址：

 

13. Dispute Resolution 爭端解決

The Parties shall, in good faith, make an effort to settle amicably any dispute or difference arising out of or resulting from this Agreement, its Annexes or ancillary agreements regarding its performance. Any claims, differences or disputes arising out of or in connection with this Agreement shall be referred to and finally resolved by arbitration with the China International Economic and Trade Arbitration Commission, South China Branch.

協(xié)議雙方應(yīng)當(dāng)真誠的，友好的努力解決任何因此協(xié)議、附件或有關(guān)實施的輔助協(xié)議產(chǎn)生的任何爭端。任何由此或與此協(xié)議有關(guān)的索賠、分歧或爭端應(yīng)當(dāng)最終交由中國國際經(jīng)濟貿(mào)易委員會華南分會仲裁解決。

 

14. Applicable Law 適用法律

The contractual relations between the Parties shall be governed by the provisions of this Agreement and all other agreements regarding its performance, and any dispute arising from this contract shall apply to laws of the People's Republic of China.

合同雙方應(yīng)當(dāng)遵守協(xié)議條款及其它有關(guān)實施的協(xié)議，因本合同引起的爭議，適用中華人民共和國法律。

 

15. Miscellaneous 其它

15.1 Modifications of or amendments to this Agreement shall be valid only when made in writing.

只有經(jīng)書面修改或修正協(xié)議才有效。

 

15.2 Distributor shall not assign, transfer or delegate any rights arising from this Agreement to third parties without the prior written consent of BBIER.

分銷商未經(jīng)茂比爾照明面許可，不可將本協(xié)議任何權(quán)利指定、轉(zhuǎn)讓或授權(quán)給第三方。

 

15.3 If individual provisions of this Agreement be found to be legally void or unfeasible, the validity of the remaining Agreement shall not be affected thereby. In such a case the Parties shall endeavor to substitute the provisions concerned by a provision considered substantially equivalent

in economic terms.

如發(fā)現(xiàn)個別條款在法律上是無效的或不可行，剩余條款有效性不會因此而受到影響。在這種情況下合同雙方應(yīng)努力以一種被認為在經(jīng)濟上基本等同的條款替代相關(guān)條款。

 

15.4 The matters haven’t mentioned in this contract, must be resolved through consultation by Parties. BBIER reserves the final interpretation.

未盡事宜，由雙方協(xié)商解決，比爾照明對該協(xié)議保留最終解釋權(quán)。

 

15.5 After being signed by both parties, this agreement will come into valid from ____, to _____ (The validity time of the quotation is not inclusive) Either party shall notify the other party whether renew the contract in writing not less than one month prior to the termination date. Any amendment or alteration of this agreement shall be effective unless it is made in written form and signed by both parties.

本協(xié)議經(jīng)雙方簽署后生效，協(xié)議有效期從 ___年___月___日至___年___ 月__日(注：價格有效期不包含在內(nèi))。協(xié)議有效期屆滿前，一方應(yīng)至少提前一個月書面通知對方是否續(xù)約。未經(jīng)雙方書面簽章批準，對本協(xié)議的任何修改都是無效的。
