This Contract for project of installing Main Engine is made on 6th May 2011 by and between Ningbo Port Construction Company Ltd. （hereinafter called Party A） and Germany Engine Company Ltd. （herein after called Party B）.

于2011年5月6日，由寧波港口建設(shè)有限公司（以下簡稱甲方）與德國某機(jī)電設(shè)備有限公司公司（以下簡稱乙方）簽訂此合同。

 

1.Name of project： Installation of Main Engine

工程名稱: 主機(jī)安裝

 

2.Location of project：Ningbo Port

工程地點(diǎn)：寧波港

 

3.Scope of project：As specified in the drawings and statement attached.

 工程范圍：參見合同所附施工圖及結(jié)算表。

 

4.Time limit for completion：完工期限/工期

The project shall coordinate with the civil engineering building of the port in Party A and shall be completed，including the trial run for 20 days, within 250 days after the completion of the civil construction.

工程安裝應(yīng)當(dāng)配合甲方在港口的土建工程，在土建工程完成后250天之內(nèi)完工，其中包括20天的試運(yùn)行。

 

5.Total price of project：

工程總價：1 千萬  美元整_10,000,000 U.S. D only.

 

6.Payment terms of project：工程付款條件：

 

First installment：一期工程：

Party A shall pay to Party B fifteen percent of the total price for installation work， i.e.1,500,000 U.S.D only， when this contract comes into effect.

自合同生效起，甲方應(yīng)當(dāng)支付乙方工程總價的15%，即150萬美元整。

 

Second installment：二期工程

Party A shall pay to Party B fifteen percent of the total price for installation work， i.e. .1,500,000 U. S. D. only， at the commencement of construction installation.

本工程進(jìn)行中，甲方應(yīng)當(dāng)支付乙方工程總價的15%，即150萬美元整。

 

Third installment：三期工程

Party A shall pay to Party B ten percent of the total price for project， i.e. .1,500,000 U. S. D. only，during the installation of pipes.

在管道安裝期間，甲方應(yīng)當(dāng)支付乙方工程總價的15%，即150萬美元整。

 

Fourth installment：四期工程

Party A shall pay to Party B forty percent of the total price for project， i.e. 4,000,000U. S. D. only，at the time when the main equipment arrives at the site.

主要設(shè)備到達(dá)施工地時，甲方應(yīng)當(dāng)支付乙方工程總價的40%，即400萬美元整。

 

Fifth installment：五期工程

Party A shall pay to Party B ten percent of the total price for project，i.e. 1,000,000 U. S. D. only， upon completion of the project.

工程完工后，甲方應(yīng)當(dāng)支付乙方工程總價的10%，即100萬美元整。

 

Sixth installment：六期工程

Party A shall pay to Party B ten percent of the difference of the price for project， i.e. 1,000,000 U. S. D. only，after the work received has been proved qualified.

工程驗收合格后，甲方應(yīng)支付乙方工程尾款的10%，即100萬美元整。

 

7.Penalty for default：違約：

In the event Party B fail to complete the work in time owing to reasons that Party B shall be held liable， Party B shall pay a penalty for such default based on one out of a thousand of the total price for project per day, i.e.10,000 U.S.D， only for each day of such default.

工程期間，因乙方原因未能按期完工，乙方應(yīng)當(dāng)承擔(dān)責(zé)任，并每一天按合同總額的千分之一支付甲方違約金，即壹萬美元整。

 

8.Increase or decrease of work：工程量的增減

All extra or additional work done or work omitted by Party A shall be valued at the rates and prices set out in the Contract．If the Contract does not contain any rates or prices applicable to the extra or additional work，then suitable rates or prices shall be agreed upon between the Parties hereto．

凡由甲方要求增減的工程，均應(yīng)按合同價格予以估價。如合同所列的價格不適用所增減的工程，應(yīng)由雙方協(xié)商出合適的價格。

 

9.Supervision for progress：工期/工程進(jìn)度監(jiān)督

 

10.Stopage work：工程停工

The Party B shall, on the instructions of the Party A, suspend the progress of the Works or any part, during such susn, properly protect and secure the Works or such part thereof. Any extension of time and price in relation to the stoppage work shall be born by the Party A.

乙方應(yīng)根據(jù)甲方的指示、時間和方式暫停工程或其任何部分的進(jìn)展，在暫時停工期間乙方應(yīng)對工程對其一部分進(jìn)行必要的保護(hù)和安全保障。任何由此類暫時停工引起的時間和合同價格中增加由承包商承擔(dān)。

 

11.Supervision of work：工程監(jiān)理

14、Maintenance of Main Engine主機(jī)維護(hù)

Party B shall provide free periodic maintenance service for the Main Engine for one year after the receiving of the work by Party A and send maintenance personnel every one month for performing maintenance.

工程驗收合格后，乙方應(yīng)當(dāng)在一年內(nèi)對主機(jī)提供免費(fèi)定期維護(hù)并每一個月派專業(yè)人員進(jìn)行維護(hù)。

 

15.Attachments ：附件

Attachments shall become an integral part of this contract and shall be as effective as any other provisions. Attachments include：the drawings and the estimate of cost.

附件為此合同組成部分且與本合同其他規(guī)定具有同等法律效力。附件包括：施工圖  估價單

 

16.Format of this contract：合同份數(shù)

The contract shall be in duplicate with two texts to be held separately by the Parties hereof. Each of the Parties shall also keep two copies of the contract for record.

本合同一式兩份，雙方各執(zhí)一份。各保存兩份合同副本，存檔備查。

 

17. This contract has been executed by the Parties as of the day and year first above written.

本合同自/于甲乙雙方簽字之日起生效。
