甲方：日本某相機制造公司 (下稱：甲方)

Party A: The manufacturer of Digital Camera  (hereinafter called Party A)

地址；日本 東京    Address: Tokyo, Japan

 

乙方：中國南京某無線電廠  (下稱：乙方) 

Party B: The Manufacturer of Wireless Products  (hereinafter called Party B)

 

本協(xié)議由地址在日本東京的某相機制造公司與中國南京的某無線電廠簽訂，按照下列條款，甲方委托乙方采用甲方提供的必需零件和材料在南京組裝數(shù)碼照相機。

This Agreement is entered into by The manufacturer of Digital Camera in Tokyo Japan and The Manufacturer of Wireless Products in Nanjing China. Party A shall entrusts party B with the manufacturing of Digital Camera with all necessary parts and materials supplied by Party A under the terms and conditions specified as follows:

 

1、加工的商品及數(shù)量 Commodity and Quantities for Processing Commodity

商品：數(shù)碼照相機  Products: Digital Camera

 

數(shù)量：總數(shù)為壹萬臺，分為兩個型號。

Quantity: 10,000 sets in total with two models.

 

2、甲方向乙方提供組裝兩個型號的10，000臺數(shù)碼照相機所需的全部零件和材料，均按本協(xié)議所附清單辦理。

All necessary parts and materials for assembling 10,000 sets in total with two models supplied by Party A to Party B are as per the list attached hereto.

 

3、每種型號數(shù)碼照相機的加工組裝費如下The processing charge for each model is as follows

 

型號：A1型數(shù)碼照相機每臺加工組裝費為：100美元；

The processing charge for Model A1 is 100 US Dollar;

 

型號：A2型數(shù)碼照相機每臺加工組裝費為：120美元；

The processing charge for Model A2 is 120 US Dollar;

 

4、零件和材料Parts and Materials

加工所需要的零件和物料由甲方運到南京，倘若零件和物料短缺或損壞，甲方負責(zé)補齊或更換。

The parts, consumption articles and materials required for processing will be sent to Nanjing by Party A, and if there is any shortage or breakage of these parts and materials, Party A shall be held responsible for supplying additional replacements.

 

5、付款Payments

在成品裝運前一個月，甲方以信用證或電匯支付乙方全部加工費用。

Party A shall pay Party B by L/C or T/T covering the full amount of processing charges one month before the shipment of the finished products concerned.

 

6、裝運Shipment

乙方必須在雙方約定的時間內(nèi)完成數(shù)碼照相機的加工組裝和交貨，但若發(fā)生不可抗力事故時除外（關(guān)于裝運的詳細規(guī)定請見附錄1）。

Party B must complete the assembling of all digital cameras and effect shipment within the date mutually agreed by the two parties without any delay unless any unforeseen circumstance occurs which is beyond control. (For details, see Appendix 1)

 

7、零件和材料的損壞率The damage rate of parts and materials

在加工中，零件和材料的損壞率是2 ％，此部分零件和材料由甲方供應(yīng)。若損壞率超過2％，則超額部分的零件和材料費用由乙方承擔(dān)。

The damage rate of parts and materials in processing is allowed within 2 % and such a rate of spare parts and materials shall be supplied free by Party A. Should the damage rate surpass 2 % , Party B shall bear the costs of the expense surpassing such.

 

8、若零件或材料型號誤發(fā)，乙方應(yīng)該向甲方退還全部錯發(fā)貨物，費用由甲方負擔(dān)。

Should a wrong shipment of materials or parts be sent by party A, Party B shall return to Party A for complete replacement at the expense of Party A.

 

9、乙方必須嚴格按照甲方規(guī)定的設(shè)計，使用甲方提供的零件和材料，加工組裝數(shù)碼照相機。

All parts and materials supplied by Party A for assembling camera shall be processed by Party B strictly according to the design specified by Party A.

 

10、技術(shù)服務(wù)Technical Service:

若乙方需要，甲方同意隨時派遣技術(shù)人員到中國幫助培訓(xùn)乙方技術(shù)人員，并該技術(shù)人員留在乙方檢驗成品。

Party A agrees to dispatch technicians to China to help train the technicians of Party B at the request of the latter at anytime and allows the said technicians to remain with Party B for inspection of finished products.

 

11、有關(guān)本協(xié)議的進出口手續(xù)由乙方同中華人民共和國政府辦理。

All import and export procedures in connection with this con-tract shall be taken by Party B with the government of PRC.

 

12、乙方根據(jù)甲方的指示把全部數(shù)碼照相機發(fā)運到國外買主，甲方承擔(dān)由此所發(fā)生的一切費用。

All Digital Camera processed by Party B shall be shipped to the foreign buyers appointed by Party A according to instructions given by Party A in due time, and the expenses occurred therein shall be borne by Party A.

 

13、包裝：聚乙烯袋包裝，然后每一紙盒裝一臺，10紙盒裝一出口紙箱。

Packing: One set is to be packed in a poly bag, and then packed in a paper box; 10 paper boxes are to be packed in an export car-ton.

 

14、保險Insurance:

甲方負責(zé)對材料和成品保險。若甲方要求，乙方可代為保險，甲方負擔(dān)費用。

Party A shall insurance both the materials and finished products. Or upon Party A's request, Party B will attend to the insurance at Party A's expenses.

 

15、其他條款：Other Terms and Conditions:

數(shù)碼照相機的商標全部由甲方提供，若發(fā)生違法事件，甲方對其承擔(dān)全部法律責(zé)任。

The trademarks of Digital Camera will be supplied by Party A and should there be any illegal involvement, Party A is to be held fully responsible.

 

若需要在中國購買零件和材料，其質(zhì)量必須符合標準，并須經(jīng)甲方同意。

All the parts and materials, if necessary, purchased in China by Party B for Digital Camera, their quality must measure up to standards and be approved by Party A beforehand.

 

附件1是本協(xié)議的不可分割部分。

Appendix 1 is an integral part of this contract.

 

16、仲裁 Arbitration

凡因執(zhí)行本合同所發(fā)上的或與合同有關(guān)的一切爭議，雙方應(yīng)友好協(xié)商解決。如果協(xié)商不能解決應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會進行仲裁的、仲裁裁決是終局的，對雙方都有約束力。仲裁費用除另有裁決外由敗訴一方承擔(dān)。

All disputes in connection with the contract or the execution thereof, shall be settled amicable by negotiation. In case no settlement can be reached, the case under dispute may then be submitted to the “China International Economic and Trade Arbitration Commission” for arbitration. The decision made by the Commission shall be accepted as final binding upon both parties for setting the dispute. The fees, for arbitration shall be borne by the losing party unless otherwise awarded.

 

17、本協(xié)議一式2份，甲、乙雙方各執(zhí)一份。

This contract is made in duplicate and Party A and Party B retain one copy respectively.
