CHINA NATIONAL TEXTILES IMP. & EXP. CORP. ( hereafter called Silk branch  )

和and

COLONIAL CORPORATION OF AMERICA ( hereafter called Colonial )

美國(guó)COLONIAL公司（以下稱：COLONIAL）

 

The Object : Processing Cotton Lined Nylon Jackets

業(yè)務(wù)主題：加工棉質(zhì)內(nèi)襯尼龍夾克

 

Pursuant to our agreement of march 7, 2006, this Memorandum will establish Colonial views on some of the principle issues discussed during our meetings and will serve as a basis for future discussions on, or before early October, 2006.

根據(jù)雙方于2006年3月7日達(dá)成的協(xié)議，COLONIAL公司將在備忘錄就針對(duì)與會(huì)期間在一些重要問(wèn)題的討論上明確觀點(diǎn)， 并以此作為從2006年10月之前以至今后所有協(xié)商之依據(jù)。

 

1）COLONIAL CORPORATION OF AMERICA ( hereafter called Colonial ) will enter into a compensation trade agreement with Shanghai Silk branch of CHINA NATIONAL TEXTILES IMP. & EXP. CORP. ( hereafter called Silk branch  ) to provide the necessary machinery, technical expertise and support services for a factory to produce exclusively for Colonial cotton lined nylon jackets, or other products,  at planned lever of not less than 75 000 dozen （12 pieces per dozen）annually.

1）為完成至少75 000打（即每打12件）年產(chǎn)量的計(jì)劃指標(biāo)，美國(guó)COLONIAL公司（以下稱“COLONIAL“）將與分屬于中國(guó)紡織品進(jìn)出口公司的上海絲綢制品公司（以下稱“上海絲綢“）達(dá)成協(xié)議為一家工廠僅生產(chǎn)Colonial品牌的棉質(zhì)內(nèi)襯尼龍夾克及其他產(chǎn)品提供所需生產(chǎn)設(shè)備，技術(shù)支持及服務(wù)。

 

2）Our purpose of this venture is to provide Silk branch with a factory which will be world competitive in its efficiency and output capability; and will serve for Silk branch, as a model factory for future factory development.

2）我們的合作初衷是將為上海絲綢提供一座在產(chǎn)能效益方面極具國(guó)際競(jìng)爭(zhēng)潛力的工廠。今后，上海絲綢的廠房改造擴(kuò)建都將以此作為模板進(jìn)行建設(shè)發(fā)展。

 

3）Colonial will participate in this venture out of a desire to demonstrate its friendship and confidence in China, and, to be a part of China’s future growth as a textile and garment suppliers to the world.

3）出于表示友誼和對(duì)中國(guó)信任的心愿，COLONIAL將參與此次合作事宜，并有望加入為中國(guó)今后成為全球紡織品服裝供應(yīng)大戶的服務(wù)行列中。

 

4）It should be recognized that the intent of this agreement is to benefit both participants, Silk branch to receive from Colonial the most modern machinery and technology available, and exceed in total cost what Colonial pays for that same product produced in its other non-U.S. facilities.

4）很明顯此協(xié)議充分體現(xiàn)的雙方互利原則，上海絲綢可以得到COLONIAL提供的最先進(jìn)的設(shè)備和行之有效的技術(shù)支持，而COLONIAL可以從上海絲綢獲得的產(chǎn)品其總成本將不得超過(guò)COLONIAL在其他非美國(guó)工廠制造的同類(lèi)產(chǎn)品。

 

5）Should the U.S. apply quota restrictions on Chinese exports of this product to the U.S. , Colonial will be guaranteed to receive annual quota allocation of 75 000 dozen and annual percentage increase as provided in the U.S. agreement. If the total quota allocation is less than 75 000 dozen annually , then Colonial will be given all quota in this category that is granted to China.

5）如美國(guó)對(duì)中國(guó)產(chǎn)品實(shí)行配額限制，就要確保COLONIAL可得年分配額的75 000 打（即每打12件）和按照美國(guó)協(xié)議書(shū)中規(guī)定的年增長(zhǎng)的百分比。假如總分配額每年少于75 000打（即每打12件），那么給予中國(guó)的這類(lèi)產(chǎn)品的全部配額都?xì)wCOLONIAL所得。

 

6）Repayment by Silk branch to Colonial of total cost of equipment and technical sevices will include payment of interest charges to Colonial at a rate not to exceed the rate Colonial pays to finance this venture. Total repayments goal will be 3-5 years.

6）上海絲綢向COLONIAL償還所有已用來(lái)提供設(shè)備和技術(shù)服務(wù)的費(fèi)用，其中將包括按比率向COLONIAL繳納的利息金額，此金額將不超出COLONIAL在此合作事宜中的支出費(fèi)用之比率。全部還款年限將規(guī)定在三到五年。

 

7）It is understood that the objective of both parties is to have all fabric and other components of the garments provided by Silk branch at the earliest date possible. Although Silk branch can not provide 100% of all fabric on an immediate basis, we have agreed that a schedule of availability of fabric will be provided to Colonial in order to determine the start-up date for the venture and the limited basis on which Colonial will have to provide fabric and other components.

We wish to acknowledge the cooperation of all members of the Shanghai Silk branch of China National Textile Imp. & Exp. Corporation with whom we met, and are confident, through additional correspondence and meetings, our differences will be resolved and this venture will be successful for all involved.

7）雙方目標(biāo)明確希望上海絲綢盡快供應(yīng)所有衣料和半成品貨物。盡管上海絲綢方面不能在既定日起內(nèi)提供100%的面料產(chǎn)品，但根據(jù)雙方共同達(dá)成的協(xié)議，COLONIAL將得到一份面料可供計(jì)劃，以便為合作事項(xiàng)以及考慮到COLONIAL將不得不提供面料和其他半成品等可能局限性制定啟動(dòng)日程。

我們地對(duì)參與本次合作的中國(guó)紡織品進(jìn)出口公司的上海絲綢制品公司的代表成員有了認(rèn)識(shí)，在通過(guò)一系列協(xié)商共識(shí)增進(jìn)互信后，雙方之間的分歧將會(huì)被解決，我們的合作將會(huì)進(jìn)展順利。
