BETWEEN the Client and Ministorage Shanghai Warehousing Co., Ltd or its branches whose names, addresses, and descriptions are set forth in the “Storage Agreement” (along with these “Terms and Conditions”, the “ Storage Agreement”).

本《倉儲條款與條件》 由客戶及倉儲有限公司簽訂，其姓名、地址、詳情均載于隨附的《倉儲協(xié)議》（與本《倉儲條款與條件》合稱為《倉儲協(xié)議》）。

 

WHEREAS, the parties hereby agree as follows:
鑒于協(xié)議雙方特此約定如下：

1)Definitions - “Access Hours” are the hours Ministorage permits the Client to access the Premises / Unit. “Client” is the part renting the Unit from Ministorage. “Contract Start Date” is the date upon which tenancy begins as specified in the Agreement. “Contract End Date” is the date the contract ends. “Deposit” is the amount specified in the Agreement. “Due Date” occurs on the anniversary day of the Commencement Date when all prepaid rent has been used, provided that if such date does not exist in a given month, the Due Date shall be the first day of the following month. “Goods” is anything permissible the Client brings into the premises and stores in the Unit. “Monthly Rent” is the monthly rent sum specified in the Agreement. “PRC” is the People’s Republic of China. “Premises” is Ministorage’s storage facility located at the address designated in the Agreement. “Total Rent” is the total Monthly Rent sum, including prepayment discounts, due and payable. “Prohibited Items” are those specified in clause 5 herein. “Unit” is the storage unit specified in the Agreement and any alternate storage unit Ministorage may specify under clause 6 herein.

Right to Occupy - In consideration of the Client paying the Total Rent and observing the Agreement, Ministorage hereby grants the Client (but no other party) a license to occupy the Unit for the sole purpose of storing Goods from the Commencement Date until terminated in accordance with the provisions herein. For the avoidance of doubt, the Client hereby acknowledges and expressly agrees that nothing in the Agreement or these Terms and Conditions shall be construed so as to create any legal interest for the Client in the Premises or the Unit. The Agreement shall not create a tenancy nor confer upon the Client any tenancy rights and shall not constitute a landlord- tenant relationship.

占用權–鑒于客戶支付租金總額，且遵守本協(xié)議，迷你倉儲謹此授予客戶（而非其他方）許可，允許其自生效日期起占用本單元，僅用作存儲貨物之用，直至根據(jù)本協(xié)議條款協(xié)議終止之時。為免生疑問，客戶謹此承認并明示同意，本協(xié)議或本條款與條件均不應解釋為客戶在該房屋或單元取得任何法律的專有權益。本協(xié)議不應引致或授予客戶任何租用權，亦不構成房主-房客關系。

 

3)Inspection - The Client confirms that it has viewed and inspected the Unit and has satisfied itself in all respects as to its volume, size, suitability, safety, security, and condition.

檢查–客戶應確認，其已查看、檢查單元，對單元各方面均表示滿意，包括其容量、大小、適用性、安全性、安保及條件。

 

4)Access to the Unit - Ministorage reserves the right from time to time to make and vary regulations (the “Regulations”) without advance notice concerning hours of access, general management, and security regarding the Unit and / or Premises, and the Client agrees to observe and abide by such Regulations. The Client shall have access to the Unit at any time during the Access Hours. Ministorage reserves the right to change the Access Hours at any time without giving any prior notice. The Client shall not provide third parties access to the Premises or the Unit, except when the Client has given advanced written (by Authorized Client Email as indicated in the specifications above) authorization to Ministorage for such third parties to enter or when such third parties accompany the Client at the time of a given visit. Ministorage may ask for proof of identity from the Client or any other person at any time (although Ministorage is not obliged to do so) and Ministorage may refuse access to any person who is unable to provide satisfactory proof of identity. The Client shall be responsible for ensuring that the Unit is locked at all times.. Ministorage shall not be responsible for locking any unlocked Unit. The Client shall permit Ministorage (and its agents, employees, contractors, or authorized persons) to enter upon the Unit at all times and for all purposes, including without limitation to inspect, repair, maintain, and alter the Unit, or to ensure the Client’s compliance and observance with the provisions herein. Ministorage reserves the right to enter the Unit at any time without notifying the Client of same (and if necessary, breaking the lock to gain entry), for any of the following reasons:

訪問單元–迷你倉儲保留對有關單元和/或房屋訪問時間、綜合管理、安保方面的規(guī)定（“規(guī)定”）不時地進行制定和修改的權利，而無需提前通知客戶，客戶同意遵守該等規(guī)定�？蛻魬�有權在訪問時間的任何時間進行訪問。迷你倉儲保留隨時修改訪問時間的權利，而無需提前通知客戶。客戶不得向第三方提供訪問房屋或單元的訪問權，除非客戶事先向迷你倉儲提交書面（經(jīng)以上詳述規(guī)定的授權客戶郵件）授權書，允許該第三方進入，或在某次指定訪問時，該第三方陪同客戶訪問。任何時候，迷你倉儲可要求客戶或其他任何人員提供身份證明（雖然迷你倉儲并無此義務），對于無法提供有效身份證明的任何人員，迷你倉儲可拒絕其進行訪問�？蛻魬�確保單元在任何時候都上鎖。迷你倉儲不負責給任何未上鎖的單元上鎖�？蛻魬�允許迷你倉儲（及其代理人、員工、分包商或授權人員）在任何時候，為任何目的進入單元，包括但不限于檢查、修理、維修和更改單元，或保證客戶遵守、服從本協(xié)議條款。迷你倉儲保留在以下各種情形下可隨時進入單元的權利，而無需提前通知（如有需要，可砸鎖進入）：

 

a.if Ministorage believes the Unit contains Prohibited Items, or is being used in breach of the provisions herein, b. if Ministorage is required to do so by the Police, Fire Services, or the Government of the PRC, c. if Ministorage believes it is necessary in an emergency, d. to obtain access in accordance with the Agreement, e. to prevent injury or damage to persons or property, or f. if Ministorage is of opinion that any of the above applies, for the purpose of ascertaining the same. The Client hereby agrees that Ministorage shall not in any way be liable or responsible to the Client for any loss or damage of whatever nature that may result from Ministorage taking action under this clause. In case the client authorizes Ministorage or its staff (by giving unit key or password) to enter the clients unit, the client shall never hold Ministorage or its staff responsible for any missing or damaged items and the client hold ultimate responsibility towards the stored items.

a.迷你倉儲認為單元內存在違禁物品，或違反本協(xié)議條款進行使用；b. 中國警方、消防部門或政府要求迷你倉儲進入；c. 迷你倉儲認為緊急情況下需要進入的；d. 根據(jù)本協(xié)議進行訪問的；e. 為防止人身傷害或財產(chǎn)損失；f. 迷你倉儲認為上述任何一項適用時，為證實其存在而訪問的�？蛻糁敶送�意，迷你倉儲根據(jù)本條款采取行動，給客戶造成任何性質的損失、損害的，迷你倉儲不應以任何方式負責或擔責。如果客戶授權迷你倉儲或者其員工（給了鑰匙或者密碼）進入客戶的倉庫，客戶不能因為物品丟失或者損壞而追究迷你倉或者其員工的責任，全部的責任由客戶自己承擔。

 

5)The Clients Obligation - The Client shall comply with the following: a. To give Ministorage formal written notice of any address or phone number change within 10 days of such change. b. To maintain the Unit and every part thereof in proper and rentable repair and condition. c. To inform Ministorage immediately of any damage to the Premises or Unit. d. To comply with the Regulations and the directions of any of Ministorage’s staff. e. Not to make, or permit, any alterations or additions to the Unit or Premises (including without limitation attaching fixtures or signs) without Ministorage’s advance written consent. f. Not to use the Unit for any purpose other than for self storage of Goods. g. Not to keep or store, or cause or permit to be stored, any of the following in the Unit: . a total value of Goods that exceeds the clients insurance cover, not insured items (at all times all items must be insured by the client insurance cover and Ministorage may ask for proof of clients insurance) food or perishable goods, birds, fish, animals, or any other living creatures, explosives, combustible or flammable materials or liquids (such as paint, petrol, fireworks, oil, gun powder, salt, kerosene, or cleaning solvents), arms, weapons, or ammunition, chemicals, radioactive materials, biological agents, toxic waste, asbestos or other materials of a dangerous nature, items that emit any fumes, smells, odors, audible noise, or vibration, illegal substances, drugs, or any item harmful to public order or safety, substances, items, or goods illegally obtained. Compressed gases, or Any other hazardous or dangerous materials or materials whose storage is subject to control by law. h. Not to do, cause, permit, or allow, anything in or upon the Unit and / or Premises, or any part thereof that may be or become: not to cause any obstruction or hindrance in the hallways, stairways, elevator, or any other portions of the Premises. i. Not to commit or permit any act that might cause Ministorage to be in breach of any covenant in its leases, contracts, or agreements. k. Not to smoke anywhere in the Premises.

客戶義務 – 客戶應遵守以下條款:a. 地址或電話號碼變更的，在此等變更發(fā)生10（十）天內以正式書面通知的形式告知迷你倉儲。b. 妥善維護單元及其各部分，使其處于良好適租條件。c. 房屋或單元如有損壞，應立即告知迷你倉儲。d. 遵守規(guī)定及迷你倉儲員工指示。e. 未經(jīng)迷你倉儲事先書面同意，不得對單元或房屋進行改變、增補，或允許該等行為的進行（包括但不限于增添固定裝置或標識）。f. 不得將單元用于除儲存貨物以外的其他用途。g.不得在單元內保存、存儲或導致、允許存儲任何以下物品：. 所存物品總價值不得超過客戶參加保險所覆蓋的最大值（確保所存物品必須由客戶參加保險投保，迷你倉可以要求客戶提供保險證明）并且、食品或易腐貨物、鳥類、魚類、動物、或任何其他生物、爆炸物、可燃或易燃材料或液體（如油漆、汽油、煙花爆竹、石油、火藥、鹽、煤油、或清洗劑）、軍備、武器、彈藥、化學品、放射性物質、生物制劑、有毒廢物、石棉或其他危險材料、排放煙霧、臭味、氣味的物品、噪音或振動、非法物質、毒品、或危害公共秩序或安全的任何物品、或非法所得的物質、物品或貨物。壓縮氣體、或任何其他有害或危險材料，或法律管制存儲的材料。h. 不得實施、導致、允許、同意單元和/或房屋之內或之上或任何部分的任何物品成為：.過道、樓梯、電梯或房屋的任何位置的障礙或阻礙。i. 不得實施、允許可能造成迷你倉儲違反其租賃契約、合同或協(xié)議的行為。j. 不得在房屋內任何地點吸煙。

 

6)Alternate Unit – Ministorage may by giving 2 days written notice (per email) require the Client to move its Goods from one Unit to a similarly-sized (or larger) Unit that Ministorage designates. Movement of the Client’s Goods under this clause shall be at the Client’s risk. If the Client does not arrange the movement of its goods by the time specified in the notice, Ministorage may enter the current Unit and arrange for the Goods to be moved. Any movement arranged by Ministorage

shall be at the Client’s risk and expense (with Ministorage permitted to add such expenses to the Rent) If the Client’s Goods are moved to an alternate Unit, the Agreement will be varied by the substitution of the alternate Unit number while otherwise continuing in full force in all respects subject to these Terms and Conditions.

迷你倉儲可在發(fā)出書面通知（經(jīng)電子郵件）2(二)天后，要求客戶將貨物由一單元處移至迷你倉儲指定的大小相似（或更大的）的另一單元。根據(jù)此條規(guī)定，移動貨物的風險由客戶自擔�？蛻粑窗赐ㄖ�規(guī)定的時間移動貨物的，迷你倉儲可進入現(xiàn)有單元，安排貨物的移動。迷你倉儲安排移動貨物的，風險和費用由客戶承擔（同意迷你倉儲將該等費用計入租金）�？蛻糌浳镆浦羵溥x單元的，本協(xié)議將單元號更換為備選單元號，本協(xié)議其他條款根據(jù)本條款與條件在各個方面繼續(xù)保持其完整效力。

 

7)Rent - The Client shall pay Rent prior to the start of the lease. Rent payments shall be made prior to the Due Date without any deduction or setoff. Upon each Renewal (as defined in clause 13), the Monthly Rent shall be paid prior to the due date unless the Client agrees to prepay additional months. If the Client terminates the Agreement before its expiration, the Client forfeits any unused prepaid rent, and shall pay the entirety of any unpaid contractual sum.

租金–租期開始前，客戶應支付租金。租金應在到期日前全額支付，不得扣除、抵銷。續(xù)約時（按第13條規(guī)定），應在到期日前支付月租，除非客戶同意預付額外月份租金。本協(xié)議到期前客戶終止協(xié)議的，客戶放棄任何未使用的預付租金，并全額支付未付合同金額。

 

8)Deposit - Upon executing the Agreement, the Client shall pay to Ministorage a deposit, which shall be returned to the Client (without interest) within 15 days of the termination of the Agreement provided that Ministorage shall be entitled todeduct there from any unpaid sums due it from the Client under the Agreement.

押金–自本協(xié)議簽訂起，客戶應向迷你倉儲支付押金，本協(xié)議終止后15（十五）天內，該押金應返還客戶（無息），但根據(jù)本協(xié)議，迷你倉儲有權將其抵扣任何到期未付的金額。

 

9)Default in Payment of Rent – If the Client fails to pay Rent on or before the Due Date (or any other payments due to Ministorage under the Agreement or these Terms and Conditions), Ministorage shall forthwith be entitled: a. to charge a late fee equal to 10% monthly interest (from the Due Date until such payment is made in full), b. to apply any fees, late charges to the deposit without prejudicing any of Ministorage’s other rights, c. to deny the Client access to the Premise, d. to over lock the Unit. Ministorage shall have a first lien on the Goods if the Client fails to pay any amounts due. If: a. any part of the Total Rent, administration charge, interest, or other sums due Ministorage is outstanding for more than 30 days after the date on which it is due (whether formally demanded or not), b. the Client neglects to observe or perform any of the provisions herein or of the Agreement, or c. the Client becomes bankrupt, insolvent, enters liquidation, or makes any arrangement with creditors, then Ministorage may undertake any or all of the following (in addition to its other rights reserved herein): a. terminate the Agreement b. charge the late fee, c. break the existing lock(s) on the Unit, d. remove the Goods from the Unit to such alternative storage facilities as Ministorage may decide without incurring liability or loss or damage arising from such removal, e. demand reimbursement from the Client for the full cost or removing the Goods and storing elsewhere, along with any further costs should Ministorage move the Goods at any time thereafter f. treat the Goods as abandoned and destroy or otherwise dispose of them, and / or g. sell (by way of auction or private sale) and pass title of the Goods on behalf of the Client to purchaser(s). Ministorage may retain the proceeds of any such sale and apply them to discharge any outstanding amounts owed by the Client. If such proceeds are insufficient to discharge the full amounts owed by the Client, Ministorage may undertake any legal action necessary to recover the balance.

違反租金支付條款–到期日之時或之前，客戶未支付租金（或根據(jù)本協(xié)議或本條款與條件，應支付給迷你倉儲的任何其他款項）的，迷你倉儲應有權：a. 收取相當于月息10%的費用作為滯納金（從到期日起至該等款項全額支付為止）；b. 在不損害迷你倉儲其他權利的基礎上，將任何費用、滯納金轉至押金中加以抵扣；c. 拒絕客戶訪問房屋；d. 給單元加鎖。客戶未支付任何到期款項的，迷你倉儲應有貨物的優(yōu)先留置權。如：a. 到期應付給迷你倉儲的租金總額、管理費、利息或其他金額的任何部分逾期超過30（三十）天（無論是否正式要求）的；b. 客戶疏于遵守或執(zhí)行本協(xié)議或協(xié)議項下任何條款的；c. 客戶破產(chǎn)、資不抵債、開始清算或與債權人達成任何協(xié)定的，迷你倉儲可采取任何或所有以下措施（除本協(xié)議保留的其他權利外）：a. 終止本協(xié)議；b. 收取滯納金；c. 打開單元現(xiàn)有鎖具；d. 將貨物從單元移至迷你倉儲確定的備選存儲設施，且不會因該等移動招致任何責任、損失或損害負責；e. 向客戶要求全額賠償，或將貨物移至他處存儲，迷你倉儲在之后任何時候將貨物移走的，要求客戶支付額外費用；f. 對貨物作出丟棄和報廢處理，或以其他方式進行處置； g. 以客戶名義將貨物出售（經(jīng)拍賣或私人出售）并將所有權交與買主。迷你倉儲可保留該等出售取得的收益，用于清償客戶未付的任何款項。該等收益無法清償客戶未付款項全額的，迷你倉儲可提起任何必要的法律訴訟進行清償。

 

10)Non-Assignment – The Client may not assign any of its rights to, nor sublet or share part or the entire Unit, with any other party.

不可轉讓–客戶不得向任何其他方轉讓其權利，亦不得向任何其他方分租或共用單元的部分或全部。

 

11)Exclusion of Liability – Ministorage shall not be responsible for any Goods, to whomsoever belonging, stored within the Unit or left elsewhere in the Premises - the Client solely assumes all such risk. Ministorage shall not be liable for any loss or damage, unless such loss or damage are proved to be solely caused by intentional default or gross negligence of Ministorage, to Goods arising from any cause whatsoever . Ministorage shall not be responsible for bodily to, or death of, the Client as a result of the Client’s use of the Premises, unless such injury or death is proved to be solely caused by the intentional default or negligence of Ministorage.

責任免除 – 對存儲于單元內或房屋其他地點的屬于任何人的任何貨物，迷你倉儲均不承擔責任。客戶單獨承擔一切該等風險。因任何原因或理由造成貨物損失或損害的，除非該等損失或損害被證實為完全由迷你倉儲的故意或重大過失造成，否則迷你倉儲對此概不負責。因客戶使用房屋引起客戶人身傷害或死亡的，迷你倉儲不承擔責任，除非該等傷害或死亡被證實為完全由迷你倉儲的故意或過失造成。

 

12)Insurance – Ministorage shall not need to insure the Goods whilst they are in the Unit. Storage of the Goods is at the sole risk of the Client.

保險–迷你倉儲不需為單元內的貨物進行投保�？蛻舄氉詫Υ鎯Φ呢浳锍袚�風險。

 

Indemnity - The Client agrees to fully and completely indemnify, and to hold Ministorage free and harmless, and defend Ministorage against, any and all claims, liabilities, losses and costs, however occurring, hereafter made, or brought, as a result of, or arising out of, the Client’s occupation, access to, or use of, the Unit, and entry onto the Premises by the Client, or by any other person invited, or allowed, by the Client to enter the Premises.

賠償–由于客戶占用、訪問、使用單元，及客戶或客戶邀請、允許的任何其他人員進入房屋，導致或引起之后出現(xiàn)/產(chǎn)生任何和所有主張、責任、損失、費用和義務的，無論其如何發(fā)生，客戶同意完全、徹底賠償迷你倉儲，使其不受損害，為其進行抗辯。

 

13)Termination - Either Ministorage or the Client may terminate the Agreement with 10 days’ written notice of such termination and vacation of the Unit. Should the Client fail to provide such notice in a timely fashion, the Agreement shall automatically renew for a period of one-month (“Renewal”) provided that the Client may select to renew for a greater number of months. The Client must leave the Unit in good condition, and is responsible for all damages to the Unit. The Client agrees that any Goods remaining in the Unit after the termination date may be treated by Ministorage as abandoned property, and that after such date, Ministorage shall automatically become the sole owner of such Goods, and shall have the legal right to dispose of such Goods by whatever means Ministorage decides, and to retain the proceeds of any such sale.

終止–經(jīng)10（十）天書面通知，迷你倉儲或客戶均可終止本協(xié)議，停止使用單元�？蛻粑醇皶r提供該等通知的，本協(xié)議應自動續(xù)約一個月（“續(xù)約”），但客戶亦可決定續(xù)約更長時間。客戶離開單元時，單元狀況應保持良好，客戶應對單元的一切損害承擔責任。客戶同意，終止日期后留存在單元內的任何貨物將被視為丟棄，終止日期后，迷你倉儲應自動成為該等貨物的所有人，且有權以迷你倉儲決定的方法處置該等貨物，并保留出售該等貨物取得的收益。

 

14)General - The Agreement and these Terms and Conditions are governed by the law of the PRC, and both parties hereby submit to the exclusive courts of the PRC. Where the Client is two or more parties, their obligations shall be joint and several. Ministorage several. Ministorage reserves the right to refuse storage for any Goods regardless of reason. The Agreement and these Terms and Conditions set forth the complete understanding and agreement of the parties, and no usage of trade or prior course of dealings shall give effect to its meaning. Any modification or amendment must be made in writing signed by both parties. The Chinese Version shall always prevail over the English Version.
