一、立合同雙方The Parties hereto
This Employment Agreement is made and entered into by and between the following parties:

二、立合同事由 RECITALS
鑒于甲方愿意錄用乙方,乙方愿意到甲方工作,按照《中華人民共和國(guó)勞動(dòng)法》、《中華人民共和國(guó)勞動(dòng)合同法》和《上海市勞動(dòng)和同條例》等我國(guó)國(guó)家和地方政府的有關(guān)法律法規(guī)和行政規(guī)章,以及甲方制定的各項(xiàng)規(guī)章制度,本著平等、自愿的原則,經(jīng)甲、乙雙方協(xié)商一致,特簽訂本勞動(dòng)合同(以下簡(jiǎn)稱(chēng)“本合同”)。
WHEREAS, Party A intends to employ Party B and Party B intends to work for Party A, In accordance with Labour Law of the People’s Republic of China, Law of the People’s Republic of China on Employment Contracts, Shanghai Regulations on Employment Contracts and China’s national and local laws, regulations and administrative rules and Party A’s regulations and rules, and through negotiation based on equality and free will, the two parties agree to conclude this Employment Agreement (hereinafter referred to as this Agreement) under the following terms and conditions:
三、合同條款 Terms and Conditions
第一條 合同類(lèi)型與期限 Article 1 Type and Validity Term of Agreement
(一) 本合同為有/ 無(wú) 固定期限的勞動(dòng)合同,合同期從 年 月 日起,至 年 月 日止。其中試用期為 個(gè)月,自 年 月 日起至 年 月 日止。
This Agreement is an employment contract with fixed-term or uncertain term; the validity term of this Agreement commences on the date of , and expires on the date of , including a probation of months from the date of to the date of .
(二) 乙方應(yīng)于本合同簽訂后,在 年 月 日前到崗位工作。
Party B shall, after execution of this Agreement, work at the designated position on or before the date of
第二條 工作內(nèi)容和工作地點(diǎn)Article 2 Description of Work and Work Site
(一)根據(jù)甲方需要,乙方在 部門(mén)從事 崗位工作,乙方到崗后應(yīng)服從所屬部門(mén)或上級(jí)主管的工作安排。
On the basis of Party A’s requirements, Party B is to work at the position of in the division of ; Party B shall be subject to the work arrangement made by the division he or she works in or the director at higher level.
(二)乙方應(yīng)履行甲方制定的崗位職責(zé),按時(shí)、按質(zhì)、按量完成其本職工作。
Party B shall perform his or her work duties provided by Party A, and shall complete his or her work task in accordance with the provisions in terms of time limit, quality and workload.
(三)乙方承諾,愿服從甲方根據(jù)工作需要、乙方工作能力及其表現(xiàn)而安排或調(diào)動(dòng)的工作崗位。并同意在下列情況下本合同不作變更處理。
Party undertakes to accept the arrangement or change of work made by Party A in light of Party A’s work requirements and Party B’s working ability and performance; Party B agrees that this Agreement may not be altered under any of the following circumstances:
1、乙方的工作地點(diǎn)由所在部門(mén)安排。今后因工作需要乙方在甲方所在本市的全部經(jīng)營(yíng)辦公場(chǎng)所及附屬場(chǎng)所(包括公司自有產(chǎn)權(quán)的物業(yè)或租賃的物業(yè),)之間調(diào)整時(shí)。
Party B’s working site is to be arranged by the division he or she works in; Party A is to change Party B’s working site within all its business offices and attached sites in the city where Party A is domiciled (including Party A’s own property or other premises leased by Party A), on the basis of Party A’s working requirement;
2、甲方因工作需要,臨時(shí)指派乙方到境內(nèi)外短期出差地點(diǎn)工作的。
Party A assigns Party B to work at home or abroad on business travel for a short term on the basis of Party A’s working requirement.
3、甲方因工作需要,安排乙方臨時(shí)外借到其它部門(mén)或其它他單位工作的。
In response to working requirement, Party A temporarily assigns Party B to work at other divisions of Party A or other entities.
(四)因工作需要,乙方被指派到外省市或境外企業(yè)或機(jī)構(gòu)長(zhǎng)期工作的,協(xié)商一致后,本合同作變更處理。
Where, in response to working requirement, Party A assigns Party B to work in enterprises or organizations located in other provinces or municipalities or abroad for long period, this Agreement may be altered on the basis of mutual consent through negotiation.
第三條 工作時(shí)間和休息休假 Article 3 Working Hours and Holiday
(一)乙方的崗位實(shí)行全日制標(biāo)準(zhǔn)工時(shí)工作制度,甲方安排乙方每日工作時(shí)間不超過(guò)8小時(shí),每周工作五天。
Party B is to work under the full-time standard working time system. Party A may require Party B to work for no more than 8 hours every day and for five days every week.
(二)甲方由于工作需要,經(jīng)與乙方協(xié)商后可以延長(zhǎng)工作時(shí)間,一般每日不超過(guò)1小時(shí),因特殊原因需要延長(zhǎng)工作時(shí)間的,在保障乙方身體健康的前提下工作時(shí)間不得超過(guò)3小時(shí),每月不得超過(guò)36小時(shí)。
If necessary for work, Party A may, on the basis of negotiation with Party B, extend Party B’s working hours for no more than one hour every day generally; where it is necessary to extend working hours under special circumstances, such extension of working hours may not exceed three hours every day on the premise of being no harmful to Party B’s health, and no more than a total of 36 hours every month.
(三)乙方有享受?chē)?guó)家規(guī)定的各類(lèi)休息休假的權(quán)利,具體按甲方的《職工工作時(shí)間及休息休假管理辦法》執(zhí)行。
Party B is entitled to all the holidays and leaves provided by the State, to which the Implementation Rules for Employees Working Hours and Holidays formulated by Party A shall apply.
(四)如遇國(guó)家或本市政府有關(guān)部門(mén)調(diào)整工作時(shí)間和休息、休假時(shí)間,或甲方在特殊季節(jié)臨時(shí)調(diào)整休息、休假時(shí)間的,不作本合同變更處理。
Where the State or the relevant authorities of this local municipality readjusts the provisions on working hours, holidays or leaves, or Party A readjusts the provisions on holidays or leaves, this Agreement may not be deemed as being altered.
第四條 勞動(dòng)報(bào)酬Article 4 Remuneration
(一)乙方的勞動(dòng)報(bào)酬包括每月發(fā)放的固定工資和以及相關(guān)的津貼補(bǔ)貼、每季度考核發(fā)放的績(jī)效工資等部分組成,按照甲方薪酬管理規(guī)定執(zhí)行。合同簽訂后甲方發(fā)給《職工薪酬告知書(shū)》,具體明確薪酬類(lèi)別和標(biāo)準(zhǔn)!堵毠ば匠旮嬷獣(shū)》作為本合同的附件,與本合同具有同等法律效力。
The remuneration for Party B includes fixed monthly salary, allowance, quarterly performance-based wage and the like, and the remuneration is to be paid in accordance with Party A’s regulations on remuneration. After execution hereof, Party A is to send Party B a Notification of Employee’s Remuneration, which specifies the type and standard of the remuneration; such Notification constitutes an annex to this Agreement and have the same legal binging force as this Agreement.
(二)在履行本合同期間的日常操作中,甲方依照《職工薪酬告知書(shū)》中約定的薪酬標(biāo)準(zhǔn)作以下扣除處理的,本合同不作變更處理。
If, in the course of the performance of this Agreement, Party A deducts any payment of the remuneration in accordance with the Notification of Employee’s Remuneration, this Agreement may not be deemed as being altered.
1、由公司代扣代繳的個(gè)人所得稅。
Individual income taxes withheld and paid by Party A on behalf;
2、由職工個(gè)人承擔(dān)的社會(huì)保險(xiǎn)費(fèi)、住房公積金、企業(yè)年金的扣款。
The part of social insurance premium, housing accumulation funds, enterprise annuity to be borne by Party B;
3、因職工違反公司規(guī)章制度所發(fā)生違約金、賠償?shù)瓤劭睢?br />
Penalty, compensation and the like arising from Party B’s breach of Party A’s regulations or rules;
4、因職工發(fā)生事假等非帶薪假期所作的扣款。
Deduction of remuneration made by Party A owing to private affair leave and leaves taken by Party B other than leaves with payment;
5、因法院對(duì)職工涉案判決所指定公司執(zhí)行的扣款。
Deduction of remuneration made by Party A under the order of court on the basis of the judgement of case concerning Party B;
6、其它符合法律及公司制度而發(fā)生的扣款。
Deduction of remuneration in compliance with laws or Party A’s regulation system.
(三)在本合同期間,甲方因調(diào)增職工薪酬標(biāo)準(zhǔn)的,本合同不作變更處理。
If, during the validity term of this Agreement, Party A increases the remuneration for employees, this Agreement may not be deemed as being altered.
(四)甲方每月5日以貨幣形式通過(guò)銀行轉(zhuǎn)賬到乙方個(gè)人帳戶(hù)的辦法支付乙方工資,包括崗位工資、工齡工資及按月發(fā)放的相關(guān)補(bǔ)貼。乙方同意屬于乙方可得的績(jī)效工資、補(bǔ)貼津貼等按甲方薪酬管理規(guī)定的日期和形式發(fā)放,屆時(shí)甲方以電子郵件等形式通知乙方。
Party A shall, on the fifth day of each and every month, pay Party B remuneration by transferring the currency to Party B’s account through bank, including post-based wage, working age-based wage and relevant allowance to be paid on a monthly basis. Party B agrees that all the performance-based wage, allowance and the like may be paid on the date and by the means provided by Party A with respect to remuneration, and Party A is to notify Party B by means of email of the payment thereafter.
(五)若乙方提供了正常勞動(dòng),甲方支付給乙方的工資報(bào)酬不得低于本市政府規(guī)定的最低工資標(biāo)準(zhǔn)。
The remuneration paid by Party A to Party B may not be less than the minimum level provided by the local municipal government, provided that Party B provides normal work for Party A.
(六)甲方每月向乙方發(fā)放上月工資清單。該清單屬于保密范圍,應(yīng)妥善保管,不得泄露給本人家庭成員以外的任何第三人、員工之間不得相互打探,如有疑義可以向甲方人力資源部咨詢(xún)。
Party A shall, on a monthly basis, send Party B remuneration list for the last month; such remuneration list must be treated as confidential information and kept properly, and such list may not be disclosed to any third parties other than the family members of Party B; employees may not enquire of one another about the remuneration; in the event of any objection, Party B may consult Party A’s human resource department.
第五條 社會(huì)保險(xiǎn)及其它Article 5 Social Insurance and Other Matters
(一)甲方按照國(guó)家和上海市的有關(guān)規(guī)定,為乙方交納社會(huì)保險(xiǎn)和住房公積金。
Party A shall pay social insurance premium and housing accumulation funds for Party B in accordance with the relevant regulations of the State and Shanghai municipality.
(二)乙方原意按照國(guó)家和上海市的有關(guān)規(guī)定,由個(gè)人承擔(dān)的社會(huì)保險(xiǎn)、住房公積金部分由甲方在工資中代扣代繳。
Party B agrees that Party A may, from the remuneration payable to Party B, withhold the part of social insurance premium and public remuneration fund to be borne by Party B and Party A may pay such withheld part on behalf, in accordance with the relevant regulations of the State and Shanghai municipality.
(三)乙方因病或非因工負(fù)傷期間,享有上海市規(guī)定的醫(yī)療期和疾病休假待遇。
If Party B suffers sickness or non-work-related injury, Party B is entitled to medical treatment period and sick leave treatment provided by Shanghai municipality.
(四)符合計(jì)劃生育政策的乙方(女職工)享有本市規(guī)定的產(chǎn)假和其它特殊待遇,事前乙方須提出申請(qǐng),經(jīng)甲方(但不限于甲方,如果需要政府有關(guān)機(jī)構(gòu)審核批準(zhǔn)的)核準(zhǔn)后執(zhí)行。
Party B (if Party B is a female employee) is entitled to maternity leave and other special treatment provided by this local municipality, provided that she must be in compliance with the State’s family planning policy and Party B shall submit an application to Party A (if the approval of the government is necessary, Party B shall submit such application to competent authorities) for approval in advance.
(五)乙方享有甲方按國(guó)家或本市政府及甲方的規(guī)定設(shè)定的福利待遇,具體按甲方的有關(guān)辦法執(zhí)行。
Party B is entitled to the welfare provided by Party A in accordance with the relevant provisions made by the State, the local municipal government or Party A; Party A’s relevant implementation rules shall apply to the welfare.
(六)如遇國(guó)家或本市政府調(diào)整社會(huì)保險(xiǎn)、住房公積金的政策,甲方相應(yīng)調(diào)整乙方的社會(huì)保險(xiǎn)、住房公積金的,本合同不作變更處理。
If, in the event of the readjustment made by the State or local municipal government of the policy on social insurance or housing accumulation fund, Party A readjusts the social insurance and housing accumulation fund for Party B accordingly, this Agreement may not be deemed as being altered.
第六條 勞動(dòng)保護(hù)、勞動(dòng)條件和職業(yè)危害防護(hù)
Article 6 Labor Protection, Working Condition and Prevention against Occupational Hazard
(一)乙方享有甲方提供的相應(yīng)的勞動(dòng)保護(hù)和勞動(dòng)條件。
Party B is entitled to the corresponding labor protection and working condition by provided by Party A.
(二)乙方享有甲方執(zhí)行的國(guó)家勞動(dòng)標(biāo)準(zhǔn)提供的職業(yè)危害防護(hù)條件。
Party A shall provide Party B with preventing conditions against occupational hazard in accordance with the State’s labor standard.
第七條 勞動(dòng)紀(jì)律和規(guī)章制度Article 7 Labor Discipline and Regulations and Rules
(一)甲方應(yīng)根據(jù)國(guó)家有關(guān)法律、法規(guī),依法制定各項(xiàng)規(guī)章制度。
Party A shall formulate various regulations and rules in accordance with the State’s laws and regulations.
(二)乙方應(yīng)誠(chéng)實(shí)守信,自覺(jué)遵守國(guó)家的法律、法規(guī)和社會(huì)公德、職業(yè)道德,自覺(jué)維護(hù)甲方的聲譽(yù)和利益,保守甲方秘密。
Party B shall deport himself with sincerity and good faith, abide by the State’s laws and regulations and social ethics and professional ethics, maintain Party A’s reputation and interests initiatively and keep secret Party A’s confidential information.
(三)甲方有權(quán)根據(jù)乙方的表現(xiàn)或行為,依據(jù)國(guó)家的法律、法規(guī)、行政規(guī)章和甲方的規(guī)章制度,給予乙方相應(yīng)的獎(jiǎng)勵(lì)或處理。其中:
Party A may award or treat Party B as follows in the light of Party B’s performance and acts and in accordance with the State’s laws, regulations and administrative rules and Party A’s regulations and rules.
1、乙方如發(fā)生符合甲方《職工獎(jiǎng)勵(lì)辦法》規(guī)定的積極行為的,甲方可以按照《職工獎(jiǎng)勵(lì)辦法》給與乙方獎(jiǎng)勵(lì);
If Party B has any positive actions deserving award as provided in Party A’s Rules of Awarding Employees, Party A may award Party B in accordance with the Rules of Awarding Employees.
2、乙方如發(fā)生違反甲方規(guī)章制度的消極行為的,甲方有權(quán)按《職工違規(guī)處理辦法》給與處理。
If Party B has committed any actions in breach of Party A’s regulations or rules, Party A may treat him or her in accordance with the Rules for Treatment of Employees in Breach of Regulations.
第八條 教育與培訓(xùn)Article 8 Education and Training
(一)甲方可以根據(jù)工作需要不定期地對(duì)乙方進(jìn)行所必須的教育與培訓(xùn)。
Party A may educate or train Party B irregularly when necessary in the light of the working requirements.
(二)乙方應(yīng)參加甲方的各項(xiàng)教育與培訓(xùn)安排。
Party B shall participate in all the education and training courses arranged by Party A.
(三)凡由甲方出資培訓(xùn)乙方,雙方另行簽訂《培訓(xùn)/教育協(xié)議》,因乙方原因而提前解除勞動(dòng)合同,乙方應(yīng)賠償甲方的培訓(xùn)等費(fèi)用,具體賠償標(biāo)準(zhǔn)執(zhí)行《培訓(xùn)/教育協(xié)議》的約定。
Where Party A invests in training of Party B, the two parties shall conclude agreement for education/training separately; if this Employment Agreement is terminated earlier than originally stipulated for reasons attributable to Party B, Party B shall compensate Party A the training fee in accordance with the stipulations in such agreement for education/training.
第九條 保密約定Article 9 Confidentiality
(一)雙方簽訂本合同后,乙方應(yīng)遵守甲方《保密條例》,不得泄露甲方秘密,不得在合同期內(nèi)再受聘其他任何單位從事與甲方相同或類(lèi)似或有競(jìng)爭(zhēng)沖突的業(yè)務(wù)。不得引誘甲方的其他在職職工離職。
Party B shall, after signing of this Agreement, observe Party A’s Confidentiality Rules, and may not disclose any of Party A’s confidential information; during the validity term hereof, Party B may not engage in any business similar with or in competition with Party A’s business for any other employer, and Party B may not induce other employees working for Party A to resign from Party A.
(二)乙方在合同期內(nèi),屬其崗位職務(wù)行為或主要利用甲方的物質(zhì)技術(shù)條件所產(chǎn)生的所有專(zhuān)利、版權(quán)和其他知識(shí)產(chǎn)權(quán)歸甲方所有,乙方無(wú)權(quán)進(jìn)行商業(yè)性開(kāi)發(fā)。
Any and all patents, copyrights and other intellectual property rights produced by Party B as his or her work duty or mainly by utilizing Party A’s material during the validity term of this Agreement shall be Party A’s property, and Party B is not entitled to any commercial rights pertaining thereto.
(三)甲乙雙方另訂《保密協(xié)議》,具體確定雙方的權(quán)利義務(wù)。乙方在本合同存續(xù)期間和終止解除后承擔(dān)甲方《保密協(xié)議》中規(guī)定的保密義務(wù)。
Party A and Party B are to enter into Non-disclosure Agreement separately, so as to stipulate the obligations and rights of the two parties. During the validity term of this Agreement and after the termination hereof, the confidentiality obligation stipulated in the Confidentiality Agreement has binding force upon Party B.
(四)乙方如在本合同存續(xù)期間,違反《保密協(xié)議》約定的,視作違紀(jì)行為,按《職工違規(guī)處理辦法》有關(guān)規(guī)定處理。
If, during the validity term of this Agreement, Party B breaches the Confidentiality Agreement, Party B shall be deemed as having breached Party A’s disciplines and is to be treated in accordance with the Rules for Treatment of Employees in Breach of Regulations.
(五)乙方因違約給甲方造成經(jīng)濟(jì)或名譽(yù)損失的,應(yīng)承擔(dān)侵權(quán)賠償責(zé)任,甲方有權(quán)利向乙方追償經(jīng)濟(jì)損失。
If Party B breaches this Agreement and thereby causes any economic loss or reputation loss, Party B shall bear the liability therefor and Party A may have the right of recourse against Party B for any economic loss.
第十條 本合同的變更Article 10 Alteration
(一)有下列情形之一的,甲、乙雙方可以變更本合同:
In any of the following cases, the two parties hereto may alter this Agreement:
1.在不損害國(guó)家、集體和他人利益的情況下,雙方協(xié)商一致的;
On the condition of no prejudice to the interest of the State, organizations or other individuals, the two parties reach agreement for alteration;
2.本合同訂立時(shí)所依據(jù)的下列客觀(guān)情況發(fā)生了重大變化,致使本合同無(wú)法履行,經(jīng)甲乙雙方協(xié)商一致的;
Any major change occurs to any of the following conditions on which this Agreement is based, which renders performance hereof impossible, and the two parties reach agreement for alteration:
(1)、公司因經(jīng)濟(jì)原因或法律原因?qū)е侣毠氖碌墓窘?jīng)營(yíng)項(xiàng)目消失。
Party A’s company business item in which Party B is engaged ends owing to economic or legal reasons;
(2)、因公司戰(zhàn)略調(diào)整,組織架構(gòu)改變后,職工所從事的工作崗位消失。
The working positions in which Party B is engaged are canceled owing to the readjustment of Party A’s company strategy or organizational structure;
(3)、因其他原因?qū)е陆?jīng)營(yíng)項(xiàng)目消失或工作崗位消失
Some business item or working positions are canceled for other reasons;
(4).由于不可抗力的因素致使本合同無(wú)法完全履行的;
This Agreement is prevented by Force Majeure event from being performed completely;
(5).本合同訂立時(shí)所依據(jù)的法律、法規(guī)已修改的;
Those laws or regulations on the basis of which this Agreement is concluded have been modified.
(二).法律、法規(guī)規(guī)定的其他情形。
Other circumstances provided by laws or regulations under which this Agreement may be altered.
第十一條 本合同的解除Article 11 Rescission of Agreement
(一)乙方有下列情形之一的,甲方可以解除本合同:
In any of the following cases, Party A may rescind this Agreement:
1、在試用期間,被證明不符合錄用條件的;
During the probation, Party B proves to be unqualified for employment;
2、嚴(yán)重違反勞動(dòng)紀(jì)律及甲方規(guī)章制度的;
Party B breaches Party A’s labor disciplines or regulations or rules seriously;
3、嚴(yán)重失職,營(yíng)私舞弊,給甲方利益造成重大損害的;
Party B commits dereliction of duty or engages in jobbery and thereby causes major damage to Party A;
4、同時(shí)與其他用人單位建立勞動(dòng)關(guān)系,對(duì)完成甲方工作任務(wù)造成嚴(yán)重影響,或者經(jīng)甲方提出,拒不改正的;
Party B has labor relationship with other employer during the validity term hereof which has serious impact on completion of the work task assigned by Party A, or Party B refuses to take rectification in spite of Party A’s proposal;
5、以欺詐、脅迫的手段或者乘人之危,使甲方在違背真實(shí)意思的情況下訂立或者變更本合同的;
Party B, by means of deception or coercion or by taking advantage of Party A’s difficulties, forces Party A to conclude or change this Agreement against Party A’s true will;
6、乙方被查實(shí)在應(yīng)聘時(shí)或應(yīng)聘后向甲方提供的其個(gè)人資料是虛假的、
It is verified that Party B submitted fraudulent personal information to Party A when or after applying for employment;
7、乙方因賣(mài)淫嫖娼被收容教育的;
Party B receives custodial education owing to prostitution or whoring;
8、乙方受公安治安拘留處罰或者被勞動(dòng)教養(yǎng)的;
Party B is given security detention or reeducation-through-labor by public security organs;
9.乙方被依法追究刑事責(zé)任的;
Party B is investigated for bearing criminal responsibility according to laws.
(二)有下列情形之一的,甲方提前三十日以書(shū)面形式通知乙方后,可以解除本合同:
In any of the following circumstances, Party A may, by sending Party B a 30 days’ prior written notification, terminate this Agreement:
1.乙方患病或者非因工負(fù)傷,醫(yī)療期滿(mǎn)后,不能從事原工作也不能從事由甲方另行安排的工作的;
Party B contracts sickness or sustains non-work-related injury, and after the medical treatment period, Party B can engage in neither the original work nor other work assigned by Party A;
2.乙方不能勝任工作,經(jīng)過(guò)培訓(xùn)或者調(diào)整工作崗位,仍不能勝任工作的;
Party B is not competent for his or her work and still can not be competent for work after being trained or change of working posts;
3.本合同訂立時(shí)所依據(jù)的客觀(guān)情況發(fā)生重大變化,致使原本合同無(wú)法履行,經(jīng)甲、乙雙方協(xié)商不能就變更本合同達(dá)成協(xié)議的;
Any objective condition on which this Agreement is concluded undergoes material change, which prevents this Agreement from being performed, and the two parties hereto can not reach agreement for alteration hereof through negotiation.
(三)甲方瀕臨破產(chǎn)進(jìn)行法定整頓期間或者生產(chǎn)經(jīng)營(yíng)發(fā)生嚴(yán)重困難等進(jìn)行經(jīng)濟(jì)性裁員的,提前三十日向工會(huì)或者全體職工說(shuō)明情況,聽(tīng)取工會(huì)或者職工的意見(jiàn)后,裁減人員方案經(jīng)向政府的勞動(dòng)行政部門(mén)報(bào)告,可以解除本合同。
In case Party A cuts off the number of employees owing to rectification on bankruptcy or difficulty in production and business, Party A shall make explanation to the trade union and all the staff members in 30 days’ prior; after hearing the opinion of the trade union or employees, this Agreement may be rescinded after the plan for reduction of staff is reported to the administrative departments for labor.
(四)乙方有下列情形之一的,甲方不得依據(jù)本條第(二)、(三)款的規(guī)定解除本合同(法律、法規(guī)有特別規(guī)定的除外):
Unless otherwise provided by laws or regulations, Party A may not terminate this Agreement under Article11.2 or Article 11.3 hereof if Party B:
1.從事接觸職業(yè)病危害作業(yè)的勞動(dòng)者未進(jìn)行離崗前職業(yè)健康檢查,或者疑似職業(yè)病病人在診斷或者醫(yī)學(xué)觀(guān)察期間的;
is engaged in operations that would expose him or her to occupational disease hazards and has not undergone a occupational health check-up before leaving work, or is suspected of having contracted an occupational disease and is being diagnosed or under medical observation;
2.患職業(yè)病或者因工負(fù)傷并被確認(rèn)喪失或者部分喪失勞動(dòng)能力的;
has been confirmed as having lost or partially lost his or her capacity to work due to an occupational disease contracted or a work-related injury sustained during his or her employment with Party A;
3.患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期內(nèi)的;
has contracted an illness or sustained a non-work-related injury and the prescribed period of medical treatment has not expired;
4.女職工在孕期、產(chǎn)期、哺乳期的;
is a female worker in her pregnancy, confinement or nursing period;
5.在甲方連續(xù)工作滿(mǎn)十五年,且距法定退休年齡不足五年的;
has been working for Party A continuously for not less than 15 years and is less than 5 years away from the legal retirement age; or
6.法律、行政法規(guī)規(guī)定的其他情形。
falls into any other circumstances stipulated by laws or administrative regulations.
(五)乙方提前30日以書(shū)面形式通知甲方,可以解除本合同。乙方在試用期內(nèi)提前3日通知甲方,可以解除本合同。
Party B may, by sending Party A a 30 days’ written notification, rescind this Agreement; during the probation, Party B may rescind this Agreement by sending Party A a 3 days’ written notification.
(六)有下列情形之一的,乙方可以隨時(shí)通知甲方解除本合同:
In any of the following cases, Party B may rescind this Agreement by sending Party A a notification at any time:
1.甲方未按照本合同約定提供勞動(dòng)保護(hù)或者勞動(dòng)條件的;
Party A fails to provide labor protection or working condition as stipulated in this Agreement;
2.甲方未及時(shí)足額支付勞動(dòng)報(bào)酬的;
Party A fails to duly pay remuneration in full amount;
3.甲方未依法為勞動(dòng)者繳納社會(huì)保險(xiǎn)費(fèi)的;
Party A fails to pay social insurance premium for Party B according to laws;
4.甲方的規(guī)章制度違反法律、法規(guī)的規(guī)定,損害勞動(dòng)者權(quán)益的;
Party A’s regulations go counter to laws or statutes and thus damage Party B’s rights and interests;
5.因《中華人民共和國(guó)本合同法》第二十六條第一款規(guī)定的情形致使本合同無(wú)效的;
This Agreement becomes null and void owing to the circumstances provided in first section of Article 26 of Contract Law of the People’s Republic of China.
6.法律、行政法規(guī)規(guī)定勞動(dòng)者可以解除本合同的其他情形。
Other circumstances in which Party B may rescind this Agreement according to laws or administrative regulations.
(七)甲方以暴力、威脅或者非法限制人身自由的手段強(qiáng)迫乙方勞動(dòng)的,或者甲方違章指揮、強(qiáng)令冒險(xiǎn)作業(yè)危及乙方人身安全的,乙方可以立即解除本合同,不需事先告知甲方。但乙方應(yīng)在事發(fā)當(dāng)時(shí)或事發(fā)后3個(gè)工作日內(nèi)向甲方提出解除本合同的意思表示,經(jīng)公司確認(rèn)無(wú)誤后,約定辦理解除本合同手續(xù)的時(shí)間。如果一方既沒(méi)有明確的書(shū)面意思表示,又不上班的,甲方有理由理解為曠工的行為,將按甲方的《職工違規(guī)處理辦法》的有關(guān)規(guī)定處理。
In case Party A uses violence, threats or unlawful restriction of personal freedom to force Party B to work, or if Party A forces or instructs Party B to perform dangerous tasks which would endanger his or her personal safety in violation of rules or regulations, Party B may terminate this Agreement immediately without giving any prior notice to Party A. Party B shall, at the time of the occurrence of the above-mentioned facts or within three days thereafter, express his intention to terminate this Agreement, and then the two parties may stipulate the time for termination hereof after the confirmation by Party A. If Party B neither expresses his intention of termination in writing nor goes to work for Party A, Party A may deem Party B as absence from work without due reason and may treat Party B in accordance with the Rules for Treatment of Employees in Breach of Regulations.
(八)經(jīng)甲、乙雙方協(xié)商一致,可以解除本合同。
The two parties hereto may terminate this Agreement by reaching mutual consent.
第十二條 本合同終止Article 12 Termination
有下列情形之一的,本合同即行終止:This Agreement is terminated if:
1.本合同期滿(mǎn)前,任何一方提出本合同不續(xù)簽的,則本合同期滿(mǎn)即行終止。
before this Agreement term expires, either party expresses its intention not to renew this Agreement;
2.乙方開(kāi)始依法享受基本養(yǎng)老保險(xiǎn)待遇的;
Party B has started to enjoy his entitlement to basic old-age insurance pension in accordance with the law;
3.乙方死亡,或者被人民法院宣告死亡或者宣告失蹤的;
Party B is deceased, or is declared dead or missing by a people’s court;
4.甲方被依法宣告破產(chǎn)的;Party A is declared bankrupt in accordance with law;
5.甲方被吊銷(xiāo)營(yíng)業(yè)執(zhí)照、責(zé)令關(guān)閉、撤銷(xiāo)或者甲方?jīng)Q定提前解散的;
Party A has its business license revoked, is ordered to close or is closed down, or Party A decides on early dissolution; or
6.法律、行政法規(guī)規(guī)定的其他情形。
Other circumstances stipulated by laws or administrative regulations arise.
第十三條 本合同續(xù)簽Article 13 Renewal
甲乙雙方應(yīng)在本合同期滿(mǎn)提前 30 天,就是否續(xù)訂本合同事宜進(jìn)行協(xié)商。
The two parties hereto shall, 30 days prior to the expiration of the validity term hereof, hold negotiation as to whether to renew this Agreement.
第十四條 本合同的補(bǔ)簽Article 14 Retroactive Signature of Agreement
在本合同期滿(mǎn)前甲乙雙方雖有續(xù)簽意向,但因不可抗力特殊原因,雙方不能就續(xù)簽意向進(jìn)行有效溝通或不能及時(shí)續(xù)簽本合同,致使本合同期滿(mǎn)后,雙方仍存在勞動(dòng)關(guān)系的,甲乙雙方應(yīng)在不可抗力特殊原因消除后及時(shí)補(bǔ)辦續(xù)訂本合同的有關(guān)手續(xù)。
If the two parties have intention to renew this Agreement before the expiration hereof, but they fail to hold effective communication or to renew this Agreement owing to Force Majeure events, and therefore there is employment relationship between the two parties after the expiration hereof, then the two parties may renew this Agreement retroactively after the end of effect of such Force Majeure event.
第十五條 本合同的無(wú)效、失效Article 15 Ineffectiveness and Nullification of Agreement
(一)乙方在簽訂本合同之前,甲方有權(quán)了解乙方與本合同直接相關(guān)的基本情況,包括(但不限于)乙方的學(xué)歷、工作經(jīng)歷、資格證書(shū)或任職證書(shū)(明)以及以前勞動(dòng)關(guān)系是否解除或終止,是否存在竟業(yè)限制等。乙方應(yīng)提交有關(guān)的書(shū)面資料,作如實(shí)說(shuō)明,并應(yīng)書(shū)面承諾其真實(shí)性。若因故意漏報(bào)、隱瞞前述基本情況,騙取甲方簽訂本合同的,視為乙方的欺詐行為并導(dǎo)致甲方的嚴(yán)重誤解,甲方有權(quán)依法申請(qǐng)認(rèn)定本合同自始無(wú)效,由此給甲方造成的損失,應(yīng)由乙方全額承擔(dān)。
Before conclusion of this Agreement, Party A shall have the right to obtain Party B’s information related hereto, including but not limited to Party B’s educational background, working experience, qualification certificate or position assumption certificate and other information as to whether his previous labor relationship is terminated and whether Party B is under competitive restriction. Party B shall submit relevant written documents and make explanation faithfully, and shall warrant in writing the authenticity of such document. If Party B misrepresents or conceals any of such information and defrauds Party A in concluding this Agreement, Party B shall be deemed as defrauding and causing Party A to seriously misunderstand, and under such circumstances, Party A shall have the right to apply for confirmation of nullification of this Agreement, and Party B shall be liable for any loss of Party A arising therefrom.
(二)乙方未按照本合同第一條規(guī)定的到崗日到崗的,本合同自到崗日滿(mǎn)后自動(dòng)失效,但甲方認(rèn)可的除外。由此給甲方造成的損失,應(yīng)由乙方全額承擔(dān)。
If Party B fails to be available for the position on the date stipulated in Article 1 of this Agreement, this Agreement becomes null and void after such date, except as otherwise accepted by Party A; and Party B shall be liable for any and all the loss of Party A arising therefrom.
(三)乙方理解并同意,誠(chéng)信是重要的原則。因此乙方保證,不會(huì)作出任何不誠(chéng)信的行為。
Party B understands and agrees that the good faith is an important principle, and therefore, Party B warrants that he or she will never commit any actions of no good faith.
第十六條 解除、終止和違反本合同的責(zé)任
Article 16 Rescission, Termination and Liability for Breach
(一)有下列情形之一的,甲方應(yīng)當(dāng)承擔(dān)賠償責(zé)任:
Party A shall pay Party B compensation in any of the following circumstances:
1.甲方制定的勞動(dòng)規(guī)章制度違反法律、法規(guī)規(guī)定,給乙方造成損害的;
The labor regulations or rules formulated by Party A go counter to laws or statutes, and thereby cause damage to Party B;
2.由于甲方的原因訂立的無(wú)效本合同,給乙方造成損害的;
This Agreement is null and void for reasons attributable to Party A, and thus Party B is damaged thereby;
3.甲方違反勞動(dòng)法律、法規(guī)規(guī)定的條件解除本合同或者故意拖延不訂立本合同,給乙方造成損害的;
Party A terminates this Agreement by violating labor laws or regulations or delays conclusion hereof in purpose and thereby causes damage to Party B;
4.法律、法規(guī)規(guī)定的其他情形。
Other circumstances provided in laws or statutes.
(二)乙方違反勞動(dòng)法律、法規(guī)和甲方規(guī)章制度規(guī)定解除本合同或者違反本合同中約定的事項(xiàng),給甲方造成經(jīng)濟(jì)損失的,應(yīng)當(dāng)依法承擔(dān)賠償責(zé)任。
If Party B rescinds this Agreement by violating labor laws, regulations or Party A’s regulations and rules, or Party B breaches any provisions hereof and thereby causes any loss to Party A, Party B shall be liable for such loss according to laws.
1.甲方為其支付的培訓(xùn)費(fèi)和招收錄用費(fèi);
Training fee and recruitment fee paid by Party A for Party B;
2.對(duì)生產(chǎn)、經(jīng)營(yíng)和工作造成的直接經(jīng)濟(jì)損失;
Economic loss directly arising from production, operation or work;
3.本合同約定的其它賠償費(fèi)用。 Other compensation stipulated in this Agreement.
(三)乙方違反本合同第十六條第(一)款約定,給甲方造成損失的,除賠償本條第(二)款中約定的項(xiàng)目外,還應(yīng)賠償甲方下列損失:
If Party B breaches Article 16.1 of this Agreement and thereby causes any loss to Party A, then Party B shall compensate Party A the following loss in addition to those items set forth in Article 16.2:
甲方已支付給乙方的工資的 %的部分;
% of the remuneration paid by Party A to Party B;
(四)乙方違反本合同第十五條第(二)款約定,應(yīng)按照本條第(二)款中約定的第1項(xiàng)中的招收錄用費(fèi)用和第2項(xiàng)。
If Party B breaches Article 15.2 of this Agreement, Party B shall compensate Party A the item 1 and 2 in Article 16.2.
(五)如果乙方欠付甲方任何款項(xiàng)或給甲方造成任何經(jīng)濟(jì)損失或依照法律法規(guī)約定和本合同約定應(yīng)承擔(dān)的賠償責(zé)任,甲方有權(quán)從乙方的工資、獎(jiǎng)金及津貼、補(bǔ)貼等(不限于此)收入中做相應(yīng)的扣除,但該扣除不得違反法律法規(guī)的規(guī)定,乙方收入余額不夠扣除的,甲方仍然有權(quán)就剩余部分向乙方追償。
If Party B delays any sum payable to Party A or causes any economic loss to Party A or Party B shall bear any liability according to laws or this Agreement, Party A shall have the right to make corresponding deduction from the salary, bonus or allowance (without limitation) for Party B, provided that such deduction may not violate laws; if the balance of Party B’s income fails to cover the sum to be deducted, Party A shall have the right of recourse against Party B for the difference.
第十七條 有關(guān)手續(xù)Article 17 Relevant Procedures
(一)甲方應(yīng)在解除或者終止本合同時(shí)告知工會(huì),并出具解除或者終止本合同的證明,并在15日內(nèi)為乙方辦理檔案和社會(huì)保險(xiǎn)關(guān)系轉(zhuǎn)移手續(xù)。乙方應(yīng)在甲方出具解除或者終止勞動(dòng)本合同的證明后10日內(nèi)辦理以下工作交接:并以書(shū)面形式確認(rèn)。
If Party A is to terminate or rescind this Agreement, it shall first inform the labor union thereof and present documents certifying such termination or rescission, and shall, within 15 days, handle the procedures of handover of archives and social insurance. Party B shall, within 10 days from the date on which Party A issues documents certifying such termination or rescission, handle the following procedures for handover and make written confirmation thereof:
1、所在部門(mén)確認(rèn)職工的工作已經(jīng)全部交接。
All confirmation of staff of his or her department is completed;
2、IT部門(mén)確認(rèn)職工使用的計(jì)算機(jī)所儲(chǔ)存的公司相關(guān)信息已經(jīng)處理完畢及其公司網(wǎng)絡(luò)系統(tǒng)內(nèi)部的帳號(hào)和管理權(quán)限刪除。
The IT department confirms that the Party A-related information stored in the computer used by Party B has been disposed of completely, and confirms that his account number and administration right in the company’s Intranet has been deleted.
3、計(jì)劃財(cái)務(wù)部確認(rèn)職工對(duì)公司的經(jīng)濟(jì)債權(quán)債務(wù)已經(jīng)清償完畢。
The planning and financial affairs department confirms that Party B’s credit right and liability has been settled completely.
4、工會(huì)、經(jīng)理辦公室確認(rèn)職工所借公司的實(shí)物或經(jīng)濟(jì)債權(quán)債務(wù)清償完畢。
The trade union and the general office confirm that any and all articles or economic debt owed by Party B from Party A has been settled completely.
5、職工是中國(guó)共產(chǎn)黨黨員或中國(guó)共產(chǎn)主義青年團(tuán)團(tuán)員的,須經(jīng)黨團(tuán)組織確認(rèn)組織關(guān)系轉(zhuǎn)移手續(xù)辦理完畢。
If Party B is a member of CPC or Communist Youth League of China, Party B shall have the relevant organizations of the CPC or Communist Youth League of China conform the completion of handover of organization relationship.
6、門(mén)診部確認(rèn)職工的小額藥品額度帳戶(hù)關(guān)閉。
The clinical department confirms that the small-sum medicines account for Party B has been closed.
7、安全保衛(wèi)部門(mén)確認(rèn)職工已將辦公場(chǎng)所的鑰匙歸還。
The safeguarding department confirms that Party B has hand over all keys to office rooms.
8、其它需要交接的事項(xiàng)已經(jīng)辦結(jié)。
All other matters to be handed over have been handled completely.
(二)若乙方不按本合同約定時(shí)間進(jìn)行交接或者交接手續(xù)不齊備,甲方有權(quán)不予辦理檔案和社會(huì)保險(xiǎn)關(guān)系轉(zhuǎn)移手續(xù),亦有權(quán)拒絕支付經(jīng)濟(jì)補(bǔ)償金。
If Party B fails to handle procedures for handover within time limit stipulated herein or the procedures have not been completed, Party A may refuse to handle handover of archives and social insurance, and also may refuse to pay economic compensation.
第十八條 勞動(dòng)爭(zhēng)議的處理 Article 18 Settlement of Labor Disputes
雙方在履行本合同中發(fā)生的爭(zhēng)議,任何一方均可以提交甲方的勞動(dòng)爭(zhēng)議調(diào)解委員會(huì)調(diào)解;調(diào)解不成的,應(yīng)在六十天內(nèi)向仲裁委員會(huì)申請(qǐng)仲裁;對(duì)仲裁不服的向人民法院提起訴訟;對(duì)判決不服的可向人民法院上訴,人民法院的判決為終審判決。
In case of any disputes arising from the performance of this Agreement, either party may submit the same to labor dispute mediation commission of Party A for mediation; if such mediation fails, the case shall be submitted to the Arbitration Commission; if either party refuses to accept the award rendered by the arbitration commission, it may lodge a lawsuit to the people’s court; if either party refuses to accept the judgement rendered by the court, it may lodge an appeal to the Court, and the judgement rendered by the Court shall be final judgement.
第十九條 雙方商議的其它條款A(yù)rticle 19. Other Stipulations
第二十條 其它事項(xiàng)Article 20 Miscellaneous Provisions
(一)本合同一式3份,甲方執(zhí)二份、乙雙執(zhí)一份。
This Agreement is made in triplicate, two copies for Party A and one for Party B.
(二)本合同涂改的部分、未經(jīng)合法授權(quán)代簽,無(wú)效。本合同為解決雙方勞動(dòng)爭(zhēng)議的依據(jù)。
Any alteration of this Agreement without duly authorized signature shall be null and void. This Agreement constitutes the basis for settlement of labor disputes between the two parties.
(三)本合同共有___份附件。本合同的附件與本合同具有同等效力。但如果本合同的條款與附件內(nèi)容有任何沖突或不一致之處,則以附件中的內(nèi)容為準(zhǔn)。
This Agreement contains annexes, which shall have the same binding force as this Agreement. In case of any discrepancy between this Agreement and annexes, the annexes shall prevail.
(四)本合同自雙方簽署之日起生效。
This Agreement shall come into force upon signature by the two parties.
(五)乙方確定下列地址為甲方就勞動(dòng)關(guān)系管理相關(guān)文件、文書(shū)的送達(dá)乙方的地址。如以下地址發(fā)生變化,乙方應(yīng)書(shū)面告知甲方。如果以下地址有誤或乙方變更后未及時(shí)告知甲方的,甲方不承擔(dān)勞動(dòng)關(guān)系管理相關(guān)文件、文書(shū)的不能送達(dá)或延誤送達(dá)的任何責(zé)任。
Party B confirms that the following address shall be his or her address for service of all documents related to the employment relationship hereunder sent by Party A. In the event of any change of such address, Party B shall notify Party A thereof in writing. If the following address contains any error or Party B fails to notify Party A duly after any change, Party A may not be held responsible for non-service or delay in service of any documents related to the employment relationship.
