This CONTRACT (hereinafter referred to as “CONTRACT”) is made and entered into this 20th day of

WHEREAS, CONTRACTOR has entered into a CONTRACT with the OWNER, and under which contract, has undertaken such works and services as necessary for the PROJECT and is to design and engineer, to purchase equipment and materials for and to construct and completion the WORKS.
鑒于 承包商已與業(yè)主簽訂了承擔(dān)上述項(xiàng)目所需的包括設(shè)計(jì)、設(shè)備材料采購(gòu)、施工和竣工的服務(wù)合同；
 
WHEREAS, OWNER is, for the purpose of due implementation of the PROJECT, desirous of employing an experienced and capable CONTRACTOR and of letting the above mentioned WORKS to such a CONTRACTOR, which WOKRS are as described in Clause 1 “WORK TO BE PERFORM” hereof.
鑒于為完成此“項(xiàng)目”，業(yè)主欲有經(jīng)驗(yàn)、能勝任的承包商承擔(dān)本協(xié)議第 1款中規(guī)定工程；
 
WHEREAS, OWNER desires that the WORKS should be executed by the CONTRACTOR, and has accepted a CONTRACTOR’s OFFER for the execution and completion of such WORKS and the remedying of any defects therein.
鑒于業(yè)主欲將該工程交由承包商實(shí)施，即已接受了承包商提交的承擔(dān)實(shí)施和完成這些工程以及修補(bǔ)其中任何缺陷的投標(biāo)書。
 
Now this AGREEMENT witnesses as follows: 茲就以下事項(xiàng)達(dá)成本協(xié)議：
 
1.0 Project of contract 合同項(xiàng)目
1.1 The WORKS are hereby let to and are undertaken by, and shall be performed and completed by the CONTRACTOR, which WORKS are as defined in the attached “SCOPE OF WORK” and “TECHNICAL DOCUMENT”.
承包商應(yīng)按照所附“工作范圍”和“技術(shù)文件”的定義執(zhí)行并完成工程。
 
1.2 The OWNER shall according to the terms and conditions of the CONTRACT pay the CONTRACTOR the compensation being the FIXED LUMP SUM PRICE hereunder, for the WORKS duly and faithfully performed and properly completed by the CONTRACTOR in accordance with the CONTRACT.
在承包商按照合同規(guī)定真實(shí)、正確、及時(shí)地執(zhí)行并完成工程，業(yè)主應(yīng)根據(jù)合同條件以固定合同總價(jià)支付承包商。
 
1.3 The CONTRACTOR shall furnish all necessary labor and supervision thereof, construction equipments, temporary facilities, equipment and materials, consumables and transportation thereof, technical and professional services, all required for the WORKS, and shall carry out all the operations necessary and required to perform and complete the WORKS in accordance with the
CONTRACT and to the reasonable satisfaction of the OWNER.
承包商應(yīng)按照合同規(guī)定提供工程所需的全部勞務(wù)、監(jiān)督、施工設(shè)備、臨時(shí)設(shè)施、材料、耗材、運(yùn)輸及專業(yè)的技術(shù)服務(wù)，執(zhí)行并完成工程直至業(yè)主滿意。
 
2.0 CONTRACT DOCUMENT 合同文件

3.0 FIXED LUMP SUM PRICE AND PAYMENT TERMS 固定合同總價(jià)和付款
3.1 As the full consideration for the satisfactory performance and entire discharge by the CONTRACTOR of all of the CONTRACTOR’s duties, obligations, responsibilities and liabilities under the CONTRACT, the OWNER shall in accordance with the payment terms set forth in the CONTRACT, pay the CONTRACTOR the FIXED LUMP SUM PRICE. 在承包商根據(jù)合同規(guī)定履行其全部職責(zé)及義務(wù)，業(yè)主將按照合同支付條件以固定總價(jià)形式向承包商付款。
 
3.2 The CONTRACTOR shall be deemed to have pursued and satisfied himself so far as is practicable having regard to considerations of Scope of Work, construction period, drawings, site conditions, regulation and specification before submitting his Tender, and cost increase in all respects has been estimated and included in the Tender.
應(yīng)當(dāng)認(rèn)為承包商在報(bào)價(jià)時(shí)已對(duì)工作范圍、工期、圖紙、現(xiàn)場(chǎng)條件、規(guī)定及規(guī)范做出了詳盡的了解并對(duì)其可行性表示滿意，對(duì)一切費(fèi)用的上升因素做了估計(jì)并已包含在合同的價(jià)格中。
 
3.3 The FIXED LUMP SUM PRICE shall, regardless of and change of working volume and site conditions, be firm and unchanged and subject to no escalation for the entire period until the CERTIFICATE OF ACCEPTANCE of WORKS shall have been issued by the OWNER to the CONTRACTOR.
本固定合同總價(jià)在業(yè)主頒發(fā)工程驗(yàn)收證書之日的整個(gè)合同工期內(nèi)不因工作量和現(xiàn)場(chǎng)條件的變化而調(diào)整。
 
3.4 The FIXED LUMP SUM PRICE for the CONTRACTOR is RMB ( RMB Only).
固定合同總價(jià)為人民幣(人民元整)。
 
3.5 Payment Terms 付款方式

4.0 INDENMNITY 保障
4.1 The CONTRACTOR agrees to assume the defense of and indemnify and hold the OWNER harmless from and against any and all claims of any nature whatsoever, and the cost and expense, including counsel fees, of defending the same, based upon or arising out of any construction, installation, services or facilities furnished by the CONTRACTOR under or in connection with this CONTRACT.
承包商應(yīng)保障業(yè)主免于因承包商按照合同進(jìn)行施工、安裝、服務(wù)或提供設(shè)施過程中對(duì)業(yè)主產(chǎn)生的任何性質(zhì)的索賠和費(fèi)用支出（包括律師費(fèi)）。
 
4.2 If the CONTRACTOR fails to reach each Milestone Target in fourteen (14) days in succession, the OWNER has the right to terminate the CONTRACT and choose other competent CONTRACTORS as per Clause 46 "SUSPENSION AND TERMINATION” of “CONTRACT GENERAL CONDITIONS” the ascending expenses caused hereby should be undertaken by the CONTRACTOR and the PERFORMANCE BOND shall be fully confiscated under the CONTRACT.
如承包商連續(xù) 14天未能達(dá)到任何里程碑目標(biāo)，業(yè)主有權(quán)按照“合同通用條件”第 46款“暫停和終止”的規(guī)定終止合同并選擇其它承包商，由此產(chǎn)生的額外費(fèi)用由乙方承擔(dān)，履約擔(dān)保將被全額扣除。
 
5.0 SCHEDULE 進(jìn)度
5.1 The CONTRACTOR shall mobilize for and perform and complete any and all parts of the WOKRS in accordance with the CONTRACT WORK SCHEUDLE or with the subsequent revision thereof, if any.
承包商應(yīng)按照合同進(jìn)度計(jì)劃或更新進(jìn)度計(jì)劃進(jìn)行工程任何部分和全部的動(dòng)員、施工和完工。
 
5.2 The CONTRACTOR shall clear every Milestone and Progress imposed on the CONTRACTOR under “CONTRUCTION SCHEUDLE”.
承包商應(yīng)按”施工進(jìn)度計(jì)劃”要求實(shí)現(xiàn)的每個(gè)里程碑目標(biāo)。
 
5.3 Materialize COMPLETION OF WORKS, and thereby achieve ACCEPTANCE OF WORKS.
實(shí)現(xiàn)實(shí)質(zhì)性完工及工程竣工。
 
6.0 TAXES 稅收
6.1 The CONTRACTOR shall pay all national, provincial and municipal contributions and taxes, which may arise from the performance of the WORKS. This obligation shall extend to import duties, sales, license, consumption, gross receipts, documentary, stamp and other taxes applicable
to materials furnished or to the WORKS performed by the CONTRACTOR, as well as to those payroll or payment received by the CONTRACTOR. The CONTRACTOR shall indemnify the OWNER against any liability for any such taxes, contributions and premiums.
承包商應(yīng)交納國(guó)家及省、市要求的與工程有關(guān)的一切行政收費(fèi)和稅款。此義務(wù)也適用于承包商為完成工程而提供的材料或執(zhí)行工程而產(chǎn)生的有關(guān)進(jìn)口、營(yíng)業(yè)、執(zhí)照、消費(fèi)、收入、單據(jù)、印花等稅收，也包括承包商應(yīng)收款稅收。承包商應(yīng)保證使業(yè)主免于任何稅款及行政費(fèi)用的征收。
 
7.0 CONDUCT OF BUSINESS 業(yè)務(wù)處理
7.1 The OWNER reserves the right to terminate business and/or withhold all outstanding payments or both if there is substantial evidence indicating corrupt practices on the CONTRACTOR's part in the course of this CONTRACT.
如果有確鑿證據(jù)表明承包商在協(xié)議執(zhí)行過程中有行賄行為，業(yè)主具有終止業(yè)務(wù)和/或不予支付未付款或同時(shí)采取這兩項(xiàng)措施的權(quán)利。
 
7.2 Corrupt practices shall be defined as offering of bribes in money or kinds, Agreement commissions to employee(s) of OWNER or any other activities, which may be construed as corruption in the court of law. commissions to employee(s) of OWNER or any other activities, which may be construed as corruption in the court of law.
行賄指向業(yè)主雇員提供依法被認(rèn)定為賄賂性質(zhì)的金錢和傭金之類行為。
 
7.3 Drastic action of such nature shall only be exercised with concrete evidence derived from a thorough investigation carried out by OWNER.
經(jīng)徹底調(diào)查并有確鑿證據(jù)時(shí)，業(yè)主將對(duì)此采取嚴(yán)歷措施。
 
8.0 COVENANTS 承諾
8.1 This AGREEMENT shall become effective immediately upon signing of the AGREEMENT by both parties hereto and shall continue to be in effect for the period needed for completion of the parties’ obligations hereunder, or as otherwise provided under this AGREEMENT.
本協(xié)議經(jīng)雙方簽署后立即生效，并在雙方完成本協(xié)議規(guī)定的義務(wù)期限內(nèi)或本協(xié)議另行規(guī)定的期限內(nèi)持續(xù)有效。
 
8.2 In witness whereof the parties hereto, acting through their duly authorized representatives, have duly executed this AGREEMENT in two (2) originals the day and year first above written.

  Having examined the documents listed in the CFB package and the various Bid Bulletins, we the undersigned offer to execute the WORKS in conformity with the said document for a sum of (insert here the bid price in letters and figures).

  By submission of this bid, we warrant that the prices in the bid have been arrived at independently, without consultation, communication, agreement or understanding for the purpose of restricting the competition, as to any matter relating to such prices, with any other BIDDER or with any competitor.
