買(mǎi)賣(mài)雙方同意按照下列條款簽訂本合同：
The Seller and the Buyer agree to conclude this Contract subject to the terms and conditions stated below:

 7. 包裝及標(biāo)準(zhǔn)（Packing）：
   
 貨物應(yīng)具有防潮、防銹蝕、防震并適合于遠(yuǎn)洋運(yùn)輸?shù)陌�裝，由于貨物包裝不良而造成的貨物殘損、滅失應(yīng)由賣(mài)方負(fù)責(zé)。賣(mài)方應(yīng)在每個(gè)包裝箱上用不褪色的顏色標(biāo)明尺碼、包裝箱號(hào)碼、毛重、凈重等標(biāo)記。
The packing of the goods shall be preventive from dampness,  rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be liable for any damage and loss of the goods                  attributable to the inadequate or improper packing. The measurement, gross weight, net weight and other marks.

12. 保險(xiǎn)（Insurance）：
   由賣(mài)方按發(fā)票金額110%投保全險(xiǎn)、戰(zhàn)爭(zhēng)險(xiǎn)和＿＿附加險(xiǎn)。
 Insurance shall be covered by the seller for 110% of the  invoice value against against all risks and war risks and____ Additional  Risks.
 13. 付款條件（Terms of Payment）：
信用證：買(mǎi)方應(yīng)于合同日后30日內(nèi)開(kāi)立以賣(mài)方為受益人的100%合同總額的不可撤銷(xiāo)信用證，信用證有效期至貨物發(fā)運(yùn)后21天。
By Letter of Credit: The Buyer shall open an irrevocable letter of Credit, within 30 days after the contract date, in favor of  Seller, for 100% total value of Contract. The L/C shall remain valid till be 21 days after shipment is effected.
 
14 DOCUMENTS  單據(jù)
(1)全套3/3注明“運(yùn)費(fèi)已付”通知買(mǎi)方的提單。
Full set of 3/3 original dills of lading marked  Freight Prepaid and noting the Buyer at the destination port.
 
(2) 商業(yè)發(fā)票3正3副，根據(jù)本合同注明該合同號(hào)和嘜頭。
Signed commercial invoice in 3 originals 3 copies indicating contract number and shipping mark, made out in details as per this contract.
 
(3) 由生產(chǎn)廠商出具的質(zhì)量和數(shù)量證明書(shū)3份。
Certificate of quality and quantity in triplicate issued by the manufacturer.
 
(4) 制造商出具的原產(chǎn)地證明3正3副。
Certificate of origin in 3 originals and 3 copies issued by the manufacture.
 
（5） 涵蓋“一切險(xiǎn)”和“戰(zhàn)爭(zhēng)險(xiǎn)”的保單一正一副。
Insurance Policy in one original and one copy covering “all risks” and “war risks”.
 
15      HIPPING ADVICE  裝運(yùn)通知
賣(mài)方應(yīng)在合同規(guī)定裝期7天前傳真通知買(mǎi)方裝運(yùn)港名稱(chēng)、合同號(hào)、品名、數(shù)量、價(jià)值、件數(shù)、每件毛/凈重、尺寸及貨物在裝運(yùn)港備期待裝日期貨并在物裝船后10日內(nèi)，用傳真將提單、發(fā)票和裝箱單發(fā)給買(mǎi)方。
 
The Seller shall, 7 days before the date of shipment specified in the contract, advise the Buyer by fax of name of loading port, contract number , name of spare parts, quantity, value, member of packages, gross/net weight of each package, measurement of each package and the date of readiness at the port of shipment. The Seller shall, with 10 days after completion of the loading of the goods, send the B/L, invoice and Packing list to the Buyer by fax.
 
   16. 裝運(yùn)通知（Shipping Advice）：
 一俟裝載完畢，賣(mài)方應(yīng)在＿＿小時(shí)內(nèi)以＿＿＿＿方式通知買(mǎi)方合同編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名及啟程日期等。
  The Seller shall, immediately upon the completion of the   loading of the goods, advise the Buyer of the Contract No.,   names of commodity, loading quantity, invoice values, gross weight, name of vessel and shipment date by_____ within                   _____hours.
 
  17. 質(zhì)量保證（Quality Guarantee）：
 貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書(shū)之規(guī)定，品質(zhì)保證期為貨到目的港＿1＿個(gè)月內(nèi)。在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。
 The Seller shall guarantee that the commodity must be in                   conformity with the quatity,specifications and quantity                   specified in this Contract and Letter of Quality Guarantee. The guarantee period shall be _one__ months after the arrival of the goods at the port of destination, and during the period the Seller shall be responsible for the damage due to the                   defects in designing and manufacturing of the manufacturer.
 
    18. 檢驗(yàn)（Inspection） （以下兩項(xiàng)任選一項(xiàng)）：
 （1）賣(mài)方須在裝運(yùn)前＿十＿日委托日本檢驗(yàn)機(jī)構(gòu)對(duì)本合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買(mǎi)方委托中國(guó)商檢局檢驗(yàn)機(jī)構(gòu)進(jìn)行檢驗(yàn)。
  The Seller shall have the goods inspected by __ten___ days before the shipment and have the Inspection Certificate issued by Japanese impection authority. The Buyer may have the goods reinspected by CCIB after the goods arrival at the destination.
 
   (2)   發(fā)貨前，制造廠應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗(yàn)，出具檢驗(yàn)證明書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買(mǎi)方將申請(qǐng)中國(guó)商品檢驗(yàn)局(以下簡(jiǎn)稱(chēng)商檢局)對(duì)貨物的規(guī)格和數(shù)量/重量進(jìn)行檢驗(yàn)，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買(mǎi)方得在貨物到達(dá)目的港后＿＿日內(nèi)憑商檢局出具的檢驗(yàn)證書(shū)向賣(mài)方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時(shí)，買(mǎi)方將委托中國(guó)商檢局進(jìn)行檢驗(yàn)。
 The manufacturers shall, before delivery, make a precise and                   comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and  issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods                   at the port of destination, the Buyer shall apply to China  Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are                   found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping  Company, the Buyer shall, within _____ days after arrival of                  the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods                  incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.
 
    19. 索賠（Claim）：
買(mǎi)方憑其委托的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣(mài)方提出索賠（包括換貨），由此引起的全部費(fèi)用應(yīng)由賣(mài)方負(fù)擔(dān)。若賣(mài)方收到上述索賠后______天未予答復(fù)，則認(rèn)為賣(mài)方已接受買(mǎi)方索賠。The buyer shall make a claim against the Seller (including                   replacement of the goods) by the further inspection   certificate and all the expenses incurred therefrom shall be  borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within                   ______days after the Seller received the Buyer's claim.
 
 20. 遲交貨與罰款（Late delivery and Penalty）:
 除合同第21條不可抗力原因外，如賣(mài)方不能按合同規(guī)定的時(shí)間交貨，買(mǎi)方應(yīng)同意在賣(mài)方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每＿＿天收＿＿%，不足＿＿天時(shí)以＿＿天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的____%。如賣(mài)方延期交貨超過(guò)合同規(guī)定＿＿天時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同，此時(shí)，賣(mài)方仍應(yīng)不遲延地按上述規(guī)定向買(mǎi)方支付罰款。
   買(mǎi)方有權(quán)對(duì)因此遭受的其它損失向賣(mài)方提出索賠。
 Should the Seller fail to make delivery on time as stipulated  in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller                   agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at______% for every ______ days, odd days less than ___days should be counted as ______ days. But the penalty,                   however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery ______ days later than the time of shipment stipulated in the Contract, the Buyer shall have the                   right to cancel the Contract and the Seller, in spite of the                   cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay.
 The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.
 
       21. 不可抗力（Force Majeure）：
 凡在制造或裝船運(yùn)輸過(guò)程中，因不可抗力致使賣(mài)方不能或推遲交貨時(shí)，賣(mài)方不負(fù)責(zé)任。在發(fā)生上述情況時(shí)，賣(mài)方應(yīng)立即通知買(mǎi)方，并在＿＿天內(nèi)，給買(mǎi)方特快專(zhuān)遞一份由當(dāng)?shù)孛耖g商會(huì)簽發(fā)的事故證明書(shū)。在此情況下，賣(mài)方仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)＿＿天以上，買(mǎi)方有權(quán)撤銷(xiāo)合同。
   The Seller shall not be responsible for the delay of shipment  or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within_____                   days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under                  such circumstances the Seller, however, are still under the                  obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than _____ days the Buyer shall have the right to cancel the  Contract.
 
         22. 爭(zhēng)議的解決 (Arbitration):
 凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。
  Any dispute arising from or in connection with the Contract                   shall be settled through friendly negotiation. In case no                   settlement is reached, the dispute shall be submitted to China                   International Economic and Trade Arbitration Commission                   (CIETAC),Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
 
       23. 通知（Notices):
 所有通知用英文寫(xiě)成，并按照如下地址用傳真/電子郵件/快件送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后＿5＿日內(nèi)書(shū)面通知另一方。
 All notice shall be written in English and served to both  parties by fax/courier according to the following addresses. If any changes of the addresses occur, one party shall inform  the other party of the change of address within __5__days after                   the change.
 
  24. 本合同使用的FOB、CFR、CIF術(shù)語(yǔ)系根據(jù)國(guó)際商會(huì)《2000年國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則》。
 The terms FOB、CFR、CIF in the Contract are based on INCOTERMS  2000 of the International Chamber of Commerce.
 
     25. 附加條款 (Additional clause)：
  本合同上述條款與本附加條款抵觸時(shí)，以本附加條款為準(zhǔn)。
Conflicts between Contract clause hereabove and this  additional clause, if any, it is subject to this additional  clause.
 
 26. 本合同用中英文兩種文字寫(xiě)成，兩種文字具有同等效力。本合同共＿＿份，自雙方代表簽字（蓋章）之日起生效。
This Contract is executed in two counterparts each in Chinese  and English, each of which shall deemed equally authentic.  This Contract is in ______ copies, effective since being signed/sealed by both parties.
