英文合同中違約金、罰金和損害/損失賠償金的條款
 
一個(gè)完整的合同應(yīng)當(dāng)有違約責(zé)任條款，違約責(zé)任條款就有兩個(gè)作用：一、督促作用，通過(guò)違約責(zé)任的的警示作用，督促合同當(dāng)事人全面履行合同；二、彌補(bǔ)損失作用，在一方違約情況下，可以通過(guò)追究對(duì)方的違約責(zé)任，彌補(bǔ)損失。國(guó)際商務(wù)合同中違約一般不稱(chēng)違約金 而是稱(chēng)損害賠償。違約金條款第一不要遺漏，第二要全面，第三幅度可以高,但不要太高，因?yàn)樘�高�?dǎo)致條款無(wú)效，等于讓裁判庭自己決定。一般的損害賠償方法可表述如下：(直接財(cái)產(chǎn)損失十可得利益損失十減損支付的費(fèi)用)一(應(yīng)該避免的損失十避免的成本或因違約損害而獲取的收益十屬于受害方自己過(guò)錯(cuò)造成的損失)=違約方應(yīng)該支付的損害賠償數(shù)額（≤受害方的實(shí)際損失）。
 
一、  貨物買(mǎi)賣(mài)合同中約定的違約金
 
例：承包方應(yīng)當(dāng)為這種違約向發(fā)包方支付按每天   %的比例計(jì)算的損失

例：除合同第21條不可抗力原因外，如賣(mài)方不能按合同規(guī)定的時(shí)間交貨，買(mǎi)方應(yīng)同意在賣(mài)方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每＿＿天收＿＿%，不足＿＿天時(shí)以＿＿天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的____%。如賣(mài)方延期交貨超過(guò)合同規(guī)定＿＿天時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同，此時(shí)，賣(mài)方仍應(yīng)不遲延地按上述規(guī)定向買(mǎi)方支付罰款。   買(mǎi)方有權(quán)對(duì)因此遭受的其它損失向賣(mài)方提出索賠。
 Should the Seller fail to make delivery on time as stipulated  in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller                   agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at______% for every ______ days, odd days less than ___days should be counted as ______ days. But the penalty,                   however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery ______ days later than the time of shipment stipulated in the Contract, the Buyer shall have the                   right to cancel the Contract and the Seller, in spite of the                   cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay. The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.
 
 例：乙方不按合同規(guī)定購(gòu)買(mǎi)補(bǔ)償商品或甲方不按合同規(guī)定提供商品時(shí)，均應(yīng)按合同條款承擔(dān)違約責(zé)任，賠償由此造成的經(jīng)濟(jì)損失，并向?qū)Ψ街Ц对擁?xiàng)貨款總值的____%的罰款。 
Party B shall , if it fails to comply with this agreement to make purchase of the goods delivered by Party A as reimbursement, or Party A shall, if it fails to comply with this agreement to deliver the goods it is due to provide, be deemed liable for a breach of agreement and shall compensate the non-breaching Party for the loss caused thereupon and shall pay the non-breaching Party a fine accounting for % of the total value of the goods in question. 
 
例：甲方不能拖欠乙方所有費(fèi)用，如果違約，需向乙方支付違約金（總合同金額）0.1%/天。
Party A cannot default payment due to Party B, if breach of payment clause herein, should pay the penalty to the Party B at rate of 0.1%/Day on base of total contract amount.

例：買(mǎi)方未按合同規(guī)定日期付款，每延期一天，應(yīng)償付賣(mài)方以延期付款總額＿＿＿％的罰金。
In case that Buyer delays in paying the payment according to this Contract, Buyer shall pay to Seller penalty for each delay day, which is equal to ＿％ of total amount.

   例： 如果賣(mài)方不能按合同規(guī)定及時(shí)交貨，除因不可抗力者外，若賣(mài)方同意支付延期罰款，買(mǎi)方應(yīng)同意延期交貨。
In case that Seller fails to deliver the Products to Buyer in accordance with this Contract, except for  the force majeure, Buyer should agree to Seller’s late delivery on the condition that Seller agrees to pay delay penalty.
 
例：罰款通過(guò)在付款時(shí)扣除，但罰款總額不超過(guò)延期貨物總值的５％，罰款率按每星期０．５％計(jì)算，少于七天者按七天計(jì)。
Penalty shall be deducted from the due payment, but the maximum penalty shall not be greater that the 5% of total amount of the Products. The penalty shall be charged according to 0.5% weekly rate, and the delay period which is less than 7 days shall be deemed as 7 days.
 
例：如果賣(mài)方交貨延期超過(guò)合同規(guī)定船期十星期時(shí)，買(mǎi)方有權(quán)取消合同。盡管取消了合同，但賣(mài)方仍須立即向買(mǎi)方交付上述規(guī)定罰款。
Buyer has the right to cancel this Contract in case that Seller delays in delivering the Products over 10 weeks. Seller must immediately pay to Buyer the above mentioned penalty after Buyer’s cancellation of this Contract.
 
例：　如果發(fā)生任何貨物的遲延交付，則買(mǎi)方有權(quán)要求預(yù)定損害賠償，每遲延一整周，其金額為該遲交貨物價(jià)款的0．5%，或約定的其他比率，但以買(mǎi)方通知賣(mài)方交貨遲延為前提。買(mǎi)方在約定的交貨日期后15天內(nèi)照此通知賣(mài)方，則損害賠償金應(yīng)從約定的交貨日或約定　　的交貨期間的最后一天起算；如果買(mǎi)方在約定的交貨日期后超過(guò)15天才通知賣(mài)方，則損害賠償金應(yīng)從通知日起算。延遲交貨的預(yù)定損害賠償金不應(yīng)超過(guò)遲交貨物價(jià)款的5%，或其他可能約定的最高數(shù)額。
 When there is delay in delivery of any goods, the Buyer is entitled to claim liquidated damages equal to 0.5% or such other percentage as may be agreed of the price of those goods for each complete week of delay, provided the Buyer notifies the Seller of the delay. Where the Buyer so notifies the Seller within 15 days from the agreed date of delivery, damages will run from the agreed date of delivery or from the last day within the agreed period of delivery. Where the Buyer so notifies the Seller after 15 days of the agreed date of delivery, damages will run from the date of the notice. Liquidated damages for delay shall not exceed 5% of the price of the delayed goods or such other maximum amount as may be agreed.
例：除天災(zāi)人禍等不可抗力因素及因買(mǎi)方未盡本合同責(zé)任之情形以外，如賣(mài)方逾期完成以上任何一項(xiàng)義務(wù)，須從逾期第四天起按日支付該筆逾期款項(xiàng)0.1%的罰款，但該罰款不應(yīng)超過(guò)本合同總價(jià)之3%。
Except for force majeure or a failure by the Buyer to perform its obligations under this Contract, if the Seller fails to complete on time any of its tasks set forth above, it shall pay a penalty of 0.1% per day on the late amount, commencing on the fourth day of such delay, provided that such penalty shall not exceed 3% of the Contract Price.
 
例：買(mǎi)方應(yīng)賠償或補(bǔ)償賣(mài)方因買(mǎi)方造成的交貨延誤所受到的所有損失，包括（但不限于）貨物貯存的費(fèi)用，該費(fèi)用以每天每噸人民幣83元計(jì)算。
The Purchaser shall indemnify the Seller for all costs incurred by it as a result of any delay in the delivery of the Metal Building System caused by the Purchaser, including, without limitation, the cost of storage which shall be charged at the rate of Rmb 83 per ton per day.
 
例：由于賣(mài)方原因造成不能按期裝運(yùn)的，則賣(mài)方應(yīng)從合同規(guī)定的最晚裝運(yùn)日的第十一天起,按照實(shí)際延遲的天數(shù)，每月付給買(mǎi)方貨值金額1.25%的遲裝費(fèi)。
If the cotton fails to be shipped as scheduled due to the Seller’s reasons, the Seller shall pay the Buyer a delayed delivery fee equivalent to 1.25% of the value of the commodity for the delay incurred in the contracted latest shipment date from the eleventh day after the month the cotton was due to be shipped.

例：由于買(mǎi)方原因造成不能按期裝運(yùn)的，則買(mǎi)方應(yīng)從合同規(guī)定的最晚裝運(yùn)日的第十一天起,按照實(shí)際延遲的天數(shù)，每月付給賣(mài)方貨值金額1.25%的遲裝費(fèi)。
If the cotton fails to be shipped as scheduled due to the Buyer’s reasons, the Buyer shall compensate the Seller carrying charges equivalent to 1.25% of the value of the commodity for the delay incurred in the contracted latest shipment date from the eleventh day after the month the cotton was due to be shipped.
例：甲方未按時(shí)交付車(chē)輛的，自延期之日起至實(shí)際交付日止，按乙方已付款依銀行遲延付款的規(guī)定向乙方支付違約金。延期交付車(chē)輛超過(guò)　　日的，乙方有權(quán)解除合同，并要求甲方按相當(dāng)于已交車(chē)款的　　 %支付違約金或適用定金條款�！　�
Party A ,if fail to deliver vehicle, should pay breach fine reference to bank’s priscription on delayed payment according to party B’s paid sum from the date of delay to actual delivery. In case fail to deliver excess    days party B is entitle to cancel this contract and require party A pay breach fine by   % of paid sum or apply clause of earnest money.

例：Inspection Certificate issued by SGS at discharging which should be presented to the seller within 30 days after completion of discharging date. Otherwise any claim shall be deemed to be waived. Its Certificate is final and must show clearly actual weight (0.3% franchise allowed). No quantity claim will be made for quantity difference not exceeding 0.3% of B/L weight. If shortage or surplus is beyond the allowed franchise, the excess of the 0.3% franchise of shortage or surplus shall be settled commercially by remittance within 30 days upon receipt of claim. Packing material weight will not be calculated.
SGS在卸貨時(shí)頒布的檢查證書(shū)須在完成卸貨之日起 30 天內(nèi)向賣(mài)方出示。否則任何索賠將被視為無(wú)效。證書(shū)必須是最終的而必須清楚地標(biāo)明實(shí)際重量 (0.3%的免賠是允許的)。提單重量差別沒(méi)有超過(guò)0.3%，則不提出索賠。如果在免賠的基礎(chǔ)上超出或是不足，超過(guò)了0.3%重量差，無(wú)論是超出還是不足都將在收到索賠之日起 30 天之內(nèi)通過(guò)商業(yè)匯款的方式解決。包裝材料的重量不計(jì)在內(nèi)。
 
例：Subject to 0.3% franchise against B/L weight, Buyer shall have the right to send claim concerning the Quantity and Quality of the material within 30 days from the date of B/L.
按照提單重量 0.3%的免賠質(zhì)量，買(mǎi)方有權(quán)在提單之日起 30 天之內(nèi)提出關(guān)於材料數(shù)量和質(zhì)量的索賠要求。
 
例：Should the seller fails to effect on time as stipulated in this contract owing to causes other than force majeure as provided in clause force majeure of this contract, the seller shall lost his pbg, and it shall be automatically transferred to the buyer’s account by the banking system. In this case the buyer has the right to cancel this contract but may agree to give the seller a grace period of five (5) days for delayed shipment. Penalty shall be charged at the rate of 0.3% of total L/C value for everyday the shipments is delayed. The penalty shall be calculated from the 1st day after the latest date of shipment in the contract / lc. The total value of penalty shall not exceed 3% of the total value of the commodity. 
如果出於本合同中所述不可抗力以外的原因，賣(mài)方?jīng)]有按時(shí)依照本合同規(guī)定履行職責(zé)，賣(mài)方將失去其保證金，保證金由銀行系統(tǒng)自動(dòng)轉(zhuǎn)到買(mǎi)方賬下。在此情況下，買(mǎi)方有權(quán)取消本合同，但是同意為預(yù)期的交付提供 5 天的優(yōu)惠期。罰金按照每逾期一天收取總提單價(jià)值的0.3%。罰款自本合同或信用證規(guī)定的最遲日起之後的第一天算起�？偭P款不應(yīng)超過(guò)商品總值的3%。
 
例：If either party of this Contract fails to perform its obligation as stated in this contract, other than by reason of Force Majeure as per Clause 14, The concern party shall pay 2% penalty to the other party. the penalty must be paid within 30days.
若買(mǎi)賣(mài)雙方任何一方未能履行合同條款, 除因條款第十四條款所述的不可抗力事件外, 違約方須向?qū)Ψ街Ц?%違約金.支付時(shí)間為判定為違約后30天內(nèi),
 
例：遲交貨和罰金：如果賣(mài)方未能按合同規(guī)定及時(shí)交貨(除了本合同15條款所言的不可抗力)，買(mǎi)方同意在賣(mài)方付罰金的前提下遲交貨。罰金的金額不超過(guò)遲交貨的合同貨物部分的價(jià)值的5%，罰金按每7日0.5%計(jì)算，少于7日的增加天數(shù)按7日計(jì)。如果賣(mài)方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)，買(mǎi)方有權(quán)取消該合同，除此之外，賣(mài)方仍要將有關(guān)罰金不加拖延地付給買(mǎi)方。
Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.
 
             二、 租房合同中約定的違約金
例：甲方應(yīng)按合同簽訂的出租日期將出租的房屋交乙方使用。如甲方逾期不交房屋的，則每逾期一天應(yīng)向乙方支付租金雙倍的違約金。  Party A shall hand over the leasing items to party B on the date as prescribed in this contract ,otherwise giving twice of the rent as liquidated damages by the day.
 
例：乙方逾期交付租金及物業(yè)管理費(fèi)，除如數(shù)補(bǔ)交外，按日支付逾期租金款項(xiàng)的萬(wàn)分之四的滯納金，逾期交付水電費(fèi)等其他費(fèi)用的，按逾期交納款項(xiàng)的千分之一支付滯納金。 In case of delay in paying rent or fees of property management beyond the prescribed period, party B shall undertake belated payment 4/10000 more of rent by the day. For fees of power or water, it shall be 1/1000 more by the day.
 例：甲方逾期付款每天按應(yīng)支付費(fèi)用0.3%向乙方支付違約金。支付乙方的款項(xiàng)應(yīng)以人民幣，并以電匯方式匯入指定的帳戶(hù).
If payment is over 30 days, an interest of 0.3% per day will be levied.  The Client’s payment should be made payable to Osage Art Consultancy specified RMB dollar account.
 
 
例：租賃期間，甲方提前收回房屋的，甲方應(yīng)按即時(shí)月租的租金向乙方支付十二個(gè)月的違約金。相反乙方未經(jīng)甲方同意中途擅自退租的，乙方應(yīng)按即時(shí)月租金向甲方支付十二個(gè)月的違約金。 In case party A takes back the leasing items before prescribed time and party A shall pay 12 times as much as the rent then and there as compensation .On the contrary ,in case party B quit the contract and move out of the leasing items before the prescribed time, he shall also pay 12 times as much as the rent then and there as compensation.
例：If Party B fails to pay the Deposit or other fees payable under this Contract, or Party A has paid for Party B such other fees payable by Party, Party B shall pay late payment interests for the period of late payment at the rate of 0.5‰ of the outstanding amount per day.
如乙方未能按照本合同規(guī)定支付應(yīng)付的保證金和其他款項(xiàng)給甲方，或甲方為乙方墊付應(yīng)由乙方支付的其他款項(xiàng)，乙方應(yīng)付遲延支付期間的遲延利息，該遲延利息應(yīng)按日息為所欠款項(xiàng)的0.5‰計(jì)算。
 
三、雇傭合同中的違約金
 
例：　因乙方未及時(shí)足額支付甲方員工勞動(dòng)報(bào)酬（包括但不限于工資、加班工資等），導(dǎo)致甲方遭受任何處罰、索賠、損失的，均應(yīng)由乙方向甲方作出足額補(bǔ)償。
If Party B fails to make full payment of labor remuneration of Party A’s Staff on time (including but not limited to pay and overtime payment), and therefore Party A suffers any penalty, claim or loss, Party B shall make full compensation to Party
 
例：　乙方未按本合同和附件的約定按時(shí)足額支付退回補(bǔ)償和（或）額外退回補(bǔ)償?shù)模�除�?yīng)足額支付外，還應(yīng)在甲方提出要求時(shí)，按應(yīng)付金額百分之一百的標(biāo)準(zhǔn)向甲方加付違約金。
If Party B fails to pay return compensation and/or additional return compensation in full and on time in accordance with the provisions of this Contract and the Attachments hereto, it shall, in addition to full-amount payment, pay to Party A penalty, at the rate of 100% of the sum due upon request.



例：乙方應(yīng)嚴(yán)格遵守甲方的工作規(guī)定以及規(guī)章制度，盡職盡責(zé)，否則，甲方有權(quán)隨時(shí)解除合同并追究因此而造成的經(jīng)濟(jì)損失，并有權(quán)對(duì)所造成的經(jīng)濟(jì)損失在乙方的報(bào)酬中作相應(yīng)扣除。
Party B should abide by Party A’s working systems, rules and regulations. Otherwise, Party A is entitled to cancel the contract and claim a corresponding compensation of any economic loss from Party B’s payment.
 
                
四、知識(shí)產(chǎn)權(quán)、專(zhuān)利合同違約金條款
 
例：.如乙方的技術(shù)資料不能按本合同附件二規(guī)定的時(shí)間交付，乙方則須按下列比例支付罰款給甲方:! y* k0
If Party B fails to despatch the said documents within the stipulated period as per Appendix 2 Party B shall pay penalty to Party A in the following proportions:

(1)遲交1至4周，罰款為合同總價(jià)的X%;
percent of the total Contract price for delay from 1 to 4 weeks.1 O3 \5 l6 }/

 (2)遲交5至8周，罰款為合同總價(jià)的Ｘ％；0 y2
 percent of the total contract price for delay form 5 to 8 weeks.

　(3)遲交超過(guò)8周，罰款為合同總價(jià)的Ｘ%;
 percent of the total contract price for delay exceeding weeks;

例：乙方按本條規(guī)定被罰款時(shí)，并不解除其繼續(xù)交付技術(shù)資料的義務(wù)。! U'
The payment of penalties by Party B to Party A as stipulated in Article 9 shll not releve party B of its obligation to deliver the said documents.$ W"

如果動(dòng)方遲交技術(shù)資料6個(gè)月以上，甲方有權(quán)終止合同。乙方須將甲方已給交付的全部金額，并加年利Ｘ％的利息，一并退還甲方。$ Z
Whenever the delay in delivering the said documents exceeds 6 months， Party A shall be entitled to terminate the Contract at its discretion and Party B shall be obliged to re- fund Party A all its payments together with the corresponding ingerest at the rate of... per-cent per annum. . v+ w* [: ^4 H4 {% n* n4 t) @
由于乙方責(zé)任，驗(yàn)收不合格，造成甲方有能正常投產(chǎn)而終止合同時(shí)，乙方應(yīng)退還甲方已經(jīng)支付給乙方的全部金額，并加年利Ｘ％的利息。) e9
If the verification tests fail with the responsibility lying with Party B and. v8if，as theresult，Party A cannot start normal production with the Contract having to be3 Tterminated，Party B shall erfund all the payments previously made by Party A to Party B/ Ytogether with the interest at the rate of... percent per annum.0 L

如因乙原因，產(chǎn)品部分性能指標(biāo)沒(méi)能達(dá)到合同產(chǎn)品的規(guī)定時(shí)，機(jī)具體情況，乙方須按合同總價(jià)X％予以賠償，但是，若因甲方原因產(chǎn)品沒(méi)能達(dá)到性能指標(biāo)時(shí)，甲方應(yīng)按合同規(guī)定支付金部金額。
If only some aspects of the properties of the Product are not up to the standards asstipulated in the Contract and the responsibility lies with Party B， Party B shall compensate Party A with ... percent of the total Contract price according to Concredt circumstances. Ifthe responsibility lies with Party A， Party a shall pay the total; CContract price in accordancewith the stipulations.



例：若任何一批技術(shù)文件的交付晚于本合同附件二規(guī)定的交付日期，從規(guī)定交付日期的第二天算起，乙方應(yīng)按下列規(guī)定向甲方支付：
8. 6 If any portion of the technical documentations is delivered late as specified in Appendix 2 of the contract, Party B shall,  from the 2nd day, pay to Party A a penalty as follows:
 
遲交1－4周每交遲1周罰款為合同總值的0．1％；
For late delivery of l to 4 weeks, the rate of penalty shall be   0. l % of the total contract price per each delayed week;
 
但上述罰款的合計(jì)不能超過(guò)合同總值的5％。
However, the total amount of the above penalty shall not exceed  5% of the total contract price.
       
乙方在按照8．6款的規(guī)定被罰款時(shí)，將不解除乙方繼續(xù)交付技術(shù)資料義務(wù)。
The payment of any penalty by Party B according to 8. 6 shall not release the obligation of Party B to continue the delivery of the technical documentations.
        
例：乙方如果遲交技術(shù)文件超過(guò)4個(gè)月則甲方有權(quán)終止合同。在這種情況下，乙方必須將甲方已經(jīng)支付的全部金額并加上年利10％，盡速一并退還甲方。最遲不得超過(guò)乙方接到甲方終止合同的通知后三十天。
In case the late delivery of the technical documentations exceeds 4 months, Party A shall have the right to terminate the contract. In this case, Party B shall refund to Party A the amount which Party A has paid to Party B plus the related interest at the rate of 10% per year immediately, but in no case shall such
 refunding by Party B exceeds 30 days from receipt from Party A of the notice to terminate the contract.
 
例：按本合同第七章規(guī)定，由于乙方責(zé)任，驗(yàn)收三次不合格，且在雙方同意延長(zhǎng)的時(shí)間內(nèi)，乙方仍不能消除缺陷時(shí)，則甲方有權(quán)終止合同。乙方將甲方全部已付金額連同年利10％，在8．8款所規(guī)定的時(shí)間內(nèi)，一并退還甲方，并承擔(dān)由此給甲方造成的一切損失。
8. 9 In case the acceptance of the contract products according to  Chapter 7 cannot be successful after three attempts due to Party  B's responsibility, and within the mutually agree-upon extended period, Party B still cannot correct the defects, Party A shall have the right to terminate the contract. In this case, Party B shall
 refund to Party A the amount which Party A has paid to Party B plus the related interest at the annual rate of 10% within the time specified in 8. 8 and be responsible for the losses thus caused to Party A.
 
五、工程合同中的違約金
 
例：工程期間，因乙方原因未能按期完工，乙方應(yīng)當(dāng)承擔(dān)責(zé)任，并每一天按合同總額的千分之一支付甲方違約金，即  美元整。
In the event Party B shall fail to complete the work in time owing to reasons that Party B shall be held liable， Party B shall pay a penalty for such default based on one out of a thousand of the total price for installation work per day, i.e.   U.S.D， only for each day of such default.

The Employer should pay charges for design to the Designer at the amount and date provided in this Contract. For each day of overdue payment, 2‰ of the overdue payment shall be paid as damages for overdue payment and the time for delivery by the Designer shall be extended accordingly. Where the delay of payment has exceeded 30 days, the Designer shall have the right to suspend the performance of the work at the next stage and give written notice to the Employer. In case the higher authority or competent department of design approval would not approve the design documents or the engineering construction of this contract is suspended or stopped, the Employer should pay the payable charges for design.
 
例：本改造工程的委托業(yè)務(wù)如果在超過(guò)指定工期15天仍然沒(méi)有完成，則按超過(guò)天數(shù)每天向甲方支付本合同金額0.1％的違約金。但如果因甲方原因造成超過(guò)指定工期15天仍然沒(méi)有完成，則乙方不支付違約金，工期順延或雙方協(xié)商其他解決辦法。本條款不適用于由第三者造成的重大傷害、戰(zhàn)爭(zhēng)、動(dòng)亂等不可抗力情況。
Party B  agrees to pay as default fine the sum of (0.1% of contract price) for each consecutive calendar day if contractor fail to complete the work after 15 days of original completion day. If contractor can not complete the work owing to the reasons caused by owner, party B shall not pay any default fine, the work will be delayed or could come up other solutions by both parties. This item shall not apply grievous injury, war, turmoil etc force majeure.
例：. 如果由于承包商的原因?qū)е滦阅軠y(cè)試的再次失敗，而雙方并無(wú)繼續(xù)重新測(cè)試的協(xié)議，則對(duì)最后一次測(cè)試的結(jié)果進(jìn)行評(píng)估。承包商將根據(jù)附錄×的規(guī)定向業(yè)主支付違約賠償費(fèi)，費(fèi)率不超過(guò)合同價(jià)格的××%。
In the event of any repeat of a performance test failing for reasons imputable to the Contractor, and there being no mutual agreement to continue re-testing, the results of the final test will be measured and the Contractor will be liable to pay to the Owner liquidated damages on the scale set out in Appendix（…） up to a maximum of （…）% of the Contract Price.
 
如果承包商因自身的原因未能在合同生效后的×個(gè)月內(nèi)獲得整個(gè)工廠的最后驗(yàn)收合格證書(shū)，承包商須根據(jù)附錄×的規(guī)定向業(yè)主每月支付相當(dāng)于合同價(jià)格××%的拖延賠償費(fèi)，但最多不超過(guò)合同價(jià)格的××%。
If the Contractor is unable for reasons within his control to obtain a final acceptance certificate for the whole Plant by（…） months from the effective date of this Contract, he shall be liable to pay to the Owner for each month's delay liquidated damages of（…）% of the Contract Price up to a maximum of （…）% of the Contract Price in accordance with Appendix（…）.
 
例：如果承包商未能按第81條規(guī)定的全部工程竣工期限完成整個(gè)工程，或未能在第76條規(guī)定的時(shí)間內(nèi)完成任何區(qū)段，則承包商應(yīng)向雇主支付投標(biāo)書(shū)附件中 寫(xiě)明的相應(yīng)金額作為該項(xiàng)違約的損害賠償費(fèi)，而不是作為自相應(yīng)的竣工期限起至頒發(fā)整個(gè)工程或相應(yīng)區(qū)段的移交證書(shū)之日止之間的每日或不足一日的罰款，但上 述損害賠償費(fèi)應(yīng)限制在投標(biāo)書(shū)附件中注明的前提下，雇主可從應(yīng)支付或?qū)⒅Ц督o 承包商的任何款項(xiàng)中扣除該項(xiàng)損害賠償費(fèi)。此損害賠償費(fèi)的支付或扣除不應(yīng)解除承包商對(duì)完成該項(xiàng)工程的義務(wù)或合同規(guī)定的承包商的任何其他義務(wù)和責(zé)任。
If the Contractor fails to comply with the time for Completion in accordance with Clause 81, for the whole of the Works or, if applicable, any Section within the relevant time prescribed by Clause 76, then the Contractor shall pay to the Employer the relevant sum stated in the Appendix to Tender as liquidated damages for such default and not as a penalty (which sum shall be the only money due from the Contractor for such default) for every day or part of a day which shall elapse between the relevant Time for Completion and the date stated in a Taking-Over Certificate of the whole of the Works or the Appendix to Tender. The Employer may, without prejudice to any other method of recovery, deduct the amount of such damages from any money due or to become due to the Contractor. The payment or deduction of such damages shall not relieve the Contractor from his obligation to complete the Works, or from any other of his obligations and liabilities under the Contract.

If Party B causes any delay to the completion of this project, then Party B must pay to Party A a fee of 0.1‰( in words: 1/1000)of the total overall project fee for each day beyond the scheduled completion date.
