合同背景介紹:
印尼煤炭資源非常豐富,據(jù)印尼能礦部統(tǒng)計(jì),印尼煤炭資源儲(chǔ)量為580億噸,已探明儲(chǔ)量193億噸,其中54億噸為商業(yè)可開(kāi)采儲(chǔ)量。由于很多地區(qū)尚未探明儲(chǔ)量,印尼政府估計(jì)煤炭資源總儲(chǔ)量或達(dá)900億噸以上。據(jù)美國(guó)能源署統(tǒng)計(jì),印尼是世界第四大煤炭?jī)?chǔ)藏國(guó);據(jù)BP能源統(tǒng)計(jì),印尼已探明煤炭?jī)?chǔ)量43.2億噸,居世界第15位。分布:印尼已探明煤炭?jī)?chǔ)量主要分布在蘇門答臘和加里曼丹兩島,特別是集中在蘇門答臘島的中部和南部,以及加里曼丹島的中部、東部和南部。印尼的煤礦多為露天礦,開(kāi)采條件較好。但隨著近年來(lái)開(kāi)采量增加,露天煤礦的面積逐漸縮小,未來(lái)開(kāi)采深度和難度將逐漸增加。構(gòu)成:印尼無(wú)煙煤占總儲(chǔ)量的0.36%,煙煤占14.38%,次煙煤占26.63%,褐煤58.63%。印尼的煤炭多具有高水分、低灰分、低硫分、高揮發(fā)等特性。次煙煤熱值為5700―7200kcal/kg,揮發(fā)份為37%―42.15%,低硫0.1%―0.85%;褐煤熱值為4345―5830kcal/kg,揮發(fā)分24.1%―48.8%,硫分0.1%―0.75%。產(chǎn)量和出口量:近年來(lái),隨著國(guó)內(nèi)外煤炭需求迅速增長(zhǎng)和市場(chǎng)價(jià)格不斷走高,印尼的煤炭產(chǎn)量和出口量逐年增加。據(jù)印尼礦能部統(tǒng)計(jì),2006年至2008年,印尼的煤炭產(chǎn)量分別為1.83億噸、2.15億噸和2.4億噸;2009年進(jìn)一步升至2.54億噸,居世界第七位,其中78%的產(chǎn)量(近2億噸)用于出口,使印尼成為世界第一大煤炭出口國(guó)。亞洲占印尼煤炭出口量的70%以上,其次為歐洲和美洲。在亞洲的主要出口對(duì)象是印度、日本、中國(guó)等,近年來(lái)對(duì)中國(guó)煤炭出口逐年遞增。印尼政府認(rèn)為,其煤炭產(chǎn)量仍有提升潛力,預(yù)計(jì)2010年至2014年的煤炭產(chǎn)量將分別達(dá)到2.5億噸、2.8億噸、2.9億噸、2.97億噸和3.09億噸。2010年上半年,印尼煤炭產(chǎn)量達(dá)1.24億噸,其中的79.4%(0.96億噸)出口到海外市場(chǎng)。

WHEREAS, the SELLER is the legal entity and beneficial owner of Coal as specified in this Agreement (the “Coal”);

WHEREAS, the SELLER agrees to sell Coal to the BUYER and BUYER agrees to purchase Coal from the SELLER, with the consideration and the terms and conditions set out in this Agreement;

NOW THEREFORE, the Parties have agreed to enter into this Agreement under the terms and conditions as set out herein:
因此,三方茲同意按照這里擬訂的條款和條件簽署本協(xié)議;
ARTICLE 1 - DEFINITIONS第1條 定義
In this Agreement unless the context otherwise permits the following terms shall have the meanings stated below:
在本協(xié)議中,除非上下文另有規(guī)定,下列術(shù)語(yǔ)具有如下所述的含義:
Coal means coal produced in Indonesia.
煤炭 是指印尼出產(chǎn)的煤炭。
“Ton(s)”, “Tones(s)”, and “MT” means metric tones of 1,000 Kgs as defined in “International System of Units”. A fraction of a tones (s) in any calculation shall be rounded up to the three decimals.
“噸”和 公噸”是指“國(guó)際單位制”里定義衡量1000公斤的公噸。在任何計(jì)算中,不到一噸部分應(yīng)精確到小數(shù)點(diǎn)后第三位。
“Dollars”, “US$”, “$”, “Cents” where used shall refer to the currency of the United States of America. A fraction of a cent in any calculation shall be rounded up to the nearest cent if such fraction is one half of a cent or more, and otherwise shall be rounded down.
“美元”, “美分”,“元”,“分”是指美利堅(jiān)合眾國(guó)的貨幣單位。在任何計(jì)算中,不到一美分部分應(yīng)四舍五入。
Anchorage Point means the anchorage point 錨地 指泊錨地點(diǎn)
Destination RIZHAO, China Ports 目的地 日照,中國(guó)港口

Bill of Lading means receipt given by the vessel for the coal shipment and is a document of title.
提單 指船方就煤炭運(yùn)輸所給的收據(jù),屬于物權(quán)文件。
ETA means expected time & date of arrival.
ETA 指預(yù)期到達(dá)的日期和時(shí)間
ASTM means the American Society for Testing and Materials
ASTM 是指美國(guó)檢測(cè)和材料協(xié)會(huì)。
ISO means the International Organization for Standardization.
ISO 指國(guó)際標(biāo)準(zhǔn)機(jī)構(gòu)
kCal means Kilocalorie (s) as defined in the “International System of Units”.
千卡 是指”國(guó)際單位制”里定義的千卡。
mm means Millimeter as defined in “International System of Units”.
毫米 是指”國(guó)際單位制”里定義的毫米。
Lay time means time allowed to load the cargo on to the vessel.
裝載時(shí)間 指允許將貨裝上船只的時(shí)間
Major Indonesian Holidays means 2 days of Idul Fitri, 1 day of Idul Adha, 1 day of Independence Day, 1 Day of Christmas Day.
印尼主要假日 是指開(kāi)齋節(jié)2天、古爾邦節(jié)1天、獨(dú)立日1天、圣誕節(jié)1天。
Working Day means a day upon which business is regularly transacted and unless expressly stated, the term “day” shall be deemed to mean “working calendar day”.
工作日 是指正常進(jìn)行業(yè)務(wù)的一天,除非明確說(shuō)明, “天”視為”歷日”。
Weather Working Day means day of 24 consecutive hours on which work in loading coal on board a vessel may be carried out without loss of time due to the weather.(For the Climatic Conditions the Seller with the help of BMG (Badan Metrology & Geofisika),should inform to the Buyer)
晴天工作日 指連續(xù)24小時(shí)的一天,在此期間,煤炭裝船工作沒(méi)有因?yàn)樘鞖舛鴵p失時(shí)間。(關(guān)于天氣情況,賣方應(yīng)當(dāng)在印尼氣象和地球物理局(BMG)幫助下,通知買方)
Pratique means the vessels meet the requirement acquired at the port, and permit to do business here.
入港許可指船只符合所在地港口條件規(guī)定而獲得在港口從事業(yè)務(wù)的許可
Statement of Facts means a statement prepared by the ships agent at the port of loading which shows the date and time of arrival of the vessel and the commencement and completion of loading. It details the quantity of cargo loaded each day, the hours worked and the hours stopped with the reasons of stoppages.
事實(shí)記錄 裝運(yùn)港船代理制備的記錄,顯示船只到達(dá)、裝貨開(kāi)始和完成的日期和時(shí)間。它具體記錄每天裝載煤炭的數(shù)量、工作時(shí)間及因故停工的小時(shí)數(shù)。
Time Sheet means a document which records all daily particulars relating to the loading or discharging of cargo as well as the duration of and reason for any stoppage of work and is used as a basis for the calculation of demurrage/dispatch.
時(shí)間表 是指記錄每天貨物裝卸、停工時(shí)間、停工原因等細(xì)節(jié)的一份文件,用作計(jì)算滯期費(fèi)/速遣費(fèi)的依據(jù)。
ARTICLE 2 QUANTITY-PRICE-LC-DELIVERY 第2條數(shù)量-價(jià)格-信用證-履-交貨
The agreed quantity by the PARTIES is 120,000 metric tons per month CIF at a price of USD$00.00 per metric tons, (Ninety four United States Dollars Per Metric Tons), with a tolerance of +/- 10% at Seller’s option with the firm tonnage of 120,000 metric tons shall be delivered every 30 days within the period of Month’s November 2010 to November 2011, unless otherwise mutually agreed.
除非雙方另有協(xié)議,雙方同意每月成交數(shù)量為12萬(wàn)噸,價(jià)格為CIF價(jià)95.00美元/公噸,溢短裝比例為+/- 10%,由賣方選擇,確認(rèn)在2010年x月到2011年x月期間,每30天交貨12萬(wàn)噸。
The BUYER shall issue to the seller’s nominated bank within 05 banking days following the signed and sealed contract an Irrevocable 、operational、100% at Sight , One Time Transferable Documentary Letter of Credit ( DLC) . The 1
st month cargo of 120,000 MT of coal will loaded in Indonesia within 30 days of open L/C and proceed to BUYER advised Discharge Port.
買賣雙方正式簽署合同后05個(gè)工作日內(nèi),向賣方開(kāi)立不可撤銷、可操作、一次性可轉(zhuǎn)讓信用證到賣方指定銀行。賣方收到信用證后第一個(gè)月內(nèi)的12萬(wàn)公噸煤炭將在后30天內(nèi)在印尼裝貨并運(yùn)到買方通知的卸貨港。

ARTICLE 4 – PRICE第4條 – 價(jià)格
The Base Price for the shipment is US$00.00 (00 Dollars) (all inclusive) CIF to the SHANTOU Port.CHINA, basis 6300 kcal/kg (ADB), Total Moisture as received below 18%, Ash Content 14%, air dried and Total Sulphur below 1%. The Base Price will be reviewed for every 3 months unless mutually agreed otherwise.
貨物基價(jià)為CIF中國(guó)汕頭碼頭價(jià)00美元/公噸(00.00美元),基于6300千卡/千克(ADB),收到基總水份低于18%,空干基灰分含量為 14%, 空干基總含硫量低于1%。除非雙方另有同意,基價(jià)將每3個(gè)月評(píng)估一次。
ARTICLE 5 – REJECTION AND BONUS第5條 – 拒絕和獎(jiǎng)勵(lì)
Should the delivered cargo have one or more of the following rejection specifications and Buyer determines to accept the cargo then the price will be subject to further negotiation by both parties.
如果所交貨物有一到幾個(gè)指標(biāo)處于下列拒貨范圍,而買方?jīng)Q定接受貨物,那么,雙方將就價(jià)格進(jìn)行進(jìn)一步的談判。

Bonus/Penalty. Should the Calorific Value (ADB) be above or below 6300 (ADB) Kcal/kg the price will be adjusted pro-rata:

Total Moisture Penalty/Bonus. 總水份獎(jiǎng)懲:
If the actual Total moisture exceeds than 16% (ARB) as stated in the surveyor's certificate at the Port of Loading, then the price per tonne shall be reduced at the rate of USD0.56 per tonne per every 1% of Total moisture above 16% till rejection limit. For the calculation, the decimal shall be counted only two decimal points without rounding up.
如果裝運(yùn)港檢驗(yàn)商證書上所述的總水份超過(guò)16%(ARB),那么,每公噸價(jià)格將按含水量高于16%每1%調(diào)降0.56美元,直到拒貨值為止。計(jì)算時(shí),將只計(jì)兩位小數(shù)而不再四舍五入。
Ash (ADB) 灰分
If the actual ash exceeds 15% (ADB) as stated in the surveyor's certificate at the Port of Loading, then the price per tonne shall be reduced at the rate of USD0.25 per tonne per every 1% of Ash contents exceeds 15% till rejection limit. For the calculation, the decimal shall be counted only two decimal points without rounding up.
如果裝運(yùn)港檢驗(yàn)商證書上所述的實(shí)際灰分超過(guò)15%(ADB),那么,每公噸價(jià)格將按灰分含量每1%調(diào)降0.25美元,直到拒貨值為止。計(jì)算時(shí),將只計(jì)兩位小數(shù)而不再四舍五入。
ARTICLE 6 CARGO QUALITY、 WEIGHT DETERMINATION第6條貨物質(zhì)量、重量的確定
6.1. The cargo weight of each shipment shall be calculated using draft surveys and shall be determined at the Anchorage Point. The draft surveys and the quality survey of each shipment should be conducted by CIQ (China Entry-Exit Inspection And Quarantine Bureau ) or CCIC (China Certification & Inspection(Group) Co.ltd) at the unloading port.CIQ or CCIC shall provide the corresponding Certificates of quality and Weight for each shipment at Anchorage Point. The quality and weight so determined shall be final and binding upon SELLER and BUYER, and shall form the basis of settlement unless adjustment is required in accordance with Article 5 hereof.
每批貨物的質(zhì)量復(fù)檢以卸貨港CIQ(或CCIC)在目的港進(jìn)行;每批貨物的重量將以水尺計(jì)重檢驗(yàn)進(jìn)行計(jì)算,卸貨港的水尺計(jì)重復(fù)檢應(yīng)由CIQ或CCIC檢驗(yàn)商進(jìn)行。檢驗(yàn)商應(yīng)就每批貨物提供在錨地的相應(yīng)質(zhì)量、重量證書。上述機(jī)構(gòu)確定的質(zhì)量、重量是終局性的,對(duì)買賣雙方都有約束力,除非按第5條作必要的調(diào)整,否則將成為計(jì)付貨款的基礎(chǔ)。
6.2. A fraction of a tonnage shall be rounded up if such fraction is not less than one half of one tonnage, and shall be rounded down otherwise.
不到一噸部分的重量,將采用四舍五入的方法取整數(shù)。
6.3. The costs of draft surveys at Loading Anchorage Point shall be for the account of SELLER.
在裝貨錨地做水尺計(jì)重檢驗(yàn)的成本由賣方承擔(dān)。
ARTICLE 7 – INSPECTIONS, MONITORING, 第7條 – 檢驗(yàn)、監(jiān)督
SAMPLING, COAL QUALITY ANALYSIS AND UMPIRE ANALYSIS 取樣、煤炭質(zhì)量分析和仲裁人分析
The Seller agreed to issue the Pre-shipment document to the buyer such as ROA, CQA, Stockpile, (Certificate of Origin) before inspection to the stockpile.
賣方同意在檢驗(yàn)貨堆之前向買方簽發(fā)裝運(yùn)前文件,如ROA、CQA、貨堆、(產(chǎn)地證)。
7.1. The final sampling and analysis of the quantity and quality of the coal shipments shall be conducted at the Anchorage Point by CIQ or any other mutually agreed inspection agency.
煤炭的質(zhì)量和數(shù)量的最終確認(rèn)將由CIQ或雙方同意的任何其它檢驗(yàn)商在目的港錨地進(jìn)行。
7.2. All sampling will be carried out in accordance with ASTM standard or ISO standard using mechanical sampler, wherever possible. Sample taken by CCIC or any other mutually agreed inspection agency shall be divided into 4 parts to provide:
- 1 (one) sample being the shipment analysis sample (the “Shipment Sample”);
- 1 (one) sample being the SELLER’s sample (the “Seller’s Sample”);
- 1 (one) sample being the BUYER (the “Buyer’s Sample”), if requested;
- 1 (one) sample being the Umpire sample (the “Umpire Sample”) which shall be retained by ICCI or CCIC or any other mutually agreed inspection agency until 60 (Sixty) days after completion of loading.
These samples shall be clearly labelled (including without limitation sample and container weight) and kept in air tight sealed containers.
只要可能,所有取樣將按照ASTM標(biāo)準(zhǔn)或ISO標(biāo)準(zhǔn),采用機(jī)械取樣機(jī)進(jìn)行。CCIC或雙方同意的任何其它檢驗(yàn)商所取樣本將分成4份:
1 (一) 份作為貨運(yùn)分析樣本(“裝運(yùn)樣本”)
1 (一) 份作為賣方樣本(“賣方樣本”)
1 (一) 份作為買方樣本(“買方樣本”),如果得到要求;
1(一)份作為仲裁人樣本(“仲裁人樣本”),由ICCI或CCIC或雙方同意的任何其它檢驗(yàn)商保管到完成裝運(yùn)之后60(六十)天為止。
這些樣本將用標(biāo)簽清楚標(biāo)明(包括但不僅限于樣本和容器重量),并保存于氣密容器中。
7.3. The Shipment Sample shall be analyzed by CCIC or any other mutually agreed internationally recognized laboratory. This laboratory shall perform an analysis of the characteristic specified in Article 3, and shall issue the Certificate of Sampling and Analysis certifying the results of such analysis.
裝運(yùn)樣本將由CCIC或雙方同意的任何受國(guó)際承認(rèn)的實(shí)驗(yàn)室進(jìn)行分析。該實(shí)驗(yàn)室將分析第3條中規(guī)定的特征,并簽發(fā)取樣和分析證明,以證明其分析結(jié)果。
7.4. In the event that either party wishes to challenge the result of such analysis, it shall do so within sixty (60) days from date of Bill of Lading (date of completion of loading of the vessel). In such event the Umpire Sample shall be sent to mutually acceptable internationally recognized independent commercial laboratory (the “Umpire Laboratory”). The Umpire Laboratory shall perform analysis of the specifications for the parameters requested by the party called for umpire analysis, and shall issue a certificate (the “Umpire certificate”) certifying the results of such analysis.
如果任何一方想質(zhì)疑該分析結(jié)果,應(yīng)在提單(完成裝船的日期)后60(六十)天內(nèi)進(jìn)行。在此情形下,應(yīng)將仲裁人樣本交給雙方接受的受國(guó)際承認(rèn)的獨(dú)立商業(yè)實(shí)驗(yàn)室(“仲裁人實(shí)驗(yàn)室”)。仲裁人實(shí)驗(yàn)室將對(duì)提出仲裁人分析一方所要求參數(shù)的指標(biāo)進(jìn)行分析,并簽發(fā)證明(“仲裁人證明”)以證明其分析結(jié)果。
7.5. In the event that the results of the analysis of the Umpire Sample are deviating beyond the reproducibility limits (set out below) from the analysis reports produced by CCIC (or any other mutually agreed internationally recognized laboratory) or should one party prove any inaccuracy in taking the samples or the analyzing, both parties will discuss in good faith to clarify the situation and agree on a new analysis result for invoicing purposes. If agreement cannot be reached on a new analysis, the umpire analysis shall be final and binding on both parties.
如果仲裁人樣本分析結(jié)果與CCIC(或雙方同意的任何受國(guó)際承認(rèn)的實(shí)驗(yàn)室)出具的分析報(bào)告差別超出重現(xiàn)性限度,或者一方證明取樣或分析中存在任何不準(zhǔn)確的地方,雙方將誠(chéng)心誠(chéng)意地討論,澄清情況,同意進(jìn)行一次新的分析,其結(jié)果用于開(kāi)立發(fā)票。如果無(wú)法對(duì)新分析達(dá)成一致,仲裁人分析將是終局性的,并對(duì)雙方具有約束力
7.6. The costs for sampling and analysis shall be for the account of SELLER. Cost of additional analysis of the umpire sample shall be borne by the requesting party.
取樣和分析成本由賣方承擔(dān)。對(duì)仲裁人樣本進(jìn)行額外分析的成本由要求方承擔(dān)。
7.7. BUYER and the SELLER can send their representative to the Anchorage/Berth Points to witness the loading or unloading operation, sampling and analysis of cargo, if required.
如有要求,買方和賣方可以派遣其代表前往錨地/泊位見(jiàn)證裝卸操作及貨物的取樣和分析。
ARTICLE 8 - BASIC CONDITIONS CONCERNING DELIVERY AND TRANSPORTATION
第8條 – 交貨和運(yùn)輸方面的基本條件
8.1. OBLIGATION OF BUYER 買方義務(wù)
BUYER shall be fully responsible for the arrangement of BERTHING AND DISCHARGE of Coal from DISCHARGE Point and shall arrange for vessels to enter and leave DISCHARGE Point.
買方對(duì)在卸貨地點(diǎn)安排靠泊和卸煤負(fù)全部責(zé)任,并將安排船只進(jìn)入和離開(kāi)卸貨地點(diǎn)。
8.2 OBLIGATION OF SELLER 賣方的義務(wù)
SELLER shall complete the necessary preparation for DELIVERY of Coal TO THE BUYERS DISCHARGE POINT, in accordance with Article 10.
賣方將按照第10條規(guī)定,完成將煤炭交到買方卸貨地點(diǎn)的必要準(zhǔn)備工作。
ARTICLE 9 - SHIPPING SCHEDULES第9條- 裝運(yùn)日程安排
9.1. At least thirty to forty-five (30-45) days prior to the first day of proposed month of the shipment, SELLER shall nominate the timing of shipment (Laycan) and the quantity of coal to be loaded, for approval by BUYER within two (2) working days after receipt.
賣方在提議裝運(yùn)月份第一天之前至少三十到四十五(30to45)天提出裝運(yùn)時(shí)間(受載期)和待裝煤炭數(shù)量,供買方在收到后兩(2)個(gè)工作日內(nèi)給予批準(zhǔn)。
9.2. At least fourteen (14) days prior to the Estimated Time of Arrival of the vessel at DISCHARGE Point, SELLER shall nominate the vessel to BUYER, for approval, by BUYER, within one (1) working days after receipt, a fixed shipping schedule for that vessel. Such schedule shall specify : a) The tonnage of Coal to be loaded on board that vessel; b) The name of that vessel and its particulars; c) The estimated time of arrival (ETA) for that vessel; and d) Demurrage/Dispatch rate.
賣方將在船只預(yù)期到達(dá)卸貨地點(diǎn)至少十四(14)天之前向買方提名船只供買方批準(zhǔn),買方將在收到該船的確定裝運(yùn)日程之后一(1)個(gè)工作日內(nèi)答復(fù)。該日程安排將明確說(shuō)明:a)待裝該船煤炭的噸數(shù);b)船名及其細(xì)節(jié);c)該船的預(yù)期到達(dá)時(shí)間(ETA);及d)滯期費(fèi)率/速遣費(fèi)率。
9.3. The quantity of Coal to be loaded into Seller’s vessel may be varied by 10 percent (10%) more or less of the notified quantity at the discretion of the vessels master, subject to the maximum tonnage to be sold and purchased as specified in Article 2.
根據(jù)第2條規(guī)定的最高買賣噸數(shù),裝上賣方船只的煤炭數(shù)量可以比通知數(shù)量多或少百分之十(10%),由船方大副決定。
9.4. SELLER shall ensure that the master of the SELLER’s vessel shall advise - in writing (e-mail, facsimile or telex) or by radio to BUYER or a person designated by BUYER - its estimated time of arrival at the DISCHARGE Point seven (7) days, five (5) days, and twenty four (24) hours before SELLER’s vessel is expected to arrive.
賣方確保,賣方船只的大副將在賣方船只預(yù)期到達(dá)之前七(7)天、五(5)天和二十(20)小時(shí),以書面(電子郵件、傳真或電傳)或以無(wú)線電將預(yù)期到達(dá)卸貨地點(diǎn)的時(shí)間通知買方或買方指定的人士。
9.5. In the event that any Force Majeure conditions occur or are likely to occur regardless whether declared or not in accordance with Article 13 the treatment of the scheduled vessel may be discussed in good faith by BUYER and SELLER. However, once Force Majeure is declared in accordance with Article 13 by SELLER and if there appears, in the mutual opinion of both BUYER and SELLER, little likelihood for early conclusion to the Force Majeure condition, BUYER shall have the option to cancel any scheduled vessel under this agreement or divert it to other port (s) subject to Article 13.3
發(fā)生或可能發(fā)生不可抗力狀況時(shí),無(wú)論是否根據(jù)第13條作出宣布,買方和賣方可就所安排船只的處理進(jìn)行坦誠(chéng)的討論。不過(guò),一旦賣方根據(jù)第13條規(guī)定宣布了不可抗力而且真的出現(xiàn)了,在買方和賣方共同看來(lái),不可抗力狀況早點(diǎn)結(jié)束的可能性又很小,在第13.3條不受影響的前提下,買方有權(quán)選擇取消在本協(xié)議下已經(jīng)安排的任何船只,也可將其轉(zhuǎn)往其它港口。
9.6. BUYER and SELLER shall use their best efforts to normalize shipping schedules as soon as possible after removal of Force Majeure.
買方和賣方在不可抗力消失后將盡快地盡最大努力正常執(zhí)行裝運(yùn)安排。
