This contract is made by and between the Buyer and the Seller, whereby the Buyer agrees to buy and the Seller agrees to sell the under mentioned commodity according to the terms and conditions stipulated below:
本合同由買賣雙方簽訂，買方同意購買，賣方同意出售下述商品，并按下列條款簽訂合同：

1.     COUNTRY OF ORIGIN AND MANUFACTURER   生產(chǎn)國別和制造廠
 
2.     PACKING  包裝
To be packed in strong wooden case(s) or in carton(s),suitable for sea transportation and the change of climate. well protected against moisture and shocks. The Seller shall be liable for any rust, damage and loss attributable to inadequate packing by the Seller.
包裝必須堅(jiān)固，并有防潮、防震措施，適于海運(yùn)，由于包裝不良引起生銹、損壞、丟失、其責(zé)任應(yīng)由賣方承擔(dān)。
 
4.  SHIPPING MARK: 運(yùn)輸標(biāo)志
The Seller shall mark on each package with fadeless paint the package number, measurement, gross / net weight and the wordings:＂KEEP   AWAY   FROM   MOISTURE＂,＂HANDLE   WITH   CARE＂,＂THIS   SIDE   UP＂etc. and the shipping mark:
賣方應(yīng)在每件包裝箱上用油漆刷上箱號(hào)、尺碼、毛重、凈重和“防潮”、“小心搬運(yùn)”、
“勿倒置”等字樣，以及下列嘜頭：
       
5.DELIVERY  交貨
No later than 4months after the Buyer’s Bank has issued the Letter of Credit. partial shipment not allowed.
貨物不晚于買方銀行開具信用證猴4個(gè)月裝運(yùn)，不允許分批裝運(yùn)。

7.     INSURANCE: To be covered by the seller for110% of invoice value against All Risks and war risks.
運(yùn)輸保險(xiǎn)：由賣方負(fù)責(zé)按發(fā)票金額的110%投保一切險(xiǎn)及戰(zhàn)爭險(xiǎn)。
 
8.     PAYMENT   付款條件：
By Letter of Credit: The Buyer shall open an irrevocable letter of Credit, within 30 days after the contract date, in favor of  Seller, for 100% total value of Contract. The L/C shall remain valid till be 21 days after shipment is effected.
信用證：買方應(yīng)于合同日后30日內(nèi)開立以賣方為受益人的100%合同總額的不可撤銷信用證，信用證有效期至貨物發(fā)運(yùn)后21天。
 
9.     DOCUMENTS  單據(jù)
(1)  Full set of 3/3 original dills of lading marked  Freight Prepaid and noting the Buyer at the destination port.
全套3/3注明“運(yùn)費(fèi)已付”通知買方的提單。
 
(2)  Signed commercial invoice in 3 originals 3 copies indicating contract number and shipping mark, made out in details as per this contract.
商業(yè)發(fā)票3正3副，根據(jù)本合同注明該合同號(hào)和嘜頭。
 
(3)  Packing list in triplicate issued by the manufacturer.
由生產(chǎn)廠商出具的裝箱單3份。
 
(4)  Certificate of quality and quantity in triplicate issued by the manufacturer.
由生產(chǎn)廠商出具的質(zhì)量和數(shù)量證明書3份。
 
(5)  Beneficiary’s certificate confirming one set of shipping docs has been faxed to the buyer with 10 days after the shipment date.
在貨物發(fā)運(yùn)后10日內(nèi)將裝運(yùn)單據(jù)傳真買方的受益人證明。
 
(6)  Certificate of origin in 3 originals and 3 copies issued by the manufacture.
制造商出具的原產(chǎn)地證明3正3副。
 
(7)  The quarantine certificate of the wooden package materials, in 1 original and 3 copies, issued by the animal and plant quarantine department under the government or relative authority of the exporting country.
由出口國政府的動(dòng)植物檢疫部門或相關(guān)部門出具的木質(zhì)包裝熏蒸證明2正3副。
 
(8)  Insurance Policy in one original and one copy covering “all risks” and “war risks”.
涵蓋“一切險(xiǎn)”和“戰(zhàn)爭險(xiǎn)”的保單一正一副。
 
10.  SHIPPING ADVICE  裝運(yùn)通知
The Seller shall, 7 days before the date of shipment specified in the contract, advise the Buyer by fax of name of loading port, contract number , name of spare parts, quantity, value, member of packages, gross/net weight of each package, measurement of each package and the date of readiness at the port of shipment. The Seller shall, with 10 days after completion of the loading of the goods, send the B/L, invoice and Packing list to the Buyer by fax.
賣方應(yīng)在合同規(guī)定裝期7天前傳真通知買方裝運(yùn)港名稱、合同號(hào)、品名、數(shù)量、價(jià)值、件數(shù)、每件毛/凈重、尺寸及貨物在裝運(yùn)港備期待裝日期貨并在物裝船后10日內(nèi)，用傳真將提單、發(fā)票和裝箱單發(fā)給買方。
 
11.  GUARANTEEE OF QUALITY  質(zhì)量保證
The Seller shall guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in the contract.
賣方保證合同的貨物是用最好的材料制作的，一流的工藝，新商標(biāo)并未使用過，其質(zhì)量和規(guī)格完全與本合同規(guī)定的相符。
 
The warranty period shall be 6 months the date of successful commissioning or 12 months from the date of shipment, whichever occurs first. During this time, the Seller shall replace all parts damaged and rendered useless on account of defects for which we are responsible. The Seller’s responsibility shall not cover defects resulting from wear, tear and faulty operating conditions. Furthermore, the Seller’s responsibility shall not cover defective design if made, supplied or specified by the customer and/or defects and derangements resulting from a change of the originally delivered and installed equipment to a different machine or system , effected by the customer. This warranty  will only be maintained if all inspections as listed in the Seller’s documentation are carried out. Compensation for consequential loss are excluded.
質(zhì)保期應(yīng)為成功調(diào)試后的6個(gè)月或裝船后的12個(gè)月，以兩者先到的為準(zhǔn)。在這期間賣方應(yīng)替換所有因賣方的缺陷造成的損壞和舍棄無用的部件。賣方的責(zé)任不包括由于磨損，撕裂和誤操作造成的缺損。另外。賣方的責(zé)任不包括由用戶制造，供貨或指定的缺陷設(shè)計(jì)，及/或由于對交送原件的改變并安裝在其他的設(shè)備或系統(tǒng)造成的缺損。在賣方文件所列的所有檢查均被執(zhí)行的情況下保質(zhì)期有效。間接損失賠償除外。
 
The seller will guarantee the new delivery parts fit to the existing machines.
賣方保證新的部件和現(xiàn)有設(shè)備匹配。
 
12.  CLAIM  索賠
Within 60 days after the arrival of the commodity at destination, should quality, specification, or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the airfreight are liable, the Buyers shall, on the strength of the inspection Certificate issued by the State General Administration of People’s Republic of China for Quality Supervision and inspection and Quarantine (AQSIQ), have the right to claim for compensation or repair.
在貨物到達(dá)目的地后60天內(nèi)，如發(fā)現(xiàn)質(zhì)量、規(guī)格或數(shù)量與合同規(guī)定的不符，除了保險(xiǎn)公司或空運(yùn)公司應(yīng)付的索賠以外，買方應(yīng)憑中國商檢局出具的檢驗(yàn)證明有權(quán)要求賣方進(jìn)行賠償或修理。
 
13.  FORCE MAJEURE   不可抗力
The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goords due to Force Majeure , such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Seller shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.
凡在制造或裝運(yùn)過程中由于不可抗力，如戰(zhàn)爭、嚴(yán)重火災(zāi)、洪水、臺(tái)風(fēng)和地震，或者雙方協(xié)議的其它可能會(huì)發(fā)生的事件，致使賣方推遲或不能交貨，賣方可不負(fù)責(zé)任。賣方應(yīng)立即將上述發(fā)生的情況通知買方，并在此后14天內(nèi)給買方航寄一份由主管政府當(dāng)局頒發(fā)的事故證明書，作為發(fā)生事故的證據(jù)。
 
14.  ARBITRATION  仲裁
All disputes arising from the execution, or in connection with this Contract shall be settled through friendly negotiation. In case no settlement can be reached through the negotiation, the case shall then be submitted to the international Chamber in Paris and in accordance with its Rules of Procedure’s promulgated by the said Arbitration Commission. The arbitration award is final and binding upon both parties. Arbitration fee shall be borne by the losing party. Unless otherwise agreed, the official language of the arbitration shall be English.
凡與本合同有關(guān)的或執(zhí)行本合同所發(fā)生的一切爭議，應(yīng)通過友好協(xié)商解決。如果無法解決，應(yīng)提交巴黎國際商會(huì)并根據(jù)其程序規(guī)則進(jìn)行仲裁。仲裁機(jī)構(gòu)的裁決是終局的，對雙方都有約束力。仲裁費(fèi)用應(yīng)由敗訴方承擔(dān)。仲裁的官方語言為英語，除非另有規(guī)定。
 
15.  EFFECTIVENESS AND MISCELLANEOUS   生效和其他
The present contract is signed by the authorized representative of both parties and shall become effective upon the formal and mutual signing of the contract.
The contract is made up in Chinese and English in three originals, two for the Buyer and one for the Seller. In case of any discrepancies between the two languages, the English version shall prevail.
本合同應(yīng)由雙方授權(quán)代表簽字并在雙方正式簽字后即生效。
此合同共三份正本，由中英文組成，買方2份，賣方1份。如果兩種語言之間出現(xiàn)任何偏差，則以英文為準(zhǔn)。
 
16.  TAXES  稅
17.1All taxes, customs, duties and other fees levied by Chinese government on the Buyer in connection with and in the performance of the present Contract in accordance with the tax laws in effect shall be paid by the Buyer.
凡是與本合同有關(guān)的或在執(zhí)行過程中由中國政府按照中國現(xiàn)行法律向買方征收的一切稅，海關(guān)關(guān)稅和其它費(fèi)用應(yīng)由買方進(jìn)行支付。
 
17.2All taxes, customs, duties and other dues arising outside China in connection with and in the performance of the present Contract shall be paid by the Seller.
所有在執(zhí)行本合同中，發(fā)生在中國境外的一切稅，海關(guān)關(guān)稅和其它費(fèi)用應(yīng)由賣方支付。
