DWELLING HOUSE PROJECT DESIGN AGREEMENT

Project (“the Project”) consists of 3 land Zones with 100,000 m2 Zone A, 200,000m2 Zone B and

Party A will be the developer of the Project.
This Agreement is concluded to determine the rights and duties of both parties in regards to the above named project. The Agreement shall be in concordance with the relevant laws of the P.R China.
為確定雙方在上述項(xiàng)目中的權(quán)利與義務(wù), 特訂立本協(xié)議。本協(xié)議應(yīng)符合中華人民共和國(guó)相關(guān)法律的規(guī)定。
Language: All correspondence, meeting minutes, plans and project descriptions shall be bilingual in Chinese and English. In case of discrepancies the Chinese will prevail.
語言:所有函件、會(huì)議記錄、平面圖與項(xiàng)目說明應(yīng)該采用中英文兩種文字。如有歧義,以中文為準(zhǔn)。
90% of the total design work will be conducted in the USA, in the Los Angeles Office of Party B.
設(shè)計(jì)工作中的90%將在美國(guó)境內(nèi)、乙方的洛杉磯事務(wù)所完成,乙方在中國(guó)國(guó)內(nèi)的進(jìn)行的唯一工作是與甲方會(huì)晤和現(xiàn)場(chǎng)踏勘。
PARTY B’S BASIC SERVICES
作為項(xiàng)目綜合用途開發(fā)的一部分,設(shè)計(jì)顧問應(yīng)在

1. SCOPE OF WORK 工作范圍
本項(xiàng)目將根據(jù)以下階段進(jìn)行深化:
1.1. CONCEPTUAL DESIGN PHASE
設(shè)計(jì)顧問將與業(yè)主咨詢以編制設(shè)計(jì)任務(wù)書,及概念性地歸納出可能的辦公空間的解決方案,并分析現(xiàn)有條件。
Design Consultant will develop a Conceptual Design based upon the program. This will include written and graphic presentation. The graphic presentation will include plans and elevations, as well as 3-dimensional conceptual images of the design and other necessary means of communicating the design.
設(shè)計(jì)顧問將以此任務(wù)書為基礎(chǔ)進(jìn)行概念設(shè)計(jì),包括文字和圖紙方式的設(shè)計(jì)匯報(bào)成果。匯報(bào)圖紙將包括空間的平、立面圖、3d 設(shè)計(jì)概念圖、以及其他必要的設(shè)計(jì)交流的方式。
The Initial Submission shall be Digital in PDF Format, and printed as 10 Colorful Brochures in A3 Format.
成果應(yīng)包括PDF 格式的電子文件、以及10份A3規(guī)格的彩色文本。
Within a 4 week period after the initial submission, the Design Consultant will revise the conceptual design according to Clients requirements and will prepare the following documents including A0 Panels for Government Presentation.
在提交初步成果4 周的時(shí)間內(nèi),設(shè)計(jì)顧問將根據(jù)業(yè)主要求修改概念設(shè)計(jì),并負(fù)責(zé)準(zhǔn)備下列向有關(guān)部門進(jìn)行匯報(bào)的設(shè)計(jì)文件(包括A0展示板)。

1.2. SCHEMATIC DESIGN PHASE
設(shè)計(jì)顧問在經(jīng)審定的概念設(shè)計(jì)與設(shè)計(jì)任務(wù)書的基礎(chǔ)上,根據(jù)業(yè)主要求調(diào)整總平面,并深化設(shè)計(jì),達(dá)到方案設(shè)計(jì)的深度:同時(shí),對(duì)施工方法、選材、配色方案以及裝修等進(jìn)行評(píng)價(jià)和總體分析。設(shè)計(jì)顧問將就與方案設(shè)計(jì)相關(guān)的設(shè)備與結(jié)構(gòu)事宜,與總建筑師或者總承包人商討,但本身不會(huì)承擔(dān)任何結(jié)構(gòu)設(shè)計(jì)或設(shè)備設(shè)計(jì)的服務(wù)。如果業(yè)主要求對(duì)先前已審定的概念設(shè)計(jì)進(jìn)行重大改動(dòng),其額外的設(shè)計(jì)工作應(yīng)在本合同之外另行報(bào)價(jià)或采用小時(shí)費(fèi)率進(jìn)行收費(fèi)。
1.3 DESIGN DEVELOPMENT PHASE
設(shè)計(jì)顧問在已審定的方案設(shè)計(jì)和任務(wù)書的基礎(chǔ)上,繼續(xù)深化設(shè)計(jì),達(dá)到初步設(shè)計(jì)的深度:對(duì)施工方法、選材、配色方案、裝修等進(jìn)行評(píng)價(jià)和總體分析。設(shè)計(jì)顧問將為關(guān)鍵的設(shè)計(jì)元素提供標(biāo)準(zhǔn)施工細(xì)部大樣。設(shè)計(jì)顧問將就與初步設(shè)計(jì)相關(guān)的設(shè)備與結(jié)構(gòu)事項(xiàng),與總承包人和工程師協(xié)商,但本身不會(huì)承擔(dān)任何結(jié)構(gòu)或設(shè)備的設(shè)計(jì)服務(wù)。如果業(yè)主要求對(duì)先前已審定的方案設(shè)計(jì)進(jìn)行重大改動(dòng),其額外的設(shè)計(jì)工作應(yīng)在本合同之外另行報(bào)價(jià)或采用小時(shí)費(fèi)率進(jìn)行收費(fèi)。
1.4 CONTRACT DOCUMENT PHASE
業(yè)主將在本階段聘請(qǐng)一位總建筑師?偨ㄖ䦷熁蛘呖偝邪藢⒃谝褜彾ǖ某醪皆O(shè)計(jì)的基礎(chǔ)上編制施工圖文件。設(shè)計(jì)顧問保留本工程的藝術(shù)監(jiān)理權(quán)利、以及在此階段與總建筑師商討相關(guān)工作的權(quán)利。
1.5 CONSTRUCTION PHASE------- ADMINISTRATION OF THE CONSTRUCTION CONTRACT
1.5.施工階段-施工合同的管理
The client will hire an executive architect or general contractor for this phase. Design Consultant reserves the right to keep the artistic supervision on the project and to consult the executive architect or general contractor in this phase. Design Consultant will consult on any adjustments to the documents should there be any discrepancies between the existing conditions that arise after construction commences and the construction documents. The amount of site visits is limited to fifteen times as of this agreement. Any additional requested site visit shall be considered Additional Services and be compensated as such.
業(yè)主將在本階段聘請(qǐng)一位總建筑師或者總承包人。設(shè)計(jì)顧問保留本工程的藝術(shù)監(jiān)理權(quán)力、以及在此階段與總建筑師或總承包商商討相關(guān)工作的權(quán)利。如果施工開始以后出現(xiàn)的實(shí)際情況與施工圖不符,設(shè)計(jì)顧問可以就設(shè)計(jì)文件的調(diào)整提供咨詢。本協(xié)議中規(guī)定的現(xiàn)場(chǎng)考察次數(shù)限為十五次。除此以外,任何另外的現(xiàn)場(chǎng)考察要求應(yīng)視為額外服務(wù),應(yīng)獲得相應(yīng)報(bào)酬。
2. ADDITIONAL SERVICES
未在上文里說明的服務(wù)均應(yīng)視為額外服務(wù)。額外服務(wù)應(yīng)在業(yè)主書面授權(quán)或確認(rèn)的情況下才能提供。額外服務(wù)項(xiàng)目應(yīng)包括、但不限于:
2.1 Making revisions in drawings, specifications or other documents when such revisions to the design documents are inconsistent with approvals or instructions previously given by Client, including those made necessary by adjustments in Client’s program or budget.
2.1 與業(yè)主先前的確認(rèn)或指示不一致的設(shè)計(jì)文件的修改(圖紙、說明和其它文件的修改),包括因業(yè)主調(diào)整設(shè)計(jì)任務(wù)書或預(yù)算而進(jìn)行的必要修改。
2.2 Making revisions required by enactment or revision of codes, laws or regulations subsequent to the preparation of Design Consultant ‘s documents.
2.2 根據(jù)設(shè)計(jì)顧問的文件編制完成之后才制定或修訂的規(guī)范、法律或規(guī)定的要求而進(jìn)行的設(shè)計(jì)修改。
2.3 Making changes required as a result of Client’s failure to render decisions in a timely manner.
2.3 由于業(yè)主未能已及時(shí)做出決定而需要進(jìn)行的改動(dòng)。
2.4 Providing services required because of significant changes in the Project, including size, schedule, materials, method of bidding or construction contracting or construction management.
2.4 因工程的重大變化(包括工程規(guī)模、進(jìn)度、材料、招標(biāo)方法、或施工承包或施工管理等)的要求而提供的相應(yīng)服務(wù)。
2.5 Preparing documents evaluating Contractor’s proposals, and providing other services in connection with Change Orders or Construction Proposals.
2.5 編制評(píng)估承包商投標(biāo)書的文件,并提供其它與工程變更通知或施工投標(biāo)書相關(guān)的服務(wù)。
2.6 Providing services in connection with Contractor’s request for substitutions.
2.6 提供與承包商的代理要求相關(guān)的服務(wù)。
3. OWNER’S RESPONSIBILITIES.
3.1 業(yè)主將及時(shí)向設(shè)計(jì)專業(yè)人員提供設(shè)計(jì)顧問在本協(xié)議下開展工作所必需的所有相關(guān)資料。
3.2 Client shall designate a representative authorized to act on the Client’s behalf with respect to the Project. The Client or such designated representative shall render decisions in a timely manner in order to avoid unreasonable delay in the orderly and sequential progress of the Design Consultant‘s services.
3.2 業(yè)主將委派一名代表業(yè)主的項(xiàng)目授權(quán)代表。業(yè)主或該授權(quán)代表應(yīng)及時(shí)做出決定,以避免不合理地延誤設(shè)計(jì)顧問有序而連續(xù)的服務(wù)。
3.3 Client shall provide to Design Consultant all documents establishing the legal parameters of the project, together with the most current depicting all improvements on the site. This information shall be at Client’s expense and Design Consultant shall be entitled to rely upon the accuracy of such information without taking any actions to verify it.
3.3 業(yè)主將向設(shè)計(jì)顧問提供設(shè)定本項(xiàng)目法定參數(shù)的所有文件、以及最新的反映施工現(xiàn)場(chǎng)所有進(jìn)展的文件。此類資料的費(fèi)用應(yīng)由業(yè)主承擔(dān),設(shè)計(jì)顧問應(yīng)有權(quán)依賴此類資料的準(zhǔn)確性,而無需再行核實(shí)。
3.4 Client (hereafter “Indemnitor”) agrees to fully defend, fully indemnify, and fully hold harmless Design Consultant, and Design Consultant ‘s owners, shareholders, partners, directors, officers, employees, agents, and representatives (hereafter “Indemnitees”) from and against the full amount of any and all claims of any kind whatsoever, including but without limitation attorney’s fees and costs, arising out of the project, brought by or through any third party, to the fullest extent permitted by law, with the exception that Client shall not have such indemnification obligations to Indemnities for such Indemnitees’ negligence or willful misconduct..
3.4 對(duì)于因工程的原因、由或通過任何第三者而產(chǎn)生的、任何類型的任何和所有索賠的全額,業(yè)主(以下稱為“賠償人”)同意,在法律允許的最大范圍內(nèi)提供為設(shè)計(jì)顧問、以及設(shè)計(jì)顧問的所有者、股東、董事、高級(jí)職員、雇員、代理人以及代表(以下稱“接受賠償人”)提供全面辯護(hù)、全面賠償以及全面保護(hù)使其不受損害,范圍包括但不限于律師費(fèi)用和訴訟費(fèi);但是,業(yè)主對(duì)于接受賠償人的疏忽或故意的過失不承擔(dān)任何賠償義務(wù)。
3.5 The client agrees to limit Design Consultant ´s liability to the Client, Client’s officers, directors, parties, employees and agents arising from Design Consultant ´s professional acts, errors or omissions to ××× as equivalent of the Fixed Fee for Basic Services.
3.5 業(yè)主同意,設(shè)計(jì)顧問因其專業(yè)行為、錯(cuò)誤或遺漏、而應(yīng)對(duì)業(yè)主、業(yè)主的高級(jí)職員、董事、當(dāng)事人、雇員以及代理人等承擔(dān)的責(zé)任限額為×××美元,即基本服務(wù)的定額費(fèi)率。
4. CONSTRUCTION COST
4.1 施工預(yù)算將由總建筑師或總承包人進(jìn)行管理。設(shè)計(jì)顧問將就成本估算的編制與總建筑師或總承包人進(jìn)行商討。支付給總建筑師或總承包人進(jìn)行成本估算的費(fèi)用不屬于本協(xié)議范圍。
4.2 It is recognized that neither Design Consultant nor the Owner has control over the cost of labor, materials or equipment, over the Contractor's methods of determining bid prices, or over competitive bidding, market or negotiating conditions. Accordingly, Design Consultant cannot and does not warrant or represent that bids or negotiated prices will vary from any estimate of Construction Cost or evaluation prepared or agreed to by the Design Consultant.
4.2 鑒于各方共識(shí),即:設(shè)計(jì)顧問或業(yè)主均無法控制勞動(dòng)力、材料和設(shè)備的價(jià)格、無法控制總承包人決定投標(biāo)價(jià)格的方法、也無法控制競(jìng)標(biāo)、市場(chǎng)或談判的條件,則相應(yīng),設(shè)計(jì)顧問既不能、也不會(huì)擔(dān)保或說明投標(biāo)價(jià)格或談判價(jià)格、與設(shè)計(jì)顧問編制或認(rèn)同的任何建設(shè)成本估算或估價(jià)之間的差距。
5. PAYMENTS TO Design Con
Client shall compensate Design Consultant as follows.
業(yè)主應(yīng)對(duì)設(shè)計(jì)顧問支付如下報(bào)酬。
Payments should be made to Design Consultant. The fee shall be paid in US $ according to the current exchange rate at the day of payment.
應(yīng)支付給設(shè)計(jì)顧問的款項(xiàng)。費(fèi)用應(yīng)按照付款當(dāng)天的匯率以美元支付。
Design Consultant will invoice Client according to the design progress of each design subject, respectively each single Building Part. Payment shall be received by Design Consultant within 14 days after submission of the invoice. Design Consultant reserves the right to refuse to commence work before the previous phase is paid in full.
設(shè)計(jì)顧問將根據(jù)每一設(shè)計(jì)主題、每個(gè)單體建筑部分的設(shè)計(jì)進(jìn)度向業(yè)主開具發(fā)票。設(shè)計(jì)顧問應(yīng)在提交發(fā)票后的14 日內(nèi)收到付款。在前一設(shè)計(jì)階段的進(jìn)度款項(xiàng)全額支付之前,設(shè)計(jì)顧問將有權(quán)拒絕開展設(shè)計(jì)工作。
5.1 FIXED FEE FOR BASIC SERVICES

5.3 TAXES AND DUTIES
美國(guó)境內(nèi)的所有稅費(fèi)和關(guān)稅均由設(shè)計(jì)顧問負(fù)責(zé)。
All taxes and duties applicable in the P.R. China, are within the sole responsibility of the Client.
中國(guó)境內(nèi)的所有稅費(fèi)和關(guān)稅均由業(yè)主負(fù)責(zé)。
All Design work of Design Consultant will be performed in the USA, in the Los Angeles Office of Design Consultant.
設(shè)計(jì)顧問的所有設(shè)計(jì)工作都在美國(guó)境內(nèi)、設(shè)計(jì)顧問的洛杉磯事務(wù)所完成。
5. 4 REIMBURSABLES 報(bào)銷費(fèi)用
5.4.1.差旅費(fèi)用:業(yè)主將報(bào)銷設(shè)計(jì)顧問五星級(jí)酒店的住宿費(fèi)用、以及國(guó)內(nèi)航班的經(jīng)濟(jì)艙機(jī)票(不包括國(guó)際航班)。
5.4.2 Reimbursables. Client will reimburse extraordinary expenses of Design Consultant such as, but not limited to, large scale reproductions, samples, or presentation models and presentation renderings which are not included in the fee for basic services, and will be billed at cost + 20% service surcharge. Design Consultant will not cause such expenses without written approval by the Client.
5.4.2 報(bào)銷費(fèi)用:業(yè)主應(yīng)報(bào)銷設(shè)計(jì)顧問的特別費(fèi)用,例如但不限于:基本服務(wù)的費(fèi)率中未計(jì)入的大量復(fù)制文件、樣品或設(shè)計(jì)匯報(bào)模型的費(fèi)用,費(fèi)用報(bào)銷金額為:成本+20%的附加服務(wù)費(fèi)。設(shè)計(jì)顧問在沒有得到業(yè)主書面認(rèn)可時(shí)將不會(huì)產(chǎn)生此類花費(fèi)。
5.4.3 Fees for required approvals and possible consultant fees (i.e. Structural Engineer, Mechanical Engineer, Lighting Consultant, Landscape Designer, etc.) are not included in this contract. Design Consultant will only hire consultants with the client’s written approval and payment by client as reimbursables.
5.4.3 所需批文的費(fèi)用以及可能發(fā)生的咨詢費(fèi)(如:結(jié)構(gòu)工程師,機(jī)械工程師等)未計(jì)入本合同。設(shè)計(jì)顧問將只能在業(yè)主書面同意、并報(bào)銷所需費(fèi)用的條件下聘請(qǐng)咨詢方。
5.4.4 No deductions, offsets, or withholdings shall be made from Design Consultant’s compensation on account of penalty, liquidated damages, or other sums withheld from payments to contractors, or an account of the cost of changes in the Project, or for other claims that Client may assert other than those for which Design Consultant has been adjudged to be liable.
5.4.4 業(yè)主不得以罰金、清算損失為理由、或以其它應(yīng)從支付給承包人的款項(xiàng)中扣除的金額為理由、或以項(xiàng)目成本變化為理由、或以業(yè)主提出的其他索賠(設(shè)計(jì)顧問已經(jīng)被判決應(yīng)負(fù)責(zé)的索賠除外)為理由,而減除、抵扣或扣繳設(shè)計(jì)顧問的報(bào)酬。
6. PROJECT SCHEDULE 項(xiàng)目進(jìn)度安排

6.3 The Schedule for the Schematic + Design Development phase will be determined in an amendment to this agreement after the conceptual phase is completed.
6.3 方案設(shè)計(jì)和初步設(shè)計(jì)階段的設(shè)計(jì)進(jìn)度安排將在概念設(shè)計(jì)階段完成之后、以本協(xié)議書修改的形式再行確定。
7. DISPUTE RESOLUTION. 爭(zhēng)議的解決
與本協(xié)議書相關(guān)的任何索賠、爭(zhēng)議或其它有疑問的事項(xiàng),均應(yīng)在任何一方提請(qǐng)仲裁、或采用法律或公正的訴訟程序之前進(jìn)行調(diào)解;但不受此限的是:設(shè)計(jì)顧問可在通過調(diào)解解決此類事項(xiàng)之前、采取此類必要的行動(dòng),以便保留其留置權(quán)。各方應(yīng)平攤調(diào)解費(fèi)以及任何備案或行政費(fèi)用。
If no consent can be reached by mediation, both parties have the right to plead in front of the “China International Economic and Trade Arbitration Commission (CIETAC)”in Shanghai. The arbitrage of the CIETAC shall be final and authorative for all parties.
如經(jīng)調(diào)解無法達(dá)成一致意見, 雙方有權(quán)向上海的中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(CIETAC)提請(qǐng)仲裁。 該委員會(huì)的仲裁裁決為最終裁決,并對(duì)各方均有約束力。
8. CLAIMS FOR CONSEQUENTIAL DAMAGES. 對(duì)于間接損害的索賠
業(yè)主與設(shè)計(jì)顧問自動(dòng)放棄對(duì)因本項(xiàng)目而引起的間接和經(jīng)濟(jì)損害的索賠權(quán)。這一相互的棄權(quán)也適用于因任何一方根據(jù)本協(xié)議條款終止本協(xié)議而引致的索賠。
9. OWNERSHIP. 所有權(quán)
對(duì)于所有圖像和圖紙、及圖像和圖紙的所有增減、改動(dòng)或修改、以及所有相關(guān)或所包含的草稿、文件、說明、概念、想法意見以及方法步驟等、或者由設(shè)計(jì)顧問提供或編制的其它資料等的每一組成因素和部分,其權(quán)利、所有權(quán)和利益均屬于業(yè)主。設(shè)計(jì)顧問將被認(rèn)為是上述所有作品的作者,將擁有上述作品的署名權(quán)。未經(jīng)業(yè)主同意,設(shè)計(jì)顧問不得將該設(shè)計(jì)用于其它項(xiàng)目或提供給其他方。設(shè)計(jì)顧問的所有設(shè)計(jì)文件僅用于本項(xiàng)目,業(yè)主不得將其用于其它目的。設(shè)計(jì)顧問應(yīng)有權(quán)將本項(xiàng)目設(shè)計(jì)的照片或藝術(shù)表現(xiàn)圖收入其公司宣傳和專業(yè)資料。
10. TERMINATION. 協(xié)議終止
當(dāng)協(xié)議任何一方未能實(shí)質(zhì)性地履行協(xié)議條款時(shí),無過錯(cuò)的一方可通過 14 天提前書面通知而終止協(xié)議;當(dāng)業(yè)主中止或終止本項(xiàng)目、或設(shè)計(jì)顧問的部分或全部服務(wù)時(shí),一經(jīng)任何協(xié)議一方的14 天提前書面通知,本協(xié)議即可終止。如果此合同在設(shè)計(jì)顧問執(zhí)行協(xié)議內(nèi)容無實(shí)質(zhì)性過錯(cuò)的情況下被終止時(shí),業(yè)主應(yīng)支付設(shè)計(jì)顧問所有直到協(xié)議終止或中止時(shí)的未付發(fā)票金額、所有已完成的工作、以及已提供的服務(wù)加上應(yīng)報(bào)銷的費(fèi)用;而且,業(yè)主必須支付因協(xié)議取消而產(chǎn)生的任何存貨恢復(fù)費(fèi)用、以及協(xié)議終止附加費(fèi),該附加費(fèi)相當(dāng)于基本服務(wù)中未實(shí)施工作部分的規(guī)定報(bào)酬的10%。
11. MISCELLANEOUS PROVISIONS. 其它規(guī)定
11.1 本協(xié)議受中華人民共和國(guó)的法律管轄。
11.2 The Client and Design Consultant each bind themselves, their partners, successors, assigns and legal representatives to the other party to this Agreement and to the partners, successors, assigns and legal representatives of such other party with respect to all covenants of this Agreement. Neither the Client nor the Design Professional shall assign this Agreement without the written consent of her other.
11.2 業(yè)主與設(shè)計(jì)顧問各方,其本身、其合作伙伴、繼承者、受讓人和法人代表,對(duì)本協(xié)議的另一方、以及本協(xié)議所有協(xié)議方其它相關(guān)各方的合作伙伴、繼承人、受讓人和法人代表承擔(dān)本協(xié)議的義務(wù)。業(yè)主與設(shè)計(jì)顧問在無對(duì)方書面同意的情況下不應(yīng)進(jìn)行本協(xié)議的轉(zhuǎn)讓。
11.3 This Agreement represents the entire and integrated agreement between the Client and the Design Consultant and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both Client and Design Consultant.
11.3 本協(xié)議為業(yè)主與設(shè)計(jì)顧問之間全部和完整的協(xié)議,并取代所有之前的書面或口頭的談判、陳述或協(xié)議。本協(xié)議的修改只能通過業(yè)主與設(shè)計(jì)顧問雙方簽署的書面同意文件進(jìn)行。
11.4 Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either the Client or the Design Consultant.
11.4 本協(xié)議中的任何內(nèi)容將不構(gòu)成與任何第三者的合同關(guān)系、或成為不利于業(yè)主或設(shè)計(jì)顧問而有利于任何第三方的行動(dòng)的理由。
11.5 Any claims, arbitration demands, or lawsuits arising out of services provided by Design Consultant shall be brought only against Design Consultant, and not against any of Design Consultant‘s owners, shareholders, directors, officers, partners, employees, agents or representatives.
11.5 因設(shè)計(jì)顧問所提供的服務(wù)而引起的任何索賠、仲裁要求,或訴訟等,應(yīng)只針對(duì)設(shè)計(jì)顧問,而不針對(duì)設(shè)計(jì)顧問的所有者、股東、董事、高級(jí)職員、合伙人、雇員、代理人或代表。
11.6 To the extent that damages are covered by property insurance during construction, Client and Design Consultant waive all rights against the other and their owners, shareholders, partners, directors, officers, employees, agents, and representatives.
11.6 對(duì)于施工過程中出現(xiàn)的財(cái)產(chǎn)保險(xiǎn)保障范圍內(nèi)的損失,業(yè)主和設(shè)計(jì)顧問放棄追究對(duì)方及其所有者、股東、合伙人、董事、高級(jí)職員、雇員、代理人或代表的全部責(zé)任。
12. APPROVAL. 協(xié)議的批準(zhǔn)
業(yè)主的下列簽名即是授權(quán)設(shè)計(jì)顧問代表業(yè)主開展本項(xiàng)目工作。
