CONTRACT FOR PUBLIC RELATIONS SERVICE ON AUTO SHOW
                                 車展公關(guān)服務(wù)合同
 
本合同由ABC公司，下稱：甲方）與DDD公司（中文名稱為：，下稱：乙方）于2011年    月    日簽訂。
This contract is made by and between Beijing ABC Co., Ltd. (hereinafter referred to as: Party A) and DDD ( hereinafter referred to as: Party B) on the   day of    August 2011.

  鑒于：
甲方委托乙方執(zhí)行 “車展活動”媒體邀請、接待和管理。乙方系依法成立的具有公關(guān)、廣告代理經(jīng)營權(quán)的專業(yè)公司。雙方本著平等互利的原則，經(jīng)友好協(xié)商，就以下合同條款達(dá)成一致意見：
 
WHEREAS:
Party B is hereby commissioned and entrusted by Party A to implement the responsibility and liability of  newsmedia invitation, reception and management for Auto Show Activities. Party B is a professional company with the management right of public relations and advertising agency incorporated under the law. Based on the principle of equality and mutual benefit, through friendly consultation, the Parties herrto entered into the following terms of the contract:
一、    雙方的權(quán)利和義務(wù)
1、    甲方的權(quán)利與義務(wù)：為了工作正常開展，甲方提供協(xié)助如下
1.1    確認(rèn)本次媒體的邀請名單和相關(guān)文字資料
1.2   負(fù)責(zé)活動驗(yàn)收和審核
1.3   活動結(jié)束，并驗(yàn)收合格后按合同約定與乙方結(jié)賬
I Rights and obligations of the Parties Hereto
  1 Rights and obligations of Party A: In order to properly carry out the assignment and succesfully reach the objectives of the contract, Party A shall assist as follows
1.1 Confirm the newsmedia invitation list and related text information
1.2 Responsible for inspection, audit, examination and verification of the Party B’s performance of the responsibility and liability on this contract.
1.3 At the end of the fulfilment of contract and after the Party A’s  acceptance through examination and verification to the PartyB’s performance of this contract, settle accounts with Party B in accordance with the provisions of this contract
 
2、    乙方為甲方提供如下服務(wù)：
2.1    負(fù)責(zé)車展活動新聞文稿的撰寫以及發(fā)布
2.2    負(fù)責(zé)媒體記者邀請、接待及后續(xù)發(fā)稿
2.3    撰寫并提供本次活動的相關(guān)報(bào)告
2.4    提供本次活動的媒體接待及執(zhí)行服務(wù)
2.5    按照報(bào)價(jià)中的各項(xiàng)為甲方提供相應(yīng)項(xiàng)目管理工作
  乙方應(yīng)當(dāng)確保本合同項(xiàng)下所涉及的活動內(nèi)容、策劃方案、撰寫稿件等不侵犯任何第三方的合法權(quán)利，由此若給甲方造成的一切損失，由乙方承擔(dān)。
2  Party B shall provide the following services to Party A:
2.1 Responsible for writing and releasing news presentation of Auto Show
2.2 Responsible for the invitation, reception and follow-up press of newsmedia correspondents
2.3 To write and provide relevant reports of the Party B’s execution of this contract.
2.4 To provide the newsmedia reception and execution services for this event by the provisions of this contract
2.5 To provide the appropriate project management for Party A in accordance with the Offer
Party B should ensure that the content of activities, planning programs and writing articles under this contract do not infringe the legal rights of any third party, Should any loss or damage occur thereof, Party B shall bear all the responsibilities.
 
二、  活動時(shí)間：
  此合同適用于2011年  月   至2011年  月，此日期可根據(jù)工作日期協(xié)商后延長。
為了確�；顒幽軌虺晒εe行，乙方必須嚴(yán)格按照時(shí)間進(jìn)度保質(zhì)保量完成工作。甲方有義務(wù)協(xié)助乙方完成工作。
II Term of activities:
The term of this contact shall be for the period commencing on     2011 and ending on
 2011, this date can be extended by and through consultation in accordance with the working schedule.
To ensure that activities of this contract can be successfully held and fulfilled, Party B must strictly follow the schedule and guarantee both quality and quantity to complete and perform its responsibility and liability by contractual stipulations. Party A has an obligation to assist Party B to complete the work.
 
三、  合同價(jià)款及支付
1、金額：該項(xiàng)目以每天五百歐元計(jì)算，共計(jì)  天結(jié)算，總金額為  歐元整。
2、付款時(shí)間：在本合同簽訂后的五個(gè)工作日內(nèi)，甲方應(yīng)以現(xiàn)金形式向乙方支付合同總金額50%的活動執(zhí)行預(yù)付款，支付伍仟伍佰歐元整,乙方開始項(xiàng)目運(yùn)行工作；在乙方活動執(zhí)行完畢一周之內(nèi)，甲方以現(xiàn)金形式向乙方支付活動執(zhí)行余款,乙方履行負(fù)責(zé)相應(yīng)的媒體監(jiān)測的職責(zé)。
3 乙方的銀行賬戶信息如下：
III Contract price and payment
1.    Amount: The project is accounted as 500 Euros ( five hundred Euros ) per day and a total of    days, the total amount is  Euros (eleven thousand Euros).
2.  Time of payment: After signing the contract, Party A shall pay 50% of the total contract amount in cash to Party B within five working days as the initial payment for the implementation of the contractual activities, that is 5500 Euros (five thousand and five hundred Euros), Party B shall start up the execution of its contractual duty. Within a week after Party B finish its implementation of contractual activities, Party A shall pay the balance in cash to Party B.
 Party B shall perform the duty to monitor the newsreports on Changan automobile by the corresponding newsmedia during Auto Show.

 四、合同范圍
  乙方在合同約定時(shí)間內(nèi)提供給甲方的服務(wù)范圍，在此所述。對于個(gè)別服務(wù)措施的時(shí)間點(diǎn)須與甲方商定。詳細(xì)的服務(wù)有：
  關(guān)于  汽車參加 車展的媒體活動相關(guān)服務(wù)：
  1.收到甲方項(xiàng)目預(yù)付款后，乙方將提供給甲方100家媒體詳細(xì)名單以及擬出席發(fā)布會15家媒體名單，并附以上媒體的基本情況介紹。
IV The scope and items of the contractual duty and liabilities of Party B
The scope and items of services provided by Party B to Party A during the term of the contract is hereby as follows. The time and term of individual service measures should be decided through the negotiation with Party A. The services in detail shall include:
The Party B’s services of newsmedia activities on Automobile attending Auto Show:
1. Upon receiving the initial payment of the contract by Party A, Party B shall provide a detailed list of 100 newsmedia and the list of 15 newsmedia invited to attend the press conference, and together with a brief introduction of  the aforesaid newsmedia.
 
2.起草一份新聞稿，發(fā)送不少于100行業(yè)雜志，電話不少于100個(gè)編輯報(bào)道本次活動，創(chuàng)建內(nèi)容分銷商。新聞稿（分別用英文、德文和中文起草，視不同發(fā)送對象使用）的內(nèi)容是關(guān)于參加車展的正面報(bào)導(dǎo)；(因德國媒體言論自由，乙方不確保全部為正面報(bào)道，但乙方會全力溝通以保證正面報(bào)道)。
2. Draft a press release, send it to at least 100 business magazines on automobil specialty, telephone no less than 100 editors to report the event, and establish the content distributors. The content of press release (respectively drafting in English, German and Chinese for different receivers) is about positive reports on attending IAA Auto Show; (As the editors and the press in Germany are free and not bound. Party B can not guarantee that a comprehensive report done or reported only positive about the customer. Party B will do its best to enable a positive coverage prevalent.)
 
3.準(zhǔn)備，組織和實(shí)施9月13日15個(gè)國際專業(yè)媒體出席在車展展臺舉行的汽車新聞發(fā)布會；
 3. Preparation, organization and implementation of News Conference of Automobile inviting and attend by 15 international professional newsmedia held in exhibition booth at the Frankfurt Atuo Show on September 13;
 
向新聞界邀請并登記名單，協(xié)調(diào)現(xiàn)場工作，確保媒體能夠準(zhǔn)時(shí)出席。
Invite the press and register the list of newsmedia, coordinate the on-site work to ensure that newsmedia invited can punctually attend the news conference.
 
 首選類型的媒體：電視，互聯(lián)網(wǎng)，廣播，印刷品（報(bào)紙，雜志） Preferred types of newsmedia: television, internet, radio, print (newspapers, magazines)
 
級別：主要是國家級媒體、汽車類專業(yè)媒體、不局限于當(dāng)?shù)孛襟w
 Level: mainly national newsmedia, automotive specialty newsmedia, including but not limited to the local newsmedia.
 
4. 媒體監(jiān)測
 在網(wǎng)絡(luò)媒體覆蓋面文檔，印刷，廣播和電視進(jìn)行的控制報(bào)告，并與活動結(jié)束后提供發(fā)布監(jiān)測報(bào)告四份。
4.  Newsmedia Monitoring
The reports on the management of homepage document of network newsmedia, print, radio and television, and upon the end of contractual performance four monitoring
 Reports on newsmedia information relating Changan Automobile shall be provided
and released.
 
五、 違約責(zé)任
若乙方不能按約定提供服務(wù)，甲方可以中止合同，或雙方協(xié)商繼續(xù)履行及采取其他補(bǔ)救措施。
V Breach of contract
In the event that Party B fails to provide contractual services or perform its liabiity and respongsibility, Party A may terminate the contract, or the Parties shall negotiate to continuously perform and take other renewsmedial measures.
 
 六、免責(zé)條款
1、    如因不可抗力致使乙方不能按期完成項(xiàng)目，乙方不負(fù)違約責(zé)任。但乙方應(yīng)在合理的時(shí)間內(nèi)向甲方報(bào)告所發(fā)生的不可抗力并提供有關(guān)政府部門的證明文件。
VI Exemption Clauses 
1.  如因不可抗力致使乙方不能按期完成項(xiàng)目，乙方不負(fù)違約責(zé)任。 Party B is not liable for failure to perform the party's obligations if such failure is as a result of Force Majeure. However, Party B assumes liability    for breach. 但乙方應(yīng)在合理的時(shí)間內(nèi)向甲方報(bào)告所發(fā)生的不可抗力并提供有關(guān)政府部門的證明文件。 However, Party B shall timely notify Party A of the occurrence of Force Majeure and provide the supporting documents of relevant government authorities.
 
 七、保密責(zé)任
1、為履行本合同，乙方對甲方所提供的資料負(fù)有保密的義務(wù)，并采取一切合理的措施以使其所接受的資料免于散發(fā)、傳播、披露、復(fù)制、濫用及被無關(guān)人員接觸。
 VII Obligation of confidentiality
1. In order to fulfill the contract, Party B should have the obligation to confident the information provided by Party A, and take all reasonable measures to prevent the received information from distribution, dissemination, disclosure, copying, misuse, and contacts with unrelated personals.
 
2、甲方對乙方所提供的涉及此活動的所有有關(guān)文件、資料、報(bào)價(jià)，不得向任何同乙方同行業(yè)的公司散發(fā)、傳播、披露、復(fù)制、濫用及被無關(guān)人員接觸。
2. All relevant documents, information, quotations related to this event provided by Party B, Party A should not distribute, disseminate, disclose, copy, misuse these to any company in the same industry with Party B, and should avoid the contact of unrelated personals.
 
如以上2項(xiàng)任何一方違反，都將追究法律責(zé)任。
3. The party shall be liable for the violation of any of aforesaid two provisions.
 
4、隨著合同的結(jié)束和付款的完結(jié)必須將全部使用權(quán)產(chǎn)生的文本交給甲方。該乙方表明，在不傷害第三方權(quán)利的前提下使用相關(guān)概念，乙方有權(quán)要求宣傳及手冊中提及公司名稱，字體為常規(guī)大小（最大不超過6號字體）。
4. .By the end of the contract and settlement, all the documents with the usage right must be given to Party A. 該乙方表明，在不傷害第三方權(quán)利的前提下使用相關(guān)概念，乙方有權(quán)要求宣傳及手冊中提及公司名稱，字體為常規(guī)大小（最大不超過6號字體）。Party A (?)declares that to use the relevant concepts under the premise of no infringement of the rights of any third party, Party B shall reserve the right to require the name of the Company to be mentioned in the promotion and manual, the font size shall be conventional (maximum of No.6 font).  
 
八、法律的適用及爭議的解決
雙方約定，在履行本合同中出現(xiàn)的爭議首先通過友好協(xié)商的方式解決，協(xié)商啟動后60日之內(nèi)協(xié)商不成時(shí)，任何一方可以將爭議提交新加坡國際仲裁中心，依照該仲裁中心的程序和規(guī)則進(jìn)行仲裁解決。仲裁裁決為終局性，對雙方均有約束力。
VIII Application of the law and dispute settlement
The Parties hereto agree that any dispute arising from or in connection with the performance of this contract shall firstly be resolved through friendly consultation, in the event no result is reached within 60 days since the commencement of negotiation, either party shall thereafter be entitled to submit the dispute to the Singapore International Arbitration Center for arbitration, in accordance with the procedures and rules of the Arbitration Center. 仲裁裁決為終局性，對雙方均有約束力。 The arbitral award shall be final and bind upon the parties hereto.
 
九、合同文本語言
本合同正本以英文書就，另附中文和德文副本，均具有同等法律效力，如不同文本間產(chǎn)生歧義，則以英文為準(zhǔn)。
IX Language of the contract
The original contract shall be written in English version, attached the copies in Chinese and German with the same legal effect, in case of discrepancy among different versions, the English version shall prevail.
 
 
十、簽字及生效
1、    本合同一式肆份，甲方執(zhí)叁份，乙方執(zhí)壹份，具有同等法律效力。
2、    本合同的注解、附件、補(bǔ)充合同為本合同組成部分，與本合同具有同等法律效力。
3、    本合同自雙方授權(quán)代表簽字、蓋章之日起生效。
 
 X Signature and efficiency
1. This contract shall be made in four copies with the same legal effect. Party A shall keep three copies, Party B shall keep one.
2. The notes, attachments, supplementary contract are the integrated parts of this contract, which has the same legal effect.
3. This contract will come into force on the date when it is duly signed and sealed by the representatives of the Parties.
