電視機銷售獨家代理合同（中英文對照）
Exclusive Agency Agreement for sale of Television
 
 
    本協(xié)議于  年  月  日在中國     由有關雙方在平等互利基礎上達成，按雙方同意的下列條件發(fā)展業(yè)務關系：
This agreement is made&nbpd entered into by&nbpd between the parties concerned on     (date) in     (place) , China on the basis of equality&nbpd mutual benefit to develop business on terms&nbpd conditions mutually agreed upon as follow:
 
1. 協(xié)議雙方 The Parties Concerned    
　
2. 委托 Appointment
    甲方指定乙方為其獨家代理，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。
Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts&nbpd assumes such appointment.
 
3. 代理商品  Commodity
        牌電視機。 Brand Television
 
4. 代理區(qū)域  Territory
    僅限于    In        only
 
5. 最低業(yè)務量   Minimum turnover
    乙方同意，在本協(xié)議有效期內(nèi)從上述代理區(qū)域內(nèi)的顧客處招攬的上述商品的訂單價值不低于10萬美元。           
Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD 100,000,00.
 
6. 價格與支付   Price&nbpd Payment
    每一筆交易的貨物價格應由乙方與買主通過談判確定，并須經(jīng)甲方最后確認。
    付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運日期前15天到達甲方。             
The price for each inpidual transaction shall be fixed through negotiations between Party B&nbpd the buyer,&nbpd subject to Party A's final confirmation.
Payment shall be made by confirmed, irrevocable L/C opened by the buyer in favor of Party A ,which shall reach Parth A 15 days before the date of shipment.
 
7. 獨家代理權  Exclusive Right
    基于本協(xié)議授予的獨家代理權，甲方不得直接或間接地通過乙方以外的渠道向     顧客銷售或出口第三條所列商品，乙方不得在     經(jīng)銷、分銷或促銷與上述商品相競爭或類似的產(chǎn)品，也不得招攬或接受以到     以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應將其收到的來自     其他商家的有關代理產(chǎn)品的詢價或訂單轉交給乙方。
In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in        through channels other than Party B; Party B shall not sell, distribute or promote the sales of&nbpy products competitive with or similar to the above commodity in       &nbpd shall not solicit or accept orders for the purpose of selling   them outside       . Party A shall refer to Party B&nbpy enquiries or orders for the commodity in question received by Party A from other firms in        during the validity of this agreement.
 
8. 商情報告   Market Report
    為使甲方充分了解現(xiàn)行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告， 內(nèi)容包括與本協(xié)議代理商品的進口與銷售有關的地方規(guī)章的變動、當?shù)厥袌霭l(fā)展趨勢以及買方對甲方按協(xié)議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料。            
In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at&nbpy time when necessary, with market reports concerning changes of the local regulations in connection with the import&nbpd sales of the commodity covered by this agreement, local market tendency&nbpd the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations&nbpd advertising materials on similar products of other suppliers.
 
9. 廣告及費用    Advertising&nbpd Expenses
    乙方負擔本協(xié)議有效期內(nèi)在     銷售代理商品做廣告宣傳的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準。            
Party A shall bear all expenses for advertising&nbpd publicity in connection with the commodity in question in        within the validity of this agreement,&nbpd shall submit to Party A all audio&nbpd video materials intended for advertising for prior approval.
 
10. 傭金  Commission
對乙方直接獲取并經(jīng)甲方確認接受的訂單，甲方按凈發(fā)票售價向乙方支付5%的傭金。 傭金在甲方收到每筆訂單的全部貨款后才會支付。               
Party A shall pay Party B a commission of 5% on the net invoiced selling price on all orders directly obtained by Party B&nbpd accepted by  party A. No commission shall be paid until Party A receives the full payment for each order.
 
11. 政府部門間的交易  Transactions Between Governmental Bodies
    在甲、乙雙方政府部門之間達成的交易不受本協(xié)議條款的限制，此類交易的金額也不應計入第五條規(guī)定的最低業(yè)務量。           
Transactions concluded between govenmental bodies of Party A&nbpd Party B shall not be restricted by the terms&nbpd conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.
 
12. 工業(yè)產(chǎn)權   Industrial Property Rights
    在本協(xié)議有效期內(nèi)，為銷售有關電視機，乙方可以使用甲方擁有的商標，并承認使用于或包含于電視機中的任何專利商標、版權或其他工業(yè)產(chǎn)權為甲方獨家擁有。 一旦發(fā)現(xiàn)侵權，乙方應立即通知甲方并協(xié)助甲方采取措施保護甲方權益。      
Party B may use the trade-marks owned by Party A for the sale of the Television covered herein within the validity of this agreement,&nbpd shall acknowledge that all patents, trademarks, copy rights or&nbpy other industrial property rights used or embodied in the Television shall remain to be the sole properties of Party A. Should&nbpy infringement be found, Party B shall promptly notify&nbpd assist Party A to take steps to protect the latter's rights.
 
13. 協(xié)議有效期   Validity of Agreement
    本協(xié)議經(jīng)有關雙方如期簽署后生效，有效期為1年，從   年  月   日至  年 月 日。 除非作出相反通知，本協(xié)議期滿后將延長12個月。     
This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from     to     ,&nbpd it shall be extended for&nbpother 12 months upon expiration unless notice in writing is given to the contrary.
 
14. 協(xié)議的終止  Termination
    在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權終止協(xié)議。        
During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.
 
15. 不可抗力  Force Majeure
    由于水災、火災、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關機構出具的不可抗力事件的證明寄交對方。          
Either party shall not be held responsible for failure or delay to perform all or&nbpy part of this agreement due to flood, fire, earthquake, draught, war or&nbpy other events which could not be predicted, controlled, avoided or overcome by the relative party.  However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible&nbpd thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
 
16. 仲裁   Arbitration
    因履行本協(xié)議所發(fā)生的一切爭議應通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應將爭議提交中國國際經(jīng)濟貿(mào)易仲裁委員會（北京），依據(jù)其仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方都有約束力。            
All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached throught negotiation, the case shallthen be submitted for arbitration to the China International Economic&nbpd Trade Arbitration Commission (Beijing)&nbpd the rules of this Commission shall be applied. The award of the arbitration shall be final&nbpd binding upon both parties.
