WITTNESSTH ; Whereas, The Seller is a legal producer and exporter of coal in India, and has the right to sell legal quarry as the terms of Contract and Specifications of product stipulated herein below
茲 證 明 :鑒于賣方為印度的出口商及煤礦生產(chǎn)者,有權(quán)銷售合法礦源所生產(chǎn)的煤炭,其合約條款及其產(chǎn)品規(guī)格如下列所示:
This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the under mentioned commodity according to the terms and conditions stipulated below:
買賣雙方遵循平等、自愿、互利、互惠原則協(xié)商并達(dá)成如下協(xié)議,共同信守。
CLAUSE 1 CARGO 第一條款 : 貨物:
STEAM COAL NON COKING in India, with Gross Calorific value at min 6300-6100 Kcal/kg (ADB), and other elements specified in Guarantee Specifications on Clause 6 below.
貨物為印度所生產(chǎn)的新鮮動力煤原煤,其總熱值為6300-6100卡(ADB/空干基),其它成份如以下第6款之規(guī)格所示。
CLAUSE 2 : CONTRACT QUANTITY AND LOADING PORT/UNLOADING PORT
第二條款: 合同訂購的數(shù)量及裝貨港、卸貨港
2.1. Seller agrees to sell and Buyer agrees to purchase Contract Quantity of53,000MT(+/-10%), effect one shipment.
賣方同意賣、買方同意買,合同數(shù)量為53,000公噸的動力煤炭(+/-10%), 一船出運(yùn)。
2.2 Loading Port: Bombay Port Unloadding Port: Pudong Port
裝貨港:孟買港Bombay Port 卸貨港:浦東港 Pudong Port
CLAUSE 3 : PRICING & CONTRACT AMOUNT: 第三條款: 單價(jià)及合同總值:
3.1. Unit Price is FOB MV US$ per Metric Ton;
單價(jià)為每公噸FOB美金 元船上交貨;
3.2. The Contract Amount is :
合同總價(jià)應(yīng)為:
53,000 MT x US$ = US$
53,000公噸 x 單價(jià)US$ = 總價(jià)為US$ 美元
3.3. The above Quantity and Contract Amount shall allow difference of +/-10% tolerance.
以上訂單數(shù)量及其金額允許有+/-10%公差。
CLAUSE 4 : LOADING ANCHORAGE & LAY-TIME: 第四條款: 裝貨及裝貨時(shí)限:
4.1. The Buyer is responsible for chartering vessel and dispatch the Cargo Vessel at loading port on time. In case the delay of arrival of Vessel, Buyer shall pay 2% of contract amount to Seller to compensate the losses of Buyer; On the contrary, if the vessel has arrived on time in the loading anchorage with no sufficient cargo prepared on spot, or occurred any delay of loading lay-time, seller shall pay 2% of contract amount to Buyer to compensate the losses of Buyer, and the demurrage that occur due to delayshall be borne by the Seller.
買方負(fù)責(zé)租船并按時(shí)派船到達(dá)所指定的裝貨地點(diǎn), 倘若逾時(shí)貨輪未到達(dá)裝貨地點(diǎn),則買方應(yīng)支付賣方合同貨值的2%以賠償賣方損失;反之倘若貨船已按時(shí)到達(dá)裝貨地點(diǎn),而貨物尚未備妥,或賣方逾時(shí)裝貨,賣方需支付合同貨值2%以賠償買方,并支付由于逾時(shí)所產(chǎn)生的滯期費(fèi)。
4.2 Seller shall prepare well at least 80% of all cargo at the loading port 7 days before vessel’s arrival at loading port.
在船舶到達(dá)裝貨港7天前,賣方應(yīng)在裝貨港至少備好全部貨物的80%.
4.3 Seller shall guarantee the Loading Rate is more than 8,000 MT PWWD SINC, and finish loading of all the cargo to the MV within 8 days including Sundays. In case of any delay of loading lay-time, the demurrage shall be responsible by the Seller. The vessel nominated by Buyer arrived in the anchorage of port which Seller confirmed, provisionally on between June 25
th and July 2
nd 2010, and seller shall ensure cargo be delivered on the basis of lay-time 6 days, but the actual lay-time according to Charter Contract.
賣方保證裝貨港的裝率是大于8000噸/每晴天工作日,星期天包括在內(nèi). 并且在8天(包含星期天及假日)內(nèi)完成裝船。倘若在裝貨港發(fā)生延誤,則滯留費(fèi)當(dāng)由賣方負(fù)責(zé)。買方船期暫定于2010年6月28日至7月2日間到達(dá)賣方指定的錨地,賣方在保證6天裝貨期基礎(chǔ)上,但是實(shí)際裝船時(shí)間按照租船合同執(zhí)行。
CLAUSE 5 :TERMS OF PAYMENT :第五條款:付款條件:
5.1. After signing this contract, the seller will open a 2% PB of contract amount to the buyer through a bank accepted by buyer within 5(Five) working days. After receiving and confirming the 2% PB, within 7 (Seven) working days, the buyer will open 100%
irrevocable L/C at sight. The L/C shall
allow difference of +/-10% tolerance on quantity and/or contract amount;
The
validity of Performance Bond is 10 (ten) days after the date of the buyer receiving COMMODITY INSPECTION AUTHORITIES inspection report and B/L. And the purpose of this Performance Bond is to guarantee that shipment time and the quality. Performance Bond shall be forfeited by Buyer if Vessel is arrived but No shipment is made and the Letter of Credit's Latest of shipment is expired.
合同簽訂以后, 賣方在5個(gè)工作日內(nèi)將合同總值2%的銀行保函開給買方. 買方收到2%銀行保函并確認(rèn)后,于7個(gè)工作日內(nèi)開出100%不可撤消即期信用證給賣方。信用證允許溢短裝10%。銀行保函有效期至買方收到商檢機(jī)構(gòu)檢測報(bào)告及提單后10天,目的為保證船期和貨物質(zhì)量。如果船到后,賣方未能在信用證規(guī)定的時(shí)間內(nèi)裝船完畢,買方將沒收賣方銀行保證金。
5.2.The cargo of 53,000 tons ±10% shall be loaded within 10 days after the Seller receives L/C from the Buyer and shall be the contract is fulfilled.
賣方收到買方信用證10天內(nèi)發(fā)出53,000噸作為合同正式履行(溢短裝±10%)。
CLAUSE 6:GUARANTEED SPECIFICATIONS 第六條款: 產(chǎn)品之規(guī)格:

CLAUSE 7 : PRICE ADJUSTMENT FOR QUALITY: 第七條款: 由質(zhì)量引起的價(jià)格調(diào)整:
The Quality of coal certify by
COMMODITY INSPECTION AUTHORITIES . In case the Total Moisture and/or GCV of cargo are inconformity with standard rate on Clause 6, the price in Clause 3.1 is adjustable as per following formulas:
在由商檢機(jī)構(gòu)決定的所供應(yīng)煤品質(zhì)的事項(xiàng)上,包括總水分、凈熱值如果不能符合第6條款標(biāo)準(zhǔn),則3.1條款的價(jià)格將根據(jù)以下條款調(diào)整:
7.1.The Sellers and the Buyers agree if the quality of steam coal lower than the standard quality, the Penalty will be used.
買賣雙方一致同意,如果實(shí)際交貨煤的質(zhì)量標(biāo)準(zhǔn)低于合同保證質(zhì)量標(biāo)準(zhǔn),罰款條款將被啟用。
7.2. Adjustment for price according to the following clause, based on per ton
價(jià)格調(diào)整將根據(jù)如下條款,適用于本合同規(guī)定下每噸單價(jià)作為基數(shù),
a) Total Moisture (ARB) Adjustment:
If the actual total moisture at loading port's analysis certified by COMMODITY INSPECTION AUTHORITIES exceeds 16% (ARB),but not exceed 18%,the exceed part will be deducted from the total weight
當(dāng)全水分大于16%,但小于18%時(shí),水份超標(biāo)部分扣重。

b) Gross Calorific Value (ADB) Adjustment:
If the Gross Calorific Value (ADB) at loading port higher 6100 Kcal/Kg but lower than 6300 Kcal/Kg, Calculation shall be implied as follows:
如果空干基高位大卡在6100大卡每公斤至6300大卡每公斤,按以下公式計(jì)算,

c) Shipment Cargo Quality Rejection Levels: 拒收標(biāo)準(zhǔn):
Buyer has the right to reject all shipment cargo at loading port (jetty) if the actual analysis result for Gross Calorific Value (ADB) is below GCV 6100 Kcal/Kg, and/or the Total Moisture (ARB) is above 18%, and/or the Ash Content (ADB) is above 16% and/orVolatile Matter (ADB) is above 45% and/or the Sulphur content (ADB) is above 1.0%,and/or HGI is less than 40, and/or AFP is below 1250℃. Such rejection shall be determined by sellers appointed surveyor and buyer’s surveyor jointly prior to loading.
如果化驗(yàn)報(bào)告出現(xiàn)以下情況,買方有權(quán)在發(fā)貨港拒收所有貨物。高位空干基低于每公斤6100大卡,或/和收到基全水值高于18%,或/和空干基灰分高于16%;或/和空干基揮發(fā)份大于45%,或/和空干基硫份高于1.0%;或/和哈磨系數(shù)小于40; 或/和灰熔點(diǎn)低于1250度。該拒收行由裝貨前買賣雙方各自指定的檢驗(yàn)員共同確定。
CLAUSE 8: WEIGHING and QUALITY:第八條款: 重量取決/采樣及分析/質(zhì)量的檢驗(yàn):
8.1. At Loading Port, The Seller at his expenses shall determine the weight of Cargo’s shipment by draught survey international Practice, and certified together with COMMODITY INSPECTION AUTHORITIES of the loading port “Report of Weighing” shall be FINAL AND BINDING for bill of lading.
由賣方付費(fèi)并按國際慣例以貨船的水尺方式來稱測確定貨物的凈重,并以商檢機(jī)構(gòu)所作的重量報(bào)告作為裝船提單數(shù)量的基準(zhǔn)。
8.2. The Seller shall fax to Buyer one copy of “Certificate of Weight” within three ( 3 ) working days after B/L date, and the B/L Weight shall be basic for provisional Invoicing.
賣方在提單日期后3個(gè)工作天內(nèi)傳真給買方壹份“重量證明書”。 此提單的重量將作為暫定發(fā)票的基準(zhǔn)。
8.3. The Loading port's Certificate of Quality made by COMMODITY INSPECTION AUTHORITIES of the loading port shall be final for both parties. All costs related to the inspection, sampling and analysis in load port shall be borne by the Seller. The costs of the analysis of the umpire sample by the neutral laboratory, which shall be mutually agreed, shall be borne by the party requesting the further determination.
在裝貨港由商檢機(jī)構(gòu)所做的檢驗(yàn)為最終標(biāo)準(zhǔn), 采樣及分析之全部費(fèi)用由賣方負(fù)擔(dān)。至于委托中立的檢定公司作實(shí)驗(yàn)分析仲裁用樣本時(shí), 須經(jīng)雙方同意, 費(fèi)用由提出仲裁要求確認(rèn)者負(fù)責(zé)。
8.4. The Loading port's Certificate of Weight both made by COMMODITY INSPECTION AUTHORITIES of the loading port and must be followed ASTM Standard and is FINAL AND BINDING FOR BILL OF LADING.
裝貨港商檢機(jī)構(gòu)及所做的“重量檢定證書”必須按
ASTM標(biāo)準(zhǔn)檢驗(yàn)程量報(bào)告作為裝船提單數(shù)量的基準(zhǔn)。

CLAUSE 9: DIFFERENCE OF ANALYSIS RESULTS ON QUANTITY & QUALITY:
第九條款 數(shù)量及質(zhì)量之差異
9.1. In the event that Analysis result of quality difference is too big, excess tolerance and acceptable rate between the results of analysis made by different Representative’s Surveyors
AT LOADING PORT, which shall arise disagreement between the Parties, the “Umpire Sample” shall be forwarded for testing to an umpire analyst who shall be chosen under mutual agreement by the Seller and Buyer. The results of the umpire analysis shall be deemed as final and conclusion.
在發(fā)貨港如果由不同檢驗(yàn)員檢驗(yàn)得出的質(zhì)量分析結(jié)果存在很大差異,超出了檢驗(yàn)結(jié)果之間的正常浮動和可接受的比率,從而導(dǎo)致雙方之間發(fā)生爭議,則仲裁樣本應(yīng)發(fā)送給買賣雙方共同指定的仲裁檢驗(yàn)機(jī)構(gòu)進(jìn)行測試。該仲裁機(jī)構(gòu)的檢驗(yàn)結(jié)果應(yīng)作為最終裁定結(jié)果。
9.2. The cost of the umpire analysis shall be borne for the Party whose analysis result is further apart. In the event that the analysis of Seller and of Buyer is equidistant from the umpire analysis, then, Seller and Buyer shall share the cost of umpire analysis equally.
仲裁檢驗(yàn)機(jī)構(gòu)費(fèi)用應(yīng)由檢驗(yàn)結(jié)果出入較大一方承擔(dān)。一旦賣方或買方檢驗(yàn)結(jié)果與仲裁結(jié)果相差一致,則買賣雙方應(yīng)共同承擔(dān)仲裁檢驗(yàn)費(fèi)用。
CLAUSE 10 : SHIPPING ADVICE AND OPERATIONS 第十條款: 裝船通知及其運(yùn)作
10.1. Buyer shall propose by email/fax to the Seller the status and scheduling of vessel not later than 10 (ten) days prior to her ETA ( Estimate Time of Arrival ) at the loading anchorage. The Seller shall confirm by e-mail/fax acceptance of the Buyer’s nominated vessel within 1 (one) working day.
買方應(yīng)在貨船預(yù)估到達(dá)裝貨停泊處前十天以電報(bào)或傳真通知賣方有關(guān)船籍及其行程。賣方必須在壹天內(nèi)回電文/傳真表示接受所指派船籍及行程。
10.2. Before the chartering of the Vessel, the Buyer shall advise the Seller by Fax/Email/Post, the Vessel’s key details, namely, the age of vessel, flag, DWT and tonnage of crane and further obtain confirmation for the loading date with Seller. The Buyer or the Vessel’s master shall also give notice of Vessel’s expected date and time of the arrival by fax . The vessel serves notice to Seller and/or its agent in the Load port on 7 days, 72 hours, 48 hrs, 24hrs and 12 hrs prior to the arrival at the loading anchorage, so to enable the Seller for preparing of cargo on barges ready for loading.
在租船前,買方應(yīng)通過傳真、郵件的方式告知賣方船舶主要信息,船名,船齡,船旗,載重及抓斗載重,并進(jìn)一步與賣方確認(rèn)裝船時(shí)間。買方或船東必須在貨船到達(dá)裝貨停泊處72小時(shí), 48小時(shí), 24小時(shí)及12小時(shí)以前以電報(bào)或 傳真通知賣方及/或其港口代理人,使賣方得以備妥足量接駁船裝貨。
10.3. Vessel can tender Notice of Readiness (NOR) Monday to Friday 08.00 to 17.00 hrs and Saturday from 08.00 to 13.00 hrs (LT) upon arrival at port of loading provided vessel is in free pratique and in all respects ready to load the cargo.
貨船可在星期一至星期五上午八時(shí)至下午五時(shí),及星期六上午八時(shí)至下午一時(shí)前提出完成準(zhǔn)備通告(NOR),并抵達(dá)裝貨港取得入港證后準(zhǔn)備裝貨。
10.4. The Sellers shall load the coal to the Buyers’ vessel. Any taxes and levies or other charges incurred at the loading port are on Seller’s accounts. Any taxes and levies or other charges incurred at the unloading port are on Buyer’s accounts.
賣方應(yīng)將煤裝到買方的船上。任何于裝運(yùn)港產(chǎn)生的稅項(xiàng)或其它費(fèi)用均由賣方支付. 任何于卸貨港產(chǎn)生的稅項(xiàng)或其它費(fèi)用均由買方支付。
10.5. The Seller shall upon completion of loading advises the Buyer within 3 working days by cable/ telex/fax of the contract number, name of vessel, carrier, DWT, Flag of vessel, Ocean bill of lading, Net Tonnage, name of commodity, approximate invoice value and ETA.
賣方在完成裝船3工作天內(nèi)必須以電報(bào)/郵電/傳真告知買方貨船啟航日期,指定貨船名稱、船公司、噸位、船旗、海運(yùn)提單號、合約號、凈裝運(yùn)數(shù)量、貨物名稱,約計(jì)發(fā)票金額及預(yù)計(jì)到達(dá)卸貨港日期.
CLAUSE 11 : SHIPPING DOCUMENTS 第十一條款:裝船文件
The L/C shall provide for provisional payment of 100% invoice value at sight, at the counter of receiving bank, or negotiation bank against presentation of following shipping documents made in the Loading Port.
一旦在裝貨港提交下列合法的裝船文件,賣方即可在其銀行按信用證項(xiàng)下的付款條件根據(jù)暫定之發(fā)票100%金額即期議付,
( 11A ) : Documents for Negotiation in Bank : ( 11A ) : 銀行議付文件:
11A.1..Signed commercial Invoice in Triplicate(3/3), based on the weight stated in the B/L, and the guaranteed Calorific value and other elements respectively.
賣方簽署的商業(yè)發(fā)票正本三份,副本三份,根據(jù)裝船提單所示重量分別保證煤的熱值及其它成份;
11A.2..Full set of 3/3 Original, Clean on Board Bill of Lading plus 3 Non –Negotiable Copies and marked “Freight Payable as per Charter Party on Buyer’s account”, setting forth the weight in Metric Tons, evidencing shipment from Loading Port.
全套3/3〔三套三份〕干凈無瑕疵裝船提單正本加3份非押匯用的副本,并注明“運(yùn)費(fèi)按租船合同由買方支付”,并注明公噸數(shù)量,提示其運(yùn)輸系由裝貨地點(diǎn)名稱。
11A.3. “CERTIFICATE OF quality ANALYSIS ” issued by COMMODITY INSPECTION AUTHORITIES at the Load Port in one original and two copies.
提交由商檢機(jī)構(gòu)所作“質(zhì)量分析報(bào)告證書”一份正本及兩份副本。
11A.4. “CERTIFICATE OF WEIGHT” issued by COMMODITY INSPECTION AUTHORITIES at the Load Port in one original plus two copies.
提交由商檢機(jī)構(gòu)在裝貨港簽發(fā)的 “重量證明書”一份正本加兩份副本。
11A.5. “CERTIFICATE OF ORIGIN” issued by local Chamber of Commerce, or by other competent Authority in one original and two copy.
提交由印度商會或相關(guān)政府當(dāng)局所作“產(chǎn)地證明書”一份正本及二份副本。
11A.6 Certificate of draft survey issued by COMMODITY INSPECTION AUTHORITIES at loading port in one original and three copies.
提交由商檢機(jī)構(gòu)在發(fā)貨港簽發(fā)的“水尺證明”一分正本加三份副本。
( 11B) : Shipping Documents Sent to Buyer :
Seller’s evidence certifying one copy of Shipping Documents (refer to BILL OF LADING, CERTIFICATE OF ORIGIN, CARGO MANIFEST) was sent by DHL or Air Courier to the Buyerwithin 3 working days after loading.
裝船之押匯文件寄買方:
賣方須付收據(jù)證明壹份完整的裝船文件在完成裝貨3天內(nèi)已經(jīng)由航空快捷郵件寄出給買方。
CLAUSE 12 : DEMURRAGE 第十二條款:延滯費(fèi)
12.1 If the Seller fails to execute shipment within the loading lay-time at port of loading as stipulated in Clause 4, the Seller shall pay demurrage to the Buyer for time lost WITHIN 30(thirty) days according to Charter Party that Buyer signed with carrier, after expiration of the lay-time;
如賣方不能按本合同第4條款規(guī)定的裝載時(shí)限在裝貨港完成裝貨,賣方必須按船東與買方所簽署的租船合約在30天內(nèi)支付延誤停滯費(fèi)。
12.2. Demurrage reimbursement is payable 30 days by TT upon the receipt of shipping documents together with Statement of Facts ( FOS ) to be signed by the Master of Vessel and/or respective representatives (if any) after completion of shipment.
延滯費(fèi)之賠償應(yīng)于裝船完畢后并收到裝船文件及船長或相關(guān)代表人所簽署核發(fā)的申明書30天內(nèi)以TT電匯方式支付。
CLAUSE 13 : INSURANCE 第十三條款: 保險(xiǎn)
Insurance to be covered by Buyer from the time that cargo is loaded on board of the vessel. For this purpose, Seller shall advise Buyer by fax or e-mail from the start of loading and confirm immediately of exact quantity and value of cargo on board after completion of the loading.
貨物上船后, 買方必須自行買保險(xiǎn)。為此,賣方在開始裝貨時(shí)應(yīng)以傳真或電郵通知買方,并在完成裝貨后立即通知確實(shí)數(shù)量及金額。
CLAUSE 14: TAXES, DUTIES 第十四條款稅金、關(guān)稅
The delivery of the Coal in respect of this Contract involving all taxes, duties, etc shall be treated in the following manner:
合同中的煤炭交貨過程中所產(chǎn)生的一切稅金,關(guān)稅等應(yīng)按照下列方式處理:
14.1 The Seller shall pay all and any taxes, duties, related to the performance of this contract and collected up to the nominated discharge port.
賣方負(fù)責(zé)執(zhí)行本合同發(fā)往買方指定的卸貨港前的商品的所有稅負(fù)和費(fèi)用。
14.2 The Buyer shall pay all and any taxes, duties, related to the performance of this contract and collected at the discharge port.
買方負(fù)責(zé)執(zhí)行本合同接收到達(dá)卸貨港后的商品的所有稅負(fù)和費(fèi)用。
CLAUSE 15:LICENSES OF EXPORT AND IMPORT 第十五條款 進(jìn)出口許可證
15.1 It shall be Seller’s obligation and responsibility to prepare and arrange all export license and other documents required for export of the contract goods out of India. Any cost that may arise is for the account of the Seller.
賣方負(fù)責(zé)準(zhǔn)備所有出口許可證及其他從印度出口合同項(xiàng)下貨物所需的其他單據(jù)。由此產(chǎn)生的費(fèi)用都由賣方承擔(dān)。
15.2 The Buyer must obtain at his own risk and expenses any import licenses or other official authorization notwithstanding that the same arises from a change in legislation after this Contract.
買方在簽訂合同后,必須自擔(dān)風(fēng)險(xiǎn)和費(fèi)用獲取進(jìn)口許可證或其他官方許可。
CLAUSE 16: FORCE MAJEURE 第十六條款: 不可抗拒的因素
Neither party shall be held responsibility for failure of delay to perform all or any part of this Contract due to flood, fire, earthquake, snow-storm, draught, explosion, strike, war, or any other Force Majeure cases as per international practice. However, the party whose performance is Affected by the event Force Majeure shall give a notice to the other party of it occurrence as soon as possible and a certificate or a document of the occurrence of the Force Majeure event issued by the relative Authority or a neutral independent third party, shall be sent to the other party no later than 30-days after this occurrence. If the event of Force Majeure continues for more than 30-days, both parties shall negotiate the performance or termination of this contract.
任何一方在下列不可抗拒的因素造成本合同的失敗、延誤、不能全部或部份執(zhí)行本合同,如遇水災(zāi)、火災(zāi)、地震、暴風(fēng)雪、干旱,爆炸、罷工、戰(zhàn)爭,或任何按國際條例不可抗拒事由所發(fā)生事故均不須負(fù)責(zé)。但受此災(zāi)害執(zhí)行的一方須盡快在30天內(nèi)備妥證明或由授權(quán)之相關(guān)單位或中立的第三方之文件通知對方。若不可抗拒的事故持續(xù)30 天以上, 雙方可協(xié)調(diào)是否繼續(xù)或終止合同。
CLAUSE 17:NON-COMPLIANCE PENALTY 第十七條款:違約罰款
If either party of this Contract fails to perform its obligation as stated in this contract, other than by reason of Force Majeure as per Clause 14, The concern party shall pay 2% penalty to the other party. the penalty must be paid within 30days.
若買賣雙方任何一方未能履行合同條款, 除因條款第十四條款所述的不可抗力事件外, 違約方須向?qū)Ψ街Ц?%違約金.支付時(shí)間為判定為違約后30天內(nèi),
CLAUSE 18: ARBITRATION 第十八條款:仲裁
All disputes, controversies of differences, violation, breath, fails or delay of shipment, etc, in the relation to or in connection with this contract, which may arise and not be able to settled by an amicable agreement, shall be submitted for arbitration to the Arbitration Laws Of Singapore and the place is in Singapore.
一切因執(zhí)行合同所發(fā)生與本合同有關(guān)之爭執(zhí),雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí),應(yīng)依照新加坡商業(yè)法律裁決。仲裁將在新加坡進(jìn)行。
CLAUSE 19:EXECUTION OF CONTRACT 第十九條款:執(zhí)行合同
Each of the parties to this Contract represents that it has full legal authority to execute this Contract and that each party is to be bound by the terms and conditions contained in the Contract. This Contract represents the entire agreement between the parties and any change will be made in written, executed by both parties.
合同雙方均擁有法定權(quán)利去執(zhí)行此合同, 并受此合同條款約束. 此合同代表買賣雙方對此交易完全一致的意向. 任何修改轉(zhuǎn)變均以書面形式通知對方.
CLAUSE 20 : CONFIDENTIALITY AND COMMUNICATIONS 第二十條款: 保密
The parties shall treat this contract as confidential. Neither of this party shall disclose its terms without the prior consent in written of the other, except to the extent required by the laws, rules, regulations and direction s of the Government the above of both sides in Buyer, and /or Seller.
買賣雙方都應(yīng)克守合同秘密,除事先經(jīng)對方書面同意,或買、賣雙方政府的法律、法規(guī)、規(guī)則和指示要求伸展的除外,任何一方均無權(quán)泄露合同條款;
CLAUSE 21 : CONTRACT SIGNATORIES 第二十一條款:合同簽署
21.1. The text of this Contract is in English and Chinese and is signed in 4 originals,each party shall have two (2) copies of this similar Agreements with the same law effect.
本合同一式四份, 買賣雙方各持兩份, 每份都具有同等的法律效力.
21.2. In witness thereof, the parties have signed and sealed below to accept and approve all terms and conditions contained in this Contract.
買賣雙方于下方簽署以表示接納及批準(zhǔn)合同內(nèi)的條款, 合同簽署后即生效.
21.3. All contract content and all documents should be presented in English (documentary credit).
所有合約內(nèi)容及所有單證用英文為準(zhǔn).
21.4. This electronic or facsimile Contract signed by both Buyer and Seller is to be considered the original. No future additions/deletions or amendments are valid unless put forward in writing and signed by both the Buyer and the Seller. No hand written changes is allowed.
此合約電子郵件版?zhèn)髡姘姹居少I賣雙方簽字后便被視為正本. 任何合約上的增補(bǔ),刪除或修改須得買賣雙方書面同意及簽署才能生效.任何手寫的合同修改版本均不接受。

CLAUSE 23 ENTIRE AGREEMENT 完整協(xié)議
23.1 This Agreement is the final and entire agreement between the parties in respect to the coal to be purchased and sold under this agreement and there are no representations understandings or agreements, oral or written which we are not included herein. Shall there be any corrections or insertion of information, Amendments or Addendums of contract shall be commenced and is regarded as the integral part in this contract.
該合同作為買賣雙方該合同項(xiàng)下煤炭買賣的最終及全部協(xié)議,并不代表再次沒有提及的其他口頭或書面的協(xié)議或意向。如果對合同有任何更正或插入信息,修改或增編內(nèi)容將作為該合同內(nèi)容的一部分。
The Contract constitutes the entire agreement of the Parties with respect to the subject matter thereof and supersedes any prior expression of intent or understanding with respect to the transactions contemplated in the Contract. Should there be any unforeseen circumstances during the course of activities performed under this contract, both parties shall discuss in good faith to address the issues which may arise and make necessary amendments to this contract. In WITNESS WHEREOF the Parties here to have executed this Agreement on the day and year first herein before written.
該合同包括買賣雙方關(guān)于該項(xiàng)目的全部協(xié)議內(nèi)容,并取代以前任何意圖的表達(dá)或關(guān)于完成合同項(xiàng)下交易的理解事項(xiàng)。如果在合同執(zhí)行過程中出現(xiàn)不可預(yù)見的情況,雙方應(yīng)本著誠意協(xié)商共同解決問題,并對合同進(jìn)行必要的更改。各簽署方在此保證自簽署之日起,本合同開始執(zhí)行。
