運(yùn)輸方式：CIF 洛杉磯， 美國(guó)TERMS OF DELIVERY: CIF Los Angeles, USA
價(jià)格在這兩個(gè)月內(nèi)有效且不變。（從2011年12月1日至2012年1月31日）
Prices are valid and unchanged within Two months. (From December 1st, 2011 to January 31st, 2012 )
4. 總數(shù)：160,000美元整Total Amount：USD160,000 ONLY
5．保險(xiǎn)：由買方投保。INSURANCE：To be coverd by the Buyers.
6．嘜頭：賣方應(yīng)在每件包裝上，用不褪色油墨清楚地標(biāo)刷件號(hào)、尺碼、毛重、凈重、“此端向上”、“小心輕放”等字樣，并刷有下列嘜頭：
SHIPPING MARK：On the surface of each package, the package number ,measurements, gross weight, net weight, the lifting positions, such cautions as “DO NOT STACK UP SIDE DOWN”， “HANDLE WITH CARE” and the following shipping mark shall be stenciled legibly in fadeless paint:

8. 付款條件：Terms of Payment:
（1）先通過信匯預(yù)付10%的貨款，再預(yù)先開出含90%貨款的即期信用證

(2) 將如下一套單據(jù)與貨物一起寄到買方處：

9. 包裝：用中國(guó)標(biāo)準(zhǔn)的出口包裝
Packing: By the China export packing standards
10.商品檢驗(yàn)：買賣雙方同意以裝運(yùn)口岸中國(guó)出入境檢驗(yàn)檢疫局簽發(fā)的品質(zhì)和重量檢驗(yàn)證書作為品質(zhì)和數(shù)量的交貨依據(jù)。
Commodity Inspection: It is mutually agreed that the Certificate of Quality and Weight issued by the China Entry-Exit Inspection and Quarantine Bureau at the port of shipment shall be taken as the basis of delivery.
11. 異議和索賠：萬一貨物的質(zhì)量出現(xiàn)問題，買方應(yīng)該在貨物到達(dá)目的港后的30天內(nèi)以書面方式告知。對(duì)于數(shù)量問題，買方應(yīng)該在貨物到達(dá)目的港后的15天內(nèi)以書面方式告知。應(yīng)該明確的是，賣方對(duì)由保險(xiǎn)公司，運(yùn)輸公司和其他的運(yùn)輸組織或郵局負(fù)責(zé)的事項(xiàng)，不負(fù)有賠償責(zé)任。
Discrepancy and Claim: In case of quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination, while for quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other Transportation Organization/ or Post Office are liable.
保證：WARRANTY:
如果有質(zhì)量問題的貨物少于10件，那么每一箱多提供的1件貨物，將被用作補(bǔ)償。
如果有質(zhì)量問題的貨物多于10件，買方應(yīng)將樣本在30天內(nèi)寄回給賣方。賣方一經(jīng)確認(rèn)質(zhì)量問題，將會(huì)對(duì)貨物作出補(bǔ)償。
If quality problem occurs and quantity is less than 10PCS, the extra offered 1pc for each carton will be considered as the reimbursement and compensation.
If quality problem occurs and quantity is above is 10PCS, the Buyer should send the sample to the Seller within 30 days. Once the Seller confirmed the quality problem, the Seller will reimbursement the goods.
12. 不可抗拒力：由于一般公認(rèn)的人力不可抗拒原因而不能交貨或裝船遲延，賣方不負(fù)責(zé)任。但賣方必須在事故發(fā)生時(shí)立即電告買方并在事故發(fā)生后15天內(nèi)航空郵寄給買方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府機(jī)關(guān)或商會(huì)所發(fā)給的證件證實(shí)災(zāi)害存在。
除因不可抗力致裝船遲延或不能交貨外，如賣方不能按合同規(guī)定期限內(nèi)裝船，則需要賠償買方直接由于遲期交貨或不能按合同條件交貨所遭受之一切損失及費(fèi)用。人力不可抗拒事故如繼續(xù)存在60天以上時(shí)，買方有權(quán)撤銷合同或合同中未裝運(yùn)部分。
Force Majeure: The Seller shall not be held responsible for late delivery or non-delivery of the goods owing to generally recognized "Force Majeure" causes. However, in such case, the Seller shall immediately cable the Buyer the accident and airmail to the Buyer within 15 days after the accident, a certificate of the accident issued by the competent government authorities or the chamber of commerce which is located at the place where the accident occurs as evidence thereof.
With the exception of late delivery or non-delivery due to "Force Majeure" causes, in case the Seller fails to make delivery within the time as stipulated in the contract, the Seller should indemnify the Buyer for all losses and expenses incurred to the latter directly attributable to late delivery or failure to make delivery of the goods in accordance with the terms of this contract. If the "Force Majeure" cause lasts over 60 days, the Buyers shall have the right to cancel the Contract or the undelivered part of the Contract.
13. 仲裁：一切因執(zhí)行本合同所發(fā)生與本合同有關(guān)之爭(zhēng)執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，此爭(zhēng)執(zhí)應(yīng)提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，大連分會(huì)。按照該仲裁委員會(huì)仲裁程序暫行規(guī)則進(jìn)行仲裁。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力，對(duì)仲裁費(fèi)用除非仲裁委員會(huì)另有決定外，均由敗訴一方負(fù)擔(dān)。
Arbitration: Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached, the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC), Dalian Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The fees for arbitration shall be borne by the losing Party, unless otherwise awarded.
14. 通知義務(wù)：所有通知都必須同時(shí)用英文和中文書寫，通過傳真/電子郵件/信使的方式，根據(jù)以下地址送達(dá)到雙方。如果地址有任何的變更，變更的一方應(yīng)該在地址發(fā)生變更后的7日內(nèi)通知另外一方。
Notices: All notices shall be written in both English and Chinese and served to both parties by fax/e-mail/courier according to the following addresses. If any changes of the addresses occur, one party shall inform the other party of the change of address within 7 days after the change.
15. 其他條件：Other conditions:
（1）本合同自簽訂之日起生效。任何對(duì)條款的修改或新增加的條款，只有在雙方確認(rèn)并以書面形式表示后才有效。
This contract comes into effect from the signing date. Any amendment or additional clauses to this contract shall be valid only if made in writing and confirmed by the both parties.
（2）本合同有效期至2012年5月1日。This contract shall be valid up to 1st May, 2012.
本合同須同時(shí)用英文和中文書寫，一式兩份，自雙方簽訂后生效。各方所持的合同具有同等效力。
This contract shall be made in both English and Chinese, in 2 copies effective since being signed/scaled by both parties, one for each party with the same value.
