受托人 PRODUCER
 
1、This contract is made by the Client and the Producer, according to the clauses of this contract, Producer will design and manufacture the following mould as described below:
本合同由委托人和受托人雙方訂立，根據(jù)本合同規(guī)定的條款，受托人愿意設(shè)計(jì)委托人委托的如下模具產(chǎn)品:

2.The Producer shall implement manufacture according to designs from the Client; If the Client provide the sample ,both the Client and the Producer seal the sample together.
受托方根據(jù)委托方提供的圖樣進(jìn)行模具制作，如委托方提供的是樣品，則雙方對(duì)樣品進(jìn)行封樣。
 
3.The products made by the mould  shall completely fit with the drawing specification or samples from    .The eligible products will be the  condition of the confirmation for eligibility of the mould as well as payment for mould cost. Mould shall be checked and accepted by     .
該模具生產(chǎn)的產(chǎn)品必須符合    公司產(chǎn)品的圖紙規(guī)范或樣品標(biāo)準(zhǔn)，產(chǎn)品合格作為模具合格及支付模具費(fèi)的條件，模具需經(jīng)過    公司的最終驗(yàn)收。
 
4.The Producer ensure that the mould can produce products, Otherwise, the Client shall have the right to request compensation for all mould cost.
受托人保證委托人合模萬(wàn)次完好，否則委托人有權(quán)就模具費(fèi)全額向受托人索賠。
 
5.All prices include VAT 17% and delivery.本報(bào)價(jià)含17%增值稅和貨物運(yùn)輸費(fèi)。
 
6.Terms of Payment: advanced payment 40% within one week after contract signing,  the balance within 30 days after sample confirmation against invoice.
付款方式：合同簽定一周內(nèi)預(yù)付40%，余額樣品檢驗(yàn)合格30日內(nèi)憑發(fā)票付款。
 
7.work days &requirement 開模周期及要求/
（1）(sample date)：協(xié)議開模具周期：   days for sample.  天內(nèi)交樣
 
（2）The Producer can not refuse the Client to check the progress of mould manufacturing, quality and test in the process of manufacture. Otherwise, the Client have the right to cancel the contract immediately and the Producer must return the advanced payment double and compensate for the loss of the Client.
在模具制造過程中,委托方有權(quán)隨時(shí)檢查制造進(jìn)度、質(zhì)量標(biāo)準(zhǔn)，并提取試驗(yàn)。受托方不得以任何理由拒絕，否則，委托方可以立即解除合同，并由受托方雙倍返還委托方已付款項(xiàng)，賠償造成的損失。
 
（3）If the Client don’t approbate the mould, the Producer must improve on the mould in     days and the fee of reform the mould is borne by the Producer. If the Producer don’t improve on the mould in    days or the improved mould don’t still approbated by the Client, the Client have right to cancel l the contract and the Producer must return the advanced payment double and compensate for the loss of the Client.
若受托方的模具不能得到委托方認(rèn)可，受托方須在委托方提出之后的____天內(nèi)對(duì)模具進(jìn)行整改，整改的費(fèi)用由受托方承擔(dān)。如受托方逾期整改或整改后的試模產(chǎn)品仍得不到委托方認(rèn)可的，委托方有權(quán)單方解除合同，由受托方雙倍返還委托方的已付款，并賠償全部損失。
 
（4）The Producer must give the Client the written report with regard to all manufacturing problems and continue to product after the Client confirm on it by writing
受托方在制模過程中遇到的所有問題都必須書面給委托方，待委托方書面確認(rèn)后再進(jìn)行后續(xù)工作。
 
8.Mould’s Intellectual property模具產(chǎn)權(quán)
This mould is developed by Producer, and Client pay for the cost. the ownership / Patent right / copyright and other Intellectual property belongs to Client.
該模具為委托人有償委托受托人開發(fā)，此模具所有權(quán)、專利權(quán)、著作權(quán)及其它知識(shí)產(chǎn)權(quán)屬于委托人。
 
9.The Producer agreed that the Client determine the number of samples.
受托人生產(chǎn)的模具，委托人有權(quán)確定樣品數(shù)量，受托人無(wú)異議。
 
10.The Producer agree the times of test mode, the number and times of swaping sample requested by the Client, otherwise, the Client shall have the right to terminate unilaterally the contract and to recover the advances paid.
對(duì)于委托人要求的試模次數(shù)以及調(diào)換樣品的數(shù)量和次數(shù)受托人無(wú)條件予以配合。否則委托人有權(quán)單方通知受托人終止本合同并收回預(yù)付款項(xiàng)。
 
11.Breach of the contract違約
（1）If Producer fails to fulfill the terms and conditions stipulated in the Contract, Client shall have the right to terminate this contract thereof
受托人未能履行合同所規(guī)定的任何重要條款，如無(wú)合理解釋時(shí)，委托人有權(quán)終止合同。
 
（2）Producer will bear legal responsibility if the mould which is provided by the Producer is not same  to the mould  which is prescribed by this contract.
一旦受托方提供的貨物與合同項(xiàng)下規(guī)定的貨物不一致，受托方需承擔(dān)法律責(zé)任。
 
（3）Producer shall nevertheless have the right to claim compensations if Client intends to cancel this contract or order beyond the reasonable scope that Producer can accept.
若委托人要取消或終止合同或訂單，而其理由超出受托人所能接受的范圍，受托人有權(quán)要求委托人給予賠償因此而造成的損失。
 
（4）Claims：the Producer shall implement manufacture according to designs from the Client; Should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those due to the design of the Client, the Producer shall be responsible to the repair or even open new mould and compensate the loss caused to the Client.
賠償：受托人必須依照委托人提供的設(shè)計(jì)圖紙開發(fā)制作模具；如因非設(shè)計(jì)原因?qū)е碌哪＞呶茨苌�產(chǎn)出委托人要求的產(chǎn)品，受托方應(yīng)無(wú)條件給與修整甚至重開模具，如對(duì)委托人造成影響需賠償委托人相應(yīng)損失。
 
（5）If the Producer will not complete the development of mold in 30 days(including the time of the reform),the Producer must pay 5% of the total price which is prescribed by this contract every day in the days which is more than 30 days as penalty. The penalty can offset the payment for mould by the Client.
If the Producer complete the development of mold late more than___ days, the Client have the right to cancel the contract immediately and the Producer must return the advanced payment and give the Client     % of the total price which is prescribed by this contract as penalty. In addition, the Producer must compensate for all losses of the Client.
若受托方逾期交貨（包括整改逾期），逾期后每天需向委托方支付模具總價(jià)的5%作為逾期交貨違約金，該違約金可以直接抵扣委托方應(yīng)付款。若逾期超過____天，委托方可單方解除合同，受托方除返還委托方已付款外，還應(yīng)向委托方支付模具總價(jià)___%的金額作為違約金。給委托方造成損失的，應(yīng)賠償全部損失額。
 
12.Confidential responsibility保密責(zé)任
 
（1）Both parties and their employees shall comply with their obligations to conceal the related confidential commercial information. Both parties should not confide the commercial information to the third Party in oral / hand writing / notifying and lending.
Both parties should make an Intellectual Property agreement if it is necessary for our OEM and package products. Both Client and Producer should undertake the legal liability for any breach of this provision.
未經(jīng)允許，任何一方不得將對(duì)方的商業(yè)機(jī)密或其他情報(bào)以口頭、書面、出示或借用、轉(zhuǎn)泄露給第三方并有義務(wù)盡絕對(duì)保密之責(zé)任，且應(yīng)要求所屬員工遵守相同義務(wù)。對(duì)于分包制造商及分包產(chǎn)品，如有必要，雙方可另立知識(shí)產(chǎn)權(quán)協(xié)議。若有違反該條款行為，應(yīng)負(fù)相應(yīng)法律責(zé)任。
 
（2）If employee which is employed by the Producer leak the commercial information, the Producer must take the legal responsibility.
受托人公司員工的泄密行為由受托人承擔(dān)相應(yīng)法律責(zé)任。
 
（3）The Producer must return the drawings provided by the Client after the completion of the manufacture of mould.
模具制造完畢后，受托人必須歸還所有委托人提供的圖紙。
 
13. 凡是因?yàn)閳?zhí)行合約有關(guān)事項(xiàng)所發(fā)生的爭(zhēng)執(zhí),雙方應(yīng)協(xié)商解決。如協(xié)商不能解決時(shí),應(yīng)提交北京中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)根據(jù)其仲裁程序暫行規(guī)則進(jìn)行仲裁,仲裁裁決是終局的,對(duì)雙方都有約束力。仲裁費(fèi)用,除仲裁委員會(huì)另有決定外,由敗訴一方負(fù)擔(dān)。
All disputes in connection with this Contract of the execution there of shall be settled by negotiation. In case no settlement can be reached the case in dispute shall then be submitted for arbitration to Foreign Trade Arbitration Commission of China Council for The Promotion of International Trade at Beijing in accordance with its provisional rules of procedure, the decision made by the commission shall be accepted as final and binding upon both parties. The fees for the arbitration shall be borne by the losing party unless otherwise awarded by the arbitration commission.
 
14.The present contract is signed in duplicate, both party hold one copy. This contract will be valid with both parties’ signatures and stamps.
本合同一式兩份，由買賣雙方在原件上簽字，各執(zhí)一份為證。
