甲方：（買方）中國某電廠
Party A （The Buyers）：   Power Plant in China
 
乙方：美國西雅圖發(fā)電設(shè)備廠
Party B (The Sellers) Seattle Power Generating Equipment Works in United of America
 
 
 
本合同于2010年8月15日，由中國某電廠與美國西雅圖發(fā)電設(shè)備廠簽訂。
This agreement is made on the fifth day of August, 2010 between Power Plant in China
and Seattle Power Generating Equipment Works in United of America.
 
中國某電廠（根據(jù)中華人民共和國法律成立注冊的公司，以下簡稱甲方）為一方,與美國西雅圖發(fā)電設(shè)備廠（根據(jù)美國法律成立注冊的公司，以下簡稱乙方）為另一方，雙方通過友好協(xié)商同意就下列條款簽訂本合同。
　This Contract is made and entered into through friendly negotiation by and between China _____Corporation, a corporation organized and existing under the laws of the People's Republic of China (hereinafter referred to as "the Buyer"), as one party and__________, a corporation organized and existing under the laws of __________ (hereinafter referred to as "the Seller"), as the other party, under the following terms and conditions:
 
雙方同意按下列條款由乙方售出下列商品：
The Buyers agree to buy and party B agree to sell the following goods to party A on terms and conditions as set forth below:
 
（1）商品名稱及包裝：T236型沖擊水斗式水輪發(fā)電機(jī)組。
Name of Commodity and Packing: Pelton Type Turbine Generator Units.
 
（2）數(shù)量：5臺 Quantity: five units
 
(3)單價： 1百萬美元整
Unit Price：One million USD only
 
(4)總值: 5百萬美元整
Total Value: Five million USD only
 
（5）裝運期限：首批兩臺于2010年8月10日前裝運
Time of Shipment: first two sets shipping on and before August 10, 2010
 
（6）裝運口岸：西雅圖Port of Loading: Seattle
（7）目的口岸：上海  Port of Destination: Shanghai
（8）保險；由甲方負(fù)責(zé)，按本合同總值110%投保。
Insurance: To be covered by the Sellers for 110% of the invoice value.
（9）付款： Terms of Payment
（10）商品檢驗： Commodity Inspection
（11）裝運嘜頭： Shipping Marks:
 
(12)由乙方負(fù)責(zé)在第二年向甲方提供另外3臺水電站用T236型水輪發(fā)電機(jī)，以分期交貨形式，到2月28日止如數(shù)交迄。   
The parties hereto contract and agree that Party B will provide Party A with 3 sets of T236 water turbine generators used for power station. The goods shall be delivered in installments by the twenty-eighth of February.
 
(13)甲方對上述水輪發(fā)電機(jī)每臺支付1百萬美元，貨到即付。
Party A will pay for the above-mentioned water turbine generators USD $ one million for each upon delivery.
 
(14)訂約的任何一方如未履約，根據(jù)合同規(guī)定并經(jīng)雙方同意，違約一方應(yīng)向?qū)Ψ劫r償86，000美元為商定的損失賠償費。
In case of failure of agreement by either of the parties, it is hereby stipulated and agreed that the party in breach shall pay to the other party USD $ 86,000 as fixed and settled damages.

Supplementary Condition(s): (Should the articles stipulated in this Contract be in conflict with the following supplementary condition(s), the supplementary condition(s) should be taken as valid and binding.)
 
（16）仲裁：凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭執(zhí)，雙方應(yīng)以友好方式協(xié)商解決；如果協(xié)商不能解決，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，根據(jù)該會的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。
Arbitration: All disputes arising from the performance of the this Agreement or related should be settled through friendly negotiations. Should no settlement be reached, the case shall then be submitted to the China International Economic and Trade Arbitration Commission for arbitration and the rules of this Commission shall be applied. The award of this arbitration shall be final and binding upon both parties.
