18.產(chǎn)品支持服務(wù)PRODUCT SUPPORT SERVICES
18.1一般條款若本合同包含“產(chǎn)品支持服務(wù)”的提供,信息技術(shù)公司將依照“附件”提供“產(chǎn)品支持服務(wù)”。
General  If the Agreement includes provisions for Product Support Services, INFORMATION TECHNOLOGY CO will provide the Product Support Services listed in the Schedules.
 
18.2細(xì)則       Conditions
(a)   信息技術(shù)公司于“產(chǎn)品支持服務(wù)”及保修服務(wù)下所拆除或被替換的設(shè)備零件,其所有權(quán)屬于信息技術(shù)公司。
       Equipment parts which are removed for replacement by INFORMATION TECHNOLOGY CO under Product Support Services and warranty service become the property of INFORMATION TECHNOLOGY CO.
 
(b)   為決定“產(chǎn)品支持服務(wù)”必要性,信息技術(shù)公司須要求檢查(i)自客戶購買后迄今尚未被信息技術(shù)公司維修的設(shè)備;或(ii)已被重新裝置的設(shè)備。而客戶應(yīng)負(fù)擔(dān)檢查費(fèi)用。
       To determine eligibility and prerequisites for Product Support Services, INFORMATION TECHNOLOGY CO may require inspection, at Client expense, of equipment which (i) has not been maintained continuously by INFORMATION TECHNOLOGY CO from the date of purchase by Client or (ii) has been relocated.
 
(c)   所有以信號或電纜線相互聯(lián)系的設(shè)備,以及非應(yīng)用軟件,若位于同一場地且均享有“產(chǎn)品支持服務(wù)”的,其所享有支持服務(wù)應(yīng)與SPU所享有支持服務(wù)同等級。至于本地局域網(wǎng)絡(luò)、工作站及遠(yuǎn)距數(shù)據(jù)傳輸“產(chǎn)品”則無法享有與SPU同等級支持服務(wù)。
       All equipment, interconnected by signal and power cables, and nonapplication software, located at the same site and which are subject to Product Support Services are required to be supported at the same service level as the SPU.  Local area networks, workstations and remote data communication Products are not required to be at the same service level as the SPU.
 
(d)   若信息技術(shù)公司正提供“產(chǎn)品支持服務(wù)”予客戶,客戶應(yīng)事先將任何預(yù)定為之的設(shè)備“修改”或“附加裝置”以書面通知信息技術(shù)公司。信息技術(shù)公司無義務(wù)就非信息技術(shù)公司提供的附加裝置、非信息技術(shù)公司進(jìn)行變更的設(shè)備或非信息技術(shù)公司進(jìn)行修改的“軟件”提供“產(chǎn)品支持服務(wù)”。如信息技術(shù)公司同意維修、支持或修正變更后的“產(chǎn)品”,信息技術(shù)公司須額外收取費(fèi)用。
       If INFORMATION TECHNOLOGY CO is providing Product Support Services, Client will give INFORMATION TECHNOLOGY CO prior written notice of any proposed Alterations or Attachments to equipment.  INFORMATION TECHNOLOGY CO has no obligation to provide Product Support Services for nonINFORMATION TECHNOLOGY CO attachments, altered equipment or modified Software.  Should INFORMATION TECHNOLOGY CO agree to maintain, support or correct altered Products, INFORMATION TECHNOLOGY CO may impose additional charges.
 
18.3終止 Termination
(a)   若依照本合同應(yīng)付費(fèi)用逾期三十(30)日以上仍未支付,信息技術(shù)公司有權(quán)暫時停止“產(chǎn)品支持服務(wù)”。
       INFORMATION TECHNOLOGY CO may suspend Product Support Services if any payment under this Agreement is more than 30 days past due.
 
(b)   于發(fā)書面通知六(6)個月后,或“產(chǎn)品支持服務(wù)”到期時,若任一發(fā)生者,信息技術(shù)公司即終止“產(chǎn)品支持服務(wù)”或針對某一“軟件”項目改變支持服務(wù)等級。
       INFORMATION TECHNOLOGY CO may terminate Product Support Services or change the levels of support available to an item of Software upon six months written notice or at the expiration of the thencurrent term for Product Support Services, whichever occurs earlier.
 
(c)   若信息技術(shù)公司認(rèn)為任何“修改”、“附加裝置”、客戶進(jìn)行變更或未能安裝維修版本將妨礙“產(chǎn)品支持服務(wù)”提供,信息技術(shù)公司須在三十(30)日前以書面通知客戶終止“產(chǎn)品支持服務(wù)”。
       INFORMATION TECHNOLOGY CO may terminate Product Support Services on 30 days prior written notice if INFORMATION TECHNOLOGY CO determines that any Alterations, Attachments, Client modification or failure to install a maintenance release will interfere with the provision of such services.
 
第四部分一般條款PART IV  GENERAL CONDITIONS
 
19.   價格19.  PRICES
19.1客戶所訂購“產(chǎn)品”及服務(wù)價格規(guī)定在“附件”中。“附件”中規(guī)定的價格僅是實(shí)際上已訂購“產(chǎn)品”的“價格”,并不代表信息技術(shù)公司承諾客戶往后可以相同價格訂購。
       Prices for Products and services ordered by Client are set out in the Schedules.  The prices in the Schedules relate only to Products actually ordered and do not represent commitments by INFORMATION TECHNOLOGY CO as to price levels for possible future orders by Client.
 
19.2 若本合同“產(chǎn)品”及服務(wù)的價格以本地貨幣表示,這些價格是依照“附件”中所列匯率計算。應(yīng)付價款將隨“插入本地信息技術(shù)公司銀行名稱” 銀行公布付款日的匯率與套匯結(jié)算率間的差異調(diào)整。
       If the Prices for Products and services in this Agreement are expressed in local currency, those Prices are based upon the exchange rate quoted in the Schedules.  The Prices payable will be those Prices adjusted by the variation between that exchange rate and the hedge settlement rate published by [include name of local INFORMATION TECHNOLOGY CO bank] at the date of issuance of the payment
 
19.3 若不可歸責(zé)于信息技術(shù)公司而于訂購日一(1)年后方交付“產(chǎn)品”,則已被接受的訂單上所列“產(chǎn)品”的定價須進(jìn)行變更。若信息技術(shù)公司通知客戶其所訂購“產(chǎn)品”將漲價,客戶須在通知漲價之日起十(10)日內(nèi)以書面通知信息技術(shù)公司解除受影響部分的訂單。
       The charges for Products in any accepted order may vary if, through no fault of INFORMATION TECHNOLOGY CO, delivery takes place more than one year after the date of the order.  If INFORMATION TECHNOLOGY CO notifies Client that an increase in charges will apply to its order, Client may terminate the affected part of its order by giving written notice to INFORMATION TECHNOLOGY CO within ten days of the date of notification of the increase.
 
19.4除依照本合同第19.2條規(guī)定外,在“產(chǎn)品支持服務(wù)”開始日起十二(12)個月內(nèi),不得提高服務(wù)費(fèi)用。除非在“產(chǎn)品支持服務(wù)”附件中另行注明,否則信息技術(shù)公司須在服務(wù)每滿一年時,在給予客戶九十(90)日的事前書面通知后,提高服務(wù)費(fèi)用。
       Charges for Product Support Services will not be increased during the first twelve months following the commencement of those services (other than pursuant to Section 19.2).  The charges may be increased thereafter on each anniversary of the commencement date following 90 days prior written notice to Client, unless otherwise noted on the Product Support Services schedule.
 
19.5 除依照本合同第19.2條規(guī)定外,“軟件”授權(quán)費(fèi)用在第一期期間內(nèi)不得調(diào)漲,但在其后給予客戶九十(90)日之事前書面通知后,調(diào)高服務(wù)費(fèi)用。若服務(wù)是以實(shí)際提供服務(wù)時間及材料為計價基礎(chǔ)者,“工作說明書”內(nèi)所規(guī)定該服務(wù)的收費(fèi)將僅于該年度內(nèi)有效,而在其后年度將有所調(diào)整。若“軟件”授權(quán)或服務(wù)是以逐月訂約方式的,則可在給予客戶九十(90)日之事前書面通知后,調(diào)高費(fèi)用。
       Charges for Software licenses will not be increased during any initial term (other than pursuant to Section 19.2), but may be increased before any subsequent term upon 90 days prior written notice to Client.  For any services provided on a time and materials basis, the charges in the Statement of Work are valid during that calendar year, but are subject to change in subsequent periods.  If Software licenses or services are contracted on a monthtomonth basis, the charges may be increased at any time following 90 days prior written notice to Client.
 
19.6“項目服務(wù)”行為的預(yù)定時間表及費(fèi)用依照以下因素進(jìn)行決定:
       The estimated timetable and price of the Project Services activities are dependent on the following factors:
 
準(zhǔn)時提供及履行“工作說明書”及“項目管理計劃”所載客戶資源與客戶義務(wù);
 Client resources and performance of Client's responsibilities stated in the Statement of Work and Project Management Plan being provided in time.
 
準(zhǔn)時完成所有客戶審查及驗收程序;
 Timely carrying out of all Client review and acceptance procedures.
 
遵守“變更請求”程序; Compliance with Change Request procedures.
適時替換信息技術(shù)公司合理請求替換客戶所指派于“項目”的員工;
 Timely replacement of Client staff assigned to the Project where replacement is reasonably requested by INFORMATION TECHNOLOGY CO.
 
“工作說明書”所規(guī)定額外承擔(dān)的義務(wù)。
 Additional assumptions set out in the Statement of Work.
 
信息技術(shù)公司將告知客戶以上因素改變對預(yù)定時間表及合約價格的影響,且該時間表及合約價格應(yīng)于客戶許可后進(jìn)行變更,惟客戶不得不合理地遲延或拒絕同意。若客戶或其代理人妨礙或遲延信息技術(shù)公司履行義務(wù),客戶應(yīng)賠償信息技術(shù)公司因此而額外產(chǎn)生的成本。
INFORMATION TECHNOLOGY CO will advise Client of any impact on the estimated timetable and charges caused by changes in any of these factors and the timetable and charges shall be adjusted subject to approval by Client, which shall not be unreasonably delayed or withheld.  If INFORMATION TECHNOLOGY CO performance is prevented or delayed by Client or its agents, then Client shall reimburse INFORMATION TECHNOLOGY CO for any resultant additional costs.
 
20.付費(fèi)   PAYMENT
20.1“產(chǎn)品”及服務(wù)付款時間原則上規(guī)定在“工作說明書”中。如有“工作說明書”未記載付款時間的項目,則:(a)“產(chǎn)品”部分:“產(chǎn)品”價格百分之三十五(35%)應(yīng)于接受訂單時支付,剩余部分則于裝運(yùn)時開立發(fā)票請款;以及(b)服務(wù)部分:信息技術(shù)公司將于提供服務(wù)后,每月開立發(fā)票請款。
       The timing of payments for Products and services is normally listed in the Statement of Work.  For items where the Statement of Work does not contain any specific terms, then: (a) for Products, 35 percent of the price is payable at the time of acceptance of an order and the remaining amount will be invoiced at shipment; and  (b) charges for services will be invoiced monthly as the services are performed.
 
20.2“產(chǎn)品支持服務(wù)”費(fèi)用將按月、年或其它特定期間預(yù)先開立發(fā)票請款。否則,將于提供服務(wù)后開立發(fā)票請款。
       Charges for Product Support Services will be invoiced in advance, monthly, annually or at other periodic intervals; otherwise, charges will be invoiced after the services are performed.
 
20.3客戶應(yīng)于開立發(fā)票后三十(30)日內(nèi)付款。信息技術(shù)公司可收取(a)每月1.5%利率,或(b)法定許可最高利率,以兩者中利率較低者計算所得遲延賠償。
       The payment terms are 30 days from the date of the invoice.  INFORMATION TECHNOLOGY CO may impose a late payment charge equal to the lesser of (a) 1 1/2% per month or (b) the maximum rate allowed by law.
 
21.稅      TAXES
合約價格不含稅。除了信息技術(shù)公司因凈所得而須繳納的稅負(fù),客戶將負(fù)擔(dān)所有稅負(fù),即便是信息技術(shù)公司因“項目”而有義務(wù)支付或代征的部分?蛻粲谪浳镅b運(yùn)后必須支付動產(chǎn)稅、關(guān)稅或類似稅負(fù),或提供信息技術(shù)公司相關(guān)稅務(wù)機(jī)關(guān)可接受的免稅證明。
Prices are exclusive of taxes.  Client will pay all taxes, however designated, INFORMATION TECHNOLOGY CO becomes obligated to pay or collect by virtue of the Project, except taxes based on the net income of INFORMATION TECHNOLOGY CO.  All personal property, customs duties and similar taxes assessed after shipment will be paid by Client or Client will provide INFORMATION TECHNOLOGY CO with a tax exemption certificate acceptable to the relevant taxing authority.
 
22.專有信息保護(hù)   PROTECTION OF PROPRIETARY INFORMATION
22.1 一般條款當(dāng)事人雙方就“專有信息”應(yīng)保密、不向第三人泄漏,并依照本合同規(guī)定限制“專有信息”的使用。所有含有“專有信息”的數(shù)據(jù)應(yīng)注明“專有”、“機(jī)密”或以其它方式表明其具機(jī)密性。除本合同授權(quán)使用的必要外,不得就“專有信息”為部分或全部復(fù)制。本合同當(dāng)事人應(yīng)于每份復(fù)制物,包括其儲存的媒介,注明與其原件相同的保密記載。本合同第23條所規(guī)定的義務(wù)不適用以下類型的“專有信息”:(a)揭露時,接受方已知的“專有信息”;(b)接受方所獨(dú)立制造而非衍生自揭露的一方所提供“專有信息”的信息;(c)公眾已知或可得而知之“專有信息”,惟不包含因接受方未經(jīng)授權(quán)擅自向第三人揭露所造成者;(d)有權(quán)揭露之第三人揭露予接受方時并未加以類似限制的“專有信息”;或(e)依法令、法院命令或其它法律程序要求揭露的“專有信息”。
       General  The parties will keep in confidence and protect their respective Proprietary Information from disclosure to third parties and restrict its use as provided in this Agreement.  All materials containing Proprietary Information will be marked "Proprietary", "Confidential", or in a manner which gives notice of its proprietary nature.  Proprietary Information will not be copied, in whole or in part, except when essential for authorized use under this Agreement.  Each copy, including its storage media, will be marked by the party making the copy with all notices which appear on the original.  The obligations stated in this Section 23 do not apply to Proprietary Information:  (a) already known to the recipient at the time of disclosure;  (b) independently generated by the recipient and not derived from the Proprietary Information supplied by the disclosing party; (c) known or available to the public, except where such knowledge or availability is the result of unauthorized disclosure by the recipient of the Proprietary Information; (d) disclosed to the recipient without a similar restriction by a third party who has the right to make such disclosure; or (e) required to be disclosed by the recipient by law, regulation, Court order, or other legal process.
 
22.2銷毀或返還專有信息在本合同下的授權(quán)終止或撤銷時,客戶應(yīng)將持有中的所有終止或撤銷授權(quán)的“軟件”與文件及任何其它相關(guān)的“專有信息”(包括其它軟件或文件內(nèi)的專有信息)的副本銷毀(同時加以書面證明),或返還予信息技術(shù)公司。當(dāng)客戶要求返還且“項目”已無須使用該“專有信息”時,信息技術(shù)公司應(yīng)立即返還予客戶或加以銷毀。
      Destruction or Return of Confidential Information  Upon termination or cancellation of any license granted under this Agreement, Client will destroy (and, in writing, certify destruction) or return to INFORMATION TECHNOLOGY CO all copies of the Software and documentation the license for which has been so terminated or canceled and any other related Proprietary Information in Client's possession (including Proprietary Information incorporated in other software or writings.)  Upon Client's request when such information is no longer necessary for the Project, Client's Proprietary Information shall be promptly returned to Client or destroyed by INFORMATION TECHNOLOGY CO.
 
22.3構(gòu)想任何信息技術(shù)公司人員開發(fā)(包含獨(dú)立或與客戶合作所為的開發(fā))且與所提供給客戶的服務(wù)相關(guān)構(gòu)想、概念、專門技術(shù)、數(shù)據(jù)處理技術(shù)、“軟件”、文件、圖表、“規(guī)格”、簡圖或藍(lán)圖,其相關(guān)權(quán)利均屬于信息技術(shù)公司。信息技術(shù)公司同意授與客戶非專屬且免權(quán)利金依本合同規(guī)定使用該構(gòu)想、概念、專門技術(shù)等權(quán)利。
       Ideas  Any ideas, concepts, knowhow, data processing techniques, Software, documentation, diagrams, Specifications, schematics or blueprints developed by INFORMATION TECHNOLOGY CO personnel (alone or jointly with Client) in connection with services provided to Client will be the property of INFORMATION TECHNOLOGY CO.  INFORMATION TECHNOLOGY CO grants to Client a nonexclusive, royalty free license to use any of the foregoing in accordance with the terms of this Agreement.
 
22.4支持工具客戶承諾所有支持工具,包括但不限于診斷軟件,均屬于信息技術(shù)公司及其授權(quán)人所有并含有信息技術(shù)公司及其授權(quán)人的“專有信息”?蛻舯WC這些工具將只有信息技術(shù)公司的維護(hù)人員使用,且信息技術(shù)公司于任何時間均有權(quán)將此類工具自客戶設(shè)備中移除。即便此處工具出現(xiàn)于信息技術(shù)公司價目表、目錄、發(fā)票或合約中,本規(guī)定仍有適用。
       Support Materials  Client acknowledges that all support materials, including without limitation, diagnostic software, are the property of and include Proprietary Information of INFORMATION TECHNOLOGY CO or its licensors.  Client assures that such materials will be used only by INFORMATION TECHNOLOGY CO maintenance personnel, and that INFORMATION TECHNOLOGY CO has the right to remove such materials from Client's facility at any time.  This provision applies even though such materials may be listed in the INFORMATION TECHNOLOGY CO price lists, catalogs, invoices or contracts.
 
22.5 雇員當(dāng)事人雙方均應(yīng)告知各自之人員本合同第22條所規(guī)定的義務(wù)。
       Employees  Each party will inform its respective employees of the obligations under this Section 22.
 
23.保證及免責(zé)      WARRANTIES AND DISCLAIMERS
23.1 一般條款 – 依據(jù)約定規(guī)范及程序進(jìn)行的“驗收測試”提供一決定“系統(tǒng)”及其客戶化部份是否符合“需求定義”所規(guī)定的客戶需求機(jī)能。信息技術(shù)公司應(yīng)修正依據(jù)本合同驗收程序進(jìn)行測試時所發(fā)現(xiàn)的瑕疵?蛻羲嗁“驗收后支持期間”服務(wù)的內(nèi)容包含于驗收后修正與“規(guī)格”不同的誤差及就“系統(tǒng)”及“模塊”進(jìn)行變更。此外,個別“產(chǎn)品”擁有制造商或授權(quán)人所提供的保證。就信息技術(shù)公司提供保證的“產(chǎn)品”,其保證內(nèi)容規(guī)定在本合同第24條。除就特定“產(chǎn)品”另有聲明者外,信息技術(shù)公司不對所提供予客戶的非信息技術(shù)公司“產(chǎn)品”提供任何聲明或保證,該產(chǎn)品系以其現(xiàn)有狀態(tài)銷售或授權(quán)予客戶?蛻敉饩驮摦a(chǎn)品僅尋求制造商或授權(quán)人所提供的保證及賠償(如存在任何賠償責(zé)任)。信息技術(shù)公司將協(xié)助客戶向第三人身分制造商或授權(quán)人請求提供保修服務(wù)。
       General  Acceptance Tests in accordance with agreed criteria and procedures provide the mechanism for determining whether the System and customized parts of it meet the Client's requirements as set out in the Requirements Definition.  INFORMATION TECHNOLOGY CO shall correct defects discovered during testing in accordance with the acceptance test procedures of the Agreement.  Services during the Post Acceptance Support Period purchased by the Client can be used to correct deviations from Specifications and make changes to the System and Modules following acceptance.  In addition, individual Products may have warranties provided by the manufacturer or licensor.  For Products warranted by INFORMATION TECHNOLOGY CO, the warranties are set out in this Section 24.  Unless otherwise stated with respect to specific Products, INFORMATION TECHNOLOGY CO makes no representation or warranty with respect to nonINFORMATION TECHNOLOGY CO Products provided to Client, all of which are sold or licensed to Client "AS IS".  Client agrees to look solely to the warranties and remedies, if any, provided by the manufacturers or licensors of such Products.  INFORMATION TECHNOLOGY CO will provide assistance to Client in seeking warranty service from the third party manufacturer or licensor.
 
23.2 設(shè)備      Equipment
(a)   就信息技術(shù)公司提供保證范圍內(nèi)的“設(shè)備”,信息技術(shù)公司保證自“附件”內(nèi)所規(guī)定“安裝日”起期間內(nèi),“設(shè)備”在材料及制作上并無任何瑕疵,且基本上符合信息技術(shù)公司已頒布相關(guān)規(guī)格,包括有關(guān)時間及日期功能規(guī)格(如其具備時間及日期功能者)。于上述所述保修期間內(nèi),信息技術(shù)公司將修復(fù)或替換任何客戶立即告知或送交予信息技術(shù)公司且信息技術(shù)公司判定瑕疵系由于有缺陷之材料及制作所產(chǎn)生的有瑕疵“設(shè)備”。如信息技術(shù)公司指定原置放場所外的修復(fù)地點(diǎn),客戶將支付運(yùn)輸該“設(shè)備”的運(yùn)輸費(fèi)及保險費(fèi)用;如“設(shè)備”是有瑕疵者,信息技術(shù)公司將負(fù)擔(dān)退貨成本。檢驗診斷人力成本并不包含于本保修范圍內(nèi)。
(a)   For Equipment covered by a INFORMATION TECHNOLOGY CO warranty, INFORMATION TECHNOLOGY CO warrants that for the period from its installation Date set out in the Schedule Equipment will be free from defects in material and workmanship and will substantially conform to relevant INFORMATION TECHNOLOGY CO published specifications, including, if applicable, specifications pertaining to time and date functionalities.  During this warranty period, INFORMATION TECHNOLOGY CO will repair or replace any defective Equipment promptly reported or sent to INFORMATION TECHNOLOGY CO by Client which INFORMATION TECHNOLOGY CO determines was defective due to faulty material or workmanship.  Client will pay transportation and insurance costs to ship Equipment if an offsite repair location is designated by INFORMATION TECHNOLOGY CO; INFORMATION TECHNOLOGY CO will pay the return costs if the Equipment was defective.  Labor costs of diagnosis are not included in this warranty.
 
(b)   因“設(shè)備”須持續(xù)性維護(hù),故前述保修并不能替代客戶須付費(fèi)使用的“產(chǎn)品支持服務(wù)”。
(b)   Because Equipment requires ongoing maintenance, the preceding warranty is not a substitute for Product Support Services, which are available to Client for a charge.
 
(c)   “設(shè)備”(i)須重新制造;(ii)須以新的或在性能上與新零件相同之可使用的二手零件組裝;(iii)須事先即已安裝妥當(dāng)。
(c)   Equipment (i) may be newly manufactured, (ii) may be assembled from new or serviceable used parts that are equivalent to new parts in performance, or (iii) may have been previously installed.
 
23.3 軟件      Software
(a)   就信息技術(shù)公司提供保證范圍內(nèi)的“軟件”,如該“軟件”搭配使用的設(shè)備及軟件配置規(guī)格符合操作所要求的最低需求限制者,信息技術(shù)公司保證自“附件”內(nèi)所規(guī)定“安裝日”起期間內(nèi),“軟件”在未經(jīng)改變情形下基本上符合信息技術(shù)公司當(dāng)時已頒布的功能規(guī)格,包括有關(guān)時間及日期功能的規(guī)格(如其具備時間及日期功能者)。在上述所述保修期間內(nèi),信息技術(shù)公司將盡合理努力修正客戶所告知與功能規(guī)格重大不同的錯誤。
(a)   For Software covered by a INFORMATION TECHNOLOGY CO warranty, INFORMATION TECHNOLOGY CO warrants that for the period from its Installation Date set out in the Schedule, such Software in its unaltered form will conform substantially to the thencurrent published functional specifications, including, if applicable,  specifications pertaining to time and date functionalities, provided such Software is used in a manner consistent with any applicable minimum equipment and software configuration specifications.  INFORMATION TECHNOLOGY CO will make reasonable efforts to correct such errors reflecting significant deviations from the functional specifications as are reported by Client to INFORMATION TECHNOLOGY CO during such warranty period.
 
(b)   因為并非所有“軟件”內(nèi)的瑕疵均可或需要被修正,故信息技術(shù)公司不保證將修正所有“軟件”瑕疵。同樣地,信息技術(shù)公司不保證“軟件”內(nèi)所含功能將滿足客戶需求,亦不保證“軟件”將在約定的“需求定義”所未規(guī)定而由客戶自行選定使用的組合內(nèi)運(yùn)作。
(b)   Because not all defects in Software can or need be corrected, INFORMATION TECHNOLOGY CO does not warrant that all Software defects will be corrected.  Similarly, INFORMATION TECHNOLOGY CO does not warrant that the functions contained in the Software will meet Client's requirements or that the Software will operate in combinations selected for use by Client which are not set out in the agreed Requirements Definition.
 
 
23.4 產(chǎn)品支持服務(wù)      Product Support Services
(a)   信息技術(shù)公司保證將依據(jù)選定的特定服務(wù)計劃提供“設(shè)備”及“軟件”的支持服務(wù)。服務(wù)計劃內(nèi)所載服務(wù)說明即是信息技術(shù)公司在此保證下的唯一全部責(zé)任。
(a)   INFORMATION TECHNOLOGY CO warrants that Equipment and Software will be supported according to the specific service plan selected.  INFORMATION TECHNOLOGY CO sole and exclusive obligations under this warranty will be to conform to the service descriptions set out in the service plan.
 
(b)   “產(chǎn)品支持服務(wù)”及保修服務(wù)并不包含賠償損害或修正由于以下情形所產(chǎn)生的錯誤:(i)修改或規(guī)格外的供應(yīng);(ii)意外事故、不當(dāng)使用、過失或由于客戶未能遵守適當(dāng)使用、照料及清理“設(shè)備”的指示;(iii)外來因素(例如電力或空調(diào)故障或發(fā)生變化、火災(zāi)、水災(zāi));或 (iv)客戶未能遵守所需求的環(huán)境規(guī)格備置環(huán)境。
(b)   Product Support Services and warranty service do not cover the parts and service required to repair damage or correct errors attributable to:  (i) alterations or outofspecification supplies; (ii) accidents, misuse, negligence or failure of Client to follow instructions for proper use, care and cleaning of Equipment; (iii) external factors (e.g., failure or fluctuation of electrical power or air conditioning, fire, flood); or (iv) failure by Client to comply with environmental specifications.
 
(c)   “產(chǎn)品支持服務(wù)”僅適用于符合以下條件且妥善安裝的“產(chǎn)品”,亦即支持“產(chǎn)品”硬件及軟件須符合信息技術(shù)公司所指定最低的支持標(biāo)準(zhǔn)。如客戶所使用信息技術(shù)公司“產(chǎn)品”版本的規(guī)格明確包含時間及日期功能(例如有關(guān)公元兩千年問題之時間及日期功能),信息技術(shù)公司將修復(fù)或修正標(biāo)準(zhǔn)“產(chǎn)品”上使得信息技術(shù)公司“產(chǎn)品”與規(guī)格重大不相符的有形誤差。除前句規(guī)定者外,所有信息技術(shù)公司提供的服務(wù)均不包含賠償損害或修正與下列情形相關(guān)的錯誤:(i)時間及日期功能(包括有關(guān)公元兩千年問題之時間及日期功能);及(ii)與非信息技術(shù)公司產(chǎn)品及服務(wù)相關(guān)的設(shè)計、制造、材料或制作上的瑕疵。
(c)   Product Support Services apply only to properly configured Products at the minimum hardware and software levels designated by INFORMATION TECHNOLOGY CO for support of the applicable Product specification.  If the INFORMATION TECHNOLOGY CO Product specification for the release level being used by Client explicitly includes time and date functionality, such as time and date functionality for Year 2000, INFORMATION TECHNOLOGY CO will repair or correct material deviations in the standard Product that prevent the INFORMATION TECHNOLOGY CO Product from conforming substantially to the specification.  Except as provided in the immediate preceding  sentence, all Services provided by INFORMATION TECHNOLOGY CO exclude repair of damage or correction of errors related to:  (i) time and date functionality including time and date functionality for Year 2000; and, (ii) defects in the design, manufacture, materials or workmanship related to nonINFORMATION TECHNOLOGY CO products and services.
 
23.5 免責(zé)– 除本條明文規(guī)定者外,因法律規(guī)定或其它因素而生的所有明示或默示之條件及保證均不適用于本合同。信息技術(shù)公司在此特別表明不承認(rèn)任何未明確規(guī)定于“規(guī)格”的聲明。信息技術(shù)公司并不保證“系統(tǒng)”將符合客戶未明確規(guī)定于“規(guī)格”的需求。信息技術(shù)公司不為任何可銷售性及合于特別使用目的的默示保證。如“產(chǎn)品”的“附加裝置”或“修改”直接或間接導(dǎo)致:(A)“產(chǎn)品”的故障、無法執(zhí)行或性能減低;或(B)人員傷害或財產(chǎn)及“產(chǎn)品”的損害,信息技術(shù)公司所為之保證將不適用于此情形,且信息技術(shù)公司就此將不負(fù)任何責(zé)任。
       DISCLAIMER.  EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND CONDITIONS, ALL CONDITIONS AND WARRANTIES, EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE ARE HEREBY EXCLUDED.  REPRESENTATIONS NOT EXPRESSLY STATED IN THE SPECIFICATIONS ARE SPECIFICALLY DISCLAIMED BY INFORMATION TECHNOLOGY CO.  INFORMATION TECHNOLOGY CO DOES NOT WARRANT THAT THE SYSTEM WILL MEET CLIENT REQUIREMENTS NOT EXPRESSED IN THE SPECIFICATIONS.  INFORMATION TECHNOLOGY CO DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  INFORMATION TECHNOLOGY CO WARRANTIES WILL NOT APPLY AND INFORMATION TECHNOLOGY CO WILL NOT BE RESPONSIBLE IF AN ATTACHMENT OR ALTERATION OF PRODUCTS, DIRECTLY OR INDIRECTLY, RESULTS IN: (A) ANY MALFUNCTION, NONPERFORMANCE OR DEGRADATION OF PERFORMANCE OF PRODUCTS; OR, (B) PERSONAL INJURY OR DAMAGE TO PROPERTY AND PRODUCTS.
 
24.責(zé)任限制   LIMITATION OF LIABILITY
24.1 除本合同另有限制規(guī)定外,信息技術(shù)公司所有責(zé)任及客戶就任何有關(guān)本合同或由本合同所衍生的損害所得請求的唯一賠償(無論其形式為何)(亦無論是基于合同行為或侵權(quán)行為)不得超過下列金額的較高者:(A)$十萬元;或(B)依據(jù)第28.1條所為通知之前十八(18)個月內(nèi),客戶就訴訟原因爭執(zhí)的“產(chǎn)品”或服務(wù)或與訴訟原因直接相關(guān)的“產(chǎn)品”或服務(wù),實(shí)際支付予信息技術(shù)公司的金額。本條規(guī)定的責(zé)任限制并不適用于第24.3條或第25條所含括的請求。
UNLESS FURTHER LIMITED ELSEWHERE IN THIS AGREEMENT, THE ENTIRE LIABILITY OF INFORMATION TECHNOLOGY CO AND CLIENT'S EXCLUSIVE REMEDY FOR DAMAGES FROM ANY CAUSE RELATED TO OR ARISING OUT OF THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT OR IN TORT, WILL NOT EXCEED THE GREATER OF (A) $100,000 OR (B) THE CHARGES PAID TO INFORMATION TECHNOLOGY CO DURING THE EIGHTEEN (18) MONTH PERIOD IMMEDIATELY PRIOR TO NOTICE PURSUANT TO SECTION 28.1 FOR THE PRODUCTS OR SERVICES WHICH ARE THE SUBJECT MATTER OF OR DIRECTLY RELATED TO THE CAUSES OF ACTION ASSERTED.   THIS LIMITATION OF LIABILITY DOES NOT APPLY TO CLAIMS COVERED BY SECTIONS 24.3 OR 25.
 
24.2 信息技術(shù)公司于任何情形下,皆不就下列情況負(fù)責(zé)任:(A)任何偶然、間接、特別或附隨的損害,包括但不限于使用、收益、利益或存款的損失。即使信息技術(shù)公司已經(jīng)知道或應(yīng)該已經(jīng)知道該損害發(fā)生的可能性,亦同;(B)除本合同第24.3條或第25條規(guī)定的情形外,任何第三人對客戶所為之請求、要求或行為;(C)任何原因?qū)е碌目蛻糍Y料損失或損害。
IN NO EVENT WILL INFORMATION TECHNOLOGY CO BE LIABLE FOR (A) ANY INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, REVENUES, PROFITS OR SAVINGS, EVEN IF INFORMATION TECHNOLOGY CO KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, (B) CLAIMS, DEMANDS OR ACTIONS AGAINST CLIENT BY ANY PERSON, EXCEPT AS PROVIDED IN SECTIONS 24.3 OR 25, OR (C) LOSS OF OR DAMAGE TO CLIENT DATA FROM ANY CAUSE.
 
24.3 盡管上述條文有上述的規(guī)定,信息技術(shù)公司同意在由于信息技術(shù)公司的過失行為或疏忽為主力近因而致第三人就具體財產(chǎn)損害或人員傷害(包括死亡)向客戶請求的范圍內(nèi),為客戶辯護(hù)或賠償客戶。
Notwithstanding the foregoing, INFORMATION TECHNOLOGY CO agrees to defend and indemnify Client against claims for damage to tangible property or injury to persons, including death, to the extent proximately caused by the negligent acts or omissions of INFORMATION TECHNOLOGY CO.
 
24.4 作為提供顧問服務(wù)之一部份及與客戶間正在進(jìn)行的關(guān)系,信息技術(shù)公司須轉(zhuǎn)介客戶予擁有客戶有興趣與“產(chǎn)品”一起使用的產(chǎn)品或服務(wù)的第三人。盡管有信息技術(shù)公司的建議、推薦或引見,客戶應(yīng)自行獨(dú)立調(diào)查或測試第三人的產(chǎn)品及服務(wù),且應(yīng)自行就其所為有關(guān)第三人的產(chǎn)品及服務(wù)是否適合使用的決定負(fù)責(zé)。除信息技術(shù)公司以主承包商的地位提供產(chǎn)品或服務(wù)外,信息技術(shù)公司不對與使用第三人產(chǎn)品或服務(wù)相關(guān)或因使用第三人產(chǎn)品或服務(wù)所衍生的請求負(fù)責(zé)任。
As part of the provision of consulting services and its ongoing relations with Client, INFORMATION TECHNOLOGY CO may direct Client to third parties having products or services which may be of interest to Client for use in conjunction with the Products.  Notwithstanding any INFORMATION TECHNOLOGY CO recommendation, referral or introduction, Client will independently investigate and test thirdparty products and services and will have sole responsibility for determining suitability for use of thirdparty products and services.  Except with respect to products and services supplied by INFORMATION TECHNOLOGY CO as prime contractor, INFORMATION TECHNOLOGY CO has no liability with respect to claims relating to or arising from use of third party products and services.
 
24.5 如仲裁庭或管轄法院裁定現(xiàn)行有效的相關(guān)法律可能隱含不得被排除或限制適用或僅能部分被排除或限制適用的保證及責(zé)任,則信息技術(shù)公司在本合同所負(fù)責(zé)任限制應(yīng)在法律許可的最大范圍內(nèi)適用。如信息技術(shù)公司不得排除或限制法律隱含的保證或責(zé)任,本合同應(yīng)依據(jù)該法律條文的規(guī)定進(jìn)行解讀及解釋。
If an arbitration panel or court of competent jurisdiction determines that relevant laws in force may imply warranties and liabilities which cannot be excluded or limited or which can only partly be excluded or limited, then the limit on INFORMATION TECHNOLOGY CO liability set out in this Agreement shall apply to the fullest extent permitted by law.  If INFORMATION TECHNOLOGY CO cannot exclude or limit a warranty or liability implied by law, this Agreement shall be read and construed subject to such provisions of law.
 
25.專利、著作權(quán)及營業(yè)秘密賠償
PATENT, COPYRIGHT AND TRADE SECRET INDEMNIFICATION
25.1 信息技術(shù)公司將以自己的費(fèi)用就第三人主張依本合同所提供的“產(chǎn)品”侵害其于中華人民共和國的專利或著作權(quán)或盜用其受中華人民共和國法律保護(hù)下的營業(yè)秘密的請求,為客戶辯護(hù)或賠償客戶。
INFORMATION TECHNOLOGY CO, at its own expense, will defend and indemnify Client against claims that Products furnished under this Agreement infringe a P.R.C. patent or copyright or misappropriate trade secrets protected under P.R.C. law.
 
25.2就任何侵害或盜用請求對象之“產(chǎn)品”,信息技術(shù)公司得選擇(a)為客戶取得繼續(xù)使用該“產(chǎn)品”的權(quán)利;或(b)替換或修改該“產(chǎn)品”以避免前述請求。如上述選擇的方式在商業(yè)上合理條件下均不可行,則在信息技術(shù)公司請求下,客戶即不得再使用且應(yīng)返還該“產(chǎn)品”,信息技術(shù)公司就客戶已支付予信息技術(shù)公司的費(fèi)用負(fù)返還義務(wù),但應(yīng)抵銷“產(chǎn)品”使用及耗損部分。任何相關(guān)的“軟件”授權(quán)均應(yīng)終止。
       As to any Product which is subject of a claim of infringement or misappropriation, INFORMATION TECHNOLOGY CO may elect to (a) obtain the right of continued use of such Product for Client or (b) replace or modify such Product to avoid such claim.  If neither alternative is available on commercially reasonable terms, then at the request of INFORMATION TECHNOLOGY CO Client will discontinue use and return the Product and INFORMATION TECHNOLOGY CO will grant a credit for the price paid   to INFORMATION TECHNOLOGY CO, less a reasonable offset for use and obsolescence.   Any applicable Software license will be terminated.
 
25.3 就(a)客戶的母公司、子公司或關(guān)系企業(yè)主張的侵害或盜用;(b)因客戶設(shè)計或變更“產(chǎn)品”所引發(fā)的侵害主張或盜用主張;(c)因使用與任何非信息技術(shù)公司產(chǎn)品結(jié)合的“產(chǎn)品”所引發(fā)的侵害主張或盜用主張;或(d)有關(guān)于非信息技術(shù)公司產(chǎn)品的侵害主張或盜用主張,信息技術(shù)公司不負(fù)辯護(hù)義務(wù)或賠償責(zé)任。
       INFORMATION TECHNOLOGY CO will not defend or indemnify Client if any claim of infringement or misappropriation (a) is asserted by a parent, subsidiary or affiliate of Client, (b) results from Client’s design or alteration of any Product, (c) results from use of any Product in combination with any non INFORMATION TECHNOLOGY CO Product, or (d) relates to a nonINFORMATION TECHNOLOGY CO Product alone.
 
25.4 被第三人請求的當(dāng)事人符合以下條件者,方可獲得他方當(dāng)事人賠償:(a)立即以書面通知他方當(dāng)事人被請求的事實(shí);(b)允許他方當(dāng)事人就被請求之事進(jìn)行辯護(hù)或和解;(c)就被請求之事之一部或全部不得承認(rèn)可歸責(zé),亦不得同意和解或以其它方式解決紛爭;且(d)在辯護(hù)或和解時提供他方當(dāng)事人所有合理的協(xié)助。
       The indemnities provided by either party in this Agreement are dependent on the party receiving the claim:  (a) giving the other party prompt written notice of such claim, (b) permitting the other party to defend or settle the claim, (c) not at any time admitting liability in respect of the whole or any part of the claim or agreeing to settle or dispose of the claim, and (d) providing all reasonable assistance to the indemnifying party in defending or settling the claim.
 
25.5 本合同第25條的規(guī)定為應(yīng)負(fù)賠償責(zé)任之一方就有關(guān)專利、著作權(quán)之侵害或盜用或商業(yè)秘密的盜用所應(yīng)負(fù)的全部責(zé)任,亦為他方當(dāng)事人唯一及全部所得請求賠償。
This Section 25 states the entire liability of the indemnifying party and the other party's sole and exclusive remedies for patent and copyright infringement or misappropriation and trade secret misappropriation.
 
26. 終止與解除 TERMINATION AND CANCELLATION
26.1 若當(dāng)事人任一方嚴(yán)重違反本合同,且未于他方書面通知違約情事后六十(60)日內(nèi)補(bǔ)正者,他方得解除本合同。
       Either party may cancel the agreement in the event that the other party is in substantial breach of the Agreement and has not corrected the breach within sixty (60) days of written notice to do so identifying the breach of the Agreement.
 
26.2 任一方當(dāng)事人得于期限屆滿前三十(30)日,以書面通知終止“軟件”授權(quán)或“產(chǎn)品支持服務(wù)”。若未為上述通知,則授權(quán)或服務(wù)依照本合同的規(guī)定更新或延展。當(dāng)客戶不再使用SPU,則其上相關(guān)“軟件”的授權(quán)將自動終止,客戶應(yīng)銷毀或返還該“軟件”或文件予信息技術(shù)公司。當(dāng)“產(chǎn)品支持服務(wù)”終止或解除時,客戶應(yīng)返還信息技術(shù)公司所有診斷。
       Either party may terminate any license for Software or any Product Support Services upon expiration of the applicable term by providing 30 days prior written notice.  Failure to give such notice will result in a renewal or extension of the license or service in accordance with the provisions of this Agreement.  The licenses for any Software automatically terminate upon Client's discontinuance of use of the SPU on which the Software was licensed, at which time Client must either destroy or return the Software and documentation to INFORMATION TECHNOLOGY CO.  Upon termination or cancellation of Product Support Services, Client shall return all diagnostics to INFORMATION TECHNOLOGY CO.
 
26.3 若客戶在信息技術(shù)公司以書面通知后(a)十(10)日內(nèi)因過失而不履行付款義務(wù)(包含服務(wù)費(fèi)用)或(b)無法于三十(30)日內(nèi)更正其有關(guān)“專有信息”保護(hù)或“軟件”授權(quán)義務(wù)違反,信息技術(shù)公司須以書面通知解除或暫停本合同或任何依據(jù)本合同訂單,以拒絕交付或取回“產(chǎn)品”,但已付清價款的設(shè)備不再此限。此規(guī)定不影響信息技術(shù)公司選擇其它解決方式的可能。
       Without prejudice to other remedies, INFORMATION TECHNOLOGY CO may cancel or suspend this Agreement or any order placed under it, for default and repossess Products (excluding only Equipment for which the purchase price has been fully paid), if, upon written notice Client fails to (a) make any payment identified as delinquent (including payment of charges for services) within ten (10) days or (b) cure any default relating to protection of Proprietary Information or Software licenses within thirty (30) days.
 
26.4 本合同的終止或解除不影響有關(guān)“專有信息”保護(hù)、損害賠償請求及保全利益規(guī)定下所生權(quán)利義務(wù)。
       Termination or cancellation of this Agreement will not affect any rights or duties arising under it with respect to protection of Proprietary Information, indemnities or security interests.
 
27.通知方式   NOTICES
27.1 任何本合同所規(guī)定應(yīng)給予客戶之通知,應(yīng)寄達(dá)本合同封面所載的客戶地址。
       All notices required by this Agreement to be given to Client will be sent to its address on the cover page of this Agreement.
 
27.2任何涉及賠償及紛爭解決的通知及與保全利益有關(guān)的信息請求,應(yīng)以掛號方式寄送。如系寄送予信息技術(shù)公司,應(yīng)寄送至:
       All notices related to indemnities and dispute resolution and all requests for information about any security interests will be sent by certified or registered mail and, when given to INFORMATION TECHNOLOGY CO, addressed to:
 
 
28.紛爭解決/仲裁條款  DISPUTE RESOLUTION/ARBITRATION
28.1紛爭及請求-就與本合同相關(guān)或由本合同所衍生的任何請求或爭議,無論是涉及合同行為亦或侵權(quán)行為(以下簡稱“紛爭”),任一方應(yīng)先以書面通知敘明紛爭及所涉及的金額(以下簡稱 “請求”)寄送予他方,并在保密的基礎(chǔ)下依循下列程序解決。
       Disputes and Demands   Any claim or controversy related to or arising out of this Agreement whether in contract or in tort (“Dispute”), will be resolved on a confidential basis according to the following process, which either party may start by delivering to the other party a written notice describing the Dispute and the amount involved (“Demand”).
 
28.2協(xié)商-在收到“請求”后,雙方的授權(quán)代表應(yīng)在彼此同意的時間與地點(diǎn),以協(xié)商方式嘗試解決“紛爭”。
       Negotiation   After receipt of a Demand, authorized representatives of the parties will meet at a mutually agreed upon time and place to try to resolve the Dispute by negotiation.
 
28.3仲裁-若于收到“請求”后經(jīng)過四十五(45)日仍未能解決“紛爭”,紛爭應(yīng)依當(dāng)時有效的仲裁規(guī)則在中華人民共和國進(jìn)行仲裁程序,該規(guī)則應(yīng)并入本條的規(guī)定,并作為本條規(guī)定的參考。紛爭雙方當(dāng)事人應(yīng)依法選任一位獨(dú)立的仲裁人,若紛爭雙方未能達(dá)成選任仲裁人的合意時,應(yīng)依據(jù)上述規(guī)則進(jìn)行指派。仲裁程序應(yīng)以英語或中文進(jìn)行。雙方依前述第28.2條規(guī)定進(jìn)行協(xié)商產(chǎn)生的任何聲明或雙方往來的意思表示,不論基于何種目的皆不得于仲裁程序中提出并經(jīng)采納。仲裁人無權(quán)決定懲罰性賠償或決定任何其它未衡量勝方實(shí)際損害(但金錢因時間經(jīng)過而產(chǎn)生的價值可作為調(diào)整依據(jù))上救濟(jì),且不能為與本合同條款所規(guī)定內(nèi)容相矛盾的仲裁決定。任一方應(yīng)自行承擔(dān)內(nèi)部支出費(fèi)用及律師費(fèi)用。
       Arbitration   If the Dispute remains unresolved after 45 days after the receipt of the Demand, the dispute shall be referred to arbitration in P.R.C. in accordance with the  arbitration rules for the time being in force which rules are deemed to be incorporated by reference into this section.  There shall be a single arbitrator who shall be nominated by the parties in dispute in accordance with the Rules of the Center.  In the event that the parties in dispute cannot agree on the appointment of the arbitrator, then the arbitrator shall be appointed according to the  rules.  The language of the arbitration proceedings shall be English or Chinese.  No statements by, or communication between, the parties during negotiation under Section 28.2 above, will be admissible for any purpose in arbitration.  The arbitrator will have no authority to award punitive damages or any other monetary relief not measured by the prevailing party’s actual damages (adjustments for time value of money permitted), and will not make any decision inconsistent with the terms and conditions of this Agreement.  Each party shall bear its internal expenses and its attorney’s fees and expenses.
 
28.4法院-第28條規(guī)定并未排除本合同任一方當(dāng)事人向有管轄權(quán)之法院主張以下權(quán)利:(a)執(zhí)行本條條款的規(guī)定或執(zhí)行本條規(guī)定下的仲裁判斷;(b)尋求保護(hù)其利益所必要的暫時平衡的救濟(jì)措施;(c)特定財產(chǎn)的回復(fù)原狀;(d)執(zhí)行智慧財產(chǎn)權(quán)。
       Court   Nothing in this Section 28, will preclude a party’s recourse to a court of competent jurisdiction to (a) enforce the terms of, or an arbitration award under, this Section; (b) seek temporary equitable relief necessary to protect its interests;  (c) recover specific property; or (d) enforce intellectual property rights.
 
28.5 期限-在行為起因首次發(fā)生兩(2)年后,即不得提起任何與本合同有關(guān)或因本合同所衍生的本條規(guī)定的仲裁亦或任何法律訴訟(無論其形式為何)。但如在此兩(2)年期限終止前四十五(45)日內(nèi)曾提出“請求”者,雙方當(dāng)事人自該“請求”起應(yīng)有額外六十(60)日的期間開始本合同規(guī)定下的仲裁程序。
       Time Limit   Neither arbitration under this Section nor any legal action, regardless of its form, related to or arising out of this Agreement may be brought more than two (2) years after the cause of action first accrued, except if a Demand is made within fortyfive (45) days before the end of this two (2) year period, the parties shall have sixty (60) additional days from the Demand to start arbitration under this Agreement.
 
28.6 保密-除經(jīng)當(dāng)事人雙方事前書面同意者外,本合同任一當(dāng)事人抑或仲裁人均不得揭露任何本條規(guī)定下仲裁的存在或結(jié)果。
       Confidentiality  Neither party nor the arbitrators may disclose the existence or results of any arbitration hereunder without the prior written consent of both parties.
 
29.其它條款OTHER PROVISIONS
29.1完整合同-本合同構(gòu)成雙方當(dāng)事人就本合同所規(guī)定的“產(chǎn)品”及服務(wù)的完整合意,且本合同取代任何先前口頭及書面的提議與協(xié)議及雙方往來之所有口頭及書面的意思表示。本合同各條款的內(nèi)容取代客戶所提出的任何其它條款,包括所有客戶訂購單上的預(yù)先擬定條款。
       Entire Agreement  This Agreement constitutes the entire agreement between the parties with respect to the Products and services provided hereunder and supersedes all prior proposals and agreements, both written and oral, and all other written and oral communications between the parties.  The terms and conditions of this Agreement will supersede all other terms and conditions submitted by Client, including any preprinted terms on any Client purchase orders.
 
29.2不可抗力-除有關(guān)費(fèi)用支付義務(wù)外,任一方當(dāng)事人均不就因非其可就合理控制因素導(dǎo)致的未能履行本合同義務(wù)負(fù)責(zé)任。
       Force Majeure  Except with respect to payment obligations, neither party will be liable for failure to fulfill its obligations under the Agreement when due to causes beyond its reasonable control.
 
29.3非權(quán)利舍棄-任一方當(dāng)事人遲延或未行使其權(quán)利或請求賠償,不得被解釋為舍棄其權(quán)利。
       NonWaiver  Any failure or delay by either party in exercising any right or remedy will not constitute a waiver.
 
29.4準(zhǔn)據(jù)法-本合同的構(gòu)成、解釋及履行應(yīng)以中華人民共和國法律為準(zhǔn)據(jù)法。
       Choice of Law  THE FORMATION, INTERPRETATION AND PERFORMANCE OF THIS AGREEMENT WILL BE GOVERNED BY THE LOCAL LAWS OF THE PEOPLE’S REPUBLIC OF CHINA.
 
29.5損失風(fēng)險-所有 “產(chǎn)品”損失或損害的風(fēng)險,于“產(chǎn)品”運(yùn)送至客戶地點(diǎn)時起移轉(zhuǎn)予客戶。
       Risk of Loss  All risk of loss or damage to Products will pass to Client upon delivery to Client's location.
 
29.6移轉(zhuǎn)-信息技術(shù)公司可不經(jīng)客戶同意,徑自移轉(zhuǎn)本合同、與“設(shè)備”有關(guān)利益或收取費(fèi)用的權(quán)利。然而,上述任何移轉(zhuǎn)行為,并不影響信息技術(shù)公司對客戶義務(wù)?蛻舴墙(jīng)信息技術(shù)公司事先書面同意,不得移轉(zhuǎn)或轉(zhuǎn)讓其于本合同下的權(quán)利義務(wù)。任何為本條所禁止的移轉(zhuǎn)或轉(zhuǎn)讓行為均為無效。信息技術(shù)公司可轉(zhuǎn)包本合同所規(guī)定的任何服務(wù)予其選定第三人。
       Assignment  INFORMATION TECHNOLOGY CO may assign this Agreement or its interest in any Equipment, or assign the right to receive payments, without Client's consent.  Any such assignment, however, will not change the obligations of INFORMATION TECHNOLOGY CO to Client.  Client will not assign or transfer its rights or obligations under this Agreement without prior written consent of INFORMATION TECHNOLOGY CO.  Any assignment or transfer prohibited by this provision will be void.  INFORMATION TECHNOLOGY CO may subcontract any services described in this Agreement to third parties selected by INFORMATION TECHNOLOGY CO.
 
29.7合同修改-本合同條款非以書面并經(jīng)信息技術(shù)公司副總裁、總經(jīng)理、法務(wù)經(jīng)理簽名于其上,不得進(jìn)行修改。
       Modification of Agreement  The terms and conditions of this Agreement may be modified only by a writing signed by a INFORMATION TECHNOLOGY CO Vice President,  General Manager or Contracts Manager.
 
29.8訴訟限制-從行為起因第一次發(fā)生兩(2)年后,即不得提起任何與本合同有關(guān)或因本合同所衍生的仲裁或任何法律訴訟(無論其形式為何)。
      Limitation for Actions  No arbitration proceeding or legal action, regardless of its form, related to or arising out of this Agreement, may be brought by either party more than two years after the cause of action first accrued.
 
29.9部分有效-本合同各項及各條款的規(guī)定皆是可分的,且如有任何條項或條款被宣告無效時,本合同其余條款仍具有完全的執(zhí)行力及效力。
       Severability  Each paragraph and provision of this Agreement is severable, and if one or more paragraphs or provisions are declared invalid, the remaining provisions of this Agreement will remain in full force and effect.
 
29.10出口規(guī)定-依本合同所提供的“產(chǎn)品”及服務(wù),可能須遵循美國或其它政府的出口管理規(guī)定?蛻舯WC其將遵守所有與此“產(chǎn)品”及服務(wù)的使用、揭露、出口或再出口有關(guān)的出口法規(guī)。
       Export Regulations  Products and services provided under this Agreement may be subject to U.S. and other government export control regulations.  Client assures that it will comply with all applicable export laws and regulations related to the use, disclosure, export, or reexport of these Products and services.
