二、法定依據(jù). Legal Basis
1、《企業(yè)名稱登記管理規(guī)定》；

 Measures for the Implementation of Administration of Enterprise Name Registration;
 
 3、《企業(yè)登記程序規(guī)定》 Regulations on the Procedures of Enterprise Registration
 
三、辦理程序. Handling Procedures
第一步：申請(qǐng)人持相關(guān)材料向市政務(wù)服務(wù)中心工商局窗口提出申請(qǐng)，經(jīng)受理審查員初審?fù)ㄟ^，開具《受理通知書》或者《申請(qǐng)材料接收單》；不符合受理?xiàng)l件的，在當(dāng)場(chǎng)或者5個(gè)工作日內(nèi)一次性告知申請(qǐng)人應(yīng)當(dāng)補(bǔ)正的全部材料（出具告知單）。
Step 1: The applicant shall submit relevant application materials to the service window of Chengdu Administration for Industry & Commerce within Chengdu Municipal Government Affairs Service Center. If the materials pass the preliminary examination by the reviewer, an Acceptance Notice or Receipt of Application Materials will be issued; if they don’t comply with the acceptance conditions, all materials to be supplemented shall be declared to the applicant on the spot or within 5 working days (a notice shall be issued).
 
第二步：對(duì)申請(qǐng)人申請(qǐng)材料齊全、符合法定形式的，當(dāng)場(chǎng)作出核準(zhǔn)或者駁回申請(qǐng)的決定。
Step 2: If the application materials provided by the applicant are complete and compliant with the legal form, a decision on whether to approve the registration may be made on the spot.
 
{第三步：在承諾時(shí)限內(nèi)，申請(qǐng)人可以憑《受理通知書》到外資登記窗口領(lǐng)取《外商投資企業(yè)名稱預(yù)先核準(zhǔn)通知書》。
Step 3: Within the time limit, the applicant may receive its Notice on Prior Approval of the Name of Foreign-Invested Enterprise at the foreign-invested registration window via the Acceptance Notice.
 
四、申請(qǐng)材料. Application Materials
1、全體投資人簽署的《外商投資企業(yè)名稱預(yù)先核準(zhǔn)申請(qǐng)書》；
Application for Prior Approval of the Name of Foreign-Invested Enterprise signed by all investors;
 
2、全體投資人的資格證明復(fù)印件；Copies of qualification certificates of all investors;
注 ：1、《外商投資企業(yè)名稱預(yù)先核準(zhǔn)申請(qǐng)書》可以登錄成都市政務(wù)服務(wù)中心網(wǎng)址：http://www.cdzw.gov.cn   成都市工商行政管理局網(wǎng)址：http://www.cdgs.gov.cn下載或者到工商行政管理機(jī)關(guān)領(lǐng)�。�
Note: 1. Application for Prior Approval of the Name of Foreign-Invested Enterprise could be downloaded from the official website of Chengdu Municipal Government Affairs Service Center (http://www.cdzw.gov.cn) or from that of Chengdu Administration for Industry & Commerce (http://www.cdgs.gov.cn), or obtained from industry & commerce administration authorities.
 
   2、提交的申請(qǐng)書與其他申請(qǐng)材料應(yīng)當(dāng)使用Ａ４型紙。以上各項(xiàng)未注明提交復(fù)印件的，應(yīng)當(dāng)提交原件，提交復(fù)印件的，應(yīng)當(dāng)注明“與原件一致”并由企業(yè)蓋章或由其指定的代表或委托的代理人加蓋鮮章或簽字。
 Application and other materials submitted should be made with A4-size papers. If no copies indicated in the aforementioned are to be submitted, originals shall be submitted; when copy is submitted, it should be marked with ‘consistent with the original’ and signed and stamped by the investor or stamped or signed by the designated representative or authorized agent.
 
   3、以上所提交的文件若用外文書寫，需提交中文譯本，并加蓋翻譯單位鮮章。
If the documents mentioned above are written in a foreign language, the Chinese translation version shall be submitted, and stamped by the related translation company.
 
   4、企業(yè)申請(qǐng)預(yù)先核準(zhǔn)的名稱（字號(hào)）在同行業(yè)中是否重復(fù)，是否符合《企業(yè)名稱登記管理規(guī)定》第六、七、八條要求。
It’s required to make sure if the enterprise name (trade name) applied for prior approval is repeated in the same industry, or complies with the requirements of Articles 6, 7 and 8 of Provisions on Administration of Enterprise Name Registration.
 
   5、企業(yè)申請(qǐng)?jiān)陬A(yù)先核準(zhǔn)的名稱中冠以“中國(guó)”、“中華”、“全國(guó)”、“國(guó)際”等字樣的，需國(guó)務(wù)院決定。
 Application for use of “China”, “Chinese”, “National” or “International”, etc, in the name for prior approval shall be decided by the State Council.
 
   6、企業(yè)申請(qǐng)?jiān)陬A(yù)先核準(zhǔn)的名稱中間使用（中國(guó)）的，應(yīng)符合下列條件：外商獨(dú)資企業(yè)或外方控股企業(yè)；使用外方出資企業(yè)字號(hào)；符合無行政區(qū)劃的條件。
Application for use of the word (“China”) in the name for prior approval shall comply with the following conditions: a wholly foreign-owned enterprise or foreign holding enterprise; use the trade name of foreign-invested enterprise; meet the condition “without administrative region”.
 
   7、企業(yè)申請(qǐng)無行政區(qū)劃的名稱應(yīng)符合《企業(yè)名稱登記管理規(guī)定實(shí)施辦法》第十三條規(guī)定。
 Application for approval of enterprise name without administrative region shall be in conformity with Article 13 of Measures for Implementation of Administration of Enterprise Name Registration.
 
   8、企業(yè)申請(qǐng)預(yù)先核準(zhǔn)的名稱中不使用國(guó)民經(jīng)濟(jì)行業(yè)類別用語表述的，應(yīng)符合《企業(yè)名稱登記管理規(guī)定實(shí)施辦法》第十八條規(guī)定。
 Application for prior approval without using expression of national economy industry category shall meet the requirement of Article 18 of Measures for Implementation of Administration of Enterprise Name Registration.
 
  9、企業(yè)申請(qǐng)預(yù)先核準(zhǔn)的名稱中的行業(yè)表述應(yīng)代表其主要經(jīng)營(yíng)范圍，企業(yè)名稱不應(yīng)當(dāng)明示或者暗示有超越其經(jīng)營(yíng)范圍的業(yè)務(wù)。
 The industry expression in enterprise name applied for prior approval shall reflect its main business scope, and the enterprise name shall not express or imply the business beyond its business scope.
 
   10、企業(yè)申請(qǐng)的名稱預(yù)先核準(zhǔn)通知書有效期為6個(gè)月，有效期滿仍未登記或使用，核準(zhǔn)的名稱自動(dòng)失效。
The Notice on Prior Approval of Name is valid for 6 months, and the approved name shall automatically become invalid in case it is not registered or used as of the date of expiry.
