甲方：中國傳動設(shè)備股份有限公司, 一家依照中華人民共和國法律設(shè)立和存續(xù)的有限責(zé)任公司，注冊辦公地：      (以下簡稱“甲方”)
 
And 和
 
Prof. Dr.- Ing. Peter Tenberge，Chair of Industrial and vehicle drive technology，Ruhr University Bochum Building IB1/151 University street 150, 44801 Bochum Germany，(Hereinafter referred to as “Party B”)
乙方：滕伯格教授（工學(xué)博士），工業(yè)及汽車駕駛技術(shù)教研室，魯爾大學(xué)波鴻大廈 IB 1/151，大學(xué)路150號，44801，波鴻，德國 (以下簡稱“Party B”)
 
Article 1． Scope of Work 第一條 工作范圍
1.1 Party B provide Party A with the technical support of 8-Speed Automatic Transmission Project.
乙方協(xié)助甲方開展研發(fā)新型8速自動變速箱項目提供技術(shù)支持。
 
1.2  Party A will pay Party B a price of 14,000€ （Say: Fourteen Thousands Euro Only） for his technical support of 8AT research and development.
甲方同意支付乙方開展研發(fā)新型8速自動變速箱項目提供技術(shù)支持的費用，總計14, 000歐元。
 
1.3  The scope of this technical support includes:   此技術(shù)支持包括以下內(nèi)容：
a.     Delivery of gear damage analysis.      提供齒輪損傷分析；
b.    Delivery of shafts and roller bearings.   提供軸與滾針軸承；
c.    Delivery of FEM calculation.          提供FEM計算數(shù)據(jù)；
d.    Detail optimization for standard construction of 8AT. 8AT標(biāo)準(zhǔn)結(jié)構(gòu)的細(xì)節(jié)優(yōu)化。
 
Article 2．Liabilities of Party B  乙方義務(wù)
2．1 Party B shall provide to Party A the complete set of documents and technical documentations to be used for the manufacture of 8-Speed Automatic Transmission Project products in Party A's factory. Such documents and technical documentations shall correctly direct the manufacture.
乙方向甲方提供在甲方工廠生產(chǎn)新型8速自動變速箱產(chǎn)品的全部完整工藝文件和資料，能正確指導(dǎo)產(chǎn)品的生產(chǎn)。
 
2. 2 The related technical standards of 8-Speed Automatic Transmission Project shall be submitted by Party B at the same time the technical documentation is provided.
乙方在提供技術(shù)資料的同時，還要提供生產(chǎn)新型8速自動變速箱產(chǎn)品全部技術(shù)標(biāo)準(zhǔn)。
 
2. 3 The technical documentation covering the manufacture of 8-Speed Automatic Transmission Project shall be complete.
乙方向甲方提供生產(chǎn)新型8速自動變速箱產(chǎn)品產(chǎn)品的全部專有技術(shù)資料必須是完整的技術(shù)資料。
 
Article 3．Price and Payment第三條 價款與支付
3.1   The total price hereof is EURO 14,000 (fourteen thousand Euros) which excludes taxes.
本合同總價格為14,000歐元（壹萬肆仟歐元，不含稅）。
 
3.2   Payment from Party A to Party B is due within 30 days after the contract signature and shall be paid in full amount in Euro.     
甲方在合同簽訂后的30天內(nèi)，應(yīng)支付乙方所有款項，而且應(yīng)當(dāng)按規(guī)定貨幣歐元支付。
 
3.3   Payment Method: Telegraphic Transfer  支付方式：電匯
 
Article 4. Tax   第四條  稅費
 4.1 Any tax relating to the implementation of the contract imposed by Party A's country shall be paid by Party B.
凡因履行本合同而發(fā)生在甲方國家以外的一切稅費，均由乙方承擔(dān)。
 
Article 5. 第五條 Arbitration 仲裁       
5.1  Any dispute arising from the implementation of the contract  shall be settled through friendly consultations. If no settlement can be reached, both parties shall agree to submit the dispute for arbitration.
   凡因執(zhí)行合同所發(fā)生的一切爭議，均由雙方通過友好協(xié)商的辦法解決。如果協(xié)商仍不能解決，則雙方同意將爭議提交仲裁。
 
 5.2 The arbitration shall take place in the Shenzhen Office of the China Council for the Promotion of International Trade according to its rules and procedures.
仲裁地點在深圳中國國際貿(mào)易促進(jìn)委員會仲裁機關(guān)，仲裁程序按中國貿(mào)促會仲裁機關(guān)的程序進(jìn)行仲裁。
 
Article 6 Confidentiality　第六條 保密
All drawings， designs， specifications and all other technical information made available under this Contract by Party B shall be kept strictly confidential by Party A who shall not sell， transfer or divulge it in any manner to anyone except those of its own employees who will be using it in the manufacture of the Products，without prior written consent of Party B. Party A may, however，supply such technical information to its subcontractor to the extent necessary for such subcontractor to manufacture parts of Contract Products，pro-viding that Party A shall have such subcontractor agree，in writing，to hold such technical information strictly in confidence..
乙方根據(jù)本合同所提供的一切圖紙、設(shè)計、說明書及其他技術(shù)資料，甲方均須嚴(yán)格保密;未得到乙方的書面同意，不得以任何方式出售、轉(zhuǎn)讓 或泄露給任何人，但不包括甲方為生產(chǎn)合同而使用技術(shù)資料的雇員。但是，甲方可以向分包合同人提供生產(chǎn)合同產(chǎn)品部件所必須的技術(shù)資料，分包人須書面保證對其所得到產(chǎn)技術(shù)資料承擔(dān)嚴(yán)格的保密義務(wù)。
 
Article 7.  Validity of the Contract 第七條 合同有效期
Validity of the Contract: From Feb. 19. 2013 to Feb. 18. 2014
合同有效期：自2013年2月19日始，至2014年2月18日止
 
Article 8．Language 第八條 語言
This contract is prepared in English and Chinese. If there is any discrepancy between the Chinese and English version, the Chinese version shall prevail.
本合同用中英文書寫，如中英文版本有任何差異，以中文版為準(zhǔn)。
 
IN WITNESS WHEREOF, the formal authorized representatives of the Parties as undersigned have signed this Agreement in four counterparts (Party A retaining three counterparts and Party B retaining one counterpart. ) as of the date of the last signature set forth below.
協(xié)議書雙方的正式授權(quán)代表在本協(xié)議書中（一式四份，甲方持有3份，乙方持有1份）首頁出現(xiàn)的日期簽署了本協(xié)議書，特此證明。
