一、說(shuō)明 A Explanation
1.資金來(lái)源Source of Funds
1.1 本招標(biāo)文件第二冊(cè)第6章投標(biāo)資料表中所述的招標(biāo)人已擁有一筆資金/貸款。招標(biāo)人計(jì)劃將一部分資金/貸款用于支付本次招標(biāo)后所簽訂合同項(xiàng)下的款項(xiàng)。
The Tenderer named in the Bid Data Sheet of Section 6 (Volume 2) has received a loan/fund as identified in the Bid Data Sheet. The Tenderer intends to apply a portion of the proceeds of this loan/fund to the payments under the contract for which this Invitation for Bids is issued.
2.招標(biāo)機(jī)構(gòu)及合格的投標(biāo)人
Tendering Agent for ICB Procurement of Mechanic and Electronic Products and Eligible Bidders
2.1招標(biāo)機(jī)構(gòu) Tender Agent
機(jī)電產(chǎn)品國(guó)際招標(biāo)機(jī)構(gòu)是指依照中華人民共和國(guó)商務(wù)部令2005年第6號(hào)《機(jī)電產(chǎn)品國(guó)際招標(biāo)機(jī)構(gòu)資格審定辦法》取得招標(biāo)資格并從事機(jī)電產(chǎn)品國(guó)際招標(biāo)代理業(yè)務(wù)的企業(yè)法人。本次招標(biāo)的招標(biāo)機(jī)構(gòu)名稱(chēng)、地址、電話(huà)和傳真見(jiàn)投標(biāo)資料表。
The Tendering Agent for ICB Procurement of Mechanic and Electronic Products (hereinafter referred to as “Tendering Agent”)means the Legal Person approved and authorized by the Ministry of Commerce to handle the procurement of mechanic and electronic products by way of International Competitive Bidding (ICB) in accordance with the Measures for Examining and Approving the Qualification of International Tendering Institutions for Electromechanical Products, Decree No.6, 2005 of the Ministry of Commerce of the People’s Republic of China Details such as name, address, telephone and facsimile of the Tendering Agent for this bidding are listed in the Bid Data Sheet.
2.2 合格的投標(biāo)人Eligible Bidders
1）投標(biāo)人是響應(yīng)招標(biāo)、參加投標(biāo)競(jìng)爭(zhēng)的法人或其他組織。除非另有規(guī)定，凡是來(lái)自中華人民共和國(guó)或是與中華人民共和國(guó)有正常貿(mào)易往來(lái)的國(guó)家或地區(qū)（以下簡(jiǎn)稱(chēng)“合格來(lái)源國(guó)/地區(qū)”）的供貨人均可投標(biāo)。
Bidders are legal persons or other organizations who participate in bidding. This Invitation for Bids is open to all suppliers from within the People’s Republic of China (hereinafter abb. as “PRC”) and all countries/areas which have regular trade relations with PRC (hereinafter called “the eligible source countries/areas”), except as provided hereinafter.
2）投標(biāo)人不得直接或間接地與招標(biāo)人為采購(gòu)本次招標(biāo)的貨物進(jìn)行設(shè)計(jì)、編制規(guī)范和其他文件所委托的咨詢(xún)公司或其附屬機(jī)構(gòu)有任何關(guān)聯(lián)。
Bidders should not be associated, directly or indirectly, with a firm or any of its affi1iates which have ken engaged by the Tenderer to provide consulting services for the preparation of the design, specifications, and other documents to be used for the procurement of the goods to be purchased under this Invitation for Bids.
3）只有在法律上和財(cái)務(wù)上獨(dú)立、合法運(yùn)作并獨(dú)立于招標(biāo)人和招標(biāo)機(jī)構(gòu)的供貨人才能參加投標(biāo)。
The Suppliers may participate in the bids only if they are legally and financially autonomous, if they operate under relevant law, and if they are not a dependent agency of the Tendering Agent and the Tenderer.
3.合格的貨物和服務(wù)Eligible Goods and Services
3.1 合同中提供的所有貨物及其有關(guān)服務(wù)的原產(chǎn)地，均應(yīng)來(lái)自上述2.2條款規(guī)定的合格來(lái)源國(guó)/地區(qū)。本合同的支付也僅限于這些貨物和服務(wù)。
All goods and related services to be supplied under the contract shall have their origin in eligible source counties, as defined in clause 2.2 above, and all expenditures made under the contract will Instructions to Bidders be limited to such goods and services.
3.2 本款所述的“原產(chǎn)地”是指貨物開(kāi)采、生長(zhǎng)或生產(chǎn)或提供有關(guān)服務(wù)的來(lái)源地。所述的“貨物”是指通過(guò)制造、加工或用重要的和主要的元部件裝配而成的，其基本特征、功能或效用應(yīng)是商業(yè)上公認(rèn)的與元部件有著實(shí)質(zhì)性區(qū)別的產(chǎn)品。
For purposes of this clause,“origin” means the place where the goods are mined, grown or produced, or the place from which the related services are supplied. Goods are produced when, through manufacturing, processing, or substantial and major assembly of components, a commercially recognized product results that is substantially different in basic characteristics or in purpose or utility from its components.
3.3 貨物和服務(wù)的原產(chǎn)地有別于投標(biāo)人的國(guó)籍。
The origin of goods and services is distinct from the nationality of the bidder.
4.投標(biāo)費(fèi)用 Cost of Bid
4.1投標(biāo)人應(yīng)承擔(dān)所有與準(zhǔn)備和參加投標(biāo)有關(guān)的費(fèi)用。不論投標(biāo)的結(jié)果如何，投標(biāo)資料表中所述的招標(biāo)機(jī)構(gòu)和招標(biāo)人均無(wú)義務(wù)和責(zé)任承擔(dān)這些費(fèi)用。
The Bidder shall bear all costs associated with the preparation and submission of its bid, and the Tendering Agent and the Tenderer, named in the Bid Data Sheet, will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the bid process.
二、招標(biāo)文件 B The Bidding Documents
5.招標(biāo)文件的構(gòu)成Content of Bidding Documents
5.1 本招標(biāo)文件的編制依據(jù)是《中華人民共和國(guó)招標(biāo)投標(biāo)法》和中華人民共和國(guó)商務(wù)部2004年第13號(hào)《機(jī)電產(chǎn)品國(guó)際招標(biāo)投標(biāo)實(shí)施辦法》。
5.1 Basis of the Bidding Documents is : 《The People’s Republic of China Bidding & Tendering Law》, 《Working Method for International Bidding of Electric and Machinery Product》NO.13, 2004. issued by Ministry of Commerce.
5.2要求提供的貨物、招標(biāo)過(guò)程和合同條件在招標(biāo)文件中均有說(shuō)明。招標(biāo)文件以中文或中、英文兩種文字編寫(xiě)。以中、英文兩種文字編寫(xiě)時(shí)，兩種文字具有同等效力；中文本與英文本如有差異，以中文本為準(zhǔn)。
The goods required, bidding procedures and contract terms are prescribed in the bidding documents, which is compiled in both English and Chinese. The two languages have the same effectiveness. In the event of any discrepancy between them, the Chinese shall prevail.

5.3 投標(biāo)人應(yīng)認(rèn)真閱讀招標(biāo)文件中所有的事項(xiàng)、格式、條款和技術(shù)規(guī)格等。招標(biāo)人沒(méi)有按照招標(biāo)文件要求提交全部資料，或者投標(biāo)沒(méi)有對(duì)招標(biāo)文件在各方面都作出實(shí)質(zhì)性響應(yīng)是投標(biāo)人的風(fēng)險(xiǎn)，并可能導(dǎo)致其投標(biāo)被拒絕。
The Bidder is expected to examine all instructions, forms, terms and specifications in the bidding documents. Failure to furnish a11 information required by the bidding documents or to submit a bid not substantially responsive to the bidding documents in every respect will be at the Bidder’s risk and may result in the rejection of its bid.
6.招標(biāo)文件的澄清Clarification of Bidding Documents
6.1任何要求對(duì)招標(biāo)文件進(jìn)行澄清的潛在投標(biāo)人，均應(yīng)以書(shū)面形式通知招標(biāo)機(jī)構(gòu)和招標(biāo)人。招標(biāo)機(jī)構(gòu)對(duì)其在投標(biāo)資料表中所述投標(biāo)截止期5日以前收到的對(duì)招標(biāo)文件的澄清要求均以書(shū)面形式予以答復(fù)，同時(shí)將書(shū)面答復(fù)發(fā)給每個(gè)購(gòu)買(mǎi)招標(biāo)文件的潛在投標(biāo)人（答復(fù)中不包括問(wèn)題的來(lái)源）。
A prospective Bidder requiring any clarification of the bidding documents may notify the Tendering Agent and the Tenderer in writing. The Tendering Agent will respond in writing to any request for clarification of the bidding documents which it receives no later than fifteen (5) days prior to the deadline for the submission of bids prescribed in the Bid Data Sheet. Written copies of the Tendering Agent’s response (without identifying the source of inquiry) will be sent to all prospective bidders who have purchased the bidding documents.
6.2投標(biāo)人認(rèn)為招標(biāo)文件存在歧視性條款或不合理要求，應(yīng)在規(guī)定時(shí)間內(nèi)一次性全部提出。
6.2 If there exist any discriminative terms or unreasonable requirements in the bidding documents, the bidder shall present those items one time within the specified period.
7. 招標(biāo)文件的修改Amendment of Bidding Documents
7.1 在投標(biāo)截止期前，無(wú)任出于何種原因，招標(biāo)機(jī)構(gòu)和招標(biāo)人可主動(dòng)地或在解答潛在投標(biāo)人提出的澄清問(wèn)題時(shí)對(duì)招標(biāo)文件進(jìn)行修改。
At any time prior to the deadline for submission of bids, the Tendering Agent, for any reason,
whether at its own initiative or in response to a clarification requested by a prospective Bidder,
may modify the bidding documents by amendment.
7.2 招標(biāo)文件的修改是招標(biāo)文件的組成部分，將以書(shū)面形式通知所有購(gòu)買(mǎi)招標(biāo)文件的潛在投標(biāo)人，并對(duì)潛在投標(biāo)人具有約束力。潛在投標(biāo)人在收到上述通知后，應(yīng)立即以書(shū)面形式向招標(biāo)機(jī)構(gòu)和招標(biāo)人確認(rèn)。
The amendment constitutes a part of Bidding documents. All prospective bidders who have purchased the bidding documents will be notified of the amendment in writing, and will be binding on them. Prospective Bidders shall promptly acknow1edge the receipt thereof by in writing to the Tendering Agent and the Tenderer.
7.3 為使投標(biāo)人準(zhǔn)備投標(biāo)時(shí)有充分時(shí)間對(duì)招標(biāo)文件的修改部分進(jìn)行研究，招標(biāo)機(jī)構(gòu)和招標(biāo)人將適當(dāng)推遲投標(biāo)截止期。
In order to afford prospective bidden reasonable time in which to take the amendment into account in preparing their bids, the Tendering Agent, at its discretion, will extend the deadline for the submission of bids.
三、投標(biāo)文件的編制 C Preparation of bidding documents
8.投標(biāo)的語(yǔ)言L(fǎng)anguage of Bid
8.1 投標(biāo)人提交的投標(biāo)文件以及投標(biāo)人與招標(biāo)機(jī)構(gòu)和招標(biāo)人就有關(guān)投標(biāo)的所有來(lái)往函電均應(yīng)使用投標(biāo)資料表中規(guī)定的語(yǔ)言書(shū)寫(xiě)。投標(biāo)人提交的支持資料和已印刷的文獻(xiàn)可以用另一種語(yǔ)言，但相應(yīng)內(nèi)容應(yīng)附有投標(biāo)資料表中規(guī)定語(yǔ)言的翻譯本，在解釋投標(biāo)文件時(shí)以翻譯本為準(zhǔn)。
The bid prepared by the Bidder, as well as all correspondence and documents relating to the bid exchanged by the Bidder and the Tender1ng Agent/the Tenderer, shall be written in the language specified in the Bid Data Sheet. Supporting documents and printed literature furnished by the Bidder may be in another language provided they are accompanied by an accurate translation of the relevant passages in the language specified in the Bid Data Sheet, in which case, for purposes of interpretation of the Bid, the translation shall govern
9. 投標(biāo)文件的組成 Content comprising the Bid
9.1 投標(biāo)人編寫(xiě)的投標(biāo)文件應(yīng)包括下列部分：
The bid prepared by the Bidder shall comprise the following components:
1） 按照本須知第10、11和12條要求填寫(xiě)的投標(biāo)書(shū)、投標(biāo)分項(xiàng)報(bào)價(jià)表以及供唱標(biāo)時(shí)使用的、單獨(dú)密封的投標(biāo)一覽表；
A Bid Form, Bid Schedule of Prices and a Summary Sheet for Bid Opening which shall be submitted in a separate envelope completed in accordance with ITB Clauses 10,1l and 12;
2）按照本須知第13條要求出具的資格證明文件，證明投標(biāo)人是合格的，而且中標(biāo)后有能力履行合同；
Documentary evidence established in accordance with ITB Clause 13 that the Bidder is eligible to bid and is qualified to perform the contract if its bid is accepted;
3）按照本須知第14條要求出具的證明文件，證明投標(biāo)人提供的貨物及服務(wù)是合格的，且符合招標(biāo)文件規(guī)定；
Documentary evidence established in accordance with ITB Clause 14 that the goods and ancillary services to be supplied by the Bidder are eligib1e goods and services and conform to the bidding documents;
4）按照本須知第15條規(guī)定提交的投標(biāo)保證金。
Bid security furnished in accordance with ITB Clause 15.
10. 投標(biāo)文件的編寫(xiě)B(tài)id Form
10.1 投標(biāo)人應(yīng)按照第四章招標(biāo)文件格式完整地填寫(xiě)投標(biāo)書(shū)、開(kāi)標(biāo)一覽表、投標(biāo)分項(xiàng)報(bào)價(jià)表以及招標(biāo)文件中規(guī)定的其他內(nèi)容。
The Bidder shall complete the Bid Form, Summary Sheet for Bid Opening and Price Schedule and other stipulated contents furnished in Section IV ”Formats of Bids” of the bidding documents.
11.投標(biāo)報(bào)價(jià)Bid Prices
11.1 投標(biāo)人應(yīng)在投標(biāo)分項(xiàng)報(bào)價(jià)表上標(biāo)明本合同擬提供貨物的單價(jià)（如適用）和總價(jià)。
The Bidder shall indicate on the appropriate Bid Schedule of Prices the unit prices (where applicable) and total bid price of the goods it proposes to supply under the contract.
投標(biāo)總價(jià)中不得包含招標(biāo)文件要求以外的內(nèi)容，否則，在評(píng)標(biāo)時(shí)不予核減。投標(biāo)總價(jià)中也不得缺漏招標(biāo)文件所要求的內(nèi)容，否則，評(píng)標(biāo)時(shí)將有效投標(biāo)中該項(xiàng)內(nèi)容的最高價(jià)計(jì)入其投標(biāo)總價(jià)。
The amounts cannot contain the contents that beyond the bidding document. Otherwise, it can not be accounted and subtracted during evaluation. And it also cannot lack the contents that requested in the bidding document. Otherwise, the maximum price of this item among the valid bids will be counted into it.
11.2 投標(biāo)分項(xiàng)報(bào)價(jià)表上的價(jià)格應(yīng)按下列方式分別填寫(xiě)：
Prices indicated on the Bid Schedule of Prices shall be entered separately in the following manner:
11.2.1 從中華人民共和國(guó)境內(nèi)提供的貨物：For goods offered from within PRC:
1） 報(bào)所供貨物的EXW（出廠(chǎng)）價(jià)，倉(cāng)庫(kù)交貨價(jià)、展室交貨價(jià)或貨架交貨價(jià)的，除應(yīng)包括要向中華人民共和國(guó)政府繳納的增值稅和其他稅，還應(yīng)包括對(duì)以下①、②兩項(xiàng)已交納或應(yīng)交納的全部關(guān)稅、增值稅和其他稅：
The price of the goods quoted EXW (ex-works, ex-factory, ex-warehouse, x-showroom, or off-the-shelf, as applicable), including Value Added Taxes (VAT) and other taxes already paid or payable to the government of PRC, as well as all customs duties, VAT and other taxes paid or payable:
① 報(bào)EXW價(jià)的貨物在制造或組裝時(shí)使用的部件和原材料是從境外進(jìn)口的；或
on the components and raw material used in the manufacture or assembly or goods of foreign origin quoted ex-works or ex-factory; or
② 報(bào)倉(cāng)庫(kù)交貨價(jià)、展室交貨價(jià)或貨架交貨價(jià)的貨物是從境外進(jìn)口的。
on the previously imported goods of foreign origin quoted ex-warehouse, ex-showroom, or off-the-shelf.
2）如果投標(biāo)資料表中有規(guī)定，報(bào)貨物運(yùn)至最終目的地的內(nèi)陸運(yùn)輸、保險(xiǎn)和伴隨貨物交運(yùn)的有關(guān)費(fèi)用。
The price for inland transportation, insurance, and other local costs incidental to delivery of the goods to their final destination, if specified in the Bid Data Sheet.
3）報(bào)投標(biāo)資料表中列出的其他伴隨服務(wù)的費(fèi)用（如果有的話(huà)）。
The price of other (incidental) services, if any, listed in the Bid Data Sheet.
11.2.2 從中華人民共和國(guó)境外提供的貨物
For goods offered from abroad:
1）按照投標(biāo)資料表中的規(guī)定，報(bào)CIF（指定目的港）價(jià)，或CIP （指定目的地）價(jià)。
The price of the goods shall be quoted CIF named port of destination, or CIP named place of destination in PRC, as specified in the Bid Data Sheet.
2）如果投標(biāo)資料表中有規(guī)定，報(bào)FOB（指定裝運(yùn)港）價(jià)，或FCA（指定承運(yùn)地點(diǎn)）價(jià)，或其他方式的報(bào)價(jià)。
The price of goods quoted FOB port of shipment (or FCA, as the case may be), if specified in the Bid Data Sheet.
3）如果投標(biāo)資料表中有規(guī)定，報(bào)貨物從進(jìn)口口岸運(yùn)至最終目的地的內(nèi)陸運(yùn)輸、保險(xiǎn)和其他當(dāng)?shù)匕l(fā)生的伴隨費(fèi)用。
The price for inland transportation, insurance, and other local costs incidental to delivery of the goods from the port of entry to their final destination, if specified in the Bid Data Sheet.
4）報(bào)投標(biāo)資料表中列出的其他伴隨服務(wù)費(fèi)用（如果有的話(huà)）。
The price of (incidental) services, If any, listed in the Bid Data Sheet.
11.3 EXW、CIF和CIP等價(jià)格術(shù)語(yǔ)，應(yīng)根據(jù)巴黎國(guó)際商會(huì)現(xiàn)行最新版本的《國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則》（Incoterms）的規(guī)定來(lái)解釋。
The terms EXW, CIF, CIP, etc., shall be governed by the rules prescribed in the current edition of Incoterms published by the International Chamber of Commerce, Paris.
11.4 投標(biāo)人根據(jù)本須知第11.2條的規(guī)定將投標(biāo)價(jià)分成幾部分，只是為了方便招標(biāo)機(jī)構(gòu)和招標(biāo)人對(duì)投標(biāo)文件進(jìn)行比較，并不限制招標(biāo)人以上述任何條件訂立合同的權(quán)力。
The Bidder’s separation of price components in accordance with ITB Clause 11.2 above will be solely for the purpose of facilitating the comparison of bids by the Tendering Agent and the
Tenderer and will not in any way limit the Tenderer’s right to contract on any of the terms
offered.
11.5 除非投標(biāo)資料表中另有規(guī)定，投標(biāo)人所報(bào)的投標(biāo)價(jià)在合同執(zhí)行過(guò)程中是固定不變的，不得以任何理由予以變更。任何包含價(jià)格調(diào)整要求的投標(biāo)被認(rèn)為是非實(shí)質(zhì)性響應(yīng)投標(biāo)而予以拒絕。
Except as otherwise specified in Bid Data sheet, Prices quoted by the Bidder shall be fixed during the Bidder’s performance of the contract and not subject to variation on any account. A bid submitted with an adjustable price quotation will be treated as substantially non-responsive and will be rejected.
11.6除投標(biāo)資料表中允許有備選方案外，本次招標(biāo)不接受選擇性報(bào)價(jià)。除本須知有規(guī)定外，本次招標(biāo)不接受具有附加條件的報(bào)價(jià)。
12.投標(biāo)貨幣Bid Currency
12.1 除非另有規(guī)定或許可，投標(biāo)人從中華人民共和國(guó)境內(nèi)提供的貨物和服務(wù)用人民幣報(bào)價(jià)。
The prices shall be quoted in RMB for goods and services that the Bidder will supply from
within PRC, unless specified or permitted otherwise;
12.2 投標(biāo)人從中華人民共和國(guó)境外提供的貨物和服務(wù)用投標(biāo)資料表中規(guī)定的貨幣報(bào)價(jià)。
The prices shall be quoted in any of the currencies defined in the Bid Data Sheet for goods and services that the Bidder will supply from outside PRC.
13.證明投標(biāo)人合格和資格的文件Documents Establishing Bidder’s Eligibility and Qualifications
13.1 投標(biāo)人應(yīng)提交證明其有資格參加投標(biāo)和中標(biāo)后有能力履行合同的文件，并作為其投標(biāo)文件的一部分。如果投標(biāo)人為聯(lián)合體，應(yīng)提交聯(lián)合體各方的資格證明文件、共同投標(biāo)協(xié)議并注明主辦人及各方擬承擔(dān)的工作和責(zé)任。否則，將導(dǎo)致其投標(biāo)被拒絕。
The Bidder shall furnish, as part of its bid, documents establishing the Bidder’s eligibility to
bid and its qualifications to perform contract if its bid is accepted. If the Bidder is a Joint Venture, each member of the Joint Venture shall submit respectively the Qualification Documents, together with the Joint Venture Agreement in which the leading member of the Joint Venture and respective work scope and responsibility shall be Clearly indicated. Otherwise, its bid will be rejected.
13.2 投標(biāo)人提交的資格證明文件應(yīng)證明其來(lái)自本須知第2.2條款定義的合格來(lái)源國(guó)/地區(qū)。
The documentary evidence of the Bidder’s eligibility to bid shall establish to the Tendering Agent and the Tenderer’s satisfaction that the Bidder, at the time of submission of its bid, is from an eligible country as defined under ITB Clause 2.
13.3 投標(biāo)人提交的證明其中標(biāo)后能履行合同的資格證明文件應(yīng)包括下列文件：
The documentary evidence of the Bidder’s qualifications to perform the contract if its bid is
accepted shall establish to the Tendering Agent and the Tendeer’s satisfaction:
1）如果投標(biāo)人按照合同提供的貨物不是投標(biāo)人自己制造的，投標(biāo)人應(yīng)得到貨物制造商同意其在本次投標(biāo)中提供該貨物的正式授權(quán)書(shū)（見(jiàn)格式IV-9-4）；
that, in the case of a Bidder offering to supply goods under the contract which the Bidder
does not manufacture or otherwise produce, the Bidder has been duly authorised by the goods’ Manufacturer or Producer to supply the goods in this bidding project, format as per Section 4 Form IV-9-4.
2）證明投標(biāo)人已具備履行合同所需的財(cái)務(wù)、技術(shù)和生產(chǎn)能力的文件；
that, the Bidder has the financial, technical and production capability necessary to perform the contract;
3）證明投標(biāo)人滿(mǎn)足投標(biāo)資料表中列出的業(yè)績(jī)要求的文件。
that, the Bidder meets the qualification criteria listed in the Bid Data Sheet.
4）投標(biāo)人開(kāi)戶(hù)銀行在開(kāi)標(biāo)日前三個(gè)月內(nèi)開(kāi)具資信證明原件或該原件的復(fù)印件；
that, the Bidder shall provide the bank reference letter issued within three months prior to the time of bid opening in original or its copy;
5）招標(biāo)文件中要求的其他資格證明文件。
Other certifications requested in the bidding documents.
14證明貨物的合格性和符合招標(biāo)文件規(guī)定的文件
Documents Establishing Goods, Eligibility and Conformity to Bidding Documents
14.3 投標(biāo)人應(yīng)提交證明文件，證明其擬供的合同項(xiàng)下的貨物和服務(wù)的合格性符合招標(biāo)文件規(guī)定。該證明文件作為投標(biāo)文件的一部分。
The Bidder shall furnish, as part of its bid, documents establishing the e1igibility and conformity to the bidding documents of all goods and services which the Bidder proposes to supply under the contract.
14.4 貨物和服務(wù)合格性的證明文件應(yīng)包括投標(biāo)分項(xiàng)報(bào)價(jià)表中對(duì)貨物和服務(wù)原產(chǎn)地的說(shuō)明，并由裝運(yùn)貨物時(shí)出具的原產(chǎn)地證書(shū)證實(shí)。
The documentary evidence of the eligibility of the goods and services shall consist of a statement in the Bid Schedule of Prices of the country of origin of the goods and services offered which shall be confirmed by a certificate of origin issued at the time of shipment.
14.3 證明貨物和服務(wù)與招標(biāo)文件的要求相一致的文件，可以是文字資料、圖紙和數(shù)據(jù)，它包括：
The documentary evidence of conformity of the goods and services to the bidding documents
may be in the form of literature, drawings and data, and shall consist of:

a detailed description of the essential technical and performance characteristics of the goods; and
2）貨物從招標(biāo)人驗(yàn)收后開(kāi)始使用至投標(biāo)資料表中規(guī)定的周期內(nèi)正常、連續(xù)地使用所必須的備件和專(zhuān)用工具清單，包括備件和專(zhuān)用工具的貨源及現(xiàn)行價(jià)格；
a list, giving full particulars, including available sources and current prices of spare parts,
special tools, etc., necessary for the proper and continuing functioning of the goods for a
period to be specified in the Bid Data Sheet, following commencement of the use of the
goods by the Tenderer; and
3）對(duì)照招標(biāo)文件技術(shù)規(guī)格，逐條說(shuō)明所提供貨物和服務(wù)已對(duì)招標(biāo)文件的技術(shù)規(guī)格做出了實(shí)質(zhì)性的響應(yīng)，并申明與技術(shù)規(guī)格條文的偏差和例外。特別對(duì)有具體參數(shù)要求的指標(biāo)，投標(biāo)人必須提供所投設(shè)備的具體參數(shù)值。
an item-by-item commentary on the Tenderer’s Technical Specifications demonstrating substantial responsiveness of the goods and services to those specifications, or a statement of deviations and exceptions to the provisions of the Technical Specifications. Particularly, to those specifications with specific parameters, the bidder shall furnish specif1c parameter value of offered goods.
14.4 投標(biāo)人在闡述上述第14.3 3）時(shí)應(yīng)注意招標(biāo)文件的技術(shù)規(guī)格中指出的工藝、材料和設(shè)備的標(biāo)準(zhǔn)以及參照的品牌或型號(hào)僅起說(shuō)明作用，并沒(méi)有任何限制性。投標(biāo)人在投標(biāo)中可以選用替代標(biāo)準(zhǔn)、品牌或型號(hào)，但這些替代要實(shí)質(zhì)上滿(mǎn)足或超過(guò)技術(shù)文件的要求。
For purposes of the commentary to be furnished pursuant to ITB Clause l4.3 3）above, the Bidder shall note that standards for workmanship, material and equipment, as we11 as references to brand names or catalogue numbers designated by the Tenderer in its Technical Specifications. are intended to be descriptive only and not restrictive. The Bidder may substitute alternative standards, brand names, and/or catalogue numbers in its bid, provided that it demonstrates to the Tenderer’s satisfaction that the substitutions ensure substantial equivalence to or higher than those designated in the Technical Specifications.
15投標(biāo)保證金B(yǎng)id Security
15.1投標(biāo)人應(yīng)提交投標(biāo)資料表規(guī)定數(shù)額的投標(biāo)保證金，并作為其投標(biāo)的一部分。
The Bidder shall furnish, as part of its bid, a bid security in the amount specified in the Bid Data Sheet.
15.2投標(biāo)保證金是為了保護(hù)招標(biāo)機(jī)構(gòu)和招標(biāo)人免遭因投標(biāo)人的行為而蒙受損失。招標(biāo)機(jī)構(gòu)和招標(biāo)人在因投標(biāo)人的行為受到損害時(shí)可根據(jù)本須知第15.7條的規(guī)定沒(méi)收投標(biāo)人的投標(biāo)保證金。
The bid security is required to protect the Tendering Agent and the Tenderer against the risk of
Bidder’s conduct which would warrant the security’s forfeiture, pursuant to ITB Clause 15.7.
15.3投標(biāo)保證金應(yīng)用投標(biāo)貨幣或招標(biāo)機(jī)構(gòu)可接受的貨幣，并采用下列任何一種形式：
The bid security shall be denominated in the currency of the bid or in another currency acceptable to the Tendering Agent, and shall be in one of the following forms:
1）由一家在中華人民共和國(guó)境內(nèi)或境外信譽(yù)好的銀行用招標(biāo)文件提供的格式或招標(biāo)機(jī)構(gòu)接受的其他格式出具的銀行保函或不可撤銷(xiāo)的信用證，其有效期應(yīng)超過(guò)投標(biāo)有效期30日；
A bank guarantee or an irrevocable letter of credit issued by a reputable bank located in PRC or abroad, in the form provided in the bidding documents or another form acceptable to the Tenderer and valid for thirty (30) days beyond the validity of the bid; or
2）銀行本票、保兌支票或現(xiàn)金，或投標(biāo)資料表中規(guī)定的其他形式。
A cashier’s check, certified check, or cash. or other forms prescribed in the Bid Data Sheet.
15.4 凡沒(méi)有根本須知第15.1和15.3條的規(guī)定隨附投標(biāo)保證金的投標(biāo)，應(yīng)按本須知第24條的規(guī)定視為非響應(yīng)性響應(yīng)，并予以拒絕。
Any bid not secured in accordance with ITB Clauses 15.l and 15.3m will be rejected as non-responsive, pursuant to ITB Clause 24.
15.5 未中標(biāo)的投標(biāo)人的投標(biāo)保證金，將盡速并不晚于按照本須知第16條規(guī)定的投標(biāo)有效期期滿(mǎn)30日原額退還投標(biāo)人。
Unsuccessful bidders’ bid security will be discharged or returned in its origenal amount as promptly as possible but not later than thirty (30) days after the expiration of the period of bid
validity pursuant to ITB Clause 16.
15.6 中標(biāo)人的投標(biāo)保證金， 在中標(biāo)人按本須知第34條規(guī)定簽訂合同，按本須知第35條規(guī)定交納了履約保證金，并按本須知第36條規(guī)定交納了招標(biāo)服務(wù)費(fèi)后予以退還。
The successful Bidder’s bid security wi11 be discharged upon the Bidder signing the contract,
pursuant to ITB Clause 34, and furnishing the performance security, pursuant to ITB Clause 35,and payment of Tendering service fee pursuant to ITB Clause 36.
15.7 下列任一情況發(fā)生時(shí)，投標(biāo)保證金將被沒(méi)收：The bid security may be forfeited:
1）投標(biāo)人在招標(biāo)文件中規(guī)定的投標(biāo)有效期內(nèi)撤回投標(biāo)；
if a Bidder withdraws its bid during the period of bid validity specified in the bidding documents; or
2）中標(biāo)人在規(guī)定期限內(nèi)未能根據(jù)本須知第34條規(guī)定簽訂合同；
if the successful Bidder fails to sign the contract in accordance with ITB Clause 34;or
3）中標(biāo)人在規(guī)定期限內(nèi)未能根據(jù)按本須知第35條規(guī)定提交履約保證金；
if the successful Bidder fails to furnish performance security in accordance with ITB Clause 35.or
4）中標(biāo)人未按本須知第36條規(guī)定交納招標(biāo)服務(wù)費(fèi)。
if the successful bidder failures to pay the tendering service fee with ITB Clause 36.
16投標(biāo)有效期Period of Validity of bids
16.1投標(biāo)應(yīng)自投標(biāo)資料表中規(guī)定的開(kāi)標(biāo)日起，并在投標(biāo)資料表中所述時(shí)期內(nèi)保持有效。投標(biāo)有效期不足的投標(biāo)將被視為非實(shí)質(zhì)性響應(yīng)，并予以拒絕。
Bids shall remain valid for the period specified in the Bid Data Sheet from the date of bid opening.A bid valid for a shorter period shall be rejected as non-responsive.
16.2特殊情況下，在原投標(biāo)有效期截止之前，招標(biāo)機(jī)構(gòu)可要求投標(biāo)人同意延長(zhǎng)投標(biāo)有效期。這種要求與答復(fù)均應(yīng)以書(shū)面形式提交。投標(biāo)人可拒絕招標(biāo)機(jī)構(gòu)的這種要求，其投標(biāo)保證金將不會(huì)被沒(méi)收。但其投標(biāo)在原投標(biāo)有效期期滿(mǎn)后將不再有效。同意延長(zhǎng)投標(biāo)有效期的投標(biāo)人將不會(huì)被要求和允許修正其投標(biāo)，而只會(huì)被要求相應(yīng)地延長(zhǎng)其投標(biāo)保證金的有效期。在這種情況下，本須知第15條有關(guān)投標(biāo)保證金的退還和沒(méi)收的規(guī)定將在延長(zhǎng)了的有效期內(nèi)繼續(xù)有效。
In exceptional circumstances, prior to the expiry of the original bid validity period, the Tendering Agent may request the Bidder’s consent to an extension of the period of validity. The request and the responses thereto shall be made in writing. A Bidder may refuse the request without forfeiting its bid security. A Bidder agreeing to the request will not be required nor permitted to modify its bid, but will be required to extend the validity of its Bid security correspondingly. The provisions of Clause 15 regarding discharge and forfeiture of Bid Security shall continue to apply during the extended period of bid validity.
17投標(biāo)文件的樣式和簽署Format and Signing of Bids
17.1投標(biāo)人應(yīng)準(zhǔn)備一份投標(biāo)文件正本和投標(biāo)資料表中規(guī)定數(shù)目的副本，每套投標(biāo)文件須清楚地標(biāo)明“正本”或“副本”。若副本與正本不符，以正本為準(zhǔn)。
The Bidder shall prepare an original and the number of copies of the bid indicated in the Bid Data Sheet, clearly marking each “ORIGINAL”, or “COPY” of bid, as appropriate. In the event of any discrepancy between them, the original shall govern.
17.2投標(biāo)文件的正本須打印或用不褪色墨水書(shū)寫(xiě)，并由法定代表人或經(jīng)正式授權(quán)的代表簽字。授權(quán)代表須將以書(shū)面形式出具的《法定代表人授權(quán)書(shū)》附在投標(biāo)文件中。除沒(méi)有修改過(guò)的印刷文獻(xiàn)外，投標(biāo)文件的每一頁(yè)都應(yīng)由法定代表人或其授權(quán)代表用姓或首字母簽字。投標(biāo)文件的副本應(yīng)為正本的復(fù)印件。
The original bid shall be typed or written in indelible ink and shall be signed by the legal representative of the Bidder or a person or persons duly authorized to bind the Bidder to the contract. The latter authorization shall be indicated by written power of attorney accompanying the bid. All pages of the bid, except for unamended printed literature, shall be initialed by the person or persons signing the bid. The copies of bid shall be the duplicated copies of the original bid.
17.3任何行間插字、涂改和增刪，必須由投標(biāo)文件簽字人在旁邊簽字才有效。
Any interlineation, erasures or overwriting shall be valid only if they are initialed by the person or persons signing the bid.
四、投標(biāo)文件的遞交D Submission of bids
18 投標(biāo)文件的密封和標(biāo)記Sealing and Marking of Bids
18.1投標(biāo)文件應(yīng)包括開(kāi)標(biāo)一覽表。為方便開(kāi)標(biāo)時(shí)唱標(biāo)，投標(biāo)人還應(yīng)將開(kāi)標(biāo)一覽表和投標(biāo)保證金單獨(dú)密封提交，并在信封上標(biāo)明“開(kāi)標(biāo)一覽表”字樣。投標(biāo)人應(yīng)將投標(biāo)文件正本和所有的副本分開(kāi)密封裝在單獨(dú)的信封中，且在信封上標(biāo)明“正本”“副本”字樣。然后再將所有信封封裝在一個(gè)外層信封中。
Summary Sheet for bid Opening shall be included in the bid. For the convenience of Bid Opening, the Bidder is required to submit the Summary Sheet for Bid Opening, together with the Bid Security, in a separate envelope and duly marking the envelope as “Summary Sheet for Bid Opening”. The Bidder shall seal the original and each copy of the bid in separate envelopes, duly marking the envelopes as“ORIGINAL” and “COPY”. All these envelopes shall then be sealed in an outer envelope.
18.2內(nèi)外層信封均應(yīng)：The inner and outer envelope shall be:
1）清楚標(biāo)明遞交至投標(biāo)資料表中指明的地址。
addressed to the address given in the Bid Data Sheet; and
2）注明投標(biāo)資料表中指明的項(xiàng)目名稱(chēng)、投標(biāo)邀請(qǐng)的標(biāo)題、編號(hào)和“在（開(kāi)標(biāo)日期和時(shí)間）之前不得啟封”的字樣，并填入投標(biāo)資料表中規(guī)定的開(kāi)標(biāo)日期和時(shí)間。
bear the Project name indicated in the Bid Data Sheet, the Invitation for Bids(IFB)title and number indicated in the Bid Data Sheet, and the word“DO NOT OPEN BEFORE”, followed by the time and date for bid opening specified in the Bid Data Sheet.
18.3內(nèi)層信封應(yīng)寫(xiě)明投標(biāo)人名稱(chēng)和地址，以便將遲交的投標(biāo)文件能原封退回。
The inner envelopes shall also indicate the name and address of the Bidder to enable the bid to
be returned unopened in case it is declared “late”.
18.4 如果外層信封未按本須知第18.2條要求加寫(xiě)標(biāo)記和密封， 招標(biāo)機(jī)構(gòu)對(duì)誤投或提前啟封概不負(fù)責(zé)。
If the outer envelope is not sealed and marked as required by ITB Clause 18.2, the Tendering
Agent will assume no responsib11ity for the bid’s misplacement or premature opening.
19投標(biāo)截止期Deadline for Submission of Bids
19.1投標(biāo)人應(yīng)在不遲于投標(biāo)資料表中規(guī)定的截止日期和時(shí)間將投標(biāo)文件遞交至招標(biāo)機(jī)構(gòu)，遞交地點(diǎn)應(yīng)是投標(biāo)資料表中指明的地址。
Bids must be received by the Tendering Agent at the address and a time no later than the time and date specified in the Bid Data Sheet.
19.2招標(biāo)機(jī)構(gòu)可以按本須知第7條規(guī)定，通過(guò)修改招標(biāo)文件自行決定酌情退遲投標(biāo)截止期。在此情況下，招標(biāo)機(jī)構(gòu)、招標(biāo)人和投標(biāo)人受投標(biāo)截止期制約的所有權(quán)利和義務(wù)均應(yīng)延長(zhǎng)至新的截止期。
The Tendering Agent may, at its discretion, extend this deadline for the submission of bids by
amending the bidding documents in accordance with ITB C1ause7, in which case all rights and obligations of the Tendering Agent/the Tenderer and Bidders previously subject to the deadline will thereafter be subject to the deadline as extended.
20遲交的投標(biāo)文件 Late Bids
招標(biāo)機(jī)構(gòu)將拒絕并原封退回在本須知第19條規(guī)定的截止期后收到的任何投標(biāo)文件。
Any bid received by the Tendering Agent after the deadline for submission of bids, pursuant to ITB Clause 19, will be rejected and returned unopened to the Bidder.
21投標(biāo)文件的修改與撤回 Modification and Withdrawal of Bids
21.1投標(biāo)人在遞交投標(biāo)文件后，可以修改或撤回其投標(biāo)， 但投標(biāo)人必須在規(guī)定的投標(biāo)截止期之前將修改或撤回的書(shū)面通知遞交到招標(biāo)機(jī)構(gòu)。
The Bidder may modify or withdraw its bid after the bid’s submission, provided that written notice of the modification, including substitution or withdrawal of the bids, is received by the Tendering Agent prior to the deadline for submission of bids.
21.2投標(biāo)人的修改或撤回通知應(yīng)按本須知第18條規(guī)定編制、密封、標(biāo)記和遞交。
The Bidder’s rnodif1cation or withdrawal notice shall be prepared, sealed, marked and dispatched in accordance with the provisions of ITB Clause l8.
在投標(biāo)截止期之后，投標(biāo)人不得對(duì)其投標(biāo)做任何修改。
No bid may be modified after the deadline for submission of bids.
21.4 從投標(biāo)截止期至投標(biāo)人在投標(biāo)書(shū)中確定的投標(biāo)有效期期滿(mǎn)的這段時(shí)間內(nèi)，投標(biāo)人不得撤回其投標(biāo)，否則其投標(biāo)保證金將按照本須知第15.7條的規(guī)定被沒(méi)收。
No bid may be withdrawn in the interval between the deadline for submission of bids and the
expiration of the period of bid validity specified by the Bidder on the Bid Form. Withdrawal of a bid during this interval may result in the Bidder’s forfeiture of its bid security, pursuant to ITB Clause 15.7.
五、開(kāi)標(biāo)與評(píng)標(biāo)E Opening and Evaluation of Bids
22 開(kāi)標(biāo)Opening of Bid
22.1招標(biāo)機(jī)構(gòu)在投標(biāo)資料表中規(guī)定的日期、時(shí)間和地點(diǎn)組織公開(kāi)開(kāi)標(biāo)。 開(kāi)標(biāo)時(shí)邀請(qǐng)所有投標(biāo)人代表自愿參加。參加開(kāi)標(biāo)的代表應(yīng)簽名報(bào)到以證明其出席。
The Tendering Agent will open all bids in the presence of bidders’ representatives who choose
to attend, in the place and at the date and time specified in the Bid Data Sheet. The bidders, representatives who are present shall sign a register evidencing their attendance.
22.2開(kāi)標(biāo)時(shí)，招標(biāo)機(jī)構(gòu)當(dāng)眾宣讀投標(biāo)人名稱(chēng)、修改和撤回投標(biāo)的通知、投標(biāo)價(jià)格、價(jià)格變更聲明、是否提交了投標(biāo)保證金，以及招標(biāo)機(jī)構(gòu)認(rèn)為合適的其他內(nèi)容。除了按照本須知第20條的規(guī)定原封退回遲到的投標(biāo)之外，開(kāi)標(biāo)時(shí)將不得拒絕任何已購(gòu)買(mǎi)招標(biāo)文件的投標(biāo)人的投標(biāo)。
The bidders’ names, bid ,modifications or withdrawals, bid prices, price modification statement, and the presence or absence of the requisite bid security and such other details as the Tendering Agent, at its discretion, may consider appropriate, will be announced at the bid opening. No bid shall be rejected at bid opening, except for late bids, which shall be returned unopened to the Bidder pursuant to ITB Clause 20.

Bids that are not opened and the contents of ITB Clause 22.2 that are not read out at the bid opened shall not be considered further for evaluation. Such bids will be returned unopened to the bidders.

23 投標(biāo)文件的澄清Clarification of bids
23.1評(píng)標(biāo)由依照有關(guān)法規(guī)組建的評(píng)標(biāo)委員會(huì)負(fù)責(zé)。評(píng)標(biāo)委員會(huì)將按照投標(biāo)資料表中確定的最低評(píng)標(biāo)價(jià)法或綜合評(píng)價(jià)法進(jìn)行。本投標(biāo)人須知第26條和第27條的規(guī)定適用于最低評(píng)標(biāo)價(jià)法；綜合評(píng)價(jià)法的評(píng)分方法和標(biāo)準(zhǔn)在本招標(biāo)文件第二冊(cè)中規(guī)定。評(píng)標(biāo)委員會(huì)對(duì)投標(biāo)文件的評(píng)審，分為符合性檢查、商務(wù)評(píng)議、技術(shù)評(píng)議和價(jià)格評(píng)議/綜合評(píng)議。
The Evaluation Committee will be in charge of the evaluation. Evaluation Committee will examine the bids per Lowest bid price evaluation or comprehensive evaluation method as specified in Bid Data Form. ITB Clause 26 and Clause 27 are applicable to the lowest bid price evaluation; while the standards and manners of the comprehensive evaluation are specified in Volume two of the bidding document. Evaluation committee will execute the technical and price/comprehensive evaluation to bids including the evaluation of conformity, commercial, technical, price and comprehensive capacity.

During evaluation of the bids, the Evaluation Committee may, at its discretion, ask the Bidder for a clarification of its bid. The request for clarification and the response shall be in writing, and no change in the prices or substance of the bid shall be sought, offered or permitted.
24 投標(biāo)文件的初審 Preliminary Examination
24.1評(píng)標(biāo)委員會(huì)將審查投標(biāo)文件是否完整、總體編排是否有序、文件簽署是否合格、投標(biāo)人是否提交了投標(biāo)保證金、有無(wú)計(jì)算上的錯(cuò)誤等。
The Evaluation Committee will examine the bids to determine whether they are complete, whether the bids are generally in order, whether required securities have been furnished, whether the documents have been properly signed, and whether any computational errors have been made.
24.2 算術(shù)錯(cuò)誤將按以下方法更正：若單價(jià)計(jì)算的結(jié)果與總價(jià)不一致，以單價(jià)為準(zhǔn)修改總價(jià)；若用文字表示的 數(shù)值與用數(shù)字表示的數(shù)值不一致，以文字表示的數(shù)值為準(zhǔn)。如果投標(biāo)人不接受對(duì)其錯(cuò)誤的更正，其投標(biāo)將被拒絕。
Arithmetical errors will be rectified on the following basis. If there is a discrepancy between the unit price and the total price that is obtained by multiplying the unit price and quantity, the unit price shall prevail, and the total price shall be corrected. If there is a discrepancy between words and figures, the amount in words will prevail. If the bidder does not accept the correction of the errors, its bid will be rejected.
24.3 對(duì)于投標(biāo)文件中不構(gòu)成實(shí)質(zhì)性偏差的不正規(guī)、不一致或不規(guī)則，評(píng)標(biāo)委員會(huì)可以接受，但這種接受不能損害或影響任何投標(biāo)人的相對(duì)排序。
The Evaluation Committee may waive any minor informality, nonconformity, or irregularity in a bid which does not constitute a material deviation, provided such waiver does not prejudice or affect the relative ranking of any Bidder.
24.4 在詳細(xì)評(píng)標(biāo)之前，評(píng)標(biāo)委員會(huì)要審查每份投標(biāo)文件是否實(shí)質(zhì)上響應(yīng)了招標(biāo)文件的要求。實(shí)質(zhì)上響應(yīng)的投標(biāo)應(yīng)該是與招標(biāo)文件要求的關(guān)鍵條款、條件和規(guī)格相符，沒(méi)有重大偏離的投標(biāo)。對(duì)關(guān)鍵條文的偏離、保留或反對(duì)，例如關(guān)于投標(biāo)保證金、適用法律、稅及關(guān)稅等內(nèi)容的偏離將被認(rèn)為是實(shí)質(zhì)上的偏離。評(píng)標(biāo)委員會(huì)決定投標(biāo)的響應(yīng)性只根據(jù)投標(biāo)本身的真實(shí)無(wú)誤的內(nèi)容，而不依據(jù)外部的證據(jù)，但投標(biāo)有不真實(shí)不正確的內(nèi)容時(shí)除外。
Prior to the detailed evaluation, the Evaluation Committee will determine the substantial responsiveness of each bid to the bidding documents. For purposes of these Clauses, a substantially responsive bid is one which conforms to all the terms and conditions of the bidding documents without material deviations. Deviation from, or objections or reservations to critical provisions, such as those concerning Bid Security, Applicable Law, and Taxes and Duties, will be deemed to be a material deviation. The Evaluation Committee’s determination of a bid’s responsiveness is to be based on the contents of the bid itself without recourse to extrinsic evidence.
24.5 實(shí)質(zhì)上沒(méi)有響應(yīng)招標(biāo)文件要求的投標(biāo)將被拒絕。投標(biāo)人不得通過(guò)修正或撤消不合要求的偏離或保留從而使其投標(biāo)成為實(shí)質(zhì)上響應(yīng)的投標(biāo)。
If a bid is not substantially responsive, it will be rejected and may not subsequently be made responsive by the Bidder having corrected or withdrawn the non-conforming deviation or reservation.
在商務(wù)評(píng)議時(shí)，如發(fā)現(xiàn)下列情況之一的，其投標(biāo)將被拒絕：
During the economical evaluation, the bid will be rejected as non-responsiveness, if it is found having any of the following:
1）投標(biāo)人未提交投標(biāo)保證金或金額不足、保函有效期不足、投標(biāo)保證金形式或投標(biāo)保函出證銀行不符合招標(biāo)文件要求的；
The bid is not accompanied with a bid security, or, in the case the submitted bid security is of less amount than required, or of shorter validity than required, or not conforming with the requirements of Bidding Documents in its form and issuing bank.
2）投標(biāo)文件未按照要求逐頁(yè)簽字的；
The Bidding Documents is not initialized on each page;
3）投標(biāo)人及其制造商與招標(biāo)人、招標(biāo)機(jī)構(gòu)有利害關(guān)系的；
The bidder and his manufacturer has interest relations with the Tenderer and Tendering agent;
4）投標(biāo)人的投標(biāo)書(shū)或資格證明文件未提供或不符合招標(biāo)文件要求的；
The Bidding Documents or qualification certifications not confirm with the tendering requirements;
5）投標(biāo)文件無(wú)法定代表人簽字，或簽字人無(wú)法定代表人有效授權(quán)書(shū)的；
The bid has not been signed by the Bidder’s Legal Person, or by the person or persons with a Power of Attorney issued by the said Legal Person.
6）投標(biāo)人業(yè)績(jī)不滿(mǎn)足招標(biāo)文件要求的；
The experience of the Bidder does not meet the requirements of the Bidding Documents;
7）投標(biāo)有效期不足的；
The bid validity offered by the Bidder is shorter than that stipulated in the Bidding Document; and
8）投標(biāo)文件符合招標(biāo)文件中規(guī)定廢標(biāo)的其他商務(wù)條款。
The bids conform to other commercial clauses of bids abolition in the tendering document.
在技術(shù)評(píng)議時(shí)，如發(fā)現(xiàn)下列情況之一的，其投標(biāo)將被拒絕：
During the technical evaluation, the bid will be rejected if it is found having any of the following:
1）投標(biāo)文件不滿(mǎn)足招標(biāo)文件技術(shù)規(guī)格中加注星號(hào)（“＊”）的主要參數(shù)要求或加注星號(hào)（“＊”）的主要參數(shù)無(wú)技術(shù)資料支持的。技術(shù)支持資料以制造商公開(kāi)發(fā)布的印刷資料或檢測(cè)機(jī)構(gòu)出具的檢測(cè)報(bào)告為準(zhǔn)。若制造商公開(kāi)發(fā)布的印刷資料與檢測(cè)機(jī)構(gòu)出具的檢測(cè)報(bào)告不一致，以檢測(cè)機(jī)構(gòu)出具的檢測(cè)報(bào)告為準(zhǔn)。
The bids cannot satisfy the main parameter requirement of the specifications that annotated“＊”, or no technical support of the specifications that annotated“＊”;The technical supporting documents shall be based on the printing documents issued in public Or the checking report issued by the checking authority, if there are any difference between the two kinds, the checking report shall prevail.
2）投標(biāo)文件技術(shù)規(guī)格中一般參數(shù)超出允許偏離的最大范圍或最高項(xiàng)數(shù)的；
The general parameter of the technical specification in the bidding document exceed the maximum range or highest items of the permitted deviation;
3）投標(biāo)文件技術(shù)規(guī)格中的響應(yīng)與事實(shí)不符或虛假投標(biāo)的；
The responses to the technical specification in the bidding document are inconsistent with the reality or false bid;
4）投標(biāo)人復(fù)制招標(biāo)文件的技術(shù)規(guī)格相關(guān)部分內(nèi)容作為其投標(biāo)文件的一部分的；
The bidders copied some related contents of the technical specification, and take those as a part of the bid;
5）投標(biāo)文件符合招標(biāo)文件中規(guī)定廢標(biāo)的其他技術(shù)條款。
The bids conform to other clauses of bids abolition in the bidding document.
25 轉(zhuǎn)換為單一貨幣 Conversion to Single Currency
25.1為了便于評(píng)標(biāo)和比較，如果投標(biāo)價(jià)中有多種貨幣，并開(kāi)標(biāo)當(dāng)日中國(guó)人民銀行授權(quán)公布的投標(biāo)貨幣對(duì)人民幣的中間價(jià)統(tǒng)一轉(zhuǎn)換成投標(biāo)資料表中規(guī)定的投標(biāo)貨幣。投標(biāo)資料表中另有規(guī)定的除外。
To facilitate evaluation and comparison, the Tendering Agent will convert all bid prices expressed in the amounts in different currencies in which the bid prices are payable to U.S. Dollars at the selling exchange rate published by Bank of China on the date of bid opening. Except for the other stipulation in the Bid data sheet.
26 投標(biāo)的評(píng)價(jià) Evaluation and Comparison of Bids
26.1評(píng)標(biāo)委員會(huì)將按照本須知第24條規(guī)定，只對(duì)確定為實(shí)質(zhì)的上響應(yīng)招標(biāo)文件要求的投標(biāo)進(jìn)行評(píng)價(jià)和比較。
The Evaluation Committee will evaluate and compare the bids which have been determined to be substantially responsive, pursuant to ITB Clause 24.
26.2 計(jì)算評(píng)標(biāo)總價(jià)時(shí)，以貨物到達(dá)招標(biāo)人指定安裝地點(diǎn)為依據(jù)。境外產(chǎn)品為CIF價(jià)，進(jìn)口環(huán)節(jié)稅及境內(nèi)運(yùn)輸費(fèi)、保險(xiǎn)費(fèi)之和；境內(nèi)產(chǎn)品為出廠(chǎng)價(jià)（含增殖稅和其他稅費(fèi)）及境內(nèi)運(yùn)輸費(fèi)、保險(xiǎn)費(fèi)之和。
The total Evaluated Bid Price (EBP) will be calculated on the basis that the goods be delivered to the designated erect site. For goods offered outside PRC, the total EBP shall be: CIF Price, plus Customs Duties, Import Taxes, and the cost of Inland Transportation and Insurance. For goods offered from within PRC, the total EBP shall be: EXW Price (including Value Added Tax and other taxes), plus the cost of Inland Transportation and Insurance.
26.3 評(píng)標(biāo)委員會(huì)在評(píng)標(biāo)時(shí)，除根據(jù)本須知第11.2條的規(guī)定考慮投標(biāo)人的報(bào)價(jià)之外，還要按照招標(biāo)文件的規(guī)定考慮量化以下因素：
The Evaluation Committee’s evaluation of a bid will take into account, in addition to the bid price quoted in accordance with ITB Clause 11.2, one or more of the following factors:
1）在中國(guó)境內(nèi)所發(fā)生的內(nèi)陸運(yùn)輸費(fèi)、保險(xiǎn)費(fèi)，及其將貨物運(yùn)至最終目的地的伴隨服務(wù)費(fèi)用；
Cost of inland transportation, insurance and other costs within PRC incidental to delivery of the goods to their anal destination;
2）投標(biāo)文件申報(bào)的交貨期；Delivery schedule offered in the bid;
3）與合同條款規(guī)定的付款條件的偏差；
Deviations in payment schedule from that specified in the Terms and Conditions of contract;
4）所投貨物零部件、備品備件和伴隨服務(wù)的費(fèi)用；
The cost of components, spare parts and services;
5）在中國(guó)境內(nèi)得到投標(biāo)設(shè)備的備件和售后服務(wù)的可能性；
The availability in PRC of spare parts and after-sales services for the equipment offered in
the bid;
6）投標(biāo)設(shè)備在使用周期內(nèi)預(yù)計(jì)的運(yùn)營(yíng)費(fèi)和維護(hù)費(fèi)；
The projected operating and maintenance costs during the life of the equipment;
7）投標(biāo)設(shè)備的性能和生產(chǎn)率；
The performance and productivity of the equipment offered; and/or
8）備選方案及其他額外的評(píng)標(biāo)因素和標(biāo)準(zhǔn)。
Optional proposals and other evaluation factors and criteria.
26.4 根據(jù)本須知第26.3條的規(guī)定，對(duì)投標(biāo)資料表中選定的評(píng)標(biāo)因素，可采用以下量化方法調(diào)整評(píng)標(biāo)價(jià)格：
For factors retained in the Bid Data Sheet pursuant to ITB26.3, one or more of the following
quantification methods will be applied, as detailed in the Bid Data Sheet:
26.4.1在中國(guó)境內(nèi)所發(fā)生的內(nèi)陸運(yùn)輸費(fèi)、保險(xiǎn)費(fèi)及其他伴隨服務(wù)的費(fèi)用.

Cost of inland transportation, insurance, and incidentals occurred within PRC.
Inland transportation, insurance and other inddenta1 costs for delivery of the goods from EXW/ port of entry/border point to Project Site named in the Bid Data Sheet will be computed for each bid by the Evaluation Committee on the basis of published tariffs by the rail or road transport agencies, insurance companies, and/or other appropriate sources. To facilitate such computation, bidder shall furnish in its bid the estimated dimensions and shipping weight and the approximate EXW/CIF/CIP value of each package. The above costs will be added by the Evaluation Committee to EXW/CIF/CIP price.
26.4.2 投標(biāo)文件申報(bào)的交貨期Delivery schedule.

The goods covered under the Invitation for Bids are required to be delivered (or shipped) at the time specifled1n the Schedule of Requirements. Taking this delivery requirements as the base, a delivery “adjustment” will be calculated-for each bid by applying a percentage, specified in the Bid Data Sheet, of the EXW/CIF/CIP price for each week of delay beyond the base, and this will be added to the bid price for evaluation. No credit shall be given to early delivery. Or

The goods covered under this invitation are required to be delivered (shipped) within an acceptable range of weeks specified in the Schedule of Requirement. No credit will be given to earlier deliveries, and bids offering delivery beyond this range will be treated as non-responsive. Within this acceptable range, an adjustment per week, as specified in the Bid Data Sheet, will be added for evaluation to the bid price of bids offering deliveries later than the earliest delivery period specified in the Schedule of Requirements. Or

The goods covered under this invitation are required to be delivered (shipped) in partial shipments, as specified in the Schedu1e of Requirements. Bids offering deliveries earlier or later than the specified deliveries will be adjusted in the evaluation by decreasing from or adding to the bid price a factor equal to a percentage, specified in the Bid Data Sheet, of EXW/CIF/CIP price per week of variation from the specified delivery schedule.
26.4.3 付款條件的偏差Deviation in payment schedule.

Bidden shall state their bid price for the payment schedule outlined in the Terms and Conditions of Contract. Bids will be evaluated on the basis of this base price. Bidders are, however, permitted to state an alternative payment schedule and indicate the reduction in bid price they wish to offer for such alternative payment schedule. The Evaluation Committee may consider the alternative payment schedule offered by the selected Bidder. Or
2）合同條款中規(guī)定了招標(biāo)人提出的付款計(jì)劃。如果投標(biāo)文件對(duì)此有偏離但又屬評(píng)標(biāo)委員會(huì)可以接受的，評(píng)標(biāo)時(shí)將按投標(biāo)資料表所述的利率計(jì)算提前支付所產(chǎn)生的利息，并將其計(jì)入其評(píng)標(biāo)中。
The Terms and Conditions of Contract stipulate the payment schedule offered by the Tenderer. If a bid deviates from the schedule and if such deviation is considered acceptable to the Tenderer, the bid will be evaluated by calculating interest earned for any earlier payments involved in the terms outlined in the bid as compared with those stipulated in this invitation, at a rate per annum as specified in the Bid Data Sheet.
26.4.4零部件和備品備件的費(fèi)用 Cost of components and spare parts.

The tota1cost of these items and quantities will be computed from spare pads unit prices submitted by the Bidder and added to the bid price. Or

The Tendering Agent and the Tenderer will estimate the cost of spare parts usage in the initial period of operation specified in the Bid Data Sheet, based on information furnished by each Bidder, as well as on past experience of the Tendering Agent and the Tenderer or other purchasers in similar situations. Such costs shall be added to the bid price for evaluation.

The cost to the Tenderer of establishing the minimum service facilities and pads inventories, as outlined in the Bid Data Sheet or elsewhere in the bidding documents, shall be added to the bid price.

1）投標(biāo)人應(yīng)響應(yīng)技術(shù)規(guī)格中的規(guī)定，說(shuō)明所提供的貨物保證達(dá)到的性能和效率。高于標(biāo)準(zhǔn)的，不考慮降低評(píng)標(biāo)價(jià)；低于標(biāo)準(zhǔn)性能或效率的（假設(shè)為100%），每低一個(gè)百分點(diǎn)，投標(biāo)價(jià)將增加投標(biāo)資料表中規(guī)定的調(diào)整金額，采用投標(biāo)資料表或技術(shù)規(guī)格中規(guī)定的方法，計(jì)算設(shè)備在使用年限中的運(yùn)行成本所額外增加的費(fèi)用?；?/div>
Bidders shall state the guaranteed performance or efficiency in response to the Technical Specifications. No credit shall be given to better performance and higher productivity. For each drop (of 1%) in the performance or efficiency below the norm of one hundred percent (100%), an adjustment for an amount specified in the Bid Data Sheet will be added to the bid price, representing the capitalised cost of additional operating costs over the life of the plant, using the methodology specified in the Bid Data Sheet or in the Technical Specifications. Or

Goods offered shall have a minimum productivity specified under the relevant provision in the Technical Specifications to be considered responsive. Evaluation shall be based on the cost Per unit of the actual productivity of goods offered in the bid, and adjustment will be added to the bid price using the methodology specified in the Bid Data Sheet or in the Technical Specifications.
26.4.8備選方案及其他額外的評(píng)標(biāo)因素和標(biāo)準(zhǔn)
Alternative Bid and Other Additional Factor and Criteria
除非投標(biāo)資料表或技術(shù)規(guī)格中另有規(guī)定，只允許投標(biāo)人有一個(gè)投標(biāo)方案，否則，其投標(biāo)將被拒絕。如果投標(biāo)資料表或技術(shù)規(guī)格中規(guī)定允許有備選方案， 投標(biāo)人在投標(biāo)文件中只能提供一個(gè) 備選方案并注明主選方案，且備選方案的投標(biāo)價(jià)格及評(píng)標(biāo)價(jià)格均不得高于主選方案。評(píng)標(biāo)時(shí)僅對(duì)主選方案評(píng)議。如果投標(biāo)人提供兩個(gè)以上備選方案或未注明主選方案，其投標(biāo)將被拒絕。其他額外的評(píng)標(biāo)因素和標(biāo)準(zhǔn)將在投標(biāo)資料表和/或技術(shù)規(guī)格中詳細(xì)規(guī)定。
Unless otherwise specified, only one bid scheme of each bidder is permitted. Or, his bid will be rejected. If there are spare schemes permitted in “Bid Data Sheet” or Technical Specification, the bidder must explain the first-choose scheme. The bidder can only provide one spare scheme and state clearly the first-scheme, meanwhile the bidding price of the spare scheme shall not be higher than that of the first scheme. Only the first scheme can be evaluated during bid evaluation. The bid will be rejected if two schemes or more than two schemes are presented, or first scheme is not be stated. Other extra evaluation factors and standards will be detailed stipulated in “Bid Data Sheet” or Technical Specification.
27 最終評(píng)標(biāo)價(jià)的確定Determination of Final Evaluated Bid Price
27.1根據(jù)本須知第24、25和26條所計(jì)算出的評(píng)標(biāo)價(jià)應(yīng)為最終評(píng)標(biāo)價(jià)。
The Evaluated Bid Price calculated out in accordance with ITB Clause 24,25 and 26 shall be
treated as the final Evaluated Bid Price.
28 與招標(biāo)機(jī)構(gòu)和買(mǎi)方的接觸Contacting the Tendering Agent and the Tenderer
28.1除本須知第23.2條的規(guī)定外，從開(kāi)標(biāo)之日起至授予合同期間，投標(biāo)人不得就與其投標(biāo)有關(guān)的事項(xiàng)與招標(biāo)機(jī)構(gòu)、招標(biāo)人和評(píng)標(biāo)委員會(huì)接觸。
With exception for Clause 23, no Bidder shall contact the Tendering Agent, the Tenderer and the Evaluation Committee on any matter relating to its bid, from the time of the bid opening to the time the contract is awarded.
28.2 投標(biāo)人試圖對(duì)招標(biāo)機(jī)構(gòu)、招標(biāo)人和評(píng)標(biāo)委員會(huì)的評(píng)標(biāo)或授予合同的決定進(jìn)行影響，都可能導(dǎo)致其投標(biāo)被拒絕。
Any effort by a Bidder to influence the Tendering Agent, the Tenderer and the Committee in the Tendering Agent and the Tenderer’s decisions on bid evaluation, bid comparison, or contract award may result in the rejection of the Bidder’s bid.
