1. The Leased and its usage : 租賃物和用途 :
The Lessee rents from the Lessor all spaces on the area of m2 of the Real Estate Development , which is located in , including but not limited to the rooms, corridor and car parking area, as offices.
承租方租用出租方位于 的建筑面積為 平方米的區(qū)域作為寫(xiě)字間,包括但不限于所有房間、走廊及停車(chē)位。
Hereinafter referred to as the Leased Offices. 以下稱(chēng)"租賃寫(xiě)字間"。
2. Term of rental : 租賃期限 :
From to , plus the Lessee's right to renew this agreement on the same terms and conditions on a year by year basis. In this period the Lessee and Lessor shall give a sixty (60) day notice to the other party before the end of each year’s term about the renewal or termination of the Agreement.

4. Payment and term : 付款方式和期限 :
4.1 Payment can be made by check or bank transfer. 可用支票或電匯支付租金。
4.2 The Lessee shall prepay the quarterly rental for the following three months in advance.
承租方需按季度預(yù)付隨后三個(gè)月的租金。
4.3 If the Lessee fails to make payment as stipulated in the preceding clause, the overdue amount payable shall bear simple annual interest at the then prevailing interest rate of deposits announced by the People's Bank of China until such time as the payment is made.
If the Lessee fails to make payment in 60 days after the rental becomes payable the Lessor has the right to terminate the agreement.
如承租方未能按上款支付租金,則應(yīng)加付延期付款期間的利息,直至租金得以支付。利率按中國(guó)人民銀行公布的同期存款年單利率執(zhí)行。
如果承租方在60天內(nèi)未按約定支付租金,出租方有權(quán)解除本租賃協(xié)議。
4.4 The Lessee shall pay the yearly central heating fee within one week upon receipt of payment notice and the Lessor will issue an official invoice on the same day of receipt of the payment.
承租方在收到支付采暖費(fèi)通知后,支付年度采暖費(fèi),出租方在收到付款的當(dāng)日開(kāi)具正式發(fā)票。
4.5 The Lessor shall supply the Lessee with an official invoice (tax receipt) on the same day of the receipt of rental payment.
出租方應(yīng)在收到租金當(dāng)日向承租方出具正式(含稅)發(fā)票。
4.6 The Lessee will pay the Lessor amount of RMB One Hundred Thousand Yuan (100,000.00) as a deposit for starting the internal decoration upon signature of this Agreement. The deposit will be deducted from the first quarterly rental due.
本租賃協(xié)議簽訂后,承租人將支付出租人人民幣壹拾萬(wàn)元押金,啟動(dòng)內(nèi)部裝修。該押金將從第一個(gè)季度租金應(yīng)付款中扣除。
5. Rights and Obligations of the Parties : 雙方權(quán)利與義務(wù):
5.1 The Lessor shall permit the Lessee to move in and install some office furniture to the Leased Offices during final decoration stage before the official contract term commences for moving purpose.
出租方應(yīng)允許承租方在正式協(xié)議租賃期限開(kāi)始前在裝修末期搬入并安裝部分辦公家具,為辦公環(huán)境做好準(zhǔn)備。
5.2 The Lessor shall have the Lessee's written acceptance of the leasing condition at the time of handing over including but not limited to the following points:
出租方應(yīng)得到承租方對(duì)以下幾點(diǎn)交接時(shí)的出租環(huán)境的書(shū)面認(rèn)可,包括但不限于:
The Lessor shall start internal decoration to the Leased Offices at its own cost upon signing of this lease agreement with standard as following: white painted wall, white window blind, ceramic tile floor in office and granite stone floor in corridor, good quality air conditioner, hot water for wash basin, auto flush urinal, one sitting and one squatting type toilets in Men’s room, two squatting type toilets in Lady’s room. Partition entry double security door in front of elevator. Security doors on stairway entry. Coffee and tea room next to washroom shall have a sink with hot and cold water pipe installed. Partition wall and door change may be needed as required. Details of these decoration specifications will be provided by the Lessee.
自本租賃協(xié)議簽字生效之日起,出租方應(yīng)自費(fèi)對(duì)租賃寫(xiě)字間進(jìn)行內(nèi)部裝修,其裝修標(biāo)準(zhǔn)如下:白色墻漆墻面、白色百葉窗、寫(xiě)字間房間內(nèi)為瓷磚地面、走廊為花崗巖地面、高品質(zhì)空調(diào)機(jī)、衛(wèi)生間洗手盆有熱水、男衛(wèi)生間小便池自動(dòng)感應(yīng)沖水,一個(gè)蹲便和一個(gè)坐便、女衛(wèi)生間兩個(gè)蹲便、 衛(wèi)生間旁邊的茶水間要有冷熱水管和水池、電梯前安裝入戶(hù)雙開(kāi)防盜門(mén)、樓梯入口安裝雙開(kāi)防盜門(mén)、隔墻和房間門(mén)可能會(huì)根據(jù)要求進(jìn)行改動(dòng)。承租方將提供這些裝修要求詳細(xì)說(shuō)明清單。
All Leased Offices shall be professionally cleaned and tidy by , including but not limited to all floors, ceilings, windows, walls, blinds, washroom and the corridor.
截止 ,所有出租寫(xiě)字間應(yīng)是職業(yè)性的整潔狀態(tài),包括但不限于所有的地面、天花板、門(mén)窗、墻壁、百葉窗、衛(wèi)生間及走廊。
All air-conditioners, lighting and water pipe and plumbing shall be in good working condition, and all lights shall be in place.
所有的空調(diào)、照明和上下水管道應(yīng)工作狀態(tài)良好。所有的照明燈均就位。
Lights in office room and on the corridor shall be energy-saving fluorescent lamp with switches.
房間和走廊上的照明均為開(kāi)關(guān)式節(jié)能日光燈。
There are at least four power sockets in each office and telephone and internet lines in each room shall be laid as per the Lessee’s requirement.
每個(gè)租用寫(xiě)字間應(yīng)具備至少四個(gè)電源插座,各寫(xiě)字間配備足夠的網(wǎng)線(xiàn)和電話(huà)線(xiàn)接頭(承租方將提出具體布線(xiàn)要求)。
5.3 The Lessor shall allow the Lessee to put the company name board of the Lessee in the entry area of the office yard for the function of directing lessees’s visitors.
出租方應(yīng)準(zhǔn)許承租方在辦公樓院門(mén)前掛立公司標(biāo)牌,為承租方的來(lái)訪(fǎng)者提供指示。
5.4 The Lessor shall provide three (3) vehicle parking space included in the rental for day and night and allow free parking during day time inside the yard for the Lessee if any vehicles of lessee or hired by the Lessee would park inside the yard of the .
租金包含出租方為承租方在辦公大樓院里提供三個(gè)晝夜停車(chē)位,并允許承租方自己或租用車(chē)輛在白天免費(fèi)停車(chē)。
5.5 The Lessor shall include the Leased Office within its own security checking area twenty four hours per day through out the whole year. However the Lessor has no responsibility to compensate for loss if the Lessee’s property is stolen in the office. The Lessee shall observe the security rule of the Lessor, and have the liabilities to watch the security inside the Leased Office area.
出租方應(yīng)將租賃寫(xiě)字間劃為其保安范圍內(nèi),全年每天二十四小時(shí)值班。 然而,出租方不承擔(dān)承租方在寫(xiě)字間被盜損失的賠償責(zé)任。承租方應(yīng)遵守出租方的安全保衛(wèi)制度,有義務(wù)維護(hù)辦公區(qū)域的安全。
5.6 The Lessor shall keep one set of the key to the entry door, sealed in a package by the Lessee, to all the rooms inside the Leased Office area. The Lessor shall not open the package unless under the emergency (such as fire) and the explanation shall be given to the Lessee of the package opening.
出租方應(yīng)保留一套由承租方打包封存的租賃寫(xiě)字間大門(mén)的鑰匙。除非在緊急情況下(如火災(zāi)等)出租方不得啟封。啟封后應(yīng)向承租方做出說(shuō)明。
5.7 The Lessor shall perform the duty of the maintenance work of the Leased Offices and common areas such as the elevator including but not limited to the air-conditioning, heating, electricity supply, water supply and plumbing. If there is no response by the Lessor within one week after the Lessee’s application for the above maintenance, or if the Lessor can not perform its duty of maintenance, after the agreement of the Lessor, the Lessee may maintain the Leased Offices at its own discretion, and the costs incurred shall be deducted from the rental payment. The maintenance in this article refers to the recovery of normal function of the Leased Office.
出租方應(yīng)履行對(duì)租賃寫(xiě)字間及公共區(qū)域如電梯的維修義務(wù),包括但不限于空調(diào)、供暖、供電、及上下水管道。如果在承租方提出維修申請(qǐng)一周內(nèi),沒(méi)有答復(fù)或出租方不能維修,承租方在征得出租方同意后,可以自行維修,維修費(fèi)用從租金中扣除。
5.8 The staff of the Lessee shall have the right of access to the Leased Offices from 6:30am to 9:00pm on any day during the year. For anytime out of the above time, the Security Department shall be notified in advance. Lessee personnel shall not stay overnight in the Leased Office. The Security Guard of the Lessor has the right to inquiry the staff and associates of the Lessee and the entry registration will be asked to enter. Access to the Lessee's office by staff, Contractor or associates of the Lessor shall be by authorization of the Lessee.
承租方的雇員有權(quán)在一年內(nèi)任何日期的早上6:30到晚上9:00進(jìn)出租賃寫(xiě)字間,超出該時(shí)間范圍應(yīng)提前與出租方保衛(wèi)部門(mén)通報(bào)。承租方人員不得在租賃寫(xiě)字間內(nèi)留宿。出租方保衛(wèi)有權(quán)對(duì)承租方員工及客戶(hù)進(jìn)行詢(xún)問(wèn)和出入登記。對(duì)于出租方的員工、其合同商及與出租方有關(guān)的單位進(jìn)入租賃寫(xiě)字間,應(yīng)得到承租方的認(rèn)可。
5.9 The Lessee will be responsible for the payment of electricity charges for the Lessee's office space as measured by the Lessor's separate meter for the floor space occupied by Lessee. The electricity will be charged by the Lessor based on the electricity charging standard.
承租方將負(fù)責(zé)支付其辦公區(qū)域內(nèi)的用電,電量將由出租方提供的單獨(dú)用于承租人租賃樓層的電表計(jì)量。出租方將按本地收費(fèi)標(biāo)準(zhǔn)收取電費(fèi)。
5.10 If the Lessee or its visitors damage the Lessor's facilities, the Lessee shall compensate the Lessor for the loss, with the exception of normal wear and tear and damages caused by normal use.
如承租方或其訪(fǎng)客損壞出租方的設(shè)施,承租方應(yīng)予賠償,但正常使用中造成的損壞和磨損除外。
5.11 The Lessee shall be responsible for its own valuables, cash, furniture, equipment and documents held at the Leased Offices. If the Lessor or its personnel cause the damage or loss of the Lessee’s or its personnel’s valuables, cash, document and the like, the liabilities and compensations would be decided by the agreement between two parties. If the criminal case or civil case has incurred thereof, the liabilities and compensations would be decided by the judgment of the law executive body.
承租方應(yīng)負(fù)責(zé)其放在租賃寫(xiě)字間的貴重物品、現(xiàn)金、家具、設(shè)備及文件的安全。如出租方或其人員造成承租方或其人員的貴重物品、現(xiàn)金、文件等的損壞或丟失,責(zé)任及賠償應(yīng)由雙方協(xié)商處理。如由此引發(fā)各類(lèi)刑事、民事案件,賠償責(zé)任應(yīng)以執(zhí)法機(jī)關(guān)的最終判決為準(zhǔn)。
5.12 The Lessee shall have the right to sub-lease part of its leased floor to other company or organization on the basis of being a sole Lessee to the Lessor for its leasing responsibility.
承租人有權(quán)部分再出租其租賃面積給其它公司或機(jī)構(gòu),但條件是對(duì)于出租人而言,承租人承擔(dān)全部承租人責(zé)任。
5.13 If the Lessee intends to terminate this agreement, it shall give the Lessor sixty (60) days notice in writing. In the case of intentional malicious conduct by the Lessee which have taken serious harm to the Lessor, the Lessor shall have the right to terminate this Contract by giving the Lessee sixty (60) days notice in writing.
如承租方欲中止本協(xié)議,需提前六十(60)天書(shū)面通知出租方。若承租方有故意的惡意行為而給出租方帶來(lái)了重大損失,出租方有權(quán)提前六十(60)天書(shū)面通知承租方中止本協(xié)議。
5.14 Any amendment of this agreement shall be discussed between the Lessee and the Lessor and mutually agreeable terms and conditions arrived at.
對(duì)本協(xié)議的修改,需經(jīng)出租方與承租方協(xié)商,并就其條款達(dá)成一致。
5.15 The issues not covered by this agreement shall be implemented according to the Contract Law of the People's Republic of China that has been promulgated. The issues not covered by the said law shall be resolved through friendly consultation between the parties.
本協(xié)議未盡事宜按已頒布的《中華人民共和國(guó)合同法》執(zhí)行,該法未涵蓋的,雙方通過(guò)友好協(xié)商解決。

Ceiling: hanging ceiling same as the 4th floor天花板:吊頂,與四層一樣。
Light: Fluorescent lamp same as the 4th floor

Floor: Ceramic tile in office room and granite stone for corridor
地面:寫(xiě)字間內(nèi)地面為瓷磚,走廊為花崗巖地面。
Air Conditioner: heating and cooling (Haier preferred), low noise, cooling input power (horsepower) fits room size
空調(diào):冷暖型(最好是海爾空調(diào)),低噪音, 制冷輸入功率應(yīng)與房間面積相配。
Washroom: sitting toilets for Lady’s; One squatting and one sitting toilets for Man’s, Auto flushing urinal. Hot water for wash basin for both washrooms. Mirror, cabinet for each washroom for storing cleaning tools (height is about person’s height).
