BROKERAGE AGREEMENT OF REAL ESTATE SALE

居間方:(以下簡(jiǎn)稱“丙方”)Broker:(hereinafter “Party C”)
經(jīng)丙方居間介紹,甲、乙雙方就上海市____區(qū)_____路____弄____號(hào)___室及___車位(以下簡(jiǎn)稱“該房地產(chǎn)”)的轉(zhuǎn)讓事宜,簽訂本協(xié)議,協(xié)議內(nèi)容如下(有□選擇的,以√為準(zhǔn)):

一、該房地產(chǎn)基本情況 BASIC INFORMATION

If the title of this real estate mentioned above is not clearly indicated or is incorrect, information listed in the register of Shanghai Real Estate Office shall be applied.
* PARTY A GUARANTEES THAT IT HAS FULL AND CLEAR OWNERSHIP TO THIS REAL ESTATE, WHICH IS FREE OF ANY DISPUTE REGISTERED, UNILATERAL ADVANCED REGISTRATION, JUDICIAL OR ADMINISTRATIVE ATTACHMENT OR OTHER EVENTS RESTRICTING TRADES.
二、轉(zhuǎn)讓總價(jià)及定金與款項(xiàng)的選擇適用
. TRANSFER PRICE AND DEPOSIT, OPTION OF PAYMENT
甲乙雙方明確,該房地產(chǎn)的轉(zhuǎn)讓總價(jià)款:人民幣大寫(xiě)______元(其中含車位轉(zhuǎn)讓款人民幣_(tái)______元)。

Party B agree that it shall pay Earnest Money as CNY ________ to Party C at this contract date and entrust Party C to negotiate with Party A; if Party A accept and sign this contract, Party B may authorize Party C to transfer such Earnest Money to Party A as deposit; provided, however, Party B may require the repayment of Earnest Money free of interests by Party C if Party A fail to sign this contract prior to ___________. In such event, it shall constitute that continue entrustment has been granted to Party C if Party B fail to take such Earnest Money in due time.

三、買(mǎi)賣交易細(xì)則 SALES RULES

3) 貸款及抵押權(quán)處理:若甲方有抵押貸款未結(jié)清,甲乙雙方明確貸款余額及抵押權(quán)消滅選擇通過(guò)下列方式處理。
Loans and Mortgage. If any due mortgage loans fail to be paid by Party A, Party A and Party B expressly agree that the following provisions shall be applied:
□ 乙方支付甲方的上述第____ 筆房款優(yōu)先用于甲方償還銀行的按揭貸款,余額不足由甲方自行補(bǔ)足。甲方應(yīng)于雙方訂立買(mǎi)賣合同后5個(gè)工作日內(nèi)向銀行提出還款申請(qǐng),并依銀行規(guī)定的時(shí)間足額結(jié)清貸款。甲方應(yīng)在銀行出具抵押注銷材料后5個(gè)工作日至房地產(chǎn)登記處辦理該房產(chǎn)的抵押登記注銷手續(xù)。
The ______ installment mentioned above shall firstly be used to pay such mortgage loans, any balance arising there-from shall be paid by Party A independently. Party A shall, within 5 business days upon the conclusion of sales contract, make application to lending bank for repayment of loans, and shall make full repayment within time limit required by such bank. In addition, Party A shall, within 5 business days upon the issuance of certificate evidencing the cancellation of mortgage, fulfill the formalities for the revocation of mortgage registration before the competent real estate register.
□ 轉(zhuǎn)按揭:在抵押權(quán)人及乙方貸款銀行允許的情況下,雙方依照銀行轉(zhuǎn)按揭流程的規(guī)定辦理。為辦理轉(zhuǎn)按揭需要,甲乙雙方應(yīng)根據(jù)轉(zhuǎn)按揭銀行及轉(zhuǎn)按揭擔(dān)保機(jī)構(gòu)的要求盡相應(yīng)的配合義務(wù),并同意根據(jù)要求對(duì)部分房款進(jìn)行監(jiān)管。銀行轉(zhuǎn)按揭所產(chǎn)生的費(fèi)用由:□ 甲方承擔(dān) □ 乙方承擔(dān) □ 甲、乙雙方各半承擔(dān)。
Subject to the permission of mortgagee and the lending bank of Party B, Party A and Party B shall fulfill the formalities for Mortgage Transferring in accordance with the bylaws of the corresponding bank. For the purpose of such Mortgage Transferring, the Parties hereto shall provide cooperation in accordance with the instructions issued by the related bank and Guarantee Institutes, and shall agree to make supervision on the transfer prices. Any and all costs and expenses arising out of or in connection with such Mortgage Transferring shall be borne by □ Party A □ Party B □ Party A and Party B in equal proportions.
4) 產(chǎn)權(quán)過(guò)戶:待該房地產(chǎn)之抵押登記(若有)已經(jīng)注銷且乙方申請(qǐng)的按揭貸款(若有)經(jīng)銀行審核通過(guò),具備過(guò)戶條件具備后,最晚不遲于______年_____月_____日,共同至該房地產(chǎn)所在區(qū)交易中心辦理房地產(chǎn)過(guò)戶手續(xù)。
Transfer. Within _____ days upon the revocation of mortgage registration for this real estate (if any) and the loans acquired by Party B therefore (if any) satisfying the applicable requirements after the review of related bank (in no event late than _______), Party A and Party B shall fulfill the transfer formalities before the trading center of that district where this real estate is located.
5) 房屋交付:Delivery.
甲方于□收到乙方全部轉(zhuǎn)讓款項(xiàng)當(dāng)日at the date on which all transfer prices,

at the date on which the formalities for transfer of this real estate have been fulfilled by Party A and Party B,
□______年_____月_____日前,將該房地產(chǎn)交付乙方,雙方應(yīng)簽署《房屋交接書(shū)》。交付前的物業(yè)管理費(fèi)及公用事業(yè)費(fèi)由甲方承擔(dān),交付后的物業(yè)管理費(fèi)及公用事業(yè)費(fèi)由乙方承擔(dān)。
該房地產(chǎn)的維修基金:該房屋的維修基金已包含在轉(zhuǎn)讓價(jià)中不再另行結(jié)算。
水、電、煤、有線電視初裝費(fèi)及其他進(jìn)戶費(fèi)用:
□已包含在轉(zhuǎn)讓價(jià)中不再另行結(jié)算
□乙方于辦理房屋交接手續(xù)時(shí),按人民幣_(tái)_________元支付給甲方。
prior to ______________, Party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore. Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.
Maintenance Fund. The maintenance fund has been included in the transfer prices without additional charges.
Fees for the installation of equipments or facilities for the supply of water, electricity, gas or cable TV services and other applicable costs and expenses
□ have been included in transfer prices without additional charges; or
□ shall be paid to Party A by Party B as CNY _______ at the fulfillment of transfer formalities.
固定裝修、附屬設(shè)施設(shè)備以及經(jīng)甲乙雙方確認(rèn)的家電、家具等價(jià)格已經(jīng)包含在該房地產(chǎn)轉(zhuǎn)讓總價(jià)款內(nèi),甲方須保證該房屋內(nèi)附屬設(shè)施、設(shè)備均能正常使用及室內(nèi)裝飾與簽訂買(mǎi)賣合同之日的狀況相符,下水道通暢。
Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein and the sewage is free-flowing.
6) 戶口遷移:若在該房屋地址上有戶口登記的,且無(wú)論該戶口是否與甲方關(guān)聯(lián),甲方應(yīng)于 □ 辦理該房地產(chǎn)過(guò)戶手續(xù)之日前;
□__________前,負(fù)責(zé)清空該房地產(chǎn)內(nèi)的戶口。
Household Relocation. If any household registration is made by virtue of this real estate, whether or not related to Party A, Party A shall,

□ Prior to _________, Revoke any and all such registration.
7) 相關(guān)費(fèi)用:Miscellaneous Charge.
[交易稅費(fèi)]:關(guān)于該房地產(chǎn)交易涉及的相關(guān)費(fèi)用甲乙雙方明確均應(yīng)按國(guó)家規(guī)定及稅務(wù)機(jī)關(guān)確認(rèn)的房屋價(jià)值申報(bào)各自的交易稅、費(fèi),任何一方均不得以國(guó)家及稅務(wù)機(jī)關(guān)調(diào)整交易稅、費(fèi)為由,拒絕履行本合同或買(mǎi)賣合同之義務(wù)。
Trade Tax. Party A and Party B expressly agree that any and all trade taxes arising out of or in connection with this transaction shall be declared and paid by each other respectively in accordance with the applicable state rules and values of this real estate evaluated by tax authority, neither Party may refuse to perform any of its obligations under this contract or sales contract by virtue of any adjustment of trade tax by state government or tax authority.

The Parties agree that any and all taxes and charges arising out of transaction hereunder shall be borne and paid by

Notary Fees. Any notary fees arising out of or in connection with transaction hereunder shall be borne and paid by

Brokerage fees. Brokerage feess paid to broker for any brokerage service provided shall be detailed in attached Schedule “Acknowledgement of Brokerage fees”.
*對(duì)于本條款,居間方已提請(qǐng)甲乙雙方予以注意和重視,并進(jìn)行了充分的解釋說(shuō)明,甲乙雙方確認(rèn)并愿意接受本條款。
* NOTE: PARTY C HAS CAUSED THIS CLAUSE TO BE THOROUGHLY READ AND UNDERSTOOD BY PARTY A AND PARTY B, AND PROVIDE DETAILED INTERPRETATION AND EXPLANATION. AND THE PARTIES AGREE TO ACCEPT THEM.
8) 買(mǎi)賣合同示范合同訂立:
甲乙雙方確認(rèn)簽署本協(xié)議已確立買(mǎi)賣法律關(guān)系。為辦理該房屋過(guò)戶之需,雙方約定,于______年_____月_____日前按協(xié)議約定的【買(mǎi)賣交易細(xì)則】至上海市_______區(qū)_______路______弄_____號(hào)______室(上海XX房地產(chǎn)經(jīng)紀(jì)有限公司所屬簽約場(chǎng)所)處簽署《上海市房地產(chǎn)買(mǎi)賣合同》的示范合同,該示范合同的的訂立只是以格式合同的形式對(duì)甲乙雙方買(mǎi)賣關(guān)系的進(jìn)一步的確認(rèn)。
Sales Contract. Hereby Party A and Party B agree that sales relationship has been established between them upon the signature of this Contract. For the purpose of any transfer of this real estate, Party A and Party B further agree that Sales Contract for the Real Estate Located in Shanghai City (“Sales Contract”) shall be entered into by them at ____ Suite, ___ of _____ Alley, _____Avenue _____District, Shanghai (signing place designated by Shanghai SunWay Real Estate Brokers Co., Ltd.) prior to ______ under the [Sales Rules] agreed herein.
9)特別約定:Specific Agreement
甲方同意在本協(xié)議交易條件不變的前提下,乙方可以增加、減少上海市房地產(chǎn)買(mǎi)賣合同中的“買(mǎi)受人”。
Party A agrees that under the same terms and conditions hereunder, Party B may increase or decrease the number of “Buyers” defined in Sales Contract upon the same has been concluded.

四、法律責(zé)任的選擇適用. APPLICATION OF LEGAL LIABILITIES
1) 買(mǎi)賣交易細(xì)則中各條款未能如約全面履行的法律責(zé)任
Legal Liabilities for Non-Performance of Any Clause of [Sales Rules]
□將款項(xiàng)定性為定金的法律責(zé)任:本協(xié)議項(xiàng)下定金作為甲乙雙方履行本協(xié)議的擔(dān)保,若甲乙雙方中若有任何一方未按照本協(xié)議中的約定及時(shí)全面履行自己的義務(wù),守約方有權(quán)根據(jù)定金罰則要求違約方承擔(dān)違約責(zé)任。同時(shí),乙方可以喪失定金為代價(jià)而解除本協(xié)議,甲方可以以雙倍返還定金為代價(jià)而解除本協(xié)議。
Deposit Clause. As deposit provided herein is the guarantee for the performance of obligations hereunder by Party A and Party B, if either Party A or Party B fails to perform its obligations hereunder fully or timely, the other Party may require indemnification form such breaching party in accordance with Deposit Rules. Party B may terminate this Contract at the cost of forfeiture of deposit provided by it, where Party A may terminate this Contract at the cost of payment as two times of deposit provided by Party B.
□將款項(xiàng)定性為房款的法律責(zé)任:甲乙雙方中若有任何一方未按照本協(xié)議中的約定及時(shí)全面履行自己的義務(wù),則每逾期一日,違約方應(yīng)按本協(xié)議約定總房款的萬(wàn)分之三向守約方支付違約金,直至違約方實(shí)際履行之日止;逾期超過(guò)15日的,守約方有權(quán)選擇單方面解除本協(xié)議,若守約方選擇單方面解除本協(xié)議,則違約方應(yīng)按本協(xié)議約定的總房款的20%向守約方支付違約金。
*該條款是基于本協(xié)議條款二【轉(zhuǎn)讓總價(jià)及款項(xiàng)的選擇適用】中對(duì)于定金和房款的選擇而對(duì)應(yīng)產(chǎn)生的約束力,甲乙雙方確認(rèn)在進(jìn)行條款二的區(qū)分選擇時(shí),居間方已經(jīng)給予明確的提示,并且已經(jīng)按照甲乙雙方的要求進(jìn)行了翔實(shí)的解釋和說(shuō)明。甲乙雙方確認(rèn)并愿意接受本條法律責(zé)任的約束。
Transfer Price Clause. If either Party A or Party B (“Breaching Party”) fails to perform any of its obligations hereunder fully or timely, damages calculated as 0.03% of transfer price agreed per each day delayed shall be paid by such breaching party until the date on which such obligation has been fully performed. Provided, however, the other party may terminate this Contract if breaching party fails to fulfill its obligations for 15 days or more, in such event, such breaching party shall pay damages to the other party as 20% of transfer price agreed.
* THIS CLAUSE SHALL HAVE BINDING FORCES CORRESPONDS WITH THE CHOICE MADE FOR DEPOSIT OR TRANSFER PRICE MENTIONED IN ARTICLE 2 HEREOF (T RANSFER PRICE AND DEPOSIT, OPTION OF PAYMENT). PARTY A AND PARTY B UNDERTAKE THAT WHEN CHOICE IS MADE BY IT, BROKER HAS PROVIDE EXPRESS INTRODUCTION AND MAKE DETAILED INTERPRETATION AND EXPLANATION AT THE REQUEST OF PARTY A OR PARTY B, AND THE PARTIES AGREE TO ACCEPT THEM.
2) 甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確,無(wú)異議登記、單方預(yù)告登記,無(wú)司法、行政查封等限制性交易情形存在;若因本條所述情況導(dǎo)致本協(xié)議效力瑕疵,甲方應(yīng)返還乙方所有已付房款并賠償乙方實(shí)際損失。
Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades. If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.
3) 甲、乙雙方均保證有簽署本協(xié)議及履行本協(xié)議的權(quán)利,若因任何一方原因?qū)е卤緟f(xié)議效力瑕疵或無(wú)法履行,該方簽署人承諾自愿承擔(dān) □房款 □定金 項(xiàng)下所導(dǎo)致的法律責(zé)任。本條款獨(dú)立發(fā)生法律效力。
Party A and Party B undertake that each of them shall enter into this Contract and perform its obligations hereunder, if this Contact is defected or fails to be performed due to the fault of any Party, such Party shall assume the legal liabilities of □ transfer price or □ deposit. Article 4.3 hereof shall survive the termination of this Contract.
五、文字效力FORCE AND EFFECT
本協(xié)議空白處與鉛印刷文字具有同等法律效力,若填寫(xiě)文字與鉛印文字相沖突的,以填寫(xiě)文字為準(zhǔn)。若填寫(xiě)或修改文字增加丙方義務(wù)的,則需經(jīng)丙方加蓋合同專用章方可生效。
Any blank left herein shall have equal legal effect with the printed text, provided, however, if there is any dispute between any information completed by hand and printed text, the former shall prevail. Any information completed by hand or by alteration of original text, if imposing any obligations to Party C, shall come into effects only upon common seal is made on such information by party C.
六、爭(zhēng)議解決. DISPUTE SETTLEMENT
各方在本協(xié)議履行過(guò)程中發(fā)生爭(zhēng)議的,應(yīng)友好協(xié)商;協(xié)商不成的,應(yīng)向該房地產(chǎn)所在地人民法院起訴。
Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.
七、合同關(guān)系 CONTRACTUAL RELATIONSHIP
本協(xié)議是雙方在上海XX房地產(chǎn)經(jīng)紀(jì)有限公司居間下就該房地產(chǎn)買(mǎi)賣事宜達(dá)成一致的真實(shí)意思表示;本協(xié)議的生效標(biāo)志著雙方就該房地產(chǎn)買(mǎi)賣關(guān)系的確立。本協(xié)議的生效同時(shí)代表丙方的居間成功。甲乙雙方委托丙方根據(jù)本協(xié)議制作《上海市房地產(chǎn)買(mǎi)賣合同》示范文本、并進(jìn)行網(wǎng)上備案。
This Contract constitute the true representation and warranty of Party A and Party B concerning their transaction hereunder fulfilled with the assistance of Shanghai Chenxin Real Estate Co., Ltd. the signature of this Contract represents the establishment of sales relationship between Party A and Party A, and represents the success of brokerage services provided by Party C. Party A and Party B shall authorize Party C to prepare the draft of Sales Contract in accordance with the main terms and conditions listed herein and fulfill the related online registration.
八、合同效力 VALIDITY
本協(xié)議自甲、乙雙方簽署起對(duì)甲、乙生效,丙方簽署后對(duì)丙方生效,一式三份,甲、乙、丙三方各執(zhí)一份。三份記載不一致的,以第一聯(lián)記載內(nèi)容為準(zhǔn)。
This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon. This Contract shall be executed in triplicate and each Party shall have one copy. If there is any inconsistency between these three copies, the original shall prevail.

ACKNOWLEDGEMENT OF BROKERAGE FEES
1. 甲乙雙方確認(rèn)“本協(xié)議”是經(jīng)丙方居間而簽署。倘若甲、乙雙方基于本協(xié)議正式簽署《上海市房地產(chǎn)買(mǎi)賣合同》并依約履行;丙方將無(wú)償協(xié)助提供過(guò)戶、交房等后續(xù)服務(wù),直至本交易完結(jié)。Party A and Party B acknowledge that this Contract is entered into with the introduction of Party C. if Party A and Party B enter into Sales Contract for the Real Estate Located in Shanghai City (“Sales Contract”) and perform its respective obligations there-under, Party C shall, without any charge, provide after-sale services for transfer and delivery of real estate until the completion of transaction there-under.

4. 甲乙雙方在簽訂確立買(mǎi)賣關(guān)系的本協(xié)議后,若不能履行協(xié)議或協(xié)商解除本協(xié)議,導(dǎo)致無(wú)法過(guò)戶,致使丙方無(wú)法繼續(xù)履行居間合同的,違約方或合意解除協(xié)議方應(yīng)向丙方支付違約金,數(shù)額為本次交易中居間方應(yīng)收甲、乙雙方總傭金之和,總計(jì)人民幣 元(此處系本協(xié)議簽署時(shí)填寫(xiě))。
if either or both of Party A and Party B fail to perform or agree to rescind this Contract evidencing the establishment of sales relationship between them, which render the failure of transfer of real estate to Party B or Party C fails to perform its obligations under Brokerage Contract, both of such Parties or the breaching Party (as the case may be) shall pay damages to Party C as CNY _______ (completed at the contract date) equal to the total brokerage feess paid by Party A and Party B.
5. 本協(xié)議因甲乙雙方中任何一方違約或雙方合意而解除,甲乙雙方或其近親屬、代理人、承辦人等有關(guān)聯(lián)的人再行達(dá)成買(mǎi)賣交易的,視為丙方居間成功,甲乙雙方仍應(yīng)該按照本協(xié)議確定之轉(zhuǎn)讓總價(jià)款的 %(居住用房)、 %(非居住用房)各向丙方支付居間報(bào)酬。
If this Contract is terminated by virtue of breach of either Party or mutual consents of two Parties, it shall also constitute the successful brokerage hereunder if thereafter, any sales transaction fulfilled by Party A and Party B or their respective relatives, agents, representatives or other affiliates, in such event, Party A and Party B shall also pay brokerage fees to Party C as 1% of transfer price (Residential Property) or 2% of transfer price (Non-residential Property), as the case may be.
6. 甲、乙雙方均保證有簽署本協(xié)議及履行本協(xié)議的權(quán)利,若因任何一方原因?qū)е卤緟f(xié)議效力瑕疵或無(wú)法履行,該方簽署人承諾愿意向丙方賠償預(yù)期利益損失人民幣 元,本條款獨(dú)立發(fā)生法律效力。
Party A and Party B undertake that each of them shall enter into this Contract and perform its obligations hereunder, if this Contact is defected or fails to be performed due to the fault of any Party, such Party shall indemnify Party C the losses of anticipated profits as CNY ________.
